A company’s ethical decision-making framework turns values into repeatable action. It defines the impacts and risks the company must manage, gives employees a practical test for difficult choices, assigns decision and escalation ownership, protects reporting, and checks whether controls actually work. A code of conduct is one component—not the framework itself.
The design below combines the OECD’s risk-based due-diligence process, ISO 26000 social-responsibility guidance, the UN Global Compact Ten Principles and the U.S. Department of Justice (DOJ) compliance-program evaluation lens. Adapt it to your company’s sector, jurisdictions, workforce, products, services and business relationships with qualified local legal and subject-matter advice.
What an ethical decision-making framework must do
A useful framework helps people answer two questions consistently: “What should we do?” and “What must we do next if the answer is uncertain, harmful or disputed?” It connects principles to operating decisions rather than treating ethics as a statement on a website.
Quick wins for a faster PC:
Scan for outdated or missing drivers - takes under a minuteDriver Scan →Repair Windows errors before they cause bigger problemsFix Now →Fix the driver behind crashes, sound loss and screen glitchesFind Drivers →At minimum, the system should:
- State the company’s principles and behavioral expectations in plain language.
- Identify actual and potential adverse impacts connected to operations, products, services, supply and value chains, third parties and other business relationships.
- Give employees a repeatable decision protocol, access to advice and clear escalation thresholds.
- Assign board, executive, operational and ethics or compliance accountability.
- Provide reporting channels, non-retaliation protections, fair investigations and appropriate remedy.
- Align targets, incentives, promotion and discipline with ethical conduct.
- Track implementation and outcomes, communicate how impacts are handled and revise controls when evidence shows they are ineffective.
The framework is not a guarantee that every decision will be perfect. It is a managed process for recognizing impacts, making reasoned choices, documenting them, learning from failures and reducing harm over time.

1. Set principles and boundaries
Write a short, usable values statement
Start with a concise statement of the conduct the company expects from directors, executives, employees, contractors and, where relevant, business partners. Use observable language: protect people from foreseeable harm; do not mislead customers; prevent bribery; respect worker rights; protect confidential information; raise concerns without retaliation; and cooperate with investigations.
The UN Global Compact Ten Principles provide a high-level baseline organized around human rights, labour, environment and anti-corruption. They can anchor a policy architecture, but they do not supply a complete decision procedure. The OECD Guidelines for Multinational Enterprises on Responsible Business Conduct (2023) cover a wider set of corporate-responsibility subjects, including disclosure, science and technology, competition and taxation, in addition to human rights, labour, environment, bribery and consumer interests.
Translate each selected commitment into policies, examples and prohibited or required actions. A statement such as “respect human rights” needs supporting rules for recruitment, working hours, modern-slavery risk, product safety, security, data use and supplier conduct where those issues are relevant to the company.
Make the standard broader than legal minimums
Law is a floor, not the whole ethical analysis. The OECD Recommendation of the Council on Principles of Corporate Governance, amended in 2023, states: “An overall framework for ethical conduct goes beyond compliance with the law, which should always be a fundamental requirement.” Use that distinction when a proposed action is technically lawful but could still create deception, unfair pressure, serious safety risks, avoidable environmental damage or disproportionate effects on a vulnerable group.
Do not present voluntary international instruments as enforceable law. Map the framework to the laws, regulations, collective agreements, privacy requirements, whistleblower protections and sector duties that apply in each location where the company operates.
Define who and what is in scope
Specify whether the framework covers subsidiaries, joint ventures, temporary workers, agents, distributors, suppliers, contractors, acquisitions and major product or market changes. State which decisions require a documented assessment and which can be handled through ordinary procedures. Clear boundaries prevent employees from assuming that a code applies only to office staff or only to direct employees.
2. Map risks and affected stakeholders
Build a cross-functional risk map
Ethical priorities should follow the company’s actual impacts, not a generic list of fashionable topics. Include representatives from operations, product, engineering, procurement, sales, human resources, security, legal, finance, internal audit and relevant regional teams. Consult affected stakeholders or credible representatives when the company can reasonably do so.
Recommended Free Tools
Examine risks arising from:
- Direct operations, workplaces and facilities.
- Products and services, including design, marketing, accessibility, safety and end-of-life effects.
- Suppliers, contractors, logistics providers, distributors, agents and other business relationships.
- Data, automated systems, surveillance, cybersecurity and the use of sensitive information.
- Government interactions, lobbying, gifts, charitable contributions and political activity.
- Acquisitions, new markets, restructuring, outsourcing and other major changes.
For each issue, record who may be affected, the type and severity of possible harm, the likelihood or exposure, the company’s contribution or leverage, existing controls and the owner responsible for action. Consider workers, customers, communities, suppliers, investors, regulators and the environment rather than focusing only on the person approving the transaction.

Prioritize significant impacts
Risk-based due diligence does not require treating every issue as equally urgent. Prioritize impacts by severity, scale, scope, whether they are difficult to put right, and the company’s connection to them. The OECD describes due diligence as a process for improving impacts over time, not a demand for perfection “in everything, everywhere, all at once.”
Set review triggers. A new supplier category, safety incident, regulatory change, acquisition, major algorithm change, expansion into a new country or credible allegation should prompt a reassessment rather than waiting for the annual policy cycle.
3. Establish governance, ownership and escalation
Assign four layers of accountability
A practical model separates oversight from execution:
- Board or board committee: approves the principles, receives material-risk and outcome reporting, challenges management and oversees the independence of investigations where appropriate.
- Executive sponsor: owns implementation, removes barriers, approves resources and makes trade-offs visible when commercial objectives conflict with ethical commitments.
- Operational owners: embed controls in product, procurement, sales, people, security and other workflows; they remain accountable for risks in their processes.
- Ethics, compliance, legal or equivalent function: sets standards, gives advice, monitors, investigates or coordinates investigations and escalates significant issues. It needs sufficient authority, expertise, access to information and budget for the company’s risk profile.
This is not a mandated organizational chart. Smaller companies may combine roles, but they should still separate decision ownership, advice and independent challenge as far as practicable and disclose conflicts when separation is impossible.
Define decision rights and escalation thresholds
Document what employees may decide locally, when a manager or specialist must be consulted and which matters require immediate escalation. Examples of escalation triggers include credible risk of serious injury, human-rights abuse, bribery, material customer deception, retaliation, data misuse, environmental damage, a conflict involving senior leadership or a request to conceal information.
State how to escalate outside normal reporting lines when a manager is involved or unresponsive. Give employees a named advice route and a service expectation, while recognizing that urgent safety or legal threats may require immediate action rather than waiting for a response.
4. Give employees a repeatable decision protocol
Publish a short protocol that fits into ordinary work. It should be available in the code, manager guides, approval workflows and training. The following sequence is an editorial synthesis of risk-based impact assessment and compliance-program guidance; it is not a named test from a single authority.
Do these 3 things before closing this tab:
1Fix the driver behind crashes, sound loss and screen glitches2Clear out junk files and repair common Windows errors3Scan for outdated or missing drivers - takes under a minute- Clarify the facts. Write down what is known, what is uncertain, who supplied the information and what evidence is missing. Do not turn an assumption into a fact to speed approval.
- Identify affected people and interests. Consider workers, customers, communities, suppliers, investors, regulators and the environment. Include people who are not represented in the meeting.
- Check the applicable rules. Identify law, regulation, contract, company policy, professional duty and the company’s stated principles. Ask for specialist advice where jurisdiction or technical risk is uncertain.
- Generate options. Include options that prevent, reduce or defer harm—not only the fastest or most profitable route. Consider whether a safer pilot, additional consent, stronger controls or a different supplier changes the outcome.
- Assess trade-offs and residual risk. Record benefits, foreseeable harms, who bears each harm, whether the harm can be reversed and why the remaining risk is acceptable or requires escalation.
- Consult and escalate. Seek advice from the designated owner or ethics, compliance, legal, safety, privacy or human-rights specialist. Notify affected stakeholders when the process or law requires it.
- Decide and document. Record the decision-maker, date, facts considered, alternatives rejected, controls, approvals, dissenting views and the reasoned basis for the decision.
- Follow up. Set an owner and date for monitoring, stakeholder communication, incident response or remedy. Reopen the decision if facts, impacts or controls change.
Use proportionality: a routine low-impact purchase should not need the same review as a product that could affect health, livelihood, privacy or fundamental rights. Proportionality does not excuse skipping escalation when a serious impact is plausible.

5. Turn principles into usable policies, training and advice
Design policies for the work people actually do
Organize policies around decisions and risks, not legal department categories alone. A sales employee may need rules for gifts, discounts, customer claims and public-sector interactions. A product team may need guidance on safety, accessibility, testing, data use and release approval. Procurement needs supplier screening, contract clauses, grievance routes and remediation expectations.
Use plain-language examples showing both acceptable and unacceptable conduct. Explain what to do when a policy conflicts with a target, when a third party refuses a control, or when an employee is unsure whether a concern is serious enough to report. Keep a controlled version history and identify the policy owner and review date.
Train by role and risk
Give directors, managers, employees and relevant third parties the instruction needed for their responsibilities. Training should cover the decision protocol, escalation routes, non-retaliation, conflicts of interest, investigations and role-specific risks. Use scenarios that reflect real products, customers, suppliers and locations rather than relying only on annual slide presentations.
Measure whether people understood and can use the guidance. Completion alone does not show effectiveness; combine it with scenario comprehension, advice requests, observed control failures, reporting access and feedback from managers and affected stakeholders.
Make advice easy to obtain
Publish the channels for asking questions, the information an employee should provide, confidentiality limits and expected response times. Offer alternatives for workers who lack corporate email, work remotely, use a different language or cannot safely approach their manager.
6. Protect reporting and investigate fairly
Provide appropriate reporting routes
Offer more than one route where practical: a manager or designated ethics contact, an independent channel and a route for urgent safety or security concerns. Explain confidentiality honestly; do not promise absolute secrecy when disclosure may be required to investigate or comply with law. Adapt channels to local privacy, labour and whistleblower requirements.
State a clear non-retaliation rule covering dismissal, demotion, exclusion, threats, unfavorable scheduling, lost opportunities and other reprisals. Explain how retaliation allegations are handled and who can bypass a conflicted manager.

- Please Note: To reach 10Gbps speed, keep the cable under 3.3 ft. For USB A Male to USB C adapters, try flipping the USB C connector. USB C Male to USB A adapters support bidirectional 10Gbps transfer within 3.3 ft
Define how the company records allegations, interviews, evidence, findings, decisions and follow-up. Apply discipline consistently while accounting for relevant differences in role, intent, cooperation and prior conduct. Document remediation, not just punishment: a finding may require customer correction, supplier action, product withdrawal, control redesign, restitution or support for affected people.
7. Align incentives, targets and consequences
A framework fails when the formal policy says “do the right thing” but the operating system rewards the opposite. Review sales quotas, delivery deadlines, procurement savings targets, performance ratings, bonuses, promotion criteria and investor communications for pressure that could encourage concealment, unsafe shortcuts, mis-selling or retaliation.
The DOJ’s Evaluation of Corporate Compliance Programs (September 2024) examines whether a program is adequately resourced and empowered, whether incentives and discipline support compliance, whether discipline is consistent and whether targets are achievable while operating ethically. It also discusses positive recognition for ethical leadership and contributions to compliance.
Require managers to discuss ethical execution in performance reviews. Give employees a safe way to record that a target is unattainable without violating policy. Make clear that meeting a number does not excuse misconduct and that raising a good-faith concern will not be treated as disloyalty.
8. Operate the framework as a six-step learning cycle
The OECD Due Diligence Guidance for Responsible Business Conduct provides a useful operating spine:
- Embed responsible business conduct into policies and management systems. Put requirements into governance, budgets, contracts, workflows, job descriptions and approval tools.
- Identify and assess actual and potential adverse impacts. Refresh the risk map when the business, technology, market or relationships change.
- Cease, prevent and mitigate adverse impacts. Stop conduct that is causing serious harm, prevent foreseeable harm and use leverage with business relationships where appropriate.
- Track implementation and results. Test whether controls operate as designed and whether outcomes improve for affected people.
- Communicate how impacts are addressed. Report relevant policies, processes, significant findings and progress in a way that is accurate and understandable.
- Provide for or cooperate in remediation when appropriate. Correct the harm, cooperate with legitimate processes and avoid shifting the burden to affected people.
These are process steps, not a performance score or a promise that every company will resolve every impact. Assign an owner, evidence source and review cadence to each step.

Use a small set of indicators that help management make decisions. Possible measures include:
What’s actually slowing this PC down?
Pick the symptom - the matching free tool is one click away.
- Risk assessments completed after defined change events.
- Training coverage and scenario-based comprehension by role.
- Advice requests, response times and recurring areas of uncertainty.
- Whether reporting channels are accessible to relevant workers and third parties.
- Investigation intake, triage and completion times, adjusted for case complexity.
- Repeat allegations, control failures and retaliation findings.
- Remediation actions completed and verified with affected stakeholders where appropriate.
- Supplier or partner reviews, corrective-action closure and use of leverage.
- Stakeholder feedback and evidence that controls changed outcomes.
Do not treat a high or low number of reports as proof by itself that the culture is healthy. A rise may reflect improved access and trust; a fall may reflect fear or poor visibility. Pair quantitative indicators with case reviews, interviews, audits and direct feedback.

Communications should distinguish allegations, substantiated findings, open cases and completed remediation. Protect personal information and legal rights while explaining what the company can responsibly disclose.
10. Choose reference frameworks by purpose
The major references overlap, but they are not interchangeable. Select the combination that matches your governance and risk needs.
| Reference | Best use | Scope and limits |
|---|---|---|
| OECD Guidelines for Multinational Enterprises on Responsible Business Conduct (2023) | Set broad responsible-business-conduct expectations and identify impact areas. | Government recommendations to multinational enterprises covering human rights, labour, environment, bribery, consumer interests, disclosure, science and technology, competition and taxation. Not a substitute for local law. |
| OECD Due Diligence Guidance for Responsible Business Conduct (2018; process reflected on the current OECD topic page) | Provide a risk-based process for embedding policy, assessing impacts, preventing or mitigating harm, tracking, communicating and remediating. | Applies across operations, products, services and business relationships. Requires prioritization and improvement over time rather than perfection everywhere. |
| ISO 26000:2010 | Organize broad social-responsibility topics, stakeholder engagement and integration across the organization. | Guidance for organizations regardless of size or location. ISO states the 2010 edition was reviewed and confirmed as current in 2025. It is guidance, not a certifiable management-system standard. |
| UN Global Compact Ten Principles | Provide a high-level baseline for human rights, labour, environment and anti-corruption. | Useful for strategy, policies and procedures, but not a complete company decision procedure or investigation system. |
| DOJ Evaluation of Corporate Compliance Programs (September 2024) | Help organizations understand how a U.S. prosecutorial authority may assess design, implementation and effectiveness. | Prosecutorial guidance, not binding global law, universal certification or a replacement for local legal advice. |
Use the OECD due-diligence cycle for operational mechanics, the UN principles for a concise baseline, ISO 26000 for broad social-responsibility integration and stakeholder thinking, and DOJ guidance as a stress test for resourcing, authority, incentives, reporting, investigations and effectiveness. Document why each reference is relevant to your company instead of claiming that adoption alone proves ethical performance.

11. Implement in stages
Stage 1: establish the mandate
Secure board or executive approval, name the sponsor, define scope, identify applicable jurisdictions and allocate a budget. Confirm independence and access for the ethics, compliance, legal or equivalent function.
Stage 2: map impacts and gaps
Run the cross-functional risk assessment, consult affected stakeholders where feasible, inventory existing policies and reporting routes, and identify gaps in ownership, training, investigations, supplier controls and remediation.
Stage 3: design the minimum viable operating system
Approve the principles, decision protocol, escalation matrix, reporting and non-retaliation rules, investigation standard, policy owners and initial measures. Pilot the protocol on several high-risk decisions and revise confusing steps before broad rollout.
Stage 4: embed in workflows
Add risk questions and approvals to procurement, product release, sales, hiring, marketing, security, acquisitions and change-management processes. Update contracts, manager tools, training and third-party communications.
Stage 5: test and improve
Review cases, near misses, advice requests, stakeholder feedback and control testing. Report material themes to the board or designated committee. Change policies, targets, training or staffing when evidence shows a control is not working.
Common failure modes and fixes
- Code-only program: Add ownership, risk assessment, decision steps, reporting, investigation, remedy and review.
- Generic policy copied from another company: Rebuild around your products, locations, workforce, suppliers and affected stakeholders.
- Compliance treated as legal clearance: Ask who could be harmed, whether the action is fair and whether the company’s principles impose a higher standard.
- Unclear escalation: Publish examples, thresholds, alternate routes and response expectations.
- Under-resourced function: Match authority, staffing, expertise, technology and budget to the company’s risk profile.
- Training measured only by attendance: Test comprehension and observe whether employees can find advice and use the protocol.
- Reports disappear into a ticket queue: Set triage, investigation, documentation, discipline and remediation standards with oversight.
- Targets undermine the code: Review incentives and make ethical execution part of performance management.
- Dashboard theater: Combine metrics with case quality, stakeholder feedback and evidence of changed outcomes.
- Framework never changes: Set review triggers for incidents, acquisitions, new technology, regulatory changes and recurring allegations.
Legal and practical limits
This general design approach is not a jurisdiction-specific compliance checklist. Local counsel and relevant specialists should map employment, privacy, whistleblower, competition, environmental, product-safety, financial-crime and sector-specific requirements. The OECD, ISO and UN materials are voluntary guidance or principles; the DOJ document describes a U.S. enforcement evaluation lens. None replaces enforceable local obligations or a fact-specific legal assessment.
