AI-assisted modernization is an investment hypothesis, not a guaranteed saving. Fund it only after you have measured the current system, defined outcomes, compared realistic alternatives, tested AI on representative work, and shown how benefits will be verified after launch. A project can be worthwhile for mission continuity or security even without a positive direct cash return, but that rationale should be stated separately from financial ROI.
Start with the decision, not the technology
The right question is not “Can an AI model rewrite this system?” It is “Which problem are we solving, what will each feasible option cost over its full life, and how confident are we that the chosen option will produce the required result?” Treat AI as one potentially useful capability inside a modernization program.
Define the decision boundary before evaluating tools. State the systems, interfaces, data, business units, regulatory obligations, time horizon and outcomes included in the analysis. Decide whether the proposal is maintenance reduction, faster delivery, improved resilience, security risk reduction, better user service, or a combination. Without this boundary, projected savings often mix unrelated costs and make the business case impossible to audit.
Define “legacy” by impact, not by age
A system is not automatically a modernization priority because it is old, written in a legacy language or no longer fashionable. The Internal Revenue Service’s Internal Revenue Manual 2.17.1, effective April 7, 2026, defines infrastructure currency around whether a system limits essential functionality, increases operational risk or degrades performance against evolving mission requirements, regardless of age, programming language or vendor-support status.

Use that impact test in your assessment. An old system that reliably meets requirements may be a lower priority than a newer platform that blocks a critical process. Conversely, a system can merit action because its failure, cyber exposure or inability to satisfy a legal requirement threatens the organization even when the financial payback is modest.
Build a defensible status-quo baseline
Record what continuing to operate the system will cost and what it will expose the organization to. Use a stated measurement period, such as the last 12 months, and identify which costs are measured, allocated or estimated.
Operating and people costs
- Infrastructure, licenses, hosting, facilities, monitoring, backup and disaster-recovery spending.
- Internal labor and contractors for operations, incident response, patching, releases, data fixes and compliance work.
- Scarce skills, retirement risk, succession gaps and the time required to understand undocumented behavior.
- Vendor-support premiums, unsupported components and one-time emergency purchases.
Service and failure costs
- Incident frequency, duration, users affected and lost transactions or productivity.
- Planned maintenance windows, batch delays, throughput limits and customer-service impacts.
- Defects, rework, manual reconciliations and delays in delivering required changes.
- Expected loss from outages or control failures, with the probability and assumptions shown separately from booked costs.
Security and mission exposure
- Unpatched vulnerabilities, unsupported encryption, weak identity controls and audit findings.
- Dependencies that prevent timely security changes or make recovery untestable.
- Mission, legal, safety or continuity consequences if the system cannot operate or data cannot be trusted.
The U.S. Government Accountability Office used dimensions including age, vendor support, legacy languages, cybersecurity risk and operating costs when selecting systems for review. Those dimensions are useful prompts, but they are not a substitute for your own measured baseline.
Define outcomes and metrics before discussing AI
Write the outcomes in observable terms. Examples include reducing avoidable run cost by a specified amount, cutting release lead time, increasing successful transaction throughput, lowering high-severity incidents, meeting a recovery objective, or retiring a specific unsupported dependency.

For every outcome, document:
- The baseline value, source, date range and system boundary.
- The target value and target date.
- The owner who can accept the result.
- How data will be collected and how confounding changes will be handled.
- The minimum acceptable result and the trigger for corrective action.
AI-generated lines of code, translated modules or model “accuracy” are intermediate outputs. Count them as value only when expert-reviewed work improves one of the defined outcomes without creating offsetting defects, rework or risk.
Compare the actual alternatives on the same assumptions
At minimum, compare continued operation with the concrete modernization approach under consideration. Add incremental replacement, replatforming, refactoring or a larger rewrite only when each is technically and organizationally feasible. Do not compare a fully funded modernization with an unrealistically bare-bones maintenance case.
| Decision axis | Questions to answer for every option |
|---|---|
| Full lifecycle cost | What are discovery, engineering, AI, integration, testing, migration, parallel operation, training, support and decommissioning costs? |
| Time to value | When does each option deliver a measurable outcome, and when does it reach steady state? |
| Financial return | What benefits arrive, in which years, with what probability and what delay? |
| Mission and user outcomes | Will reliability, service quality, accessibility, throughput or policy compliance improve? |
| Risk of change | What could fail during migration, and how will rollback, reconciliation and dual running work? |
| Risk of inaction | What happens if the current system remains, including cyber, continuity, skills and vendor risks? |
| AI quality burden | What review, testing, traceability, security controls and rework does AI output require? |
| Readiness and dependencies | Are data, interfaces, owners, funding, skills, governance and environments available? |
| Reversibility | Can the organization pause, narrow scope or retire the old system without stranded cost? |
The Texas Department of Information Resources’ Legacy Modernization Guide v4.0 groups prioritization around time, money, risk and reward. Use those four lenses as a screening view, then add the execution and measurement detail above. A high risk of leaving the system untouched is a reason to act, not a reason to mark every modernization option as unacceptable.
Count the complete transition cost
Maintenance cost alone is an inadequate ROI denominator. Build a cost model by phase and year, and identify which costs are cash, internal capacity or risk-adjusted estimates.

- Discovery and design: inventory code, interfaces, data flows, business rules, controls and undocumented dependencies.
- Engineering and AI: model access, secure environments, prompts or adapters, engineering labor, code conversion and review.
- Integration and testing: test-data preparation, functional and performance testing, security assessment, user acceptance and defect correction.
- Migration and parallel operation: data conversion, reconciliation, temporary interfaces, duplicate infrastructure, cutover rehearsals and rollback capability.
- People and change: training, process redesign, communications, new operating procedures and productivity lost while staff learn.
- Steady-state support: new platform operations, licenses, monitoring, model governance, maintenance and retained legacy expertise.
- Retirement: archival, contract termination, data retention, decommissioning and evidence that the old system is no longer required.
Include functionality that is removed, deferred or simplified. The GAO reported that higher-than-planned migration costs and removal of planned functionality contributed to savings shortfalls in some Technology Modernization Fund projects. A lower-cost system that no longer performs a required function is not a successful modernization unless the business has explicitly accepted that change.
For financial analysis, calculate each option over the same horizon using the organization’s approved discounting method. A simple structure is the present value of expected benefits minus the present value of all transition and operating costs. Show payback timing, net present value or other required measures, but do not invent a universal discount rate or payback cutoff; none is established for every organization or AI modernization.
Test AI as a bounded, measurable hypothesis
List the exact tasks for which AI is expected to help. Typical candidates are code explanation, dependency discovery, business-logic extraction, test generation, documentation, data-mapping assistance and conversion support. Each task needs a non-AI comparison and an acceptance test.
Design a representative pilot
- Select difficult, ordinary and edge-case components from the organization’s own codebase. Include undocumented interfaces, unusual data conditions and rules that affect legal, policy or financial outcomes.
- Define the non-AI baseline: the people, tools, elapsed time and quality achieved using the current method.
- Run the AI-assisted workflow in a controlled environment. Prevent sensitive code or data from reaching an unapproved service, and log prompts, model versions, outputs and reviewer actions.
- Have qualified subject-matter experts review correctness, business-rule coverage, security, maintainability and traceability. Measure escaped defects, rework and time to accepted result, not just draft-generation speed.
- Calculate total task cost, including model usage, engineering, review, test creation, correction and governance.
- Repeat the test on enough varied cases to reveal where performance degrades. Record confidence intervals or ranges when the sample is small.
MITRE’s June 5, 2025 study found that large language models could generate intermediate representations from legacy code at scale, but existing performance measures did not align reliably with subject-matter experts’ judgments of quality. MITRE also says performance on the unusual mix of legacy languages and complex government systems remains unproven and writes: “The ITMOD team recommends that LLMs be used in a highly supervised manner for legacy modernization efforts on mission-critical systems.” Treat that as a governance requirement for critical workloads, not as evidence of a guaranteed productivity percentage.

Check whether the organization can deliver the change
A positive spreadsheet cannot compensate for an incomplete delivery plan. The GAO’s 2025 review identified 11 systems most in need of modernization after examining 69 federal legacy systems. Only three of those 11 had plans containing all three elements GAO looked for: milestones, a description of the work and the planned disposition of the legacy system. Six plans were partial and two systems had no plan. GAO associated incomplete planning with higher risk of cost overruns, schedule delays and project failure.
Before approving a broad program, document:
- Milestones, deliverables, acceptance criteria and decision gates.
- Named business, technology, security, data and finance owners.
- Dependencies on vendors, interfaces, infrastructure, data quality and policy approvals.
- Skills needed for both the target platform and the existing system during transition.
- Migration sequencing, reconciliation, rollback and incident authority.
- How the legacy system will be operated, reduced and finally retired.
- Funding for the full transition rather than only the first release.
An older ACT-IAC modernization report also identifies readiness, experienced program teams, governance, financing and the risk of sustaining the status quo as business-case considerations. Use it as historical guidance, not as a current performance benchmark.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Model uncertainty instead of hiding it
Present at least three cases: a base case using the most supportable assumptions, a downside case with higher migration cost, slower adoption, more rework or delayed benefits, and an upside case with faster delivery or greater reuse. Show which assumptions move the decision most. State the evidence that would cause the organization to stop, narrow scope or change the architecture.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Scan for outdated or missing drivers - takes under a minute3Repair Windows errors before they cause bigger problemsFederal modernization data illustrates why forecasts need this treatment. In its 2026 report using Technology Modernization Fund data through June 2025, the GAO said 68 projects represented about $1.03 billion in investments. Twenty-four projects expected combined savings of about $1.06 billion, while 11 had collectively realized about $13.5 million at that point. Of six completed projects that expected savings, two met or were on track to meet expectations within 10 percent and four did not. These figures describe federal projects and timing; they are not a forecast for a private organization or a particular program.

Separate financial return from nonfinancial value. A modernization may be justified by preserving a mission, meeting a security obligation, enabling a required service or reducing an unacceptable continuity risk even when direct cash savings are negative. Record that as the explicit decision rationale rather than relabeling it as ROI.
Use a staged funding decision
Instead of committing the entire transformation at once, connect funding to evidence gates.
- Baseline gate: approve only the inventory, measurement and architecture work needed to establish the current state and feasible options.
- AI pilot gate: proceed when representative tasks show acceptable quality, review effort and security controls against the non-AI baseline.
- Limited production gate: release a contained capability with rollback, monitoring and benefits instrumentation.
- Scale gate: expand only when the pilot meets acceptance criteria, dependencies are funded and the updated forecast remains credible.
- Retirement gate: decommission legacy components only after reconciliation, operational acceptance, retention obligations and recovery tests are complete.
At each gate, keep a written record of assumptions, evidence, unresolved risks, owner decisions and the cost of stopping. This prevents sunk cost from becoming the reason to continue.

Set the benefits owner, measurement cadence and comparison baseline before release. Compare production results with the approved forecast for business objectives, mission performance, savings, reliability, risk and required modifications.
The Centers for Medicare & Medicaid Services’ IT Investment Evaluation Phase, last modified September 10, 2024, describes evaluation as comparing actual with expected results to assess mission performance, identify needed changes and improve investment management. Apply that discipline to modernization:
- Track operating cost, staffing, incident rate, recovery performance, release lead time and user outcomes against the baseline.
- Report AI-specific review time, defect escape, rework and the percentage of output accepted without material change.
- Reforecast benefits when scope, adoption, transaction volume or operating conditions change.
- Record missed targets and corrective actions, not only successes.
- Close the business case only after the legacy environment and its associated costs are actually retired or intentionally retained.
Warning signs that the case is not ready
- The proposal promises a percentage productivity gain without an organization-specific pilot.
- “Modernize” means a complete rewrite, but no feasible alternatives or rollback plan are described.
- The model counts maintenance savings while omitting migration, dual running, testing, training, support or decommissioning.
- Success is measured in generated code, converted modules or cloud consumption rather than business outcomes.
- Legacy behavior is undocumented and no subject-matter experts are assigned to validate it.
- Security, privacy, data residency or intellectual-property controls for AI use are unspecified.
- The old system has no funded disposition, so parallel operation could become permanent.
- Benefits are presented as certain even though delivery dates, adoption and functionality are uncertain.
When specialist help is worthwhile
Independent assessment support can be useful when internal teams cannot establish a reliable inventory, quantify operational risk, validate business rules or design a neutral pilot. The specialist should produce evidence the organization can own: a system and dependency map, baseline measurements, option cost models, pilot protocol, risk register, target architecture, transition plan and benefits-measurement design. Require clear handling of confidential code and data, named reviewers, transfer of knowledge and acceptance criteria; do not outsource accountability for the final investment decision.
The practical decision rule
Approve AI-assisted modernization when the selected option addresses a material mission, service, security or operating problem; its full lifecycle cost is understood; a representative pilot demonstrates acceptable quality under human supervision; delivery owners and exit steps are funded; and downside scenarios remain tolerable. Keep maintaining or incrementally improving the current system when the baseline shows limited impact, the proposed benefits depend on untested assumptions, or the organization cannot yet execute a safe transition. Revisit the decision as measured evidence changes.
