An AI startup can repay debt only if its sustainable operating cash flow, available liquidity, and documented secondary support cover every contractual interest payment, fee, and principal installment through maturity. A compelling product, high valuation, prominent investors, recurring-revenue label, or planned fundraise is not a repayment source by itself. Assess the borrower’s actual cash generation, reconcile performance with its plans, model realistic downside cases, and verify that cash and funding claimed as support will be available when debt falls due.

The framework below follows the Office of the Comptroller of the Currency’s U.S. venture-loan guidance, including Commercial Lending: Venture Loans to Companies in an Early, Expansion, or Late Stage of Corporate Development, issued December 5, 2025. It is a general assessment method, not a credit decision or legal opinion about any named company.

What “can repay” should mean

Repayment capacity is the borrower’s ability to meet all debt obligations under the original contract, not merely to survive until the next financing round. Include scheduled and accrued interest, lender fees, amortizing principal, maturity payments, and obligations under existing as well as proposed facilities. The primary question is whether the business itself is expected to produce enough cash, on a credible timetable, to make those payments.

Start with sustainable operating cash flow rather than an accounting profit measure or a one-time cash inflow. Then compare that cash flow with the timing and amount of contractual debt service. A projection that becomes positive only after the loan matures does not support repayment, even if the long-term business opportunity is attractive. Likewise, unrestricted cash helps only to the extent that it remains accessible after planned operating expenses, capital expenditures, and other obligations.

The OCC does not prescribe an AI-sector repayment ratio or default-rate cutoff. Its guidance emphasizes borrower-specific projections, liquidity, funding dependence, collateral, covenants, reporting, and loan structure. Any conclusion therefore has to be tied to the startup’s statements, debt documents, contracts, and verified funding evidence.

1. Classify the startup by maturity and funding dependence

“AI startup” is not a credit category. An artificial-intelligence company should be assessed according to its operating history, cash generation, liquidity, collateral, and reliance on outside funding. The OCC describes venture borrowers as potentially early, expansion, or late stage; each stage can have very different repayment risk.

Stage Characteristics to verify Repayment implication
Early Short operating history, unproven business model, weak or negative cash flow, limited collateral, or substantial reliance on funding Current operations may not yet be the dependable primary repayment source; the lender needs stronger evidence, controls, and monitoring.
Expansion Some operating history and evidence of market adoption, but continued investment, uncertain margins, or ongoing funding needs Test whether growth is converting into cash before accepting later-period profitability assumptions.
Late More established operations and potentially clearer cash generation, although the company may still have material execution or market risk Historical cash flow can carry more weight, but it must still cover the proposed debt through maturity under downside conditions.

Do not infer stage from a valuation headline, a famous backer, or the sophistication of the technology. Record the facts that actually affect repayment: months of financial history, recurring and nonrecurring cash receipts, operating burn, unrestricted cash, debt maturities, dependence on new capital, and the assets a lender could control if performance deteriorates.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

2. Identify and rank every repayment source

Write a repayment-source memo before evaluating the product story. Name the expected primary source and then list secondary sources separately. If the memo cannot identify a credible source that covers the full contractual balance, the debt is not supported merely because the company has a large addressable market.

Primary source: business cash flow

Project cash generated by operations after the company’s planned operating expenses and capital expenditures. Include payroll, cloud and compute commitments, data licensing, sales and marketing, research spending, taxes, working-capital changes, and other cash requirements that the business actually expects to incur. Compare the resulting cash available with the dates and amounts of all debt payments. Use the original contractual terms, not an assumed refinance or extension.

Secondary sources

Secondary support can include cash that is specifically pledged or controlled for debt repayment, enforceable guarantees, controlled collateral, or a legally committed equity investment. Treat each source according to how quickly and reliably it can be used. Enterprise value or net worth may be an unreliable fallback for an asset-light venture borrower, particularly when the company has limited tangible collateral and a long path to positive free cash flow.

An investor’s reputation, an indicative term sheet, or an attractive valuation is not a documented repayment source. The assessment should state what would happen if the primary cash-flow forecast misses and whether any secondary source is legally available at that point.

3. Assemble the evidence before modeling

Request a complete, current package rather than relying on a pitch deck. At minimum, obtain:

  • Historical annual and interim financial statements, with enough detail to trace revenue, expenses, cash, and debt.
  • Current cash reporting, bank statements or equivalent evidence of balances, and a schedule separating unrestricted cash from pledged, restricted, or otherwise controlled funds.
  • A complete debt schedule showing principal, interest, fees, maturity dates, amortization, security, covenants, defaults, and proposed obligations.
  • Updated operating projections that include planned expenses and capital expenditures through the final debt maturity.
  • Customer and contract information needed to test concentration, renewal behavior, contract duration, termination rights, pricing, and collection timing.
  • Evidence for every claimed funding commitment, including signed documents, conditions, milestones, investor obligations, and the intended use of proceeds.

Ask management to identify material assumptions in writing. A model that cannot show which assumptions drive revenue, gross margin, hiring, compute cost, capital expenditure, or cash timing cannot be stress-tested effectively.

4. Reconcile actual performance with prior plans

Compare each recent reporting period with the forecast that management had previously approved. Explain material misses instead of replacing the old plan with a new one and discarding the record. Separate timing differences from permanent changes: a delayed contract, a lost customer, an unexpected compute bill, slower collections, or an accelerated hiring plan has a different implication from a recurring deterioration in demand or margins.

Pay particular attention to:

  • Revenue growth that depends on a small number of customers or on contracts that can be cancelled before maturity.
  • Gross-margin assumptions that do not reflect actual inference, training, hosting, data, or support costs.
  • Operating expenses that are deferred in the model but necessary to deliver the promised product or meet security and compliance requirements.
  • Capital expenditures or committed purchases omitted from the cash forecast.
  • Collections that lag recognized revenue, creating a cash shortfall even when reported sales rise.

Repeatedly optimistic forecasts are evidence about forecast reliability. A revised base case should explain why earlier assumptions failed and identify what has changed, rather than simply moving the date of positive cash flow farther into the future.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

5. Build a base case and realistic downside cases

The base case should include the expenses and capital expenditures management actually plans to incur, not an artificially lean version designed to make debt service fit. Extend the model through the debt’s maturity and include every existing and proposed obligation. Show monthly or otherwise sufficiently frequent cash balances so that a temporary trough is not hidden by annual totals.

Revenue and market assumptions

Test whether product differentiation, the addressable market, expected market share, time to market, and customer adoption are supported by evidence. Distinguish signed orders from pipeline, pilots from paying production deployments, and usage growth from cash collected. If a forecast assumes rapid adoption, specify the milestones that must occur and the time available for them to produce cash.

Cost and execution assumptions

Challenge hiring dates, compensation, compute consumption, data acquisition, model-development costs, sales commissions, support, insurance, taxes, and required capital projects. Costs that scale with usage should be linked to the revenue or workload assumptions that drive them. A downside case should test both slower revenue and higher unit costs; weakening only one side can understate the cash need.

Downside design

Use realistic adverse conditions rather than an arbitrary percentage selected to produce a desired answer. Examples include a delayed product launch, slower conversion of pilots, customer concentration loss, lower renewal rates, payment delays, higher compute prices, a hiring requirement that cannot be postponed, or an unavailable financing round. Model the timing of each event and its effect on liquidity and debt service. The question is whether the company can still make contractual payments, not whether it remains an attractive venture investment.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Flag a prolonged path to positive free cash flow and any projection in which nearly all positive cash flow appears in the final years. Those patterns leave little time for the forecast to absorb execution errors before maturity.

6. Measure burn and liquidity against the maturity date

Track monthly cash burn, cash needs, unrestricted cash, and the number of months of liquidity remaining. “Runway” should be calculated from cash that the company can actually use after restrictions and near-term commitments, not from a headline balance that includes pledged or controlled funds.

Map the liquidity schedule to each debt payment. Identify the lowest projected cash point, the date it occurs, and the amount that would be available for repayment after payroll, vendors, taxes, capital expenditures, and other senior obligations. Ending liquidity in a model is not automatically available to a lender if the company must spend it to keep operating.

A runway covenant can provide an early warning that new capital may be needed, but it does not necessarily protect repayment of the entire loan. The covenant should therefore be paired with timely reporting, defined escalation steps, and a clear understanding of which cash is controlled for debt service.

Questions to answer from the liquidity schedule

  • How many months of operating liquidity remain in the base case and each downside case?
  • When does cash fall below the amount needed for the next interest, fee, or principal payment?
  • Which balances are unrestricted, and which are pledged, blocked, or subject to another creditor’s control?
  • What spending can management realistically defer without damaging the repayment source?
  • Does the company reach maturity with cash that is both accessible and legally available for the loan?

7. Discount future fundraising unless it is enforceable and financeable

An uncommitted future equity raise is not a satisfactory primary repayment source. Treat a planned round as support only after examining four elements:

  1. Legal enforceability: confirm that signed agreements create an obligation or other enforceable commitment, rather than a nonbinding indication of interest.
  2. Investor capacity and willingness: assess whether the named investors can and are obligated to fund the stated amount when required.
  3. Use of proceeds: determine whether the money is available for debt repayment or is contractually and operationally needed for growth, payroll, or another purpose.
  4. Conditions and milestones: identify approvals, performance targets, diligence, closing conditions, and timing that could delay or prevent funding.

Model the company’s position if the round closes late, closes for less than planned, or does not close. A financing that arrives after a missed payment cannot cure the original maturity problem. If new debt is expected to refinance existing debt, analyze that refinancing with the same discipline; an assumed future lender is not evidence of present repayment capacity.

8. Test whether recurring revenue becomes cash

Recurring revenue is a useful operating signal, but it is not synonymous with sustainable repayment capacity. The OCC states: “Recurring revenue is not, however, equivalent to sustainable repayment capacity.” Read the metric through the cash-flow model.

Examine customer concentration, contract quality, renewal behavior, payment terms, implementation obligations, usage-based variability, refunds, credits, and the time between invoicing and collection. A contract may recur on paper while requiring substantial ongoing service, compute, support, or customer-acquisition spending. Measure revenue-to-cash conversion after those costs and after planned capital expenditures.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Separate contracted revenue from management’s expectation of renewal. Review whether customers can terminate for convenience, whether pricing can be reduced, and whether one customer or channel supplies a disproportionate share of receipts. A high retention rate does not compensate for insufficient margin or a maturity date that arrives before collections occur.

9. Evaluate collateral, guarantees, and loan structure

For an asset-light AI borrower, secondary support and structure can be as important as the forecast. Identify what collateral exists, who controls it, how it is perfected, and whether its value would remain available in a stress scenario. Treat enterprise value and net worth cautiously when the company’s assets are largely intellectual property, unproven technology, or growth expectations.

Review documented guarantees or other support for scope, enforceability, guarantor capacity, and exclusions. Then examine the loan terms themselves:

  • Tenor and amortization: the maturity and payment schedule should match the time required for the business to generate cash.
  • Covenants: liquidity, reporting, and other tests should provide actionable warning before a payment failure.
  • Reporting: require current financial statements, cash reporting, compliance certificates, and updated forecasts at intervals appropriate to the burn rate.
  • Cash controls: a cash sweep or controlled account can direct identified cash toward debt, while unrestricted cash expected to be consumed by operations is weaker support.
  • Remedies and monitoring: define what happens after a forecast miss, covenant breach, funding delay, or material customer loss.

Greater business-model uncertainty and a longer path to positive free cash flow call for more robust structural protections and closer monitoring. Structure should not be used to disguise a primary repayment source that is absent; it should reduce the loss and provide time to act when assumptions fail.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

10. Use a repeatable assessment workflow

The following sequence keeps the analysis tied to evidence and the debt’s actual timeline.

  1. Define the obligation. List every existing and proposed debt payment, fee, covenant, security interest, and maturity date.
  2. Classify the borrower. Document operating history, cash generation, liquidity, collateral, and dependence on external funding.
  3. Build the evidence file. Collect statements, interim cash data, debt schedules, contracts, projections, and funding documents.
  4. Reconcile the forecast. Compare prior plans with actual results and explain material variances.
  5. Model cash through maturity. Include planned expenses, capital expenditures, working-capital timing, and all obligations in a base case and realistic downside cases.
  6. Verify liquidity access. Separate unrestricted cash from pledged or restricted amounts and identify the cash available at each payment date.
  7. Test revenue quality. Analyze concentration, renewals, contract terms, collections, margins, and the spending required to generate each revenue stream.
  8. Verify external support. Confirm the legal enforceability, investor capacity, use, and conditions of any equity commitment; validate collateral and guarantees.
  9. Match structure to risk. Set tenor, covenants, reporting, controls, and monitoring that reflect the borrower’s repayment uncertainty.
  10. State the decision plainly. Identify the primary source, secondary sources, assumptions that must hold, downside failure point, and information that would trigger renewed review.

Common analytical mistakes

  • Substituting valuation for cash flow: a high private valuation may not produce money for a scheduled payment.
  • Counting a planned round twice: do not treat the same financing as both operating liquidity and a guaranteed debt repayment source.
  • Using total cash instead of usable cash: exclude pledged, restricted, or committed balances.
  • Accepting annual forecasts: annual totals can conceal a monthly liquidity breach before revenue arrives.
  • Assuming recurring revenue is self-funding: verify margins, collection timing, retention, and the cost of service.
  • Ignoring existing obligations: include leases, purchase commitments, other lenders, taxes, and proposed facilities that compete for cash.
  • Relying on a runway covenant alone: an early warning does not guarantee repayment of principal at maturity.
  • Projecting a clean recovery without a trigger: identify the concrete operational or financing event that would restore cash flow.

Scope and limits of this framework

The OCC bulletin is supervisory guidance for OCC-regulated banks in the United States. Other lenders, nonbank institutions, and jurisdictions may apply different policies, legal requirements, documentation standards, or risk tolerances. The framework cannot determine whether a particular startup can repay without that company’s financial statements, debt terms, covenants, cash-flow history, customer contracts, and verified funding commitments.

It also does not replace legal, accounting, valuation, or credit advice. A lender should obtain specialist review where intellectual-property collateral, guarantees, intercreditor rights, regulatory obligations, or complex financing conditions affect the analysis.

Bottom line

Approve or extend AI-startup debt only when a documented, sustainable cash-flow path covers every contractual payment through maturity under a credible base case and withstands realistic downside conditions. Treat unrestricted cash, recurring revenue, valuation, investor quality, and an uncommitted fundraise as supporting context—not proof of repayment. Verify liquidity, funding commitments, collateral, covenants, reporting, and controls, then keep testing actual results against the plan for the life of the loan.
