An acquired AI product keeps working only when its entire operating chain remains legally usable, technically accessible, supportable and replaceable after closing. Ownership of the target company does not automatically transfer access to third-party models, APIs, cloud accounts, data, integrations, licenses or specialist staff.
Assess continuity by mapping every dependency, checking post-close rights, measuring provider lock-in, reviewing security and provenance evidence, and testing the build, deployment, support and migration plan. The result should be an evidence-backed transition decision, not an assumption that the existing service will simply continue.
Define what “keep working” means
Continuity is more than keeping a web page online. Define the service obligations the buyer must preserve, then test whether the acquired product can meet them after the transaction.

- Availability: production service, authentication, queues, storage, monitoring and support remain operational.
- Quality: latency, accuracy, refusal behavior, cost and customer-visible outputs remain acceptable.
- Compliance: data-use permissions, geographic restrictions, retention rules and customer commitments remain valid.
- Supportability: the post-close team can build, test, deploy, patch, investigate incidents and recover service.
- Replaceability: a practical route exists if a provider, model, license, account or key employee becomes unavailable.
No general statistic establishes the probability that an acquired AI product will continue operating. A defensible conclusion must instead identify the specific dependencies, rights and evidence for the product and transaction under review.

Map the product’s complete operating chain
Start with a dependency map that follows a request from the customer interface to the final response and back through logging, billing and support. AI supply chains involve more parties than the original model developer. Downstream application developers, hosting platforms, adapters, deployers, distribution channels and evaluators can each control a material part of the service.
Inventory every layer
| Layer | What to record | Continuity question |
|---|---|---|
| Application | Source code, services, workers, feature flags, secrets and deployment configuration | Can the post-close team build and release the application? |
| Model and model host | Model name and version, provider, endpoint, weights, fine-tunes, system prompts and evaluation assets | Does the buyer have a durable right to use, modify or replace the model? |
| Serving and API layer | Gateway, rate limits, authentication, SDK versions, quotas and provider-specific features | Can traffic be moved to another endpoint without rewriting critical behavior? |
| Cloud and compute | Accounts, regions, reserved capacity, orchestration, storage, networking and committed spend | Who controls the accounts and what happens to them at closing? |
| Data | Training, fine-tuning, retrieval, evaluation, telemetry and customer data; location and retention | Can data be lawfully retained, exported and reused after termination? |
| Adapters and retrieval | Embeddings, vector indexes, prompt templates, connectors, ranking code and transformation jobs | Are formats documented and portable to another model or host? |
| Open-source and commercial components | Packages, licenses, notices, support status and known vulnerabilities | Do licenses permit continued distribution, modification and sublicensing? |
| Identity and integrations | Single sign-on, payment, CRM, data feeds, webhooks and customer-specific connectors | Will credentials, contracts and integration endpoints survive the ownership change? |
| Operations | Monitoring, on-call rota, incident procedures, backups, recovery objectives and vendor contacts | Who performs each task on the first day after closing? |
Assign control and criticality
For each element, record its function, legal owner, technical controller, contract holder, hosting location, version, renewal date, operational criticality and replacement candidates. Distinguish a dependency owned by the target from one supplied through a parent company, customer account, reseller or individual employee. A product can appear self-contained while its production credentials or model access belong to another entity.
Mark dependencies as indispensable, important or convenient. An indispensable dependency has no demonstrated substitute and would stop a material customer workflow if withdrawn. This classification determines where to demand transition rights, escrow, migration testing or a closing condition.
Verify legal and commercial continuity
Read the executed contracts and license texts, not summaries in a data room. Confirm that the entity operating the product after closing receives the rights it needs and that those rights survive the transaction, renewal cycle and any provider change.
Clauses to examine
- Assignment and change of control: determine whether an acquisition requires consent, triggers termination or limits transfer to an affiliate.
- Term, renewal and termination: note expiry dates, convenience termination, suspension for usage or payment, cure periods and post-termination wind-down.
- Service and usage limits: capture quotas, rate limits, reserved capacity, model deprecation policies and rights to change prices or functionality.
- Model and API access: identify the exact models, versions, endpoints, regions and account permissions included; check whether access is revocable or tied to named users.
- Data rights: establish who owns prompts, outputs, customer records, fine-tuning material, telemetry and evaluation data; check provider training rights, retention and deletion duties.
- Intellectual property and derivatives: determine rights to modify, fine-tune, reproduce, distribute, sublicense and create replacement components.
- Geographic and regulatory limits: record where data and inference may occur and whether a new operating entity changes those restrictions.
- Maintenance and support: identify response commitments, patch duties, service credits, escalation paths and support after termination.
- Transition assistance: look for export formats, migration support, escrow, source or build access, documentation delivery and continued service during a handover.
Use a rights matrix
| Right or asset | Evidence to request | Failure consequence |
|---|---|---|
| Application source and history | Repository ownership, contributor agreements, build scripts and release records | Inability to patch or redeploy the product |
| Model use | Provider order form, API terms, model-specific permissions and account ownership | Inference stops or behavior changes after consent is withheld |
| Weights and fine-tunes | Storage location, license, export procedure and checksum/version records | No independent hosting or reproducible replacement |
| Training and customer data | Data-processing terms, consent records, deletion/export procedures and retention schedule | Unlawful reuse, loss of tuning assets or customer breach |
| Cloud resources | Account list, billing commitment, reserved capacity and transfer terms | Capacity loss, unexpected cost or account lockout |
| Third-party integrations | Contracts, credentials, renewal dates and administrator ownership | Broken workflows and authentication failures |
| Support and know-how | Staff assignments, runbooks, service agreements and handover obligations | Slow incident response and undocumented operational failure |
Apply federal lifecycle guidance carefully
DFARS 227.7203-2 is U.S. federal acquisition guidance, not a general private-sector rule. It is nevertheless a useful checklist for questions about rights needed to reproduce or build software, test and evaluate it, integrate and deploy it, and sustain it over its life. It also points to alternatives such as access agreements, contractor maintenance, licensing mechanisms and escrow. In a private transaction, use those concepts as diligence prompts and have counsel determine which terms apply.

Measure external dependency and lock-in
For every indispensable provider, document contract duration, renewal and termination conditions, committed spend, technical coupling, portability of prompts and configuration, availability of data or weights, migration time, expected performance change and tested substitutes.
Separate contractual and technical lock-in
- Contractual lock-in: minimum spend, exclusivity, consent rights, long notice periods, termination fees or restrictions on using competitors.
- Technical lock-in: proprietary tool calls, undocumented APIs, provider-specific safety layers, custom accelerators, incompatible embedding dimensions or a data format that cannot be exported.
- Operational lock-in: scarce engineers, provider-controlled credentials, undocumented runbooks or customer commitments that leave no migration window.
- Economic lock-in: reserved capacity, committed cloud spend, retraining cost, duplicated testing and temporary parallel operation during a move.
The U.S. Federal Trade Commission’s January 2025 staff report examined selected partnerships between large cloud providers and AI developers. It described cloud-spend commitments, access to computing resources and technical information, exclusivity or control concerns, and possible contractual and technical switching costs. The report covered particular partnerships and information available through January 2025; it is not evidence that every AI product has those constraints.
FTC Chair Lina M. Khan summarized the concern this way: “The FTC’s report sheds light on how partnerships by big tech firms can create lock-in, deprive start-ups of key AI inputs, and reveal sensitive information that can undermine fair competition.” Treat that statement as context for dependency and bargaining risk, not as a prediction about the acquired product.
Ask whether the model is actually portable
Access exists on a spectrum. A service reachable only through a provider API is different from downloadable model weights that can be hosted elsewhere. Determine which situation applies, whether the weights are legally redistributable, and what infrastructure, licenses and specialist skills would be required to run them. Even downloadable weights may not reproduce the original product if proprietary system prompts, retrieval data, safety filters, tools or evaluation sets are missing.
Review provenance, security and resilience
NIST’s final SP 1326, published July 8, 2026, places supplier and product due diligence around provenance, resilience, foundational cybersecurity practices, supply-chain tiers and foreign ownership, control or influence. NIST’s supply-chain risk guidance treats risk as lifecycle-wide rather than a one-time vendor check.

Evidence to request
- Architecture diagrams and current dependency inventories.
- Software bills of materials where available, package lock files and component version history.
- Model cards, training-data descriptions, provenance records and fine-tuning lineage.
- Vulnerability scans, patch records, penetration-test summaries and incident history.
- Identity and access-control configuration, key rotation records and privileged-account inventory.
- Backup schedules, restore tests, recovery objectives and documented outage exercises.
- Supplier security attestations, subprocessor lists, breach notices and support escalation contacts.
- Records identifying foreign ownership, control or influence that could affect access, continuity or disclosure obligations.
Test specific failure scenarios
| Scenario | Questions | Evidence of readiness |
|---|---|---|
| Provider outage | Can traffic fail over, queue safely or degrade to a defined mode? | Recent failover or outage exercise with measured recovery time |
| Contract termination | Can data, configuration and required artifacts be exported before access ends? | Completed export, validated format and documented deletion process |
| Model deprecation | What replacement model is approved, and what quality or safety changes occur? | Evaluation results on representative workloads and rollback plan |
| Compromised component | Can the component be isolated, revoked and replaced without losing evidence? | Signed builds, dependency records, key revocation and incident runbook |
| Cloud-account loss | Who owns infrastructure credentials and how quickly can another environment be created? | Infrastructure-as-code, independent backups and tested account recovery |
| Key staff departure | Are build, deployment and support tasks documented and cross-trained? | Runbooks, access map, handover records and a staffed on-call plan |
NIST identifies supply-chain threats including tampering, theft, malicious software or hardware and weak development practices. Review the provenance and supportability of important components, not merely the target’s product description.
Validate build, deployment and support operations
A written contingency is an assumption until the team demonstrates it. Confirm that the post-close operating group can perform the full lifecycle: build, test, integrate, deploy, monitor, maintain and recover.
- Reproduce a build: check out a clean revision, resolve dependencies from approved sources and produce the same deployable artifacts or document justified differences.
- Deploy to a non-production environment: use newly issued credentials and the documented infrastructure process rather than an incumbent employee’s personal access.
- Run representative evaluations: test quality, latency, cost, refusal behavior, tool calls, retrieval and safety controls against the product’s acceptance criteria.
- Export and restore data: move customer, configuration, index and evaluation data through the documented process, then verify integrity and permissions.
- Exercise an incident: rotate a key, isolate a dependency, open an escalation and restore service while recording elapsed time and missing information.
- Rehearse a transition: route a controlled workload to the proposed substitute model, host or integration; measure customer impact, defects, cost and staff effort.
- Record unresolved gaps: assign an owner, deadline, contractual remedy and stop/go decision for every failed or incomplete test.
Confirm the people and accounts
List every production credential, cloud subscription, model account, domain, certificate, support portal and billing relationship. Verify that each can be transferred or recreated by the post-close entity. Identify staff who understand release engineering, model evaluation, data pipelines, security response and customer-specific integrations; obtain documented handover commitments where continuity depends on them.
Compare continuity options explicitly
Most deals leave three broad choices: retain the existing stack, negotiate stronger rights and transition support, or replace a provider or component. Compare them on the same axes rather than choosing on headline price.
| Axis | Retain existing stack | Negotiate stronger rights | Replace a component |
|---|---|---|---|
| Rights | Uses current permissions; exposed to any assignment or renewal gap | Can secure assignment, export, modification, sublicensing and transition terms | Requires a new license and proof that rights cover the replacement use |
| Portability | Usually lowest immediate effort but may preserve proprietary coupling | Improves access to data, configuration, weights or interfaces if the provider agrees | Depends on export quality, standards and compatibility of the substitute |
| Operational feasibility | Least immediate disruption | Requires negotiation, implementation and sometimes parallel operation | Requires engineering, testing, retraining, migration and customer communication |
| Service and quality | Best evidence of current behavior | Current behavior can continue with clearer remedies | Latency, capability, safety controls and outputs may change |
| Resilience and security | Single-provider exposure may remain | Contractual remedies improve, but provider concentration may persist | Can reduce concentration, but introduces migration and new-supplier risk |
| Economics | May include committed spend and renewal increases | May add fees, minimums or negotiation delay | Includes engineering, duplicated infrastructure, testing and ongoing maintenance |
Include access to compute and engineering talent, switching costs, maintenance burden and customer disruption in the total lifecycle comparison. A cheaper inference rate does not make a replacement economical if revalidation, retraining or contractual remediation is substantial.

Questions for management and providers
- Which third-party models, APIs, clouds, data sources and integrations are indispensable today?
- Which dependencies are contracted by the target, and which are supplied through another group company, reseller or customer account?
- What happens at closing under assignment, change-of-control, renewal and termination clauses?
- Can the product operate on another model or host? What has actually been tested, with what quality, latency, cost and safety result?
- Who owns or controls training, fine-tuning, evaluation and customer data, and what use or export rights survive termination?
- Are source code, build instructions, deployment artifacts, configuration and dependency versions available to the operating team?
- What security, resilience, incident and support evidence exists for important suppliers and components?
- Which staff, credentials, contracts and support commitments are required to maintain service after closing?
- What is the fallback, how long and how much will transition take, and which test evidence demonstrates that it works?
Write an evidence-based continuity decision
Present the conclusion in a dependency register rather than a single confidence label. For each indispensable item, state the current controller, post-close right, technical portability, operational owner, failure consequence, tested fallback, estimated transition effort and unresolved action.
- Ready: rights are confirmed, access is controlled by the operating entity, lifecycle tasks have been demonstrated and a recovery path is tested.
- Conditional: service can continue, but a consent, contract amendment, export, staffing commitment or migration test remains outstanding.
- At risk: a material dependency lacks durable rights, independent access, support evidence or a credible substitute.
- Not supportable: the product cannot be legally operated, technically reproduced or maintained under the proposed post-close structure.
Make conditions precise: name the counterparty, clause, artifact or test that must be completed; assign an owner and deadline; and specify whether the issue requires a closing condition, price adjustment, escrow, transition service or acceptance of residual risk.
Common mistakes that produce false confidence
Relying on company ownership
Buying the company does not buy a provider’s model, cloud account, data license or employee’s personal credentials. Confirm control separately for every link in the chain.
Checking only the API contract
An API agreement may permit calls while leaving data retention, fine-tuning, export, model deprecation, regional processing or post-termination access unresolved.
Do these 3 things before closing this tab:
1Fix the driver behind crashes, sound loss and screen glitches2Clear out junk files and repair common Windows errors3Scan for outdated or missing drivers - takes under a minuteAssuming an open-source component is unrestricted
Open-source availability does not remove obligations around license compatibility, notices, source disclosure, model weights, training data or commercial support.

Accepting a paper fallback
“We can switch providers” is not evidence. A fallback needs a compatible data path, evaluated behavior, staffing, infrastructure, budget and a measured transition exercise.
Ignoring non-model dependencies
Authentication, retrieval indexes, payment systems, customer connectors, monitoring and deployment credentials can stop an AI product even when the model itself remains available.
Generalizing a study beyond its scope
The FTC report concerns selected partnerships, and DFARS guidance concerns U.S. federal acquisition. Use both for relevant questions, not as universal findings or private-sector legal conclusions. NIST AI 800-1 is a second public draft from January 2025, so distinguish its supply-chain concepts from final requirements.

Bottom line
An acquired AI product is likely to remain serviceable only when the buyer can demonstrate four things: every critical dependency is mapped; post-close rights and accounts are secure; the product can be built, deployed, supported and recovered by the new operating team; and a tested, funded migration exists for any provider or component that can withdraw. If any one of those is unproven, continuity is a negotiated risk rather than an established fact.
