You cannot calculate GST safely from a deal price alone. First identify the country and transaction date, then map every supply, test registration and place-of-supply rules, classify each component, model the buyer’s input-tax recovery separately, and document the result in the contract. GST is jurisdiction-specific: the rates, registration thresholds, taxable-supply definitions, concessions and credit rules in Australia are not universal. The Australian rules below are a worked example; substitute the law of the country and, where relevant, the state or province governing your transaction.
Why the transaction title is not enough
A proposed “business sale” may contain several legal supplies rather than one. Inventory, equipment, real property, intellectual property, staff arrangements, licences, services, debt assumptions and non-compete rights can each have different GST treatment. A contract calling the deal an asset sale, share sale or going concern does not determine the tax result by itself.
GST analysis also has two sides. The supplier may have to charge and report output tax, while the purchaser may or may not be entitled to recover that amount as an input-tax credit. Those tests use different facts. A buyer’s private use, exempt or input-taxed activities, registration status and documentary evidence can reduce or eliminate recovery even when the seller correctly accounts for GST.
At minimum, obtain the following before signing:
- the governing country and any relevant state or province;
- the transaction and settlement dates;
- the identity and role of each supplier, buyer, intermediary or platform;
- each asset, service, right, liability, obligation or other component transferred;
- the price, deposits, non-cash consideration, earn-outs and assumed liabilities;
- where goods are located, delivered or used, and where services are performed and received;
- each party’s GST registration, turnover and non-resident status;
- the buyer’s intended business, private, taxable, GST-free or input-taxed use; and
- draft clauses on GST, going-concern treatment, invoicing, price allocation, adjustments and what happens if the intended treatment fails.
Without these facts, no reliable liability, rate or credit entitlement can be determined.

A repeatable assessment sequence
- Choose the governing law and date. Confirm the country first. For cross-border supplies, identify the jurisdiction’s import, export, reverse-charge and place-of-supply rules. A transaction can have different consequences depending on where goods are delivered, where services are used and whether an intermediary is treated as the supplier.
- Map what is actually supplied. List each thing provided by each party: goods, services, property, rights, licences, digital products, assumption or release of obligations, and any bundled elements. Analyze substance rather than relying on labels in the term sheet.
- Classify each supply. Determine whether each item is taxable, GST-free, input taxed, outside the system or subject to a special concession in the governing jurisdiction. A mixed transaction may need an allocation rather than one rate applied to the whole price.
- Check registration and collection duties. Establish whether every relevant supplier is registered or required to register, whether a turnover threshold has been exceeded, and whether a special rule applies to non-residents or the industry. A buyer’s registration status must also be checked for any credit or concession that requires it.
- Determine place and rate. Apply the place-of-supply rules to each component, then identify the rate and any adjustment for imports, exports, provincial or state taxes, or special categories. A headline national rate is not a substitute for this analysis.
- Test the purchaser’s recovery separately. Ask whether the buyer acquired the item for a creditable or commercial purpose, received a taxable supply, provided consideration and satisfied the jurisdiction’s registration and evidence requirements. Apportion mixed business and private use.
- Test transaction-specific treatments. If the parties propose a going-concern concession or another relief, verify every substantive and formal condition. A sentence in the contract cannot cure missing operational facts.
- Quantify, document and negotiate. Calculate tax by component, model the buyer’s recoverable amount and timing, preserve the supporting facts and source versions, and allocate contractual risk if the intended treatment is later denied.
Australia: worked framework
Australia is a useful illustration, not a global template. The governing statute is A New Tax System (Goods and Services Tax) Act 1999, with the surfaced version dated 15 February 2025. Section 9-5 states:
“You make a taxable supply if: (a) you make the supply for consideration; and (b) the supply is made in the course or furtherance of an enterprise that you carry on; and (c) the supply is connected with the indirect tax zone; and (d) you are registered, or required to be registered.”
The same provision excludes a supply to the extent it is GST-free or input taxed. Therefore, do not stop after finding a price and an Australian seller; all statutory elements and exclusions must be tested for every component.
Registration thresholds and timing
Australian Government guidance states that GST is generally compulsory when an enterprise’s GST turnover reaches A$75,000. The guidance gives a 21-day period to register after becoming aware that turnover will exceed the threshold. Exceptions include taxi or limousine travel and different rules for non-profit organisations; the stated non-profit threshold is A$150,000. Confirm the current rule, turnover calculation and any non-resident or industry exception at the time of the transaction.
Registration is not merely a pricing issue. It affects whether the supplier can account for output tax and whether the purchaser can satisfy registration-related conditions for input-tax credits or a going-concern treatment. Record the registration numbers, effective dates and evidence that a party is required to be registered if it is not yet registered.

Rate and place of supply
Australian Government guidance describes GST as 10% on most goods, services and other items sold or consumed in Australia. That percentage applies only after the supply is found to be taxable and connected with Australia. Imports, exports, real property, digital services, vouchers, financial supplies and other categories can require separate rules. Identify the connection with Australia and any cross-border mechanism before multiplying a price by 10%.
Input-tax recovery is a separate calculation
Do not equate the seller’s GST invoice with the buyer’s final cost. Under the Australian Act, a creditable acquisition generally requires that the buyer acquire the thing for a creditable purpose, receive a taxable supply, provide consideration and be registered or required to be registered. The buyer must also hold the evidence required for the claim and account for any later adjustment.
“Creditable purpose” is fact-dependent. Inputs used to make taxable or GST-free supplies may support recovery, while private use and activities making input-taxed supplies can restrict it. A business acquiring a building, vehicle, software licence or professional service for mixed purposes should apportion the credit and retain the method used. Revisit the apportionment if intended use changes.
Canada’s input-tax-credit guidance follows the same broad principle that eligible purchases must be used in commercial activities, but the detailed tests and records are Canadian rules, not Australian ones. Singapore likewise publishes its own conditions for claiming input tax. Never import an Australian recovery conclusion into another jurisdiction.
Going-concern treatment in an Australian business sale
A sale of an operating enterprise may qualify as a GST-free supply of a going concern, but the label is not enough. Australian Taxation Office ruling GSTR 2002/5 sets out the relevant framework and should be checked in its current consolidation and applicability.

- the recipient is registered or required to be registered;
- the parties agree in writing that the supply is the supply of a going concern;
- the supplier provides everything necessary for the continued operation of the enterprise; and
- the supplier carries on the enterprise until the day of the supply.
“Everything necessary” depends on the enterprise. It can involve premises, equipment, contracts, trading stock, intellectual property, licences, systems, records, staff arrangements or access to critical resources. A seller that closes the operation well before completion, withholds an essential licence or transfers only isolated assets may fail the substantive test even if the contract contains the required words.
Analyze continuity in operational terms: what enterprise existed, which elements made it capable of operating, what is transferred, and whether the buyer can conduct that enterprise after settlement. Keep evidence such as leases, permits, customer and supplier contracts, operating procedures, employee arrangements and handover plans. If any condition is uncertain, negotiate who bears the GST, interest, penalties and adviser costs if the concession fails.
Comparing possible transaction structures
Different structures change what is supplied, who accounts for tax and what evidence the buyer needs. The table is a decision framework, not a conclusion about a particular deal.
| Structure | What to identify | GST questions | Contract and evidence focus |
|---|---|---|---|
| Asset sale | Each item of inventory, equipment, property, licence, goodwill, service and liability assumption | Is each component taxable, GST-free, input taxed or outside scope? What rate and place rule applies? | Allocate consideration by component; specify whether prices are GST-inclusive or exclusive; retain valuations and invoices. |
| Share or equity sale | The legal interest transferred and any separate services, assets or rights supplied alongside it | Is the equity interest treated differently from an underlying asset transfer in the governing jurisdiction? Are advisory, transition or management services separate supplies? | Separate the equity transfer from ancillary supplies; define responsibility for historical and post-completion tax. |
| Transfer of a continuing enterprise | The operating enterprise, everything necessary to run it, and continuity through completion | Do all statutory going-concern conditions apply, including consideration, recipient registration, written agreement and operation until supply? | Describe transferred operating elements; include fallback GST and indemnity mechanics if the concession is denied. |
| Several separately supplied components | Each supplier, recipient, item, service, location and consideration stream | Could different rates, exemptions, reverse-charge rules or recovery limits apply to different components? | Use a defensible allocation, component invoices and adjustment procedures when facts or use change. |
For every structure, compare the same seven questions: what is supplied and by whom; whether each party meets registration tests; where the supply is connected and what rate applies; whether a GST-free, input-taxed or other treatment is available; when the buyer can recover tax; who bears the risk if treatment is disputed; and what reporting and documentary duties follow.

Canada illustrates why location matters
Canadian GST/HST demonstrates the danger of using one national percentage. The Canada Revenue Agency’s April 2026 place-of-supply overview lists 5% in non-participating provinces, 13% in Ontario, 14% in Nova Scotia for supplies on or after 1 April 2025, and 15% in the other participating provinces. The applicable result depends on the place-of-supply rule and the type of supply, not simply the seller’s address.
For a Canadian transaction, determine where goods are delivered or made available, where services are performed or received, and whether a provincial part of HST applies. Then test registration, collection, input-tax-credit eligibility and documentary requirements under Canadian law. These rates are Canadian comparisons only; they do not alter Australia’s 10% framework or establish a global GST rate.

Build a component schedule
Create one row for every supply. Record the supplier, recipient, description, consideration, currency, location, proposed classification, rate, output tax, buyer recovery percentage, recovery timing and evidence required. Do not combine items merely because they appear on one invoice.
Use an explicit formula
For an illustrative Australian taxable component priced at A$500,000 exclusive of GST, 10% GST would be A$50,000 and the tax-inclusive amount would be A$550,000. This is arithmetic for a hypothetical taxable supply, not a finding that any unnamed transaction is taxable. If the quoted A$500,000 is GST-inclusive, the GST embedded in the amount is calculated differently; the contract must state which basis applies.

Model recovery and cash timing
Show the seller’s output-tax obligation and the buyer’s expected credit on separate lines. A buyer may pay GST at settlement but claim a credit only after meeting registration, invoice, return-period and use requirements. Include deposits, staged consideration, retention amounts, imported goods, adjustments and any change from business to private use. Cash-flow timing can matter even where the eventual net tax is expected to be neutral.

Contract clauses that prevent avoidable disputes
- Price basis: state whether each amount is GST-inclusive or exclusive and how tax is added to non-cash consideration.
- Classification: identify the intended treatment for each component without pretending that a label overrides the law.
- Going-concern wording: include the written agreement required for the proposed Australian treatment, while listing the operational elements being transferred.
- Fallback payment: specify when the buyer must pay GST if a concession or exemption is denied and whether the seller must issue a compliant tax invoice.
- Risk allocation: address interest, penalties, assessments, professional fees and cooperation with an authority review.
- Adjustments: provide a process for changed consideration, cancelled supplies, bad debts, revised use, settlement adjustments and post-completion assessments.
- Evidence and access: require delivery of registration evidence, invoices, valuations, permits, contracts, operating records and information needed for the buyer’s credit claim.
- Timing: align invoicing, payment, possession, transfer of control and the tax period in which each party reports the supply.
Common failure modes and fixes
Applying a familiar rate before classifying the supply
Failure: multiplying the headline price by 10% in Australia or using a national Canadian rate. Fix: establish jurisdiction, connection, classification and place-of-supply treatment first.
Treating the contract label as decisive
Failure: inserting “going concern” and assuming the sale is GST-free. Fix: document the enterprise, everything necessary for operation, continuity through the supply and the recipient’s registration.
Assuming the buyer automatically gets the GST back
Failure: budgeting on full recovery without checking use or evidence. Fix: test creditable or commercial purpose, taxable and input-taxed activities, registration, invoice requirements and apportionment.
Ignoring mixed supplies
Failure: applying one treatment to a bundle containing property, stock, rights and services. Fix: map and price each component, then apply the jurisdiction’s bundling and allocation rules.
Using stale registration information
Failure: relying on an old turnover figure or assuming a non-resident has no collection duty. Fix: verify status, effective dates, turnover and special rules immediately before signing and settlement.
Leaving failure risk unallocated
Failure: the parties disagree after an authority denies the intended concession. Fix: set the GST-inclusive/exclusive mechanics, fallback invoice, payment deadline and indemnities in the executed agreement.
Document and review checklist
- Write the governing country, state or province and transaction date on the first page of the tax memorandum.
- Attach a supply map showing every item, supplier, recipient, location and consideration stream.
- Record registration numbers, turnover evidence and any non-resident or industry analysis.
- Document the place-of-supply conclusion for goods, services, property and rights.
- For each component, record taxable, GST-free, input-taxed or other treatment and the legal basis.
- Prepare separate output-tax and buyer-recovery calculations, including mixed-use apportionment.
- For a proposed going concern, list the enterprise assets and capabilities transferred and prove operation through the supply date.
- Check invoice, reporting, adjustment and record-retention obligations for the relevant tax periods.
- Insert price, fallback, risk-allocation and cooperation clauses into the contract and confirm that they match the calculations.
- Have a qualified adviser review a material asset or business sale, cross-border arrangement, unusual supply, mixed-use acquisition or concession-dependent structure before execution.
When specialist advice is necessary
Official guidance can establish the framework but cannot decide facts missing from a proposed agreement. Obtain jurisdiction-specific advice when the transaction is material, crosses a border, includes real property or financial supplies, relies on going-concern treatment, combines business and private use, involves a non-resident or intermediary, or would create a significant cash-flow or penalty exposure. Give the adviser the draft contract, supply map, registration evidence, operational records and calculations so the review addresses the deal that will actually close.
Do these 3 things before closing this tab:
1Repair Windows errors before they cause bigger problems2Scan for outdated or missing drivers - takes under a minute3Clear out junk files and repair common Windows errorsBottom line for signing decisions
Assess GST in this order: jurisdiction and date; legal supplies; registration; place and rate; exemptions or concessions; buyer recovery; then contract mechanics and records. Australia’s 10% rate, A$75,000 registration threshold, 21-day registration period and going-concern conditions are useful worked-example facts, not universal rules. A defensible signing decision is one that shows the tax result for each component, explains the buyer’s recovery separately and states who pays if the intended treatment does not survive review.
