A pause on new signings is a warning signal, not proof that work already contracted has been cancelled, breached, or put into default. First establish exactly what the partner has paused, which commitments are signed, and what the operative agreements require. Then test the effects on funding, schedule, delivery interfaces, service continuity, and replacement options.

The assessment should be document-led and project-specific. Review the project agreement, financing documents, direct agreements, construction and supply contracts, and important subcontracts as one connected system. The detailed PFI process described by the UK’s National Infrastructure and Service Transformation Authority (NISTA) is a useful structure for English PFI projects; World Bank guidance provides broader PPP principles. Neither determines the legal result for a different country, sector, or contract.

What a signing pause does—and does not—tell you

A strategic partner can stop accepting new contracts while continuing to perform existing obligations. The announcement may cover only a business unit, geography, product line, or future phase. It may be temporary, subject to exceptions, or unrelated to the financial condition of a particular project. Conversely, a pause can become material if it delays purchase orders, design approvals, financing, staffing, approvals, or other obligations on which an existing project depends.

Do not infer cancellation, insolvency, force majeure, repudiation, or default from the announcement alone. Determine what the partner has actually said or done and apply the executed documents and governing law. A legal conclusion remains unresolved until those documents, notices, facts, and applicable law have been reviewed.

1. Define the pause and its affected perimeter

Create a dated fact record before debating solutions. Preserve the partner’s announcement, emails, notices, investor statements, meeting minutes, and any follow-up clarification. Record:

  • the exact wording, date, issuing entity, and stated reason;
  • whether the pause concerns all new contracts or only a region, business unit, customer type, asset class, or contract value;
  • the expected duration, review date, exceptions, and conditions for resuming signings;
  • any change in staffing, procurement, credit support, insurance, warranties, or technical support; and
  • what the partner has done on each existing project since the announcement.

Separate the portfolio into signed and unsigned commitments. Mark project agreements, change orders, options, framework call-offs, letters of intent, proposals, term sheets, future phases, and capacity reservations separately. A signed agreement with conditions precedent is not equivalent to an executed and funded work order; an unsigned proposal is not an enforceable commitment merely because it appears in a forecast.

For every current project, identify whether the partner is responsible for financing, equity, design, equipment, materials, specialist labour, permits, approvals, operations, maintenance, data, intellectual property, or market access. This establishes the perimeter for the next review and prevents a general corporate announcement from being treated as a project-specific event.

2. Map every contract and financing interface

Build a one-page relationship map showing the owner or public authority, project company or SPV, paused partner, equity sponsors, lenders, construction contractor, major suppliers, operators, insurers, and key subcontractors. Then create an obligation matrix for each agreement.

Document or interface Questions to answer Evidence to collect
Project agreement or concession What constitutes default, delay, force majeure, failure to achieve a milestone, or service failure? What are the notice, cure, suspension, termination, compensation, and long-stop provisions? Executed agreement, amendments, schedules, notices, performance data
Financing and security documents Do reporting, cash-sweep, covenant, draw-stop, reserve, or default provisions react to the pause or a forecast breach? Are repayment obligations still due during force majeure or change in law? Facility agreement, hedging documents, security package, lender consents
Direct agreements Can lenders receive notice, cure a default, step in, replace a contractor, or novate the project? What election periods and conditions apply? Direct agreement, notice addresses, step-in and novation schedules
Construction contract Are design releases, payment milestones, suspension, delay damages, extensions of time, bonds, guarantees, ownership of materials, and termination rights affected? Contract, programme, payment certificate, bond and guarantee instruments
Supply and equipment commitments Can orders be cancelled, deferred, or assigned? What happens to deposits, price validity, warranties, spare parts, and long-lead items? Purchase orders, quotations, manufacturing schedules, title and warranty terms
Subcontracts and service agreements Can staff, data, software, designs, records, and subcontracts transfer to a replacement? Are there consent, confidentiality, licence, or termination barriers? Subcontracts, IP licences, data clauses, assignment and novation provisions

Check the same event across documents. A project agreement may allow a cure period while a loan agreement treats the same missed milestone as a covenant issue. A construction contract may permit suspension for non-payment but impose standby cost. A lender direct agreement may give a cure or step-in opportunity that is unavailable to the owner. The World Bank’s Risk Allocation guidance notes that loan repayment obligations generally continue during force majeure or change in law and that lenders seek alignment across project documents.

Use the World Bank Construction Contracts Checklist to prompt review of prolonged delay, force-majeure termination, suspension rights and cost, performance bonds and parent guarantees, payment milestones, insurance, ownership of work and materials, subcontractor transfer, and lender direct agreements. It is a checklist, not a substitute for legal advice on the actual instruments.

3. Reforecast funding instead of assuming support

Update the financial model against actual cash and contractual obligations. Reconcile the model to cash on hand, committed facilities, draw conditions, reserve accounts, debt-service dates, contractual payments, forecast receipts, remaining contingency, and unbilled work. Separate money that is legally committed from hoped-for shareholder, lender, customer, or parent support.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

NISTA describes PFI project companies as commonly limited recourse. In the PFI structures covered by its guidance, typical funding is approximately 10% to 15% shareholder funding and 85% to 90% senior debt; these are characteristic ratios, not universal project-finance requirements. The project company may have no automatic access to additional money if problems arise. NISTA’s Part 2: Project company financial stress guidance says financial models are central to PFI projects and should be updated when variations, refinancing, or termination affect the economics.

Run at least three clearly labelled cases:

  1. Short pause and catch-up: the partner resumes within the stated review period and the critical path can be recovered with limited resequencing.
  2. Extended delay: procurement slots, prices, labour, permits, or financing conditions deteriorate while the project remains viable.
  3. Non-performance and replacement: the partner does not deliver, a replacement is procured, and transition, consent, and commissioning costs are incurred.

Include delay-related interest and financing fees, contractor standby and remobilisation, price escalation, expired quotations, payment deductions, lost revenue or service payments, additional testing, termination payments, replacement procurement, legal costs, and any reserve-account draw. Show the month in which cash headroom, debt-service coverage, covenant headroom, or contingency becomes inadequate. Do not count a shareholder injection, parent guarantee, or lender waiver unless it is committed or contractually required.

NISTA’s warning is direct: “Although project company insolvency is rare, contracting authorities should monitor the financial performance of their counterparties, especially when projects are distressed.” The statement appears in the updated 11 August 2026 Part 2 guidance. Monitoring is useful before a formal default because the available options narrow as cash and time run out.

4. Convert the pause into schedule and delivery exposure

Start with the approved integrated schedule, not a new optimistic date. Mark every dependency on the partner and identify the latest date by which a decision, approval, order, design release, mobilisation, or payment can occur without moving the critical path.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • Design reviews, interface data, technical approvals, and release-for-construction packages
  • Long-lead equipment, materials, factory slots, shipping, and site delivery
  • Land access, permits, utility coordination, grid or network approvals, and environmental conditions
  • Construction mobilisation, specialist labour, testing, commissioning, and training
  • Service commencement, performance tests, handover documents, spare parts, and maintenance capability

For each dependency, record baseline date, current forecast, available float, responsible party, and the consequence of missing the decision date. Quantify exposure to liquidated damages or other delay remedies, milestone-payment deferral, inflation, idle labour and equipment, rework, remobilisation, and loss of a supplier’s price or production slot.

Ask whether work can be safely phased or resequenced. A partial scope is useful only if it produces a safe, maintainable, commissionable asset and does not strand completed work. Document any new interface risk created by resequencing, including duplicate mobilisation, temporary works, warranty gaps, or incompatible equipment.

5. Test continuity and replacement options early

List the functions that must continue regardless of the partner’s commercial decision: safety systems, control rooms, network or utility operations, security, monitoring, emergency response, maintenance, data handling, and statutory reporting. For each function, identify what would happen if the partner stopped tomorrow and what minimum capability is required to keep the service operating.

Continuity question What to establish
Substitute availability Which suppliers or operators can perform the work, and do they have capacity, licences, equipment, security clearances, and relevant experience?
Transition time How long are qualification, tendering, approvals, manufacturing, mobilisation, testing, and handover likely to take?
Information and rights Can designs, source data, software, records, warranties, tooling, materials, and subcontract rights be transferred or licensed?
Consents Are owner, lender, regulator, insurer, authority, or counterparty consents needed for assignment, novation, substitution, or a change in control?
Funding Which reserve, facility, insurance recovery, termination payment, or budget can fund the transition, and when is cash available?
Operational risk What safety case, testing, cyber, quality, environmental, or reliability evidence must be recreated before the substitute takes over?

Review direct agreements immediately. A lender may have notice, cure, step-in, or novation rights, but the conditions and election periods are contract-specific. NISTA’s Part 4 guidance on contract termination and Direct Agreements explains why lender rights and service continuity need to be considered together. A replacement that looks available commercially may be unusable if the necessary data, intellectual property, permits, warranties, or consents cannot transfer.

6. Compare response options against the same decision criteria

Do not choose termination simply because it is the most visible legal remedy. Compare practical options on a consistent basis:

Option When it may fit Tests and risks
Negotiated standstill or revised signing timetable The partner remains able and willing to perform existing obligations and the pause is expected to be temporary. Obtain written milestones, information rights, funding evidence, protections for delay, and a clear termination or replacement trigger.
Phased or reduced commitment A critical subset can proceed while non-critical scope waits. Confirm the partial scope is safe, financeable, maintainable, and not inconsistent with warranties or performance tests.
Resequence work Other activities have float and can proceed without the partner-dependent interface. Price temporary works, duplicate mobilisation, storage, rework, and the risk that resequencing consumes all float.
Alternative partner or supplier A credible substitute can meet technical, regulatory, security, and schedule requirements. Allow for procurement, qualification, consent, data and IP transfer, warranties, financing, and transition cost.
Lender-supported remediation or step-in Financing documents and direct agreements provide a workable intervention route. Check notice periods, cure conditions, control consequences, lender security, and whether the proposed substitute can actually perform.
Termination The contract permits it and continuing would create unacceptable safety, service, financial, or legal exposure. Assess compensation, asset and service transfer, employee and subcontractor issues, lender rights, replacement cost, litigation, and loss of risk transfer.

Score each option for time to restore the critical path, incremental and recoverable cost, legal feasibility and consents, financing and lender effects, service and safety continuity, effect on risk transfer, and dispute exposure. NISTA identifies control, risk transfer, and financial impact as central dimensions when comparing termination routes. Its guidance also cautions that termination can create serious budget consequences and litigation risk.

NISTA states: “Contract termination carries jeopardy for contracting authorities and should, generally, be a last resort when attempts at constructive resolution have failed.” That sentence comes from the updated 11 August 2026 Part 4 guidance. It is not a universal rule: the contract, governing law, safety position, and evidence may require faster action.

7. Establish triggers, owners, and an evidence trail

Use a live risk register rather than a one-off memo. Each entry should contain:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • project, contract, and affected counterparty;
  • the evidence and date on which the risk was identified;
  • event or trigger, likelihood, impact, and confidence level;
  • time exposure, cost range, funding effect, and dependency;
  • mitigation, contingency, named owner, and next decision date;
  • required notice, consent, escalation route, and decision authority; and
  • leading indicator and the threshold that changes the response.

Useful indicators include a missed partner decision date, an overdue purchase order, a supplier quotation nearing expiry, falling cash headroom, rising service deductions, a missed milestone, covenant-headroom erosion, loss of key staff, inability to obtain insurance or a bond, or a changed public position from the partner.

Set a cadence appropriate to the exposure: weekly during a critical procurement or cash squeeze, otherwise at each project-control meeting and formal reporting date. Request partner updates, financial information, refreshed forecasts, and model revisions only to the extent the contracts permit. NISTA encourages authorities to understand their information rights, ask questions of project companies and service providers, and request models and updates regularly.

What to check in the first 10 working days

  1. Days 1–2: preserve the announcement and correspondence; appoint a project lead, legal lead, finance lead, technical lead, and continuity lead; classify signed, conditional, and unsigned commitments.
  2. Days 2–4: issue a document hold; build the relationship map and obligation matrix; verify notice addresses, cure periods, long-stop dates, bonds, guarantees, and direct-agreement rights.
  3. Days 3–6: update the integrated schedule and critical path; obtain current supplier, contractor, cash, and procurement data; identify the last safe decision date for each partner dependency.
  4. Days 5–8: run the short-pause, extended-delay, and replacement cases; quantify financing, delay, escalation, standby, termination, and transition costs.
  5. Days 7–10: test at least one continuity route; approach potential substitutes only under an approved process; prepare a decision paper comparing negotiated, resequenced, alternative, lender-supported, and termination paths.

Keep legal notices separate from commercial discussions and avoid language that accidentally admits a default, waives a right, or changes the agreed process. Have counsel check the governing law, notice mechanics, privilege, confidentiality, procurement rules, and regulatory duties before sending a formal notice or inviting replacement bids.

How the UK PFI evidence should be used

NISTA reports 527 PFI contracts in England and more than £100 billion in expected future payments under those contracts. The figures are from its UK Government page published 10 March 2025 and updated 11 August 2026: Navigating the risks of PFI project distress. They illustrate the scale of long-term exposure, not the size or legal status of any particular project in another jurisdiction.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

NISTA’s detailed material addresses English PFI contracting authorities, project companies, lenders, and direct agreements. The World Bank pages are general PPP references. Do not import a UK PFI termination process, a typical lender intervention period, limited-recourse assumptions, or a particular compensation result into a different arrangement without checking the executed documents and local law.

Decision test

A pause changes the project’s risk profile when it creates a credible path to missed obligations, inadequate funding, critical-path delay, unsafe or unavailable services, or an unfinanceable replacement. It does not change the legal position merely because a partner has stopped signing new deals. The defensible response is to establish the facts, map the interfaces, stress the cash and schedule, preserve continuity options, and escalate against documented triggers.
