India can be an attractive expansion location, but national investment figures cannot answer whether it fits your company. Make the decision by testing six things in order: product–market fit, access to customers and partners, fully loaded talent economics, city-level operating conditions, the legal route for foreign investment, and tax, data, employment and other compliance exposure. The right conclusion may be an Indian sales operation, an engineering or support hub, a regional center, or no Indian presence yet.

Official data shows a substantial investment and technology context. The Economic Survey 2025–26 reports gross FDI inflows of USD 81.0 billion in FY25, up from USD 71.3 billion in FY24, while equity inflows were USD 51 billion. Those are flows into the whole economy, not a forecast for your company. Your assessment must connect India’s opportunity to your specific customers, activities, hiring plan, budget and risk tolerance.

Start with the expansion model, not the country headline

Before comparing cities or incorporation options, write down what you intend to do in India. A company entering to sell domestically has different requirements from one using India for software engineering, customer support, procurement, research, or a regional headquarters. Combining these models produces misleading cost and regulatory assumptions.

Define the planned activities

  • Identify the products or services that will be sold, delivered or supported from India.
  • Specify whether Indian staff will develop intellectual property, handle customer data, sign contracts, collect revenue, provide support, or only perform internal functions.
  • List the customers you expect: Indian consumers, Indian enterprises, government buyers, multinational customers, or customers in other countries.
  • Set a first-year hiring range, expected capital commitment, revenue target, and maximum acceptable time to launch.
  • Separate a market-entry experiment from a permanent operating center. They require different legal, staffing and investment decisions.

This definition is the input for every later check. It determines which FDI sector description may apply, whether a local entity needs to contract with customers, how tax exposure is analyzed, and which city capabilities matter.

Use national investment data as context, not as a decision

India’s investment record supports investigating the country, but it does not establish demand for a particular product or a return on investment. Keep gross inflows, equity inflows and cumulative sector totals separate.

Measure Reported value Period and qualification
Gross FDI inflows USD 81.0 billion FY25, according to the Government of India’s Economic Survey 2025–26
Gross FDI inflows in the comparison year USD 71.3 billion FY24; the Survey describes FY25 as a 13% increase
FDI equity inflows USD 51 billion FY25; an equity-flow measure, not the same as gross inflows
Computer software and hardware cumulative FDI equity inflows USD 119.74471 billion April 2000 through September 2025; 15.67% of total in the DPIIT sector factsheet
Services cumulative FDI equity inflows USD 123.94152 billion April 2000 through September 2025; 16.22% of total in the DPIIT sector factsheet

The FY25 figures come from the Economic Survey 2025–26. The cumulative sector figures come from the DPIIT Quarterly Fact Sheet. DPIIT’s services category is broad: it includes financial, banking, insurance, non-financial and business services, outsourcing, research and development, courier, and technology testing and analysis. Therefore, the services total is not a software-only figure, and cumulative historical inflow is not a measure of current market size or future returns.

The Economic Survey says approximately 60% of FY25 equity flows went to a group including services and computer software and hardware, as well as trading, non-conventional energy, construction and automobiles. That grouping is useful macroeconomic context, not evidence that your segment will receive the same investment.

Test whether India is a market, a delivery base, or both

Build a customer and revenue hypothesis

  1. Describe the Indian customer segment in operational terms: industry, company size, buyer role, geography and purchasing process.
  2. Estimate the number of qualified prospects you can reach in the first 12 months and the channel cost for reaching them.
  3. Interview prospective buyers and channel partners about the problem, budget, incumbent alternatives, procurement requirements and implementation support.
  4. Model revenue in Indian rupees and your reporting currency. Include payment timing, refunds, local pricing, collections and currency-conversion costs.
  5. Run a small, measurable pilot before committing to a large office or broad hiring plan.

Do not treat a large population or a strong technology reputation as proof of product–market fit. A business selling to Indian customers must validate willingness to pay, procurement friction and localization needs. A business using India as an engineering or support base must instead validate hiring depth, management capacity, delivery quality and retention.

Check distribution and partnerships

Map the route from your company to the end user. Direct enterprise sales may require local account management and contracting. Consumer products may depend on digital acquisition, payments, support and regional language coverage. Channel-led products need partner economics, enablement and conflict rules. For every route, identify who owns the customer relationship, who invoices, where data is processed and who is responsible for service levels.

Determine whether foreign investment is permitted for your exact activity

India’s FDI rules are sector-specific. The Invest India investor guide for 2025–26 illustrates that an activity can have an automatic route up to a threshold and require government approval above it. Its example for telecom services summarizes up to 49% under the automatic route and a government route above that level. This is an example, not a general rule for technology companies.

Have counsel verify the current sector definition, ownership chain, beneficial ownership, route, pricing and reporting requirements before money moves. The classification follows what the Indian operation actually does, not merely the label technology company.

Questions for the FDI review

  • Which sector and sub-sector best describe each planned activity?
  • Is foreign investment allowed, and is the relevant route automatic or government approval?
  • Do ownership, control, land-border, security, licensing or other sector conditions apply?
  • Will a change in activities, ownership or business model trigger a new approval or filing?
  • What reporting is required after capital is issued, transferred or repatriated?

Use the Invest India guide as a starting map, then confirm the current policy and filings with the responsible authorities and local advisers.

Choose a legal presence that matches the work

An Indian incorporated company or subsidiary and a foreign-company office are not interchangeable. The business model, permitted activities, contracting needs, liability preferences and long-term investment plan should drive the choice.

Route to evaluate Questions it should answer
Indian incorporated company or subsidiary Can it conduct the planned activities, hire staff, contract with customers, hold local assets and receive foreign capital under the applicable rules?
Wholly-owned subsidiary Does full ownership fit the FDI route, governance plan, funding needs, liability separation and repatriation model?
Foreign-company establishment or office option What activities are permitted for the specific office type, and can it perform the intended sales, support, contracting or project work?

MeitY’s FDI and electronics FAQ explains that a foreign investor can start operations by incorporating a company under the Companies Act, 2013, which governs incorporation, company affairs, directors’ responsibilities and dissolution. The IndBiz setup guide describes wholly owned subsidiary and foreign-company establishment routes and associated Ministry of Corporate Affairs processes.

Confirm the exact procedure, registrations, foreign-exchange filings and permitted activities with the Ministry of Corporate Affairs, the Reserve Bank of India and qualified counsel. A limited representative presence may suit a scouting phase, while an operating entity may be necessary for local employment, contracting or delivery; the answer depends on the work you defined at the start.

Compare cities with a weighted operating scorecard

National FDI totals cannot identify a winning Indian city. Build a shortlist based on your operating model, then score each location with current, city-level evidence. Do not transfer a ranking from another company: a sales-led business, a high-volume support center and a research team can rationally choose different places.

Score the factors that change your economics

  • Customer access: proximity to target accounts, procurement centers, partners and industry events.
  • Specialist talent: availability in the required technologies and seniority bands, realistic time to hire, retention risk and competing employers.
  • Fully loaded labor cost: salary, statutory contributions, benefits, recruiting, equipment, management overhead, office and training.
  • Infrastructure: reliable power and connectivity, suitable office and laboratory space, commuting practicality, disaster recovery and data-center access where needed.
  • Ecosystem: universities, startups, research institutions, implementation partners and professional services.
  • Operating friction: state and local registrations, payroll administration, permits, vendor depth and travel time.
  • Incentives: eligibility, duration, qualifying investment or hiring conditions, clawbacks and application deadlines.
  • Resilience: ability to add staff, maintain service during disruption and support a second location if concentration risk becomes material.

Make the score auditable

  1. Assign weights that reflect your model. A support hub may weight hiring and connectivity heavily; a domestic sales operation may weight customer access and distribution.
  2. Define a measurable scale before collecting data, such as one to five, and write what each score means.
  3. Record the source date, geography and assumptions for every score. Separate quoted market data from management estimates.
  4. Calculate both a weighted total and a downside case in which rent, hiring time, attrition or exchange rates are worse than planned.
  5. Validate the top two or three locations through customer conversations, candidate interviews, landlord and connectivity checks, and local professional advice.

The available official material does not establish a city or state comparison, labor-cost ranking or technology-workforce statistic. Any recommendation among cities therefore requires fresh, location-specific evidence suited to your activity.

Model talent and operating costs as a complete system

Comparing advertised salaries alone understates the cost of an Indian operation. Build a role-by-role model that includes recruiting fees, employer contributions, benefits, leave, equipment, software, training, managers, office or remote-work support, travel, security, finance and legal administration. Measure cost per productive employee or delivered unit, not just annual payroll.

Test the hiring plan

  • List the first hires by role, seniority, location flexibility and start date.
  • Ask several recruiting channels for time-to-fill ranges and candidate availability rather than relying on one quote.
  • Check whether the skills are concentrated in one market and whether a second city can provide resilience.
  • Define who will manage the team, how technical standards are maintained and how work is reviewed across time zones.
  • Model attrition and replacement cost. A lower salary can be uneconomic if churn delays delivery.

For a delivery center, include quality controls, customer escalation coverage, information-security processes and knowledge transfer. For a sales office, include local market expertise, travel and partner management. For research or product engineering, include intellectual-property assignment, access controls and collaboration with the parent company.

Assess tax and compliance before signing leases or hiring

There is no single India tax rate for an expanding foreign technology business. The Income Tax Department’s foreign-company guidance displays different treatment by income category and conditions, and its material is assessment-year-specific. The applicable result depends on the company’s facts, law in the relevant tax year and any treaty position.

Give tax advisers a fact pattern, not a slogan

  • Where are contracts negotiated, signed and performed, and where are strategic decisions made?
  • Could the Indian activities create a business connection or permanent establishment for the foreign parent?
  • How should profit be attributed between the Indian operation and the parent?
  • What withholding, indirect-tax and invoicing obligations apply to the planned transactions?
  • Will related-party services, royalties, loans, cost sharing or intellectual-property charges require transfer-pricing analysis?
  • Does the company qualify for treaty relief, and what documentation is required?
  • Could management and control facts affect residence or reporting?

These are diligence questions, not conclusions for an unspecified company. Obtain advice for the chosen entity, activities, transaction flows and tax year before setting prices or intercompany agreements.

Build a broader compliance register

Alongside tax, investigate data protection and cybersecurity obligations, employment and payroll law, intellectual-property ownership, customer contracting, foreign-exchange controls and reporting, local registrations, and sector-specific licenses. Applicability depends on the planned activity and operating footprint; do not assume that a small office has no obligations or that a large company has the same ones as a regulated provider.

For each obligation, record the owner, filing or renewal date, evidence retained, consequence of failure and escalation contact. Have counsel confirm what is current rather than relying on an old checklist. Employment documentation should align the Indian entity, worker location, payroll process, benefits and termination procedures. Customer contracts should identify data roles, service levels, liability, governing law, export controls and intellectual-property rights appropriate to the product.

Use a staged decision process

  1. Define the case. Document product, customer, revenue model, India activities, hiring, capital and success metrics.
  2. Validate demand or delivery economics. Run customer and partner interviews, test pricing or pilot delivery, and separate domestic-market assumptions from hub assumptions.
  3. Classify the activity. Identify the likely FDI sector, ownership limits, approval route and reporting obligations using current official guidance.
  4. Select the presence. Compare an Indian incorporated company or subsidiary with relevant foreign-company office options, considering permitted activities, contracting, hiring, liability, tax and repatriation.
  5. Shortlist locations. Apply a weighted scorecard to talent, customers, infrastructure, cost, ecosystem, incentives and resilience, then validate with local evidence.
  6. Model the downside. Stress-test hiring delays, attrition, slower sales, currency movement, compliance cost, office disruption and a later need to change entity or location.
  7. Launch with gates. Release investment in stages tied to evidence such as signed customers, filled critical roles, completed registrations, functioning controls and defined review dates.

A staged plan preserves optionality. It also makes a negative conclusion useful: the company can identify the missing proof, assign an owner and decide what evidence would justify revisiting India.

Pitfalls that produce bad India expansion decisions

Using macro data as a market forecast

FDI totals describe capital entering India across many sectors and years. They do not forecast your addressable market, conversion rate, margins or city economics. Tie every investment statistic to a company-level hypothesis and a test.

Assuming every technology activity has the same FDI treatment

Technology is not a single legal category. A telecom service, software operation, regulated product and internal support center can face different conditions. Reclassify the activity if the business model changes.

Choosing a city by reputation

A famous technology center may be wrong for your customer base, hiring profile, budget or resilience requirements. Require current evidence for each weighted factor and document why the score reflects your model.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Budgeting only salaries

Recruiting, management, benefits, equipment, compliance, security, office, travel and attrition can materially change the delivered cost. Use a fully loaded model and a downside case.

Signing contracts before tax and entity review

Premature contracting can create avoidable permanent-establishment, withholding, transfer-pricing, data or licensing problems. Confirm who may sign, invoice, employ and process data before committing.

Treating an experiment as a permanent structure

A scouting presence, a sales office and an engineering subsidiary have different permitted activities and obligations. Set a review point at which the company either scales, changes structure or exits.

What a decision-ready assessment contains

  • A written description of India’s role in the operating model.
  • Evidence of customer demand or delivery feasibility, with assumptions labeled.
  • An FDI classification and route checked against current policy for the exact activities.
  • A legal-presence comparison covering activities, liability, governance, contracting, hiring, tax, repatriation, capital and reporting.
  • A city scorecard with dated evidence, weights, downside scenarios and validation notes.
  • A fully loaded budget in both local and reporting currencies.
  • A tax and compliance register reviewed by qualified advisers.
  • Stage gates, owners, dates and exit criteria.

The practical verdict should be specific: proceed with a defined model and location shortlist, run a smaller validation first, redesign the structure, or defer entry until a stated uncertainty is resolved. India’s national context supports serious evaluation; it does not replace that company-specific work.
