A Luxembourg specialised investment fund (SIF) should be assessed from its current offering documents, actual portfolio, full cost structure, liquidity terms and the people responsible for managing it—not from its name or headline return. Use the process below to test whether the fund’s permitted strategy matches what it owns, whether you can bear its risks and lock-up, and whether its manager and controls are credible. This is a general due-diligence framework, not an assessment of a particular fund or a recommendation.

What a SIF assessment can—and cannot—tell you

A SIF is a Luxembourg investment fund framework intended for well-informed investors. The label does not tell you whether a particular fund is diversified, liquid, low-cost, suitable for you or likely to perform well. Those answers depend on the individual fund or compartment, share class, investor eligibility, portfolio, service providers and contractual terms.

ALFI describes a route for certain individual investors to qualify as well-informed by investing at least EUR 100,000, or by having their expertise, experience and knowledge assessed by a qualifying institution. The investor must also confirm well-informed status in writing. That is an overview, not a substitute for checking the current legal eligibility test and the fund’s subscription terms. The amount is an eligibility route, not a claim about the investment’s value or a recommended allocation.

Regulatory authorisation is a status check, not an endorsement. The CSSF explains that Luxembourg investment vehicles and managers require prior authorisation for their activities and are subject to prudential supervision, including reporting and inspections. A listing does not establish that a fund’s strategy is sound or appropriate for your circumstances.

Start with the right documents and regulatory status

Collect the current fund record

Before evaluating the investment, obtain the current offering document for the fund or compartment, subscription materials, latest audited annual report, and any amendments, investor notices or other updates. Make sure the documents identify the share class you are considering; different classes can have different costs, currencies, dealing terms or eligibility requirements.

Record the legal form, base currency, investor restrictions, Alternative Investment Fund Manager (AIFM) arrangement and key service providers. ALFI identifies the offering document and annual report as central disclosure documents. If retail investors can invest, ALFI says a PRIIPs Key Information Document (KID) is required. Establish which documents apply to your particular fund and investor category rather than assuming every SIF has the same document set.

Check the fund and manager with the CSSF

Verify the fund on the CSSF’s official list and check the relevant authorisation or registration of the manager. Confirm the names and roles match the offering materials. Record what you verified and when: a fund’s status can change, and an old document or third-party directory may not reflect current information.

Account for the December 2025 circular

On 19 December 2025, the CSSF published Circular 25/901, consolidating and replacing several earlier circulars and clarifying concepts, investment and borrowing limits, and sales-document expectations. The CSSF stated that funds authorised before the circular entered into force are not, merely for that reason, required to amend their adopted rules. Check the specific fund’s authorisation date and applicable transitional provisions; do not automatically treat every provision as a new requirement for every legacy fund.

Translate the strategy into a testable investment case

Write down what the fund is allowed to do

Summarise the fund’s strategy in plain language before considering its recent performance. Identify the assets it may buy, the conditions under which it expects to buy or sell, its intended sources of return, the expected holding period and the events that could invalidate the investment thesis. Distinguish firm limits from targets, examples or discretionary permissions.

CSSF Circular 25/901 says the sales document should describe the investment objectives and strategies, portfolio composition, asset classes, investment limits and the basis used to calculate them, as well as any intermediary vehicles. It should also explain relevant risks and potential conflicts. Compare those disclosures with the concise description used in marketing or conversations with the manager. A broad permission to invest in different assets or regions can allow a materially different portfolio from the one suggested by a short strategy summary.

Compare permissions with holdings and reports

Use the latest portfolio information and annual report to ask whether actual exposures fit the stated plan. Look at how holdings contribute to the strategy, not just the labels attached to them. For example, a fund that holds investments through other funds or companies may have meaningful exposure that is not obvious from its direct holdings. Request look-through information sufficient to understand the underlying strategies, concentration, leverage and expenses.

Where a strategy primarily holds less-liquid assets, the sales document should explain how significant cash balances may be invested temporarily in liquid assets. Ask how much discretion the manager has over that temporary allocation and how it affects risk and returns. Circular 25/901 says relevant limits apply to investments made through intermediary vehicles, not merely to the intermediary vehicles as labels. The practical question is what the fund is exposed to through each layer.

Ask what would prove the thesis wrong

Ask the manager to name the assumptions on which the expected returns depend, the conditions that would prompt a sale or change in positioning, and the risks that could make the strategy fail. Check whether the portfolio and reporting let you monitor those conditions. If the thesis depends on asset values that are difficult to observe, a long holding period, refinancing, or a narrow set of outcomes, those dependencies belong in your assessment rather than in a footnote.

Calculate the full cost for the share class you would own

Request an itemised fee and expense schedule

Do not use the management-fee percentage as a proxy for total cost. Request the current written schedule for the exact share class and identify which expenses are charged to the fund, which are charged directly to investors, and which can be incurred at underlying-fund or intermediary-vehicle level.

  • Management and performance fees: establish the calculation base, hurdle, high-water mark, crystallisation frequency and any other conditions. Ask whether these terms differ by class or investor.
  • Fund operating expenses: identify administration, depositary, audit, legal and other charges, including whether any costs are capped, estimated or variable.
  • Portfolio and financing costs: ask how transaction costs are measured and reported, and include borrowing and other financing costs where applicable.
  • Underlying layers: determine what additional charges arise inside other funds or vehicles and whether the reported fund-level figures include them.

Ask for the latest realised total costs, the method used to calculate transaction costs, and a worked performance-fee example that covers both a loss and a subsequent recovery. The example should show when a fee can be charged and how any hurdle or high-water mark changes the result. This makes fee mechanics concrete without assuming a future return.

The CSSF’s 2026 supervisory priorities, published on 31 March 2026, include thematic reviews looking for outliers in overall cost and fee levels, performance fees and transaction costs. That supervisory focus is not a universal fee benchmark. To judge whether a fee is reasonable, compare the fund’s realised costs and terms with genuinely similar strategies and share classes; a lower headline charge alone does not establish better value.

Map each material risk to the assets and the controls

Use the offering document, annual report and manager responses to build a risk map. For each risk, record the relevant exposure, how it is measured, who monitors it, what limit or mitigation applies, and what happens if that control is breached. A disclosed limit or control can reduce or constrain exposure; it does not remove investment risk.

Market, strategy and concentration

Identify sensitivity to interest rates, credit spreads, economic cycles, sectors, regions, currencies and the assumptions used to value or underwrite assets. Ask for the largest issuers or assets, exposures that move together, and look-through concentration through underlying vehicles. Find out whether stated limits have exceptions during ramp-up or wind-down periods and how those exceptions operate.

Circular 25/901 sets out specified risk-spreading guidelines for funds marketed to unsophisticated retail investors and different limits for funds reserved for well-informed or professional investors. Within the stated scope and conditions, the circular describes a 25% limit for several single-exposure categories and a separate infrastructure limit for retail-marketed funds; corresponding figures for certain well-informed or professional-only offerings rise to 50% and 70% for the infrastructure category. These figures do not mean every SIF must use those exact limits, nor do they establish broad diversification. Read the specific fund’s limits, calculation basis, exceptions and look-through exposures.

Liquidity and redemption access

Match the fund’s dealing terms to the time it might take to sell its underlying assets. Check dealing frequency, notice periods, lock-ups, redemption gates, suspensions, side pockets and any other liquidity tools that apply. Determine whether redemption is a right on stated terms or may be delayed or restricted, and understand how a stressed market could affect both the timing and price of a sale.

Ask how the fund manages cash, meets redemption requests and models liquidity under stress. A fund offering periodic dealing can still hold assets that cannot be sold quickly without a material discount. The CSSF’s 2026 supervisory priorities identify liquidity and private-debt credit risk as areas of focus, making the link between asset liquidity and redemption terms especially important to examine.

Valuation and reporting uncertainty

For assets without frequent observable market prices, establish who values them, how often, which models and inputs are used, whether an independent party reviews them, and how stale-price exposure or uncertainty is reported. Find out who can override a valuation and how conflicts are handled. A stable reported value is not, by itself, evidence that an asset could be sold at that value.

Leverage, derivatives and counterparties

Identify borrowing used for investment purposes, derivatives exposure, collateral requirements and possible margin calls. Ask how leverage is measured, what happens to the fund if asset values decline, and whether the fund can face forced sales to meet financing obligations. If applicable, request leverage figures under more than one calculation method so that a single measure does not obscure the exposure.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

For SIFs reserved to well-informed or professional investors, Circular 25/901 says the fund sets its own maximum borrowing limit for investment purposes rather than applying the stated 70% ceiling used for funds marketed to unsophisticated retail investors. That makes the fund’s own limit and calculation method central to review; the 70% figure is not a universal SIF borrowing cap.

Operations, conflicts and sustainability claims

Map counterparties, custody and depositary arrangements, delegated functions, important third-party dependencies, cyber risks and business-continuity arrangements. Identify related-party transactions, how investment opportunities and costs are allocated, and where valuation or other conflicts may arise. If sustainability claims matter to your decision, compare the disclosures with the actual holdings and investment process rather than relying on a label.

The CSSF’s 2026 priorities include governance and operational risks, ICT and cyber risks, leverage and interconnectedness, valuation, sustainability disclosures, costs and financial-crime risks. These are supervisory priorities, not findings that a particular SIF has deficient controls. Use them as prompts for specific questions about this fund’s assets and operating arrangements.

Request strategy-specific performance history with gross and net returns, realised and unrealised results, losses, benchmark rationale, valuation policy and performance attribution. Establish which team produced the record, over what period and in what vehicle. A firm-wide history does not prove that the named team achieved those results, and unrealised results rely on valuation judgments that should be examined alongside the valuation policy.

Understand decision rights and service providers

Confirm the roles of the AIFM, depositary, administrator, auditor, valuation agent, investment committee and delegated managers. Ask who has authority to approve investments, change strategy, override valuations and approve related-party transactions. The purpose is to understand where responsibility sits and whether checks are independent—not simply to count service providers.

Review the latest audited report and look for material changes, qualifications or disclosures that require an explanation. The CSSF’s 2026 supervisory programme includes governance and internal controls, risk management, third-party risk and valuation among its areas of focus. Ask the manager how these responsibilities are handled in practice and what information investors receive when arrangements change.

Compare funds on equivalent terms

When comparing alternatives, align the comparison by mandate, actual exposures, investor class and share class before looking at outcomes. A fund with less frequent dealing or a different valuation approach may not be directly comparable to one with more liquid assets, even if both use the same strategy label.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
Comparison area What to line up Why it changes the comparison
Mandate and portfolio Permitted strategy, current holdings, look-through exposures, concentration and limits Similar names can conceal materially different assets and discretion.
Liquidity and valuation Redemption terms, underlying asset liquidity, valuation frequency and methods Reported values and access to cash may behave differently in stress.
Risk and financing Leverage method, borrowing limit, derivatives, counterparties and downside controls Return potential cannot be separated from financing and loss exposure.
Costs Realised all-in costs, transaction costs, underlying charges and performance-fee terms Headline management fees omit other costs and can reward outcomes differently.
Manager and governance Relevant team record, decision rights, oversight and service-provider roles A firm reputation alone does not establish the named team’s experience or controls.
Reporting and downside Quality and frequency of reporting, losses, attribution and valuation disclosures Clearer evidence helps distinguish performance from measurement uncertainty.

Do not treat a lower fee, smoother reported return or longer stated track record as proof of a better fund. Compare expected outcomes only after considering risk, costs, liquidity and how reliably the underlying assets are valued.

Use a decision record before subscribing

Before committing, write down the answers and unresolved items for the exact share class. This is useful both for your own decision and for identifying where a verbal assurance needs support in a document.

  1. Eligibility and identity: record the fund, compartment, share class, manager status, investor eligibility and documents reviewed.
  2. Strategy fit: state the expected return drivers, permitted discretion, key holdings and conditions that would undermine the thesis.
  3. Loss capacity: identify the largest plausible sources of loss and decide whether your financial position and investment horizon can accommodate them.
  4. Access to capital: write down dealing, notice and lock-up terms, possible restrictions, and the likely liquidity of the underlying assets.
  5. Costs: calculate or request the all-in cost picture, including variable fees, transaction expenses and underlying layers.
  6. Evidence and governance: note what supports the manager’s strategy-specific record, how assets are valued, and who oversees key decisions.
  7. Open questions: list unanswered points, the document or person that should resolve each one, and whether the answer could change your decision.

If a key term remains unclear—especially the strategy’s actual permissions, total costs, redemption restrictions, valuation method or manager responsibility—do not substitute an assumption for the missing answer. Resolve it from the current documents or an appropriately qualified, independent adviser. Tax consequences and personal suitability depend on your own jurisdiction and circumstances and cannot be inferred from the SIF framework alone.

What to conclude from the review

A defensible decision rests on a documented match between the fund’s permitted strategy and actual exposures, understandable total costs, risks and controls you can accept, liquidity consistent with your time horizon, and credible evidence about the responsible team and governance. The framework cannot establish whether an unnamed SIF is attractive: actual fees, returns, redemption access, tax consequences, manager competence and suitability require the current fund materials, verified manager information and your own circumstances.
