Tokenization does not create a new balance-sheet category by itself. Account for the legal instrument represented by the token, the reporting entity’s role, the rights and obligations in the governing documents, and the applicable reporting framework. An issuer’s own shares are normally analyzed as equity (or, if the terms require cash or another financial asset, potentially a liability); another company’s tokenized shares are financial-asset investments; an entity’s reacquired own shares are generally deducted from equity under IFRS; and a token used for compensation may fall under share-based-payment guidance. The same token format can therefore produce different accounting outcomes.
The answer depends on what the token legally represents
A blockchain entry is a recording method, not an accounting classification. Before posting anything, establish whether the token is the share itself, evidence of a security entitlement to shares held by a custodian, a synthetic or linked instrument, or only a technical record that does not convey an enforceable financial right. Then identify whether the company is the issuer, an investor, a custodian, a parent evaluating a subsidiary instrument, or an employer granting an award.
The SEC staff’s Statement on Tokenized Securities, issued January 28, 2026, discusses issuer-sponsored and third-party tokenization models. It says that the format in which a security is issued, and whether holders are recorded onchain or offchain, does not change application of federal securities laws. That is a securities-law observation, not a new general-purpose financial-statement rule. The statement is staff guidance rather than a Commission rule, regulation, or legally binding statement, and its examples assume compliance with applicable law and the governing documents.

For IFRS reporters, IAS 32 governs presentation, IFRS 9 (or IAS 39 where still applicable) governs recognition and measurement, and IFRS 7 governs disclosures. U.S. GAAP reporters must use the authoritative FASB Accounting Standards Codification and applicable SEC requirements; IFRS paragraph numbers cannot be transferred to U.S. GAAP. Confirm the standards and adopted requirements effective for the reporting date.
Five questions to answer before recording a tokenized share
-
What is the legal instrument?
Read the token terms, offering documents, custody agreement, shareholder register rules, and transfer provisions. Determine whether the holder receives voting and dividend rights, a direct claim on the issuer, a security entitlement through a custodian, a cash claim, or only price exposure.

-
Whose balance sheet is it?
The issuer, an investor, a custodian acting as agent, a parent, and an employer are not accounting for the same item. The reporting entity’s rights and obligations control the analysis.
-
Which framework, jurisdiction, and date apply?
Record whether the company reports under IFRS or U.S. GAAP, whether it is a public-company registrant or regulated bank, and which edition and effective requirements apply at the reporting date. FASB identifies the Codification as the authoritative source of nongovernmental U.S. GAAP.

What does the contract require?
Check redemption and repurchase clauses, cash-settlement rights, fixed versus variable share delivery, transfer restrictions, dividends, voting, and any holder claim against a custodian. Under IAS 32, classification follows the substance of the contractual arrangement and the issuer’s obligations, not the instrument’s name or technology.
-
Is this a reacquisition or a compensation award?
A company buying back its own tokenized shares may have treasury shares. A token delivered to an employee or other service provider may be a share-based payment. Those branches have separate requirements from an ordinary issuance or investment.
Classify the token’s legal and economic model
Issuer-sponsored tokenized shares
In an issuer-sponsored model, the issuer or its agent incorporates distributed-ledger records into the system used to maintain the master securityholder file. An onchain record may be linked to a wallet address, quantity, holder identity, and other information while offchain records continue to operate. The issuer must still apply its corporate law, charter, shareholder-rights provisions, transfer mechanics, and applicable securities requirements.
For financial statements, analyze the underlying share under the applicable GAAP. Tokenization alone does not justify a new “digital shares” line item or a crypto-asset entry. The amount received, issue costs, class rights, redemption obligation, and any promise to deliver cash or another financial asset determine presentation. If the instrument can require the issuer to pay cash or transfer another financial asset, perform the relevant liability-versus-equity analysis instead of assuming equity.
Shares of another company held as an investment
When the reporting company owns another entity’s tokenized shares, the holding is not the reporting company’s own equity. Determine whether the token gives direct ownership, an indirect entitlement, or exposure through a separate contract. Assess control and significant influence, because those facts can change the applicable accounting model. Under IFRS, IAS 32 addresses presentation, IFRS 9 (or IAS 39 where applicable) recognition and measurement, and IFRS 7 disclosure. A blockchain does not automatically make the holding a crypto asset under a crypto-specific rule.
Custodial security entitlements
A third-party token may represent an indirect interest in an underlying security held by a custodian. Investor.gov distinguishes issuer-sponsored tokens from custodial tokenized securities, and the SEC staff statement describes tokenized security entitlements and other linked or synthetic structures. The holder’s accounting depends on enforceable rights under the custody and settlement arrangements: ownership of the underlying shares, a security entitlement, a claim against the custodian, or merely a contractual price exposure.
Obtain evidence of how transfers settle, who is listed on the issuer’s master record, whether the holder can exercise voting and dividend rights, how insolvency of the custodian is handled, and whether the token can be redeemed for the underlying security or only for cash. Do not generalize the SEC statement’s assumptions about valid transfers and legal compliance to arrangements that have not been legally established.
Rank #2
Synthetic or linked structures
A token can track a share price without conveying the share or a security entitlement. If the holder receives only a contractual payoff, analyze that contract’s financial-asset or derivative characteristics, collateral, settlement terms, and counterparty exposure. The accounting follows those rights rather than the reference asset’s label.

| Reporting entity and fact pattern | Primary accounting question | Typical starting point |
|---|---|---|
| Issuer creating its own tokenized share class | Does the issued instrument meet equity criteria, or does a term create an obligation to deliver cash or another financial asset? | Apply the applicable equity/liability guidance; present proceeds and issue costs according to that framework and the instrument terms. |
| Investor holding another company’s tokenized shares | What contractual rights are held, and do control or significant influence exist? | Analyze the financial-asset, subsidiary, associate, or joint-arrangement model applicable under the reporting framework. |
| Investor holding a custodial token | Is the right direct ownership, a security entitlement, a custodian claim, or synthetic exposure? | Recognize and measure the asset that the enforceable arrangement actually creates. |
| Company reacquiring its own tokenized shares | Are these treasury shares, and does any narrow exception apply? | Under IFRS, generally deduct the instruments from equity rather than recognize an asset. |
| Employer granting a token as compensation | Is settlement in equity, cash, or another asset, and when are vesting conditions satisfied? | Apply IFRS 2 or, for U.S. GAAP reporters, ASC 718 based on the award terms. |
| Bank assessing capital ratios | How does the instrument qualify under the banking capital rule? | Apply the separate regulatory-capital requirements; do not substitute them for financial-statement accounting. |
Issuer accounting: when the company creates tokenized shares
Start with the same questions used for a non-tokenized issuance. Identify the class of share, rights to dividends and votes, liquidation priority, redemption or put rights, settlement obligations, and issue costs. The token may be integrated into the issuer’s official ownership-record system, but that fact does not determine whether the issued instrument is equity or a liability.
Equity-like issuance
If the instrument gives the holder a residual interest and does not impose a contractual obligation on the issuer to deliver cash or another financial asset, it is generally analyzed as an equity instrument under the applicable framework. Record the proceeds and any directly attributable issue costs as required by that framework. The token representation does not warrant a separate asset for the issuer merely because a distributed ledger is used.
Terms that can create a liability
Reassess classification if holders can demand cash, require redemption, or receive a variable number of shares whose value is designed to equal a fixed monetary amount. A token that is called a “share” can still contain liability features. Document the contractual term, the probability or timing of settlement where relevant, and the standard paragraph applied; do not decide from marketing language.
Ownership records and reconciliation
Maintain a controlled reconciliation between wallet addresses, holder identity, quantities, the master securityholder file, and any offchain ledger. Establish who can authorize transfers, reverse an erroneous entry, process a lost-key event, and resolve a fork or duplicate record. These controls support the completeness and rights-and-obligations assertions but do not change the underlying accounting classification.
Investor accounting for another company’s tokenized shares
For an investor, the first balance-sheet question is what asset was acquired. A direct shareholding may carry voting, dividend, and residual rights. A custodial entitlement may expose the investor to the underlying shares while placing legal title with a custodian. A synthetic token may create only a contractual claim against an issuer or platform.
Assess control and significant influence
Determine whether the investor controls the issuing entity, has significant influence, or holds a passive investment. Token ownership percentages alone may not establish control if voting rights are restricted, pooled, or exercised through a custodian. Read the shareholder agreement and custody terms before applying a subsidiary, associate, or financial-asset model.
Rank #3
Apply recognition, measurement, and disclosure standards
Under IFRS, IAS 32 covers presentation, IFRS 9 or IAS 39 covers recognition and measurement where applicable, and IFRS 7 covers disclosures about risks and the nature of the instrument. Disclosures may need to explain fair value, credit and liquidity exposure, concentration, custody arrangements, and significant judgments, depending on the applicable requirements and materiality.
Do not label the holding a crypto asset simply because it is transferable on a blockchain. Conversely, do not call it an ordinary share if the token gives only a cash-settled payoff. The legal agreement and enforceable rights are the deciding evidence.
Reacquired own tokens: treasury-share treatment under IFRS
IAS 32 paragraph 33 states: “If an entity reacquires its own equity instruments, those instruments (‘treasury shares’) shall be deducted from equity.” The paragraph also says that no gain or loss is recognized in profit or loss on the purchase, sale, issue, or cancellation of the entity’s own equity instruments; consideration paid or received is recognized directly in equity.
IAS 32 paragraph 34 requires the amount of treasury shares held to be disclosed separately in the statement of financial position or in the notes. The fact that the shares are represented by tokens does not turn them into a financial asset of the issuer.
Narrow exception in paragraph 33A
Paragraph 33A contains an exception for specified treasury shares held in certain funds or as underlying items for insurance contracts. It involves an irrevocable instrument-by-instrument election and fair-value-through-profit-or-loss accounting described in that paragraph. Treat it as a fact-specific exception, not a general option for tokenized buybacks; verify every eligibility condition.
Agency holdings are different
IAS 32 application guidance says an entity’s own equity instruments are not recognized as a financial asset regardless of why they were reacquired. It also explains that when a financial institution holds the entity’s own equity on behalf of a client, the institution is acting as an agent and those holdings are not included in its statement of financial position. Document the agency relationship and the client’s beneficial interest before applying treasury-share accounting.
Tokenized shares used for employee compensation
If a token is the way an employee or other service provider receives or records an award, analyze the arrangement under share-based-payment guidance rather than ordinary investment accounting. IFRS 2 covers transactions settled in cash, other assets, or the entity’s equity instruments and recognizes their effects in the financial statements, including compensation expense where applicable.
Rank #4
Equity-settled versus cash-settled
Classify the award from its settlement terms. An award that ultimately delivers the entity’s equity instruments may be equity-settled; an award requiring cash or another asset can be cash-settled. A token wrapper does not answer that question. Examine whether the issuer can choose cash, whether the holder can demand cash, how vesting and performance conditions work, and whether the number of shares is fixed or variable.
U.S. GAAP awards
U.S. GAAP reporters should apply the authoritative share-based-payment guidance in ASC 718 and related SEC requirements. Do not import IFRS 2 measurement or presentation conclusions without analyzing the U.S. GAAP terms and effective guidance.
IFRS and U.S. GAAP: keep the frameworks separate
| Issue | IFRS starting point | U.S. GAAP starting point |
|---|---|---|
| Presentation of financial instruments | IAS 32 | Relevant FASB Accounting Standards Codification topics and SEC requirements for registrants |
| Recognition and measurement of financial assets | IFRS 9, or IAS 39 where still applicable | Applicable Codification guidance for the instrument and entity |
| Financial-instrument disclosures | IFRS 7 | Applicable Codification and SEC disclosure requirements |
| Share-based compensation | IFRS 2 | ASC 718 |
| Reacquired own shares | IAS 32 paragraphs 33, 33A, and 34, subject to the facts | Apply the relevant U.S. GAAP treasury-stock guidance; do not assume IFRS wording produces the same result |
Standards and projects can change. Confirm the text effective for the company’s reporting date, the entity’s industry-specific guidance, and any regulator adoption or transition provisions.

SEC securities-law statement
The SEC staff statement dated January 28, 2026 addresses how tokenized securities may be issued and how holder records may be maintained. Its point that onchain versus offchain recordkeeping does not by itself alter federal securities-law application should not be presented as a balance-sheet rule. Financial-statement recognition, measurement, presentation, and disclosure still come from the company’s reporting framework and the instrument’s terms.
Bank regulatory capital
A joint Federal Reserve, FDIC, and OCC FAQ dated March 5, 2026 says an eligible tokenized security that confers legal rights identical to its non-tokenized form should generally receive the same treatment under the banking capital rule. That conclusion concerns regulatory capital for banking organizations. It does not replace GAAP or IFRS guidance on recognition, measurement, presentation, or disclosure.

Common mistakes and how to correct them
- Creating a “tokenized shares” asset account automatically. Correct it by identifying the legal right first and applying the relevant financial-instrument or equity guidance.
- Assuming every token is the share itself. A custodial entitlement or synthetic payoff can have a different counterparty, insolvency risk, and measurement model.
- Posting reacquired own shares as an investment asset. Under IFRS, an entity’s own equity instruments are generally deducted from equity; investigate the paragraph 33A exception only when its conditions are met.
- Using the issuer’s accounting for an investor’s holding. The issuer accounts for issued capital; the investor accounts for an asset, subsidiary, associate, or contractual exposure.
- Treating the SEC statement as accounting guidance. It is a January 28, 2026 staff statement about securities-law application and recordkeeping, not a comprehensive GAAP or IFRS standard.
- Using bank-capital treatment as the financial-statement answer. The March 5, 2026 banking-agency FAQ addresses capital-rule treatment, which is a separate regulatory calculation.
- Ignoring compensation terms. A token used to deliver an employee award may require IFRS 2 or ASC 718 analysis, including vesting and settlement conditions.
- Relying on a wallet balance without legal evidence. Reconcile onchain data to the master securityholder file, custody records, and enforceable transfer documentation.
- Copying IFRS conclusions into U.S. GAAP. Use the FASB Codification and current SEC requirements for a U.S. GAAP reporting entity.
What to disclose when tokenization is material
Disclosure requirements depend on the instrument and framework, but a material arrangement should enable a reader to understand what the token represents and where the risks lie. Explain the legal form and economic substance, the reporting entity’s role, the location of the authoritative ownership record, custody and settlement mechanics, restrictions on transfer, redemption or cash-settlement terms, valuation inputs, and significant judgments about classification.
For an issuer, describe the share class, rights, obligations, and reconciliation between onchain and offchain records when that information is material. For an investor, describe whether the holding is direct, custodial, or synthetic and the relevant market, credit, liquidity, and custody exposures. For treasury shares, present the amount separately as required by IAS 32. For awards, describe vesting, settlement form, and compensation effects required by the applicable share-based-payment standard.

Bottom line for the balance sheet
Do not ask whether a token is an asset or equity until you know whose balance sheet you are preparing and what enforceable rights the token conveys. An issuer-sponsored token can be part of the issuer’s ownership-record system without creating a new asset category. Another company’s tokenized shares are analyzed as the investor’s financial asset or other appropriate investment. A custodial token may represent a security entitlement or a claim on an intermediary. Reacquired own shares are generally a deduction from equity under IFRS, and a compensation token follows share-based-payment rules. Apply the current IFRS or U.S. GAAP literature to the documented terms, and keep that financial-statement conclusion separate from securities-law and bank-capital treatment.
