Prepare first for either outcome: clarify what the company and its owners want, keep ownership and corporate records accurate, build dependable financial reporting, and strengthen leadership and governance. Then plan for the distinct demands of a negotiated sale or a public offering. This guidance is U.S.-focused and draws on general SEC material; preparation can improve decision-making, but it cannot guarantee a deal, valuation, or successful listing.

Start with readiness that works for either path

An acquisition and an initial public offering are different transactions, but both put a company’s records, financial condition, ownership, leadership, and plans under closer scrutiny. The most useful preparation is therefore not a premature bet on one exit. It is an ongoing management discipline: know what the company owns and owes, who owns its equity, how its financial results are produced, and what outcome the owners are trying to achieve.

The U.S. Securities and Exchange Commission’s IPO-readiness guidance, dated June 12, 2024, advises companies to evaluate accounting controls, reporting and recordkeeping systems, governance, and management controls before going public. These practices also make it easier for founders to explain the business consistently when considering a potential sale. They do not amount to a complete acquisition due-diligence checklist, and no single preparation plan fits every company.

Choose a route by the company’s objectives, not by prestige

Before comparing offers or hiring advisers, write down what the company and its owners need from a transaction. The objective might be capital to fund further growth, liquidity for existing holders, a strategic home for the product, or a combination. A public listing is not automatically the right measure of startup success: the relevant question is whether the route supports the company’s long-term strategy and is viable given investor and market demand.

The SEC recommends weighing the benefits and challenges of going public, assessing market conditions and customer interest, considering where shares would trade, and remaining flexible about timing. It describes an IPO, a merger with a special purpose acquisition company (SPAC), and a direct listing among public-market routes. These are distinct structures, not interchangeable labels for the same process. A company should assess route fit with qualified advisers rather than assume one structure is suitable.

For an acquisition, the corresponding decision is whether the buyer, the consideration, the scope of the sale, and any post-closing arrangements fit the company’s and owners’ objectives. A headline valuation alone does not answer those questions. The SEC’s overview of exit strategies and liquidity describes acquisition consideration as potentially cash, stock, or a combination in exchange for some or all existing equity.

How the two paths differ

Decision area Acquisition IPO or other public-market route
Transaction outcome Negotiated transfer of some or all existing equity; consideration may be cash, stock, or both. A public offering or another public-market transaction; liquidity and capital depend on the route and its terms.
Company’s future The buyer may integrate the company. Key leaders or employees may remain for a period if agreed. The company takes on public disclosure, reporting, governance, and applicable listing obligations.
Preparation emphasis Accurate company, ownership, and financial records; clear understanding of which equity is included and of post-close terms. Reporting controls, governance, audited financial reporting, disclosure, leadership, advisers, and listing readiness.
Time and cost Depends on the deal and negotiation; the SEC materials cited here give no universal estimate. The SEC says preparation can take several months or longer and advises considering near-term cash needs and continuing compliance costs.
Central decision Are the buyer, consideration, integration plan, and negotiated roles acceptable? Do public-market access and long-term objectives justify the preparation and continuing public-company obligations?

This is a high-level comparison, not a transaction recommendation. A particular deal’s economics and obligations depend on its documents, parties, route, and applicable law.

Build a practical readiness sequence

1. Define the outcome and decision criteria

Record the company’s objectives and the owners’ priorities separately; they may not be identical. Identify what would make a potential transaction acceptable, what trade-offs are negotiable, and what circumstances would make the company better off continuing independently. Revisit these criteria as strategy, market conditions, and financing needs change.

For a potential IPO, explicitly test whether public-company status serves the long-term plan rather than treating it as a default milestone. The SEC recommends evaluating investor and market demand and considering timing, growth strategy, market viability, and where shares would trade. Those factors can inform the decision, but they are not predictions of demand or a promise that a listing will be available.

2. Make ownership and corporate records dependable

Maintain an accurate capitalization table and reconcile it against the underlying ownership records. The SEC glossary describes a cap table as identifying equity holders and recording relevant details such as security class, share or unit counts, and purchase or disposition information. Its glossary provides the definition; the table should be checked against actual company records rather than treated as a substitute for them.

Keep corporate records and company information organized enough to explain who owns what and how the current records support that understanding. This is useful preparation for either path, but the SEC sources do not prescribe a complete M&A diligence list or a universal recordkeeping format. Have counsel and accounting advisers identify the records and processes relevant to your company and prospective transaction.

3. Test whether financial reporting can withstand scrutiny

Assess how the company closes its books, produces reports, and checks the accuracy and timeliness of information. Identify weaknesses in accounting controls and reporting systems, and decide who is responsible for correcting them. Reliable financial information helps management make decisions before a transaction; for an IPO, it is also central to the registration statement and the company’s continuing reporting duties.

The SEC’s explanation of registration statements, dated June 21, 2024 and last reviewed November 12, 2024, says the Form S-1 prospectus describes the company’s operations, financial condition, results, risk factors, and management, and includes audited financial statements. Regulation S-K addresses nonfinancial disclosure, while Regulation S-X addresses financial-statement form and content. How those requirements apply depends on the company and filing; do not infer a fixed number of audited years or a universal filing package from this general description.

4. Prepare leadership and governance for greater scrutiny

Review whether management can explain the company’s strategy, performance, risks, and reporting processes clearly and consistently. Consider whether the organization has the leadership capacity and controls needed for the demands of the route under consideration. The SEC’s IPO-readiness guidance recommends qualified leadership, experienced directors, a strong audit team, and engaging underwriters, attorneys, accountants, and other advisers.

Those are SEC recommendations for IPO readiness, not a universal board blueprint or a rule that every startup must create a particular committee. The appropriate governance arrangements depend on the company’s circumstances and applicable requirements. For transaction-specific decisions, involve qualified securities and corporate counsel, accounting and tax professionals, and financial or transaction advisers as relevant.

5. Model outcomes for equity holders and key people

In a possible acquisition, establish which equity is proposed to be sold and how cash, stock, or a mixed form of consideration would affect existing holders. Evaluate the proposed economics alongside the transaction scope and the buyer’s plans. Key leaders or employees may stay after closing for a period if the parties negotiate that arrangement; transition, continued employment, and integration terms should be understood separately from the headline valuation.

For a public-market route, understand how the transaction is expected to provide liquidity, where shares may trade, and what terms affect when existing holders can sell. The SEC notes that some holders’ shares may be subject to lockup periods depending on the route and offering terms. Do not assume that listing means every holder can sell immediately; the actual restrictions depend on the transaction documents and applicable terms.

6. Plan for the time, cash, and ongoing work of an IPO

The SEC states that going public is a journey that can take “several months or longer.” This is a qualitative estimate in the agency’s June 12, 2024 guidance, not a measured average, a guaranteed schedule, or a forecast for a particular company. Preparation can require significant management attention, so founders should consider short-term cash needs during the process as well as the continuing cost of operating as a public company. The guidance does not establish a universal budget or audit cost.

Build a realistic internal plan with advisers that accounts for readiness work, decision-making, and the continuing capacity needed after the offering. The question is not only whether the company can reach a listing, but also whether it can sustain the related reporting and governance responsibilities while executing its business strategy.

7. Treat a SPAC business combination as its own structure

A SPAC merger is not simply an ordinary IPO under another name. If considering one, examine the differing economic interests and potential conflicts involving sponsors, directors, officers, affiliates, and public shareholders. SEC staff guidance emphasizes disclosure of potential conflicts and compensation-related matters in SPAC transactions. Its SPAC disclosure guidance is a starting point for understanding those issues, not a recommendation that a SPAC route suits a particular company.

Understand what public-company obligations continue after listing

An IPO does not end the reporting work. The SEC’s Exchange Act reporting guidance, dated June 20, 2024, describes annual reports on Form 10-K, quarterly reports on Form 10-Q, and current reports on Form 8-K for specified events. It also describes CEO and CFO certifications of certain annual and quarterly information. Public disclosures become available through EDGAR.

These reporting obligations require ongoing processes, not a one-time filing sprint. The company needs to be able to produce and review required information on schedule, with appropriate internal responsibility and controls. Company officers and individual shareholders may also have obligations depending on their roles and ownership. The exact requirements are fact-specific, so founders should work through them with securities counsel and other qualified advisers rather than rely on a general summary.

Use advisers for decisions the general guidance cannot settle

SEC small-business pages explain broad concepts, not the right transaction structure or terms for a particular startup. A founder should seek qualified advice before making company-specific securities, legal, accounting, tax, governance, or transaction decisions. An IPO may involve underwriters, attorneys, accountants, and other advisers; a prospective acquisition may call for legal, tax, and financial transaction expertise tailored to the deal.

Ask advisers to explain assumptions, responsibilities, timing dependencies, and the consequences of proposed terms in language the leadership team and owners can evaluate. Keep the company’s objectives in view as professionals assess the route: a technically feasible transaction may still be a poor fit if its obligations, liquidity terms, or post-close outcome do not serve those objectives.

Make readiness a recurring management practice

Founders do not need to decide today whether the company will ultimately sell or go public to benefit from preparation. Reconcile ownership information, improve reporting reliability, maintain sound records, and build leadership and governance capacity as part of ordinary company management. Review the strategic case for each route as circumstances develop, and treat any transaction as a negotiated outcome with its own terms and obligations—not as a guaranteed reward for reaching a particular stage.
