Build a fully diluted, scenario-based cap table before you negotiate. Your likely ownership after a venture round depends on more than the headline valuation: outstanding and promised options, the existing option pool, SAFEs, convertible notes, the price at which each instrument converts, any new or enlarged hiring pool, and the shares issued to the new investor all change the denominator. A post-money SAFE can provide a useful first estimate—investment divided by its post-money valuation cap—but that percentage is not a forecast of your final ownership after a priced round.

This guide shows how to model those effects, compare a SAFE with a note or priced round, and identify terms that can create unexpected dilution. The examples are illustrative; your signed instruments, capitalization definition, jurisdiction and financing documents control. Have qualified startup counsel and a tax adviser review the final model and documents.

What dilution means in a venture financing

Dilution is the reduction in an existing holder’s percentage ownership when a company issues additional securities. A founder can own the same number of shares after a financing and still own a smaller percentage because the company has issued shares to investors, issued shares when convertibles become stock, or expanded its option pool.

Use both share counts and percentages. A statement such as “the founders own 70%” is incomplete unless it says whether the denominator is issued shares, outstanding shares, or a fully diluted capitalization that includes options and convertibles. The U.S. Securities and Exchange Commission describes a capitalization table as showing ownership by percentage or number of shares and notes that common and preferred stock can have different rights.

For every scenario, label the point in time: before financing, after conversion, after any pool increase, and after the new cash investment. That sequence makes it possible to see which transaction caused each change.

Start with the correct fully diluted cap table

Define the denominator

Obtain the latest company cap table and write down the contractual definition used by each instrument. One document may use “company capitalization” while another uses a different definition. Your starting worksheet should identify whether each column is:

  • Issued and outstanding shares only.
  • Fully diluted shares, including outstanding options and the unissued portion of the existing pool.
  • A financing-specific denominator that also includes SAFEs, notes or other convertible securities.

Do not silently move between these definitions. A percentage calculated on issued shares cannot be compared with a percentage calculated on a fully diluted basis.

Inventory every security and promise

List each founder and employee shareholding, outstanding option, promised but not yet granted option, and the available part of the existing pool. Then list every SAFE, convertible note, warrant or other instrument that could become equity. Include the legal holder, date, amount, cap, discount, maturity, interest and side-letter rights. Keep separate rows for instruments with different terms.

For a SAFE, record whether the valuation cap is pre-money or post-money, the cap amount, any discount, most-favored-nation (MFN) clause and pro rata right. For a note, record principal, accrued interest through the expected conversion date, maturity date, conversion discount, valuation cap and ranking. A note’s interest can increase the amount that converts.

How to estimate ownership sold by a post-money SAFE

For a post-money valuation-cap SAFE, the basic cap calculation is:

Estimated ownership sold = SAFE investment ÷ post-money valuation cap

A $500,000 SAFE with a $10 million post-money cap therefore implies 5% under that cap calculation. A second $1 million SAFE with a $20 million post-money cap implies another 5%. Read together, those two cap-based estimates are 10% before considering a priced round, pool changes, discounts, MFN terms or other convertibles.

Y Combinator’s SAFE Conversion Calculator explains that each post-money SAFE’s ownership is fixed at investment divided by the post-money cap, with other SAFEs already in the denominator, so the cap-based percentages are additive. The calculation is not permission to treat the SAFE as stock today. Under the SEC’s explanation and Y Combinator’s SAFE materials, a SAFE is a contractual right that converts on a triggering event; it is not debt and does not carry interest or a maturity date in the way a convertible note does.

What the post-money denominator includes

In the standard post-money SAFE calculation described by Y Combinator, the capitalization denominator includes outstanding stock, the existing issued, promised and unissued option pool, and other SAFEs and convertible securities. It excludes the cash from the new priced round and a new or increased pool created for that round. Consequently, an option pool negotiated immediately before the priced round can dilute both founders and SAFE holders even though it was not included in the earlier SAFE estimate.

Why the cap estimate is not the final percentage

At conversion, the SAFE may receive shares using the valuation-cap price, a discounted round price, or another contractual mechanism. If the priced-round price is low enough, the discount or conversion formula can produce more shares than the simple cap estimate. New preferred shares issued for the round add another block to the denominator. A new pool adds shares as well. Model all of those events instead of reporting the cap percentage as the founder’s final post-round ownership.

Model the priced round in a fixed sequence

A practical pro forma model should show the same sequence for every financing scenario. Y Combinator’s deal illustration presents conversion of SAFEs and other convertibles, creation or increase of the option pool, and investment of new money; your documents can specify a different sequence or definition, so treat the illustration as a modeling framework rather than a universal rule.

  1. Freeze the starting capitalization. Copy the share counts and option data from the current cap table. Reconcile the totals to board approvals and signed grants.
  2. Apply each conversion. Calculate the shares issued to every SAFE and note under its own cap, discount, interest and definition. Do not combine instruments that have different prices or priorities.
  3. Create or increase the pool. Add the number of shares required to meet the negotiated post-closing pool target. State whether the target is measured before or after the new investment and conversions.
  4. Issue the priced-round shares. Divide the cash investment by the negotiated price per share, or apply the term sheet’s share formula. Add those shares to the capitalization table.
  5. Recalculate each holder’s percentage. Divide each holder’s resulting shares by the final fully diluted total. Show founders, existing investors, SAFE and note holders, the option pool and the new investor separately.
  6. Repeat at several assumptions. Run at least a high, base and low pre-money valuation; the expected raise; a smaller and larger pool; and each plausible conversion outcome.

A simple option-pool example

Consider an intentionally simplified company with 8 million founder shares and a 2 million existing option pool: 10 million fully diluted shares before a new pool increase. Before the increase, founders represent 80% of that denominator. If the company adds 2 million pool shares before the financing, the denominator becomes 12 million and founders represent 66.7% before the new investor buys anything.

Now assume, only for this illustration, that the enlarged pool is included in a $16 million pre-money valuation and the company raises $4 million at that price. The new investor owns 20% of the post-money company ($4 million divided by $20 million). The founders’ 66.7% pre-money share is reduced by the 20% investment to approximately 53.3% after the round. This example omits SAFEs, notes and price discounts so that the pool effect is visible; adding convertibles can materially change every percentage.

Ask the investor to specify the pool target, the measurement point and which unissued shares are included. “A 10% pool” can produce different founder outcomes if it means 10% before the round, 10% after the round, or 10% after all SAFE conversions.

Pre-money and post-money SAFEs are not interchangeable

A pre-money SAFE and a post-money SAFE use different capitalization concepts. A post-money cap is intended to make the ownership sold under that cap more visible at signing, because the investment is measured against a post-money capitalization that includes specified existing securities and other SAFEs. A pre-money cap can leave the eventual percentage more dependent on the amount of other money raised and on the capitalization at conversion.

Do not compare a $10 million pre-money cap with a $10 million post-money cap as though they promise the same ownership. Read the definition of capitalization in each form, including how options, promised grants, other SAFEs and notes are treated. Y Combinator cautions founders about mixing pre-money and post-money SAFEs and about stacking notes with SAFEs without modeling the interaction.

SAFE, convertible note or priced round?

The instrument changes both dilution visibility and legal economics. The following comparison uses the general descriptions in the SEC’s startup-securities materials and Y Combinator’s explanatory guidance; actual rights come from the executed documents.

Issue SAFE Convertible note Priced equity round
What it is Convertible security that is not stock until a triggering conversion Debt that may convert into equity Preferred stock issued at a negotiated price
Interest and maturity No interest or maturity in the standard SAFE description Interest and a maturity date generally apply Not a loan; rights are set in the preferred-stock documents
Ownership visibility at closing Cap-based estimate, with final shares determined by conversion terms Depends on principal, accrued interest, cap, discount and maturity provisions Share price and ownership are negotiated and issued at closing
Typical use described by YC Common early-stage fundraising instrument Bridge financing or situations where notes already exist When a lead investor sets a firm valuation and seeks fuller terms
Negotiated rights Cap, discount, MFN, pro rata and side letters can matter Cap, discount, interest, maturity, priority and note covenants matter Board, voting, liquidation, protective and information rights are negotiated
Pool treatment Existing pool is included under the standard post-money calculation; a new round pool can dilute holders Depends on the note and financing definitions Pool target and who bears its dilution are negotiated in the term sheet

Compare offers using the same future-round assumptions. A higher valuation cap is not automatically better if it comes with a large discount, MFN rights or a pool definition that shifts more dilution to founders. A fast SAFE can also create several conversion layers that make the later priced round harder to model.

Terms that can change your dilution estimate

Discounts

A discount lets a converting holder buy at a reduction to the priced-round price. If the discounted price is lower than the cap price, the discount can determine the conversion and issue more shares than the cap-only estimate.

MFN clauses

An MFN provision can allow an earlier SAFE holder to take more favorable terms offered in a later SAFE. Track the clause’s scope, election window and excluded terms. A later financing can therefore change the economics of an instrument that appeared settled when signed.

Pro rata rights

A pro rata right gives an investor an opportunity—subject to the document’s conditions—to buy additional shares in a later round to maintain a percentage. It may not increase the initial conversion percentage, but exercising it requires additional cash and changes the ownership table after the round.

Liquidation priority and control

Ownership percentage is only one economic outcome. Preferred-stock liquidation preferences, participation, seniority between rounds, voting rights and protective provisions can determine how proceeds or control are shared. Include these rights in the financing review even when the immediate dilution percentage looks acceptable.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Use scenario tables instead of one “dilution” number

Create a table with one row per scenario and columns for the assumptions that change the result:

  • Pre-money valuation and amount raised.
  • Price per share or the formula that determines it.
  • Each SAFE’s cap, discount and resulting conversion shares.
  • Note principal plus accrued interest and resulting shares.
  • Pool size before the round, pool increase and final target.
  • Founder shares and percentage at each step.
  • Ownership of existing investors, converting holders, the new investor and the remaining pool.

At minimum, compare a round price comfortably above each cap, a price near a cap and a price below a cap. Then compare the expected hiring pool with a larger pool needed for the next 12–18 months. A sensitivity table exposes whether your result is driven mainly by valuation, the pool, conversion terms or the amount of new cash.

What current market figures can—and cannot—tell you

Carta reported that 91% of SAFEs on its platform were post-money in the second quarter of 2026. That is a platform-specific statistic, not a measure of every U.S. or global SAFE. Carta also reported median founding-team ownership of approximately 56% after a seed round and approximately 36% after a Series A. Those are observed medians in Carta’s data as summarized in its 2026 guide, not recommended targets or predictions for your company.

No universal “normal dilution” percentage follows from those figures. A company’s stage, starting cap table, option needs, instrument mix, valuation, geography and investor rights can produce a substantially different result.

Common modeling failures and how to fix them

Using only issued founder shares

Failure: dividing the founder’s shares by issued shares while ignoring the option pool and promised grants. Fix: build the fully diluted denominator first and label every included security.

Treating a SAFE as current stock

Failure: recording a SAFE as if the holder already owns common or preferred shares. Fix: show the SAFE in a separate conversion schedule and issue shares only under the triggering financing terms.

Adding SAFE percentages without checking terms

Failure: adding percentages from instruments with different caps, discounts or pre/post-money definitions. Fix: calculate each row under its own document, then aggregate the resulting shares in the same pro forma cap table.

Forgetting accrued note interest

Failure: converting only the note’s original principal. Fix: calculate interest through the contractual conversion date and apply the note’s conversion price and priority.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Hiding the pool increase

Failure: quoting the investor’s percentage without showing the pool created before closing. Fix: show the pool as a separate transaction step and state who bears that dilution.

Assuming standard forms control

Failure: relying on a standard SAFE, note or a program-specific deal illustration without reading the signed documents. Fix: reconcile every definition, side letter, charter term and board approval with counsel.

A founder’s pre-term-sheet checklist

  • Export the current cap table and reconcile it to issued certificates, option grants and board approvals.
  • Confirm the denominator for each instrument: issued, fully diluted, pre-money or post-money.
  • List every cap, discount, MFN, pro rata right, maturity, interest rate and priority term.
  • Estimate the option pool required for planned hiring and model at least one larger pool.
  • Run high, base and low valuation scenarios with the same raise amount.
  • Show shares and percentages after conversions, after the pool change and after new money.
  • Ask investors whether their quoted percentage is pre-money or post-money and what securities are included.
  • Check whether any side letter changes information, voting, pro rata or conversion rights.
  • Have startup financing counsel review the model against the SAFE, note, charter and term sheet.
  • Ask a tax adviser about the consequences of option grants, conversions and any changes to exercise prices or equity classification.

When the model is ready to use in negotiations

Your model is decision-ready when another person can trace every final percentage back to a share count, a contractual formula or a clearly stated assumption. Bring the scenario table to investor discussions and ask for the investor’s version of the post-closing cap table. Differences usually reveal a denominator definition, pool assumption or conversion rule that needs to be resolved before signing.

The practical answer to “how much of my startup will I own after a SAFE?” is therefore conditional: start with the SAFE’s cap-based ownership estimate, then calculate the conversion, pool and priced-round shares together. Only the final pro forma table—prepared from the actual documents—can show your expected post-financing percentage.
