There is no blanket right for a South Korean resident to buy a U.S. tokenized security. Access depends on the token’s legal structure, the U.S. intermediary’s registrations, the offering’s registration or exemption, Korean-resident eligibility, and the investor’s category. Treat the transaction as a cross-border securities investment, not simply as a cryptocurrency purchase. Verify those conditions before sending money or transferring tokens to a wallet.
What a U.S. tokenized security actually is
The word “token” describes the format or recording technology; it does not by itself identify the legal asset. In a January 28, 2026 statement, the U.S. Securities and Exchange Commission (SEC) defined a tokenized security as a financial instrument included in the federal securities-law definition of “security” that is formatted as or represented by a crypto asset, with ownership recorded in whole or in part on one or more crypto networks.
That definition leaves important structural questions open. An issuer may place its own security on a blockchain, or a third party may create a token that refers to a security held elsewhere. Those models can give holders different rights. A token might represent the underlying share or bond itself, a security entitlement against a custodian, or only a contractual claim whose value tracks an asset. The name, ticker, or blockchain on which it trades cannot answer that question.

- Economic rights: determine whether you receive dividends, interest, voting rights, redemption proceeds, or only a cash-settlement promise.
- Ownership record: identify whether the authoritative register is the blockchain, an issuer’s transfer agent, a broker’s books, or a custodian’s records.
- Enforcement: read which law governs and where disputes must be brought. A token that trades globally may still be enforceable only in a specified jurisdiction.
- Failure treatment: find out what happens if the issuer, custodian, broker, smart contract, or blockchain becomes insolvent or unavailable.
Do not infer that holding a wallet balance gives you the same legal position as holding a conventional brokerage position. The offering documents and custody agreement control.

First gate: is the route lawful and available to a Korean resident?
Assess the intermediary before evaluating projected returns. Korea’s Financial Services Commission (FSC) describes a security token as a digitized security whose issuance and circulation information is recorded and managed on a blockchain-based distributed ledger. The FSC has also warned that an unlicensed investment-brokerage provider intermediating security tokens would violate Korean law.
For a U.S. offering, check both sides of the transaction:
- U.S. status: confirm the broker-dealer, alternative trading system (ATS), transfer agent, or custodian named in the documents and verify its applicable registration or exemption. Establish whether the specific offering is registered with the SEC or relies on an exemption, and read any resale restrictions attached to that exemption.
- Korean status: ask whether the provider is permitted to solicit or intermediate the product for people resident in South Korea. A foreign registration does not automatically authorize solicitation in Korea.
- Investor category: determine whether the offering is open to retail investors, limited to accredited or otherwise qualified investors, or restricted to institutions. “Accredited” is a U.S. eligibility concept; it does not remove Korean law, foreign-exchange, tax, or disclosure obligations.
- Residence and screening: obtain written confirmation that South Korean residents are accepted after know-your-customer (KYC), anti-money-laundering (AML), sanctions, and source-of-funds checks. Eligibility can vary by product even on the same platform.
Use the legal entity name shown in the account agreement and offering memorandum when checking registrations. A website’s trading interface or a token’s listing on a public blockchain is not proof of authorization.

A step-by-step access assessment
- Classify the instrument. Read the term sheet, private-placement memorandum, prospectus, subscription agreement, and token terms. Record whether the issuer calls it a share, note, fund interest, security entitlement, or contractual exposure. If the documents use several descriptions, ask the issuer to reconcile them in writing.
- Identify the legal chain. Map the parties: issuer, broker-dealer, ATS, transfer agent, custodian, wallet provider, and any special-purpose vehicle. For each party, note its legal entity, jurisdiction, role, and responsibility if a transfer or payment fails.
- Verify the offering basis. Confirm registration or the precise U.S. exemption. Check who may buy, minimum investment, holding periods, resale limits, geographic exclusions, and whether secondary trading is permitted. A token that can be transferred technically may still be restricted legally.
- Confirm Korean eligibility in writing. Ask support or compliance to state that a resident of South Korea may subscribe or trade the particular product, not merely open an account. Keep the response with your records; policies can change.
- Read the rights and recordkeeping provisions. Establish whether the token itself is the security, whether it is a claim on a custodian, or whether it is a derivative-like contract. Locate the authoritative ownership register and the procedure for correcting an erroneous balance.
- Test custody and recovery rules. Determine who controls private keys, whether you receive a self-custody option, how lost credentials are recovered, and whether transfers require whitelisting. Ask whether your assets are segregated from the provider’s property and how insolvency claims are handled.
- Calculate the complete cost. Include subscription or trading commissions, bid-ask spread, blockchain or withdrawal fees, custody charges, minimums, currency-conversion spread, bank fees, and taxes withheld at source. Request an example showing the amount that would actually arrive in Korean won after all deductions.
- Check information quality. Look for audited financial statements where applicable, valuation methodology, frequency of pricing, material-event notices, token-supply controls, and a way to inspect transaction history. If a fund or private company is involved, identify who independently verifies its assets and liabilities.
- Review governing law and exit. Note dispute forum, arbitration clauses, language of controlling documents, termination rights, redemption windows, suspension powers, and the process for converting or canceling tokens. Do not fund an investment until you understand how to exit when there is no active market.
How access differs by transaction type
Primary issuance
In a primary offering you subscribe directly, or through an arranger, before the token is issued. Eligibility, identity verification, payment deadlines, minimums, and exemption restrictions are usually strict. The documents should specify when ownership begins, what happens if the offering is oversubscribed, and how unallocated funds are returned. Primary issuance may provide clearer records than an informal secondary transfer, but it can also lock your capital for a stated term.

Secondary trading
Secondary trading occurs after issuance through an ATS, broker, or another permitted venue. Confirm that the venue is authorized to handle the particular security and that transfers to a Korean-resident account are allowed. Ask how the venue checks holder eligibility on every transfer, whether prices are firm or indicative, and how failed settlement is resolved. A quoted price does not establish that a buyer will be available when you sell.
Fractional or pooled interests
A token may represent a fractional interest in a pooled vehicle rather than a direct share of an operating company. Read the vehicle’s fee waterfall, valuation schedule, redemption terms, and authority to suspend withdrawals. The underlying asset can be performing normally while the token remains illiquid because the vehicle or transfer agent limits redemptions.
Custody, wallets, and operational failure
Ask whether the provider uses an omnibus wallet or an individually identifiable address. Determine whether you can transfer to another approved custodian and which network and token standard are supported. A network transfer that is irreversible, sent to an unapproved address, or made on the wrong chain may not be recoverable.

What South Korea’s 2026–2027 framework changes—and what it does not
The FSC’s September 4, 2026 roadmap says amended legislation is scheduled to take effect on February 4, 2027, formally recognizing security tokens as digitized securities. The first phase is expected to include privately pooled money-market funds and institution-only bonds, unlisted stocks issued through a trust structure, and publicly offered fractional-investment securities. Later phases may expand the scope.
On October 1, 2026, the FSC proposed subordinate-rule revisions that described an annual retail net-purchase ceiling of KRW 100 million on each over-the-counter (OTC) exchange. The proposal was open for comments from October 2 through November 11, 2026, and still required subsequent approval before it could take effect.
| Item | Status and practical meaning |
|---|---|
| February 4, 2027 | Scheduled effective date for the amended Korean electronic-registration and tokenization framework, according to the FSC roadmap; a schedule is not itself a license to access a foreign product. |
| First-phase products | Expected to cover privately pooled MMFs and institution-only bonds, trust-structured unlisted stocks, and publicly offered fractional-investment securities. |
| KRW 100 million ceiling | Proposed annual retail net-purchase limit per OTC exchange; the October 2026 proposal was not yet effective and may change after approval. |
| U.S. tokenized offerings | Korean domestic rules do not, by themselves, authorize a South Korean resident to buy a U.S. tokenized security. The U.S. offering and cross-border solicitation must still be lawful. |
Before relying on any Korean limit or category, check the final rule in force on the date of your transaction. A proposal, roadmap, or planned phase cannot be treated as current authorization.

Tax questions for a Korean resident
The National Tax Service says Korea’s virtual-asset income tax was deferred for two years and is scheduled to apply to transfers or lending from January 1, 2027, under rules covering virtual assets defined by the Virtual Asset User Protection Act.

That statement does not settle the tax treatment of every tokenized U.S. security. A token may legally represent a security rather than a virtual asset, and the result can differ according to whether you receive dividends or interest, sell a capital asset, lend the token, or earn income through a fund. The classification of the token, the underlying instrument, and the transaction type must be determined together.
Before investing, ask a Korean tax professional to analyze:
- foreign-income and capital-gains treatment for the specific security;
- U.S. or other-source withholding and the documents needed to claim any available relief;
- valuation and exchange-rate records for purchases, sales, distributions, and fees;
- annual reporting, foreign-asset or account disclosures, and records required for wallet transfers; and
- how the January 1, 2027 virtual-asset rules interact, if at all, with a token legally treated as a security.
Keep subscription agreements, trade confirmations, wallet transaction IDs, withholding statements, Korean-won conversion calculations, and fee invoices. Do not assume that a platform’s tax form is a complete Korean filing record.

Red flags and what to do when answers are unclear
- “Anyone worldwide can buy immediately” without a product-specific KYC process: stop and request the written eligibility policy.
- No named legal entity or registration information: do not rely on a brand name, app, or social-media account; ask for the contracting entity and regulator details.
- Guaranteed liquidity or returns: ask who provides the bid, under what obligation, and what happens during a suspension.
- Token address presented as proof of ownership: compare the blockchain record with the contractual ownership register and transfer-agent rules.
- Pressure to use an unapproved wallet or send funds to a personal address: pause until the payment and custody instructions match the signed documents.
- Tax answers limited to “it is crypto”: obtain advice based on the instrument’s legal classification and your transaction history.
If a provider cannot answer a material question, the correct response is to defer the purchase, not to infer the most favorable interpretation. Save unanswered questions and written replies so that your decision is auditable.
A practical go/no-go decision
Proceed only when all of the following are documented: the token’s legal rights; the authoritative ownership record; U.S. offering status; the intermediary’s relevant registrations; confirmation that South Korean residents in your investor category are accepted; custody and recovery terms; transfer and exit restrictions; total costs; governing law; and a Korean tax analysis appropriate to the instrument.
If any one of those items remains unknown, you do not yet know what you would own, who would owe you money, or whether you could legally sell. That uncertainty is a reason to stop and obtain professional legal or tax advice, not a reason to treat the token as an ordinary, freely transferable cryptocurrency.
