SoftBank’s Vision Funds use more than one financing channel. Vision Fund 1 (SVF1) was built mainly on institutional limited-partner commitments; its SEC-filed description records approximately $98.6 billion of accepted commitments. Vision Fund 2 (SVF2) began in the fourth quarter of 2019 with an initial allocation from SoftBank rather than the same external-LP structure. Later transactions can combine SoftBank money, co-investor syndication and borrowing. The funds invest globally in technology companies, increasingly organized around an artificial-intelligence stack, and seek returns through higher portfolio values and exits such as IPOs, mergers and acquisitions, and other monetizations.
Where Vision Fund money comes from
The phrase “Vision Fund capital” can describe several different things: a promise by an investor to provide money, cash actually transferred into a fund, debt raised for a transaction, or money invested alongside the fund. Those sources should be separated before comparing funds or quoting a headline investment figure.
SVF1: institutional limited-partner commitments
SoftBank Investment Advisers invited institutions to participate as limited partners (LPs) in 2017 when it formed Vision Fund 1. LPs commit a specified amount to the fund, and the manager draws that commitment as investments and expenses require over the fund’s life. The SEC-filed description records approximately $98.6 billion of accepted SVF1 commitments. That is a commitment total, not a statement that $98.6 billion was invested on the launch date or remains in cash.

The investment manager makes decisions within the fund’s mandate, calls committed capital, monitors holdings, arranges follow-on financing and eventually distributes proceeds when assets are sold or otherwise monetized. The fund’s accounting and partnership documents determine how gains, losses, fees, expenses and distributions are allocated.

SVF2: SoftBank-backed capital
Vision Fund 2 launched in the fourth quarter of 2019 with an initial capital allocation from SoftBank. It was not described in the same SEC filing as having SVF1’s broad external-institutional-LP model. SoftBank’s own balance sheet therefore became the central source of SVF2’s starting capital, although individual transactions can involve other participants.
This difference matters when someone says that “investors funded Vision Fund 2.” In a particular deal, the money may be SoftBank capital, capital borrowed by SoftBank and lent to SVF2, or capital from co-investors that was syndicated away from the fund. The transaction documents and the date of the figure determine which interpretation is correct.
Co-investor syndication
For a very large investment, SoftBank can invite other investors to take part directly or through a related arrangement. Their participation reduces the amount that the Vision Fund itself has to fund while preserving exposure to the same company or transaction. Syndication is therefore a capital-allocation decision, not a new return measure.

SoftBank announced a $10 billion first closing on April 15, 2025. Of that amount, $1.5 billion was syndicated to co-investors, reducing SVF2’s reported investment from $8.5 billion to $7.5 billion. The $10 billion closing and the $7.5 billion SVF2 figure are both correct because they refer to different slices of the transaction.

Borrowing for a fund investment
SoftBank also used borrowing in that OpenAI closing. It borrowed $8.5 billion from Mizuho Bank and other financial institutions and lent the same amount to SVF2. The debt is financing around the fund investment; it is not an LP commitment and should not be counted as additional equity capital. Interest, repayment obligations and the lender’s rights affect the economics of the borrowing arrangement separately from the value of the underlying OpenAI position.
Four numbers that are often confused
| Term | What it means | What it does not mean |
|---|---|---|
| Commitment | An LP’s contractual promise to provide up to a specified amount when the manager calls it. | Cash already invested or a guarantee that the full amount will be called. |
| Funded or deployed capital | Cash that has actually been invested or otherwise deployed by the fund or fund segment. | The current value of those investments or the amount returned to investors. |
| Fair value | The reported current value of investments that remain on the books, using the applicable valuation methodology at a stated reporting date. | Cash proceeds received from an exit. |
| Realized proceeds and distributions | Cash generated by a sale or other monetization and, when distributed, paid back to LPs or other investors. | The value of an unsold holding or an unrealized accounting gain. |
A fifth measure, gross MOIC (multiple on invested capital), compares gross proceeds and remaining value with invested capital before the deductions specified by the reporting basis. It is not the same as an LP’s net return after fees, expenses, taxes or carried interest.
Who manages the funds and what they buy
SoftBank Investment Advisers (SBIA) and SoftBank Global Advisers (SBGA) manage the Vision Funds. The historical mandate described in SEC filings covers global technology businesses whose growth depends on technological development and breakthrough innovation. Areas named in that description include consumer technology, education, enterprise software, fintech, frontier technology, health technology, real estate, and transportation and logistics.

The strategy has increasingly been framed around the AI stack. Alex Clavel, chief executive of SBIA and SBGA, described the current span as “platforms, compute, infrastructure, scalable energy, and physical AI.” The wording is broader than investing only in application companies: it includes the software platforms that run AI, the processors and data-center capacity that train and serve models, the energy required to operate that infrastructure, and systems that put AI into machines and the physical world.

In fiscal 2025, new and follow-on investment totaled more than $37 billion. Companies identified in that investment activity included Cast AI, Sierra, Emergent and Classiq. The figure covers new and additional investments during the fiscal period; it is not a valuation of those companies or a forecast of future returns.
How a Vision Fund investment is made
- Define the opportunity and fit. The investment team evaluates a company’s technology, market, growth plan, financing needs and position within the fund’s mandate. Under the current framing, that may mean an AI platform, compute layer, infrastructure provider, energy system or physical-AI business.
- Choose the financing source. The manager determines whether the investment will use SVF1’s called LP capital, SVF2’s SoftBank-backed capital, a follow-on allocation, a co-investor syndicate, or a combination that includes borrowing.
- Complete the initial investment. The fund may buy a minority equity position or another equity exposure. The amount funded at closing is recorded separately from any larger commitment or announced maximum.
- Support and monitor the company. Managers can participate in later rounds, work with management on capital-efficient growth and adjust exposure as the company’s financing and operating position change. The 2024 report records 32 follow-on rounds during fiscal 2023.
- Value the holding between exits. Unsold positions are reported at fair value at each reporting date. That value can rise or fall without producing cash for the fund or its investors.
- Monetize when an exit is available. Potential routes include an IPO, a merger or acquisition, a private sale, a dividend or another monetization. Timing depends on company readiness, market conditions, contractual restrictions and the manager’s judgment.
- Distribute proceeds. Cash from realized investments can be returned to LPs or retained for permitted fund purposes. A distribution is a cash-flow event, not simply an increase in a portfolio valuation.
How the funds make money and return it
The economic engine is the difference between what an investment costs and what the fund ultimately realizes, plus the value of any position still held. A company can become more valuable in a private financing round, at an IPO, in an acquisition proposal or through another valuation event. Until an actual monetization, that increase is generally unrealized.
During fiscal 2023, the Vision Funds monetized more than $22 billion. Cumulative gross proceeds exceeded $68 billion, and the funds reported a 1.71x gross MOIC as of March 31, 2024. “Gross” is essential: the multiple is before the deductions that would determine an individual investor’s net result.

LP distributions are another separate measure. A fund can report substantial fair value while distributing little cash if holdings remain private, and it can distribute cash even as the remaining portfolio’s fair value declines. Readers should therefore read valuation, realized proceeds, MOIC and distributions together rather than use one as a substitute for another.

Reported scale and performance figures
The following figures come from SoftBank’s stated fiscal periods and accounting presentations. Fiscal-year labels and the measurement basis belong with each number.
| Measure | Reported amount | Period and qualification |
|---|---|---|
| Capital deployed | $191.6 billion | SoftBank Vision Funds, fiscal 2025. |
| Cumulative investment return | $236.9 billion | SoftBank Vision Funds, fiscal 2025. |
| Distributed to LPs | More than $80 billion | SoftBank Vision Funds, fiscal 2025. |
| Investment gains | $45.9 billion | Vision Funds segment, fiscal 2025; the 2026 report says gain figures are before third-party interests, tax and expenses. |
| Total fair value | $157.3 billion | Vision Funds at fiscal year-end 2024, as presented in the 2025 report. |
| LP distributions during the year | $11.4 billion | Vision Funds, fiscal 2024. |
| Combined investment gain | $4.8 billion | Vision Funds segment, fiscal 2023. |
The $45.9 billion and $4.8 billion gain figures are segment figures in SoftBank’s consolidated financial statements. They are not automatically the same as net profit available to LPs: the stated accounting basis is before third-party interests, tax and expenses. Likewise, cumulative investment return is not a promise of cash that every LP has received.
Clavel summarized the scale in SoftBank’s 2026 report: “With $191.6 billion of capital deployed, cumulative investment return across all Funds now stands at $236.9 billion as of the fiscal year-end.” He also wrote, “We are not following the crowd—we have been the leader for years, guided by a conviction in AI that is intrinsic to our investment philosophy.” Both statements describe the reported strategy and period; neither removes the distinctions between fair value, gains and distributions.

| Date or status | Figure | How to read it |
|---|---|---|
| SoftBank Group commitment | Up to $40 billion | Announced follow-on investment capacity in OpenAI; an upper commitment, not cash invested at once. |
| First closing, April 15, 2025 | $10 billion | The amount completed at the first closing. |
| Borrowing for the closing | $8.5 billion | SoftBank borrowed this amount from Mizuho Bank and other financial institutions and lent the same amount to SVF2. |
| Co-investor syndication | $1.5 billion | Allocated to co-investors, reducing SVF2’s portion of the first closing. |
| SVF2 investment after syndication | $7.5 billion | The fund’s reported share of the first-closing investment after the $1.5 billion syndication. |
| Second closing | Up to $30 billion planned | Subject to the conditions stated in the transaction announcement; not a completed investment simply because it was planned. |
| SVF2 total investment | $9.7 billion | Reported as of May 31, 2025; this is a time-specific figure and should not be treated as current without a later filing. |
The arithmetic explains why the headline and fund-level numbers differ: the $10 billion first closing included $1.5 billion from syndication, leaving $8.5 billion before the transaction was later described as a $7.5 billion SVF2 investment after syndication. The $8.5 billion borrowing describes SoftBank’s financing arrangement, not an additional $8.5 billion of equity exposure on top of the closing.
How to compare SVF1, SVF2 or a new deal
A useful comparison keeps capital source, investment exposure and outcome measurement in separate columns. The following framework prevents a commitment from being mistaken for deployment or fair value from being mistaken for cash.
| Comparison question | What to identify |
|---|---|
| Where did the money come from? | External LP commitments, SoftBank balance-sheet capital, co-investor syndication, borrowing, or a combination. |
| Which fund or vintage? | SVF1’s 2017 launch, SVF2’s fourth-quarter 2019 launch, or a later special-purpose transaction. |
| What is the exposure? | Sector, geography, company stage, ownership type and position in the AI stack. |
| How was it deployed? | Initial equity investment, follow-on round, acquisition or structured financing. |
| Which outcome is being quoted? | Fair value, realized proceeds, gross MOIC, investment gain or LP distributions. |
| How can liquidity occur? | IPO, M&A, private sale, dividend or another monetization, subject to the investment’s terms and market conditions. |
Common mistakes when reading Vision Fund announcements
- Treating a maximum commitment as funded cash. “Up to” amounts and accepted LP commitments describe capacity or promises. Look for the closing amount and the fund’s actual investment.
- Adding syndicated money to the fund’s exposure. Co-investor capital can be included in a transaction headline while reducing the amount held by SVF2.
- Calling fair value a realized return. An unsold holding can be revalued without producing a distribution.
- Using segment gains as LP net profit. The reported Vision Funds gain figures are before third-party interests, tax and expenses, according to the 2026 report.
- Dropping the reporting date. The OpenAI $9.7 billion figure was reported as of May 31, 2025; fiscal 2025 totals and fiscal year-end 2024 fair value belong to their own reporting periods.
- Comparing gross MOIC with a personal account return. A 1.71x gross MOIC as of March 31, 2024 does not show what an LP received after fees, expenses or other deductions.
What the model means for investors and observers
Vision Fund 1 is best understood as a large institutional venture-capital partnership funded through LP commitments. Vision Fund 2 is better understood as a SoftBank-backed investment platform whose transactions can be financed flexibly. That flexibility allows SoftBank to commit large amounts, bring in co-investors, borrow against a transaction structure and continue investing in follow-on rounds, but it also makes headline numbers harder to interpret without the transaction date and ownership split.
The strategy’s shift toward platforms, compute, infrastructure, scalable energy and physical AI indicates that the fund is positioning itself across the layers needed to build and deploy AI, rather than concentrating solely on consumer applications. The return objective remains the same: increase the value of equity exposures and realize that value through exits, then return cash according to the applicable fund and transaction arrangements.
For any new announcement, read the primary filing or report for five items before drawing a conclusion: the capital source, the amount actually funded, the fund’s retained share after syndication, the valuation or gain basis, and the date of the figure. Those five checks reveal whether a number describes a promise, a financing mechanism, an accounting value or cash that has genuinely reached investors.
