Neither buybacks nor dividends is automatically the better way to create shareholder returns. A dividend puts cash directly in your account. A repurchase uses company cash to buy shares, potentially increasing the ownership percentage of shareholders who continue to hold their stock. Your result depends on the price paid for repurchased shares, dilution from new issuance, financing, reinvestment opportunities, dividend sustainability, and your tax situation.
The fair comparison is total shareholder return over the same period—not the dividend yield, buyback headline, or earnings per share (EPS) figure by itself.
What dividends and buybacks actually do
Cash dividends
A cash dividend distributes company money to shareholders in proportion to the shares they own. If you hold 200 shares and the company declares a $0.50 dividend, the declared cash amount is $100 before any applicable tax or withholding. You receive the payment whether or not you sell shares.

The payment transfers value from the company to its owners; it is not automatically an extra investment gain. The company has less cash after the distribution, so the effect must be evaluated alongside the share-price change and any reinvested dividends.

Share repurchases
A repurchase uses corporate cash to buy shares from willing sellers, either through open-market purchases or a tender offer. A shareholder who sells receives cash. A shareholder who does not sell generally receives no cash directly, but may own a larger fraction of the company if the purchased shares are retired and the share count falls.
That ownership effect is measured by the net change in shares outstanding. New shares issued for employee compensation, acquisitions, conversions, or other purposes can offset some or all of the gross shares bought back.
The total-return test
For an individual stock, compare the same starting and ending dates and include:

- Cash dividends received, including the treatment of reinvested dividends.
- Shares sold into a repurchase, if you participated.
- Taxes, fees, and account-specific effects.
A company can spend billions on repurchases while its shareholders earn a poor return if the stock price falls, the company overpays, or productive investments are sacrificed. Conversely, a company with a modest dividend can deliver a strong total return through profitable growth and rising valuation.
For broad indexes, the distinction is visible in long historical series. The CFA Institute’s 2026 professional reading reports that, from the beginning of 1926 through the end of 2018, the S&P 500 Index produced a 10.0% annual compound return with dividends reinvested versus 5.9% for the price-only index. For the Nikkei 225 from 1950 through 2018, the corresponding figures were 11.1% and 8.0%.
| Historical index series | With dividends reinvested | Price-only | Period and qualification |
|---|---|---|---|
| S&P 500 | 10.0% annual compound return | 5.9% annual compound return | Beginning of 1926 to end of 2018; historical, not a forecast |
| Nikkei 225 | 11.1% annual compound return | 8.0% annual compound return | 1950 to 2018; historical, not a forecast |
These figures show why price-only performance can understate an investor’s experience when distributions are reinvested. They do not prove that a particular company should favor dividends over repurchases.

The all-else-equal equivalence—and why it is only a benchmark
CFA Institute states: “A share repurchase is equivalent to the payment of a cash dividend of equal amount in its effect on total shareholders’ wealth, all other things being equal.” The qualification is critical. In a frictionless example, a company can return $1 million through a dividend to every shareholder or spend $1 million buying shares from sellers. The aggregate value transferred can be equivalent.

Outbyte PC Repair FREERepair Windows errors before they cause bigger problemsFix Now →Outbyte Driver Updater FREEFix the driver behind crashes, sound loss and screen glitchesFind Drivers →Real markets are not frictionless. Shareholders differ in whether they sell, how they are taxed, and whether they need cash. Management may buy at a price above or below intrinsic value. The company may borrow, issue replacement shares, or give up an investment project. Those differences determine the outcome for an actual investor.
How a buyback changes ownership and EPS
Ownership percentage
Suppose a company has 10 million shares and you own 10,000, or 0.10% of the company. If the company retires 1 million shares and no new shares are issued, your 10,000 shares represent about 0.111% of the remaining 9 million shares. You own a larger fraction, but your wealth still depends on what the company is worth after spending the cash.
Why EPS can rise without creating value
Reducing the denominator can raise EPS even when total earnings do not change. In an illustrative calculation, $100 million of earnings divided by 10 million shares equals $10 EPS. After a repurchase retires 1 million shares, the same $100 million divided by 9 million shares equals about $11.11 EPS.
That arithmetic does not establish that the business became more valuable. The company also used cash, and investors must assess the price paid, the resulting balance sheet, and what the cash could have earned elsewhere. CFA Institute notes that an excess-cash repurchase may increase EPS, while a debt-funded repurchase can increase, decrease, or leave EPS unchanged depending on the after-tax borrowing rate and the company’s earnings yield.
Gross buybacks versus net share count
Look at diluted shares outstanding before and after the program, not only the dollars announced. A company may repurchase $2 billion of stock and issue a substantial amount of equity compensation during the same period. The SEC’s 2023 final-rule discussion noted that gross repurchase trends can look considerably smaller after adjusting for equity issuance.

Repurchase price and management’s valuation judgment
A repurchase benefits continuing owners when the company buys shares below their intrinsic value and the business can earn an attractive return on the cash retained per share. Buying at an inflated price can transfer value from continuing owners to selling shareholders.
The SEC’s repurchase-disclosure framework calls for companies to explain their objectives and the process or criteria used to determine repurchase amounts. Read those explanations critically. A stated intention to return “excess cash” is more informative when management defines excess cash, preserves an adequate balance sheet, and shows why the stock price represents attractive value.
Financing, leverage, and forgone investment
Cash-funded programs
Using surplus cash avoids new interest expense, but cash is not free of opportunity cost. It could fund research, capacity, acquisitions, debt reduction, or resilience during a downturn. Compare the expected return on those uses with the expected return from retiring shares.

Debt-funded programs
Borrowing to repurchase shares increases financial risk and adds interest obligations. EPS may still rise if the company’s earnings yield exceeds the after-tax borrowing cost; it may fall if the opposite is true. The ratio alone is not enough: consider refinancing risk, credit ratings, covenants, and the possibility that earnings weaken.
Short-term targets and governance
SEC Commissioner Jaime Lizárraga warned in a May 3, 2023 statement that, to the extent repurchases are motivated by short-term objectives, they can harm an issuer and its shareholders—for example, by foregoing investments that might have produced better returns. This is a commissioner’s caution, not a finding that every repurchase is harmful. Investors should examine whether the program aligns with long-term operating needs rather than assuming that EPS accretion equals value creation.
Dividend durability and policy commitment
Coverage from recurring cash flow
Assess whether operating cash flow and free cash flow consistently cover the regular dividend after maintenance investment. CFA Institute identifies cash-flow sufficiency as particularly important when judging dividend safety.

- Compare dividends with recurring free cash flow, not only one unusually strong year.
- Check whether the company is borrowing or selling assets to fund distributions.
- Review the history of cuts, freezes, and increases.
- Consider cyclical earnings, cash reserves, debt maturities, and capital-spending requirements.
Why a regular dividend can be less flexible
Management can vary repurchase volume without creating the same expectation of maintaining a particular distribution level. A regular dividend often carries an expectation of continuity, so cutting it can damage investor confidence and signal weaker cash-generation prospects. That commitment can be useful to income-focused investors, but it can also limit flexibility when earnings fall.
Taxes depend on the investor and jurisdiction
Do not assume that buybacks are always more tax-efficient than dividends. Tax results differ by country, account type, holding period, and individual circumstances. CFA Institute distinguishes systems based on double taxation, imputation, and split rates. A taxable-account investor, a retirement account, and a tax-exempt institution can experience different outcomes from the same corporate payout.
For a specific decision, determine whether dividends are taxed as ordinary income or at a preferential rate, how a sale into a buyback is treated, whether capital losses can offset gains, and whether withholding applies. Current jurisdiction-specific documents or qualified tax advice are necessary for an individualized answer.
U.S. corporate repurchase tax context
The U.S. 1% excise tax on certain covered corporate stock repurchases applies to transactions after December 31, 2022, subject to statutory definitions, adjustments, exceptions, and filing rules. IRS Instructions for Form 7208, revised in December 2025, include a $1 million threshold in the form calculation and state that certain regulated investment companies (RICs), real estate investment trusts (REITs), and non-RIC funds registered under the Investment Company Act of 1940 do not need to file Form 7208.
This is a corporate-level tax issue, not a 1% charge automatically imposed on an individual shareholder. Applicability depends on the issuer and transaction, so do not generalize it to every company or treat the rate as a deduction from your personal dividend or sale proceeds.
Funds: distributions are not the same as performance
Fund investors must separate a distribution from the fund’s investment result. The SEC’s Investor.gov bulletin explains that a fund’s net asset value (NAV) decreases when it distributes dividends, interest, or capital gains. The bulletin states plainly: “A fund’s distributions are not the same as performance.”

A distribution can include return of capital—money returned from your principal rather than income or gains. A high distribution rate therefore does not establish a high return. Compare total return and standardized yield, read the prospectus and distribution policy, and review applicable Section 19(a) notices when they identify return of capital.
An investor in a taxable account may owe tax on a fund’s dividends, interest, or capital gains even when distributions are automatically reinvested. The SEC’s guidance is specific to funds and should not be applied indiscriminately to direct corporate-share dividends.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.A practical checklist for comparing two companies
Use the same measurement period and total-return basis for both companies. Work through these questions:
- Measure the complete payout. Record dividends and repurchases, then compare them with the share-price change over the same dates.
- Check net dilution. Compare basic and diluted shares outstanding before and after the period, including employee compensation and other issuance.
- Evaluate the repurchase price. Identify the average price paid, the valuation rationale, and whether purchases occurred during expensive or depressed markets.
- Identify the funding source. Determine whether distributions came from recurring free cash flow, accumulated cash, asset sales, or new debt.
- Test opportunity cost. Ask which growth investments, acquisitions, debt reductions, or resilience measures may have been displaced.
- Stress-test the dividend. Examine free-cash-flow coverage, debt service, cyclicality, reserves, and the likely response to weaker earnings.
- Adjust for your circumstances. Apply the tax and account treatment relevant to your jurisdiction and ownership structure.
| Comparison axis | Dividend payout | Repurchase payout |
|---|---|---|
| Immediate cash | All holders receive cash in proportion to shares held | Only shareholders who sell receive cash directly |
| Policy flexibility | Regular payments can create an expectation of continuity | Volume can usually vary without changing a regular dividend rate |
| Ownership effect | Share count normally does not change | Retired shares can increase continuing holders’ percentage ownership, subject to new issuance |
| Valuation risk | Does not require the company to choose a purchase price | Buying above intrinsic value can destroy value; buying below it can benefit continuing owners |
| EPS effect | Usually no direct denominator reduction | Can raise EPS mechanically; funding and opportunity cost still matter |
| Balance-sheet risk | Borrowing to maintain payments can weaken coverage | Debt-funded repurchases add leverage and interest obligations |
| Investor tax result | Depends on dividend classification, account, and jurisdiction | Depends on sale treatment, gains, losses, account, and jurisdiction |
What the historical scale of buybacks tells you
Buybacks have become large enough to affect market-wide capital flows. SEC Chair Gary Gensler said reported repurchases were nearly $950 billion in 2021 and more than $1.25 trillion in 2022. Those are historical reported amounts, not current annual spending estimates or evidence that repurchases outperform dividends.
Scale also makes disclosure quality important. A large headline figure can conceal offsetting stock issuance, purchases made at very different valuations, or a program that is authorized but not completed.
U.S. disclosure rules are date-sensitive
In a May 3, 2023 announcement, the SEC described amendments intended to require issuers to disclose daily repurchase activity quarterly or semiannually depending on issuer type, along with narrative information about repurchase objectives and decision criteria. The announcement also discussed insider-trading disclosure surrounding plan adoption.
Those details describe the 2023 rulemaking record. Filing obligations, effective dates, and litigation status can change. As of any investment decision in October 2026, verify the issuer’s current filings and the SEC’s current implementation position rather than relying on the 2023 announcement alone.
Common mistakes to avoid
- Calling dividends “free money.” A distribution transfers company value; judge it with total return.
- Treating EPS accretion as proof of value creation. Check the repurchase price, funding, debt, dilution, and alternatives.
- Using gross buyback dollars as the ownership measure. Net share count is what changes each remaining holder’s percentage.
- Assuming a high fund distribution means a high return. It may include capital gains or return of capital while NAV falls on distribution.
- Applying one tax answer to everyone. Jurisdiction, account type, and investor status can reverse the comparison.
- Calling a policy sustainable from one year of cash flow. Test coverage through a weaker earnings and cash-flow scenario.
- Assuming a universal winner. The right mix depends on valuation, reinvestment opportunities, balance-sheet capacity, and shareholder needs.
Bottom line
Dividends deliver cash directly; buybacks deliver cash mainly to selling shareholders and can increase the relative ownership of holders who stay invested. Under CFA Institute’s all-else-equal benchmark, equal-value dividends and repurchases have the same effect on total shareholder wealth. In practice, price paid, net dilution, financing, forgone investment, dividend coverage, market participation, and investor-specific taxes determine the result. Judge both policies by sustainable total return over a consistent period—not by payout rate, buyback headlines, or EPS alone.
