Putting a stock, bond, fund interest, or other security on a blockchain does not remove it from the federal securities laws. The token is a different recordkeeping or representation format; it is not an exemption. You must identify the underlying instrument, determine exactly what rights the token gives its holder, and then match each offer, sale, resale, custody arrangement, and trading activity to a registration requirement or an available exemption.
The SEC staff’s Jan. 28, 2026 statement describes a tokenized security as a security under federal law represented by a crypto asset, with ownership recorded in whole or in part on one or more crypto networks. That staff statement reflects the agency’s views, not a new statute or binding rule. The result in a particular launch depends on the instrument, participants, jurisdictions, transfer controls, and intermediaries involved.
What SEC rules apply when a security is on a blockchain?
The same Securities Act analysis applies whether ownership is recorded in a traditional ledger, a transfer agent’s book-entry system, or a blockchain. Every offer and sale of a security must be registered unless an exemption is available. Tokenization can affect how ownership, settlement, custody, and transfers work, but it does not change the legal character of the underlying security by itself.

- What is the underlying instrument? It could be common stock, debt, a fund interest, a note, or another instrument that falls within the statutory definition of a security.
- What does the token holder legally receive? Voting, dividends, information, redemption, liquidation, or merely synthetic price exposure produce different analyses.
- Who is acting and what transaction is occurring? Issuer, investor, broker, dealer, exchange, alternative trading system (ATS), custodian, transfer agent, and liquidity provider can each have separate obligations.
- Where and when does the activity occur? Investor residence, issuer location, resale timing, solicitation method, and state law can determine whether a pathway is available.
A token that tracks a share but does not convey the share’s voting or information rights is not automatically equivalent to that share. Conversely, a token that is merely a digital representation of a conventional security remains subject to the registration, exemption, and anti-fraud provisions that would apply to the conventional form.

Choose the token model before choosing an exemption
The legal analysis changes with the relationship between the token and the referenced security. The SEC staff has identified several models that are useful for framing the questions.
Issuer-sponsored tokenized security
The issuer creates or authorizes the token and uses it as the record of, or a representation of, the security. The offering documents should state whether the blockchain record is the master securityholder record, how errors are corrected, how lost keys are handled, and how corporate actions are delivered. Smart-contract transfer restrictions must match the issuer’s legal transfer procedures.
Custodial tokenized security entitlement
A custodian holds the conventional security and issues a token representing an indirect interest or security entitlement. The token holder may have rights against the custodian rather than direct rights against the issuer. Insolvency treatment, segregation of assets, redemption mechanics, voting instructions, and the identity of the legal owner therefore matter as much as the code.
Quick wins for a faster PC:
Repair Windows errors before they cause bigger problemsFix Now →Scan for outdated or missing drivers - takes under a minuteDriver Scan →Linked security
A linked security is issued by a third party and provides synthetic exposure to a referenced security. It is not an obligation of the referenced issuer. The offering must explain the issuer’s credit risk, calculation and adjustment methods, termination events, collateral (if any), and the fact that the holder may have no direct shareholder or bondholder rights.
Security-based swap
A security-based swap generally provides synthetic exposure without conveying voting, information, or equity rights in the referenced security. If the crypto asset represents a security-based swap, the SEC staff statement says it generally cannot be offered or sold to a person who is not an eligible contract participant unless a Securities Act registration statement is effective and the transaction is effected on a national securities exchange. Transactions among eligible contract participants may use other permitted venues, subject to the applicable rules.

How the main SEC exemption pathways differ
An exemption is selected for a specific transaction, not for “the blockchain” generally. The table below summarizes the principal federal pathways and the conditions that most often affect a tokenized offering.
| Path | Typical use | Key conditions and limits | Disclosure and filing | Resale and state-law points |
|---|---|---|---|---|
| Section 4(a)(2) | Issuer private placement without a public offering | No public offering; facts, investor sophistication, access to information, and ability to bear risk are relevant | No Form D required by the statute alone | Securities are generally restricted; state law still applies |
| Rule 506(b), Regulation D | Private placement without general solicitation | Unlimited accredited investors; up to 35 sophisticated non-accredited investors in the stated period; bad-actor disqualification applies | Form D; disclosure document required for non-accredited investors under the rule | Restricted securities; federal preemption of state registration, but state notice filings, fees, and anti-fraud authority remain |
| Rule 506(c), Regulation D | Solicited private offering | General solicitation allowed; every purchaser must be accredited and the issuer must take reasonable steps to verify that status | Form D | Restricted securities; state notice and anti-fraud requirements remain |
| Rule 504, Regulation D | Smaller offering | Maximum $10 million in a 12-month period; issuer exclusions and bad-actor rules apply | Form D | Restricted except in limited circumstances; no broad preemption of state registration |
| Regulation A Tier 1 | Public offering up to $20 million | Eligible U.S. or Canadian issuers; offering statement must be qualified | Form 1-A, financial statements, and an exit report | No state registration preemption for Tier 1 |
| Regulation A Tier 2 | Public offering up to $75 million | Non-accredited investment limits unless the security is listed; audited financial statements and ongoing reporting | Qualified Form 1-A; annual, semiannual, current, and exit reports | State registration or qualification is preempted, but state anti-fraud authority remains |
| Regulation Crowdfunding, Section 4(a)(6) | Internet-based offering accessible to retail investors | $5 million in 12 months; registered broker-dealer or funding portal; non-accredited investment limits; issuer exclusions | Form C, required financial statements, progress updates, and annual reports | Generally a 12-month resale limitation; state requirements still matter |
| Intrastate Section 3(a)(11), Rule 147/147A | Offering confined to one state | Issuer and purchaser or offeree residency and in-state business tests | Federal and state conditions vary | Securities must remain with in-state residents for the applicable period |
Section 4(a)(2) and Rule 506(b)
Section 4(a)(2) is the statutory private-placement exemption. It does not prescribe a single numerical investor test, so the issuer must be able to show that the transaction was not a public offering. A token marketed through an unrestricted website, social-media campaign, or open protocol can undermine that position even if purchasers appear sophisticated.
Do these 3 things before closing this tab:
1Fix the driver behind crashes, sound loss and screen glitches2Repair Windows errors before they cause bigger problems3Scan for outdated or missing drivers - takes under a minuteRule 506(b) provides a regulatory safe harbor under Regulation D. General solicitation is not permitted. The rule allows an unlimited number of accredited investors and up to 35 non-accredited investors who meet the rule’s sophistication standard during the stated period. Non-accredited purchasers trigger specified disclosure obligations. Bad-actor disqualification applies, and the securities are restricted.
Rule 506(c)
Rule 506(c) permits general solicitation, which can make a public-facing token launch possible, but every purchaser must be accredited. The issuer must take reasonable steps to verify accredited status; a checkbox or self-certification alone is usually not enough. Public promotion does not make the resulting tokens freely tradable. Resale restrictions and the obligations of any marketplace remain.
Rule 504
Rule 504 permits up to $10 million in a 12-month period, subject to issuer exclusions and bad-actor provisions. State registration or qualification often becomes a central issue because Rule 504 does not provide the broad state-registration preemption available under Rule 506. A token platform must also prevent transfers that would defeat the offering’s state-law conditions.

Regulation A
Tier 1 permits a public offering of up to $20 million. The issuer files Form 1-A, supplies financial statements, and files an exit report; state registration is not preempted. Tier 2 raises the federal ceiling to $75 million and generally requires audited financial statements plus annual, semiannual, current, and exit reports. Non-accredited investors face investment limits unless the security is listed. Tier 2 preempts state registration or qualification, but states retain anti-fraud authority.

Regulation Crowdfunding, under Section 4(a)(6), allows up to $5 million in a 12-month period through a registered broker-dealer or funding portal. The issuer files Form C and provides financial information at the level required for the offering, then supplies progress and annual reports. Investment limits apply to non-accredited investors, and the securities generally cannot be resold for 12 months, subject to the rule’s exceptions.
Intrastate offerings
Section 3(a)(11) and Rules 147 and 147A are designed for offerings genuinely confined to one state. Residency, the issuer’s in-state business, and resale restrictions must be documented. A blockchain’s global reach creates an operational risk: an unrestricted wallet, pseudonymous purchaser, or cross-border transfer can conflict with an intrastate condition unless the system enforces the required limitations.
Why primary issuance and secondary trading are separate
An exemption that covers an issuer’s initial sale does not automatically authorize a secondary market. A separate analysis is required for each resale under Section 4(a)(1), Rule 144 where its safe-harbor conditions are relevant, the token’s contractual transfer restrictions, and the status of the person facilitating the transaction.
A venue may be operating an exchange or ATS. A person buying and selling for its own account may be a dealer. A person arranging transactions for others may be a broker. Holding customer assets can create custody, safeguarding, and transfer-agent issues. None of those questions is answered merely by showing that the original token sale used Rule 506, Regulation A, or Regulation Crowdfunding.

Transfer controls that a token system should address
- Wallet whitelisting and verified investor identity.
- Accreditation, eligible-contract-participant, residency, and holding-period checks.
- Blocking transfers during statutory or contractual lockups.
- Issuer consent, corporate-action processing, and correction of erroneous transfers.
- A legally authoritative off-chain or on-chain master securityholder record.
- Procedures for lost keys, sanctions screening, forks, chain outages, and smart-contract upgrades.
What changed with the 2026 Innovation Exemption?
On Sept. 17, 2026, the SEC announced a temporary, conditional “Innovation Exemption” for qualifying Tokenized Securities Venues trading tokenized NMS stock. The relief is not a general exemption for every token platform. It is limited to venues that satisfy its conditions and is set to expire five years after publication.
Conditions include limits on symbols and trading volume; rights and privileges equivalent to traditional stock; notice to, and an opportunity for, the issuer to object when an unaffiliated party tokenizes the stock; auditable public smart contracts; synchronized trading halts; and public operational disclosures. The relief also covers certain liquidity providers from the dealer definition. A venue must document how it meets each condition and how the token remains equivalent to the corresponding NMS stock.
SEC Chairman Paul S. Atkins described the measure as allowing qualifying venues to trade tokenized NMS stock in a permissioned environment while the Commission considers further action. The temporary nature and conditions mean that a venue cannot treat the announcement as a permanent authorization or as permission to list unrelated tokenized assets.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Form D timing and a practical compliance workflow
For a Regulation D offering, file Form D electronically through EDGAR no later than 15 calendar days after the first sale. The SEC states that a late filing can have consequences but is not itself a condition to the availability of Rules 504, 506(b), or 506(c). The issuer should still calendar the deadline and complete any state notice filings and fees.
- Define the instrument. Identify the underlying security, issuer, legal holder, economic and voting rights, and whether the token is issuer-sponsored, custodial, linked, or a security-based swap.
- Classify the activity. Separate primary issuance, secondary resale, custody or entitlement transfer, venue operation, and liquidity provision. Each can invoke different rules.
- Test the candidate exemption. Check solicitation, investor status, offering cap, disclosure, filing, bad-actor, and resale conditions. For Rule 506(c), design and document reasonable accredited-investor verification.
- Map state and intermediary obligations. Analyze state registration or notice rules, broker-dealer and dealer status, ATS or exchange registration, custody, transfer-agent functions, and possible Investment Company Act implications.
- Align code and legal records. Make smart-contract permissions, wallet controls, corporate actions, and the authoritative securityholder record implement the same transfer mechanics described in the offering documents.
- Obtain jurisdiction-specific legal review. Securities counsel should review the exact instrument, investor locations, marketing, custody structure, venue, and planned resales before launch or publication of a compliance conclusion.
Common mistakes and how to correct them
“Blockchain means the token is outside SEC jurisdiction.”
Correct the premise: the format does not determine the legal status. Analyze the rights and obligations represented by the token, then apply registration or an exemption to each transaction.

“A private-placement exemption makes the token freely tradable.”
It does not. Code should enforce the applicable holding period, investor restrictions, and transfer approvals, while the venue and participants undergo their own regulatory analysis.
“A public website is harmless if only accredited investors buy.”
For Rule 506(b), general solicitation can destroy the safe harbor. If public solicitation is essential, evaluate Rule 506(c) and document accredited-investor verification rather than relying on an informal assurance.
“A tokenized share always carries shareholder rights.”
Confirm the legal documents. A custodial entitlement, linked security, or security-based swap may provide indirect or synthetic exposure without voting, information, or equity rights.
Recommended Free Tools
“Federal preemption eliminates state compliance.”
Even where a rule preempts state registration, states can require notice filings and fees and retain anti-fraud authority. Tier 1 Regulation A, Rule 504, and intrastate offerings require especially careful state-law analysis.
What a purchaser, issuer, or platform should verify
- The offering document identifies the legal issuer, governing law, holder rights, redemption or settlement process, and all material transfer limits.
- The token’s smart contract and wallet controls prevent transfers to ineligible purchasers and preserve required records.
- Custody agreements explain segregation, insolvency treatment, key management, voting, distributions, and recovery from operational failures.
- Marketing materials accurately describe whether the token is the security itself, an entitlement, a linked instrument, or a swap, and do not imply liquidity that is not legally available.
- The proposed venue has analyzed exchange, ATS, broker, dealer, liquidity-provider, custody, and transfer-agent obligations independently of the primary exemption.
- State, cross-border, sanctions, privacy, tax, and Investment Company Act issues have been reviewed for the actual jurisdictions and structure.
Limits of SEC staff guidance
The Jan. 28, 2026 tokenized-securities statement and SEC educational exemption materials are staff views and do not have the force of law. They do not replace the Securities Act, Exchange Act, Investment Company Act, state statutes, or binding Commission rules. Facts such as issuer consent, investor location, custody, transfer restrictions, and the functions performed by a venue can change the outcome. A launch should therefore be documented as a transaction-specific legal analysis, not as a conclusion that “tokenization is exempt.”
