Private-equity partner economics are a stack, not a single percentage. A partner may receive salary and an annual bonus from the management company, a fund-vintage allocation of carried interest, a share of the return on the GP’s own capital commitment, and—at some firms—equity or profit rights in the management company. Those rights come from different entities, documents and risks. A partner can hold carry in Fund III without owning the management company, while a founder can own a larger share of management-company profits than of a particular fund’s carry.

The four compensation streams partners need to separate

The most useful way to analyze a private-equity partner’s package is to identify which entity pays each component and what must happen before the money is earned.

Stream Where it arises What determines the value Typical risk or limitation
Salary and annual bonus The management company Role, performance, firm budget, market conditions and annual results Usually cash compensation; it does not automatically create fund ownership
Carried interest A fund’s GP or a fund-specific carry vehicle The fund waterfall, the partner’s allocation, realized profits, vesting and clawback terms May take years to pay and can be reduced or forfeited
GP capital interest The partner’s share of the GP’s investment in the fund Amount funded, ownership percentage and the fund’s investment return Requires capital, financing or both; it is separate from carry
Management-company ownership The continuing management-company platform Residual profit, voting rights, enterprise value and any sale or GP-stakes transaction May be limited to founders or senior holders and can have detailed leaver and buyback rules

Cooley’s The Fund Lawyer describes the separation as three economic streams: “carried interest, capital interest and management company economics.” Salary and bonus sit alongside those streams as employment compensation. Treating all four as one headline “partner percentage” hides the real deal.

Salary and annual bonus

The management company receives management fees, employs the investment and operating team, pays vendors and runs fundraising, investor relations, compliance and systems. It normally pays partners their base salary and annual bonus. A bonus can reflect individual performance, investment realizations, fundraising or firm profitability, but it is not the same legal right as carry and does not necessarily continue after a partner leaves.

Carried interest

Carried interest is performance compensation: the GP receives a share of fund profits after the fund’s distribution waterfall applies. CFA Institute defines it as “a term denoting the share of fund profits that the GP receives as performance compensation.” A partner’s personal carry is a slice of the GP’s fund-level carry pool, not an automatic 20% of the entire fund.

GP capital interest

The GP normally commits its own money to the fund. People who fund that commitment participate in the investment return attributable to their capital. This is an investment right, not compensation for performance. A partner might receive 20% of a carry pool but fund 10% of the GP commitment, or fund a larger share than the carry allocation. The percentages do not have to match.

Management-company ownership

Management-company equity or profit interests attach to the enduring platform rather than one fund vintage. Depending on the governing documents, holders may share in residual profit after costs, vote on company matters, participate in enterprise value and receive proceeds from a sale or a GP-stakes transaction. Such ownership may continue across Fund I, Fund II, co-investment vehicles, continuation funds and later products.

Which entity controls each right?

The GP and management company are related but distinct. Cooley states that “the GP is the entity that controls the fund.” A GP is commonly formed for a specific fund vintage and may wind down after that fund’s investments and obligations are complete. The management company is the continuing business: it employs personnel, receives management fees, owns or licenses operating assets and supports multiple products over time.

The management company should generally hold long-term platform assets such as the brand, website, customer-relationship systems, track-record materials, internal systems and intellectual property. Keeping those assets in a continuing company matters because a fund-specific GP may not survive long enough to own them or monetize them.

Carry documents, GP agreements, employment agreements and management-company equity plans can therefore produce different answers to “what does the partner own?” A partner may have a contractual carry percentage but no vote in the management company, or management-company profit rights without a large allocation in a particular fund.

How the “2 and 20” model affects partner economics

“2 and 20” is a market convention, not a guaranteed partner formula. CFA Institute describes a typical structure as a 2% annual management fee on committed capital and 20% of fund profits above a specified hurdle rate. A CFA Institute Research Foundation brief notes that annual fees are often 1%–2% of committed capital and carried interest is often 20%; individual funds negotiate their own terms.

The management fee is paid to the management company under the fund documents. It funds salaries, bonuses, office and technology costs, compliance, fundraising and other operating expenses. Only the amount left after those costs becomes management-company profit available for distributions or reinvestment. A partner’s share of that residual is different from the fund’s carry.

The waterfall before carry is paid

  1. Return of contributed capital. Distributions generally first return the capital that LPs contributed, subject to the exact limited partnership agreement.
  2. Preferred return or hurdle. LPs commonly receive a specified preferred return before the GP participates in profits. An 8% hurdle is a frequently used example in market explanations, but the rate, compounding method and application are document-specific.
  3. Catch-up, where agreed. A catch-up provision can direct subsequent proceeds to the GP until it reaches the negotiated share of profits.
  4. Residual split. Remaining proceeds are divided between LPs and the GP under the LPA, often with the GP receiving the carried-interest percentage.

Because the waterfall operates at fund level, a partner can have a substantial stated carry allocation and still receive nothing if the fund has not cleared its return-of-capital and hurdle conditions. Carry can also be paid over many years as investments are realized rather than at the time a fund closes.

How a firm allocates carry among partners

Carry is usually allocated inside the GP or a vehicle associated with a particular fund vintage. Founders and senior investment professionals are common recipients, but CFOs, operating partners, venture partners, platform professionals and junior professionals may participate as well.

Common allocation methods

  • Fixed allocation at inception: the GP assigns each participant a stated percentage when the fund is formed.
  • Role- or contribution-based allocation: the percentage reflects seniority, origination, portfolio responsibility, fundraising or other agreed contributions.
  • Employee profit-sharing pool: a portion of the GP’s carry is reserved for a broader group and allocated under an internal plan.
  • Vintage-by-vintage negotiation: a partner’s percentage can change from Fund I to Fund II as responsibilities, seniority and the fund’s economics change.

Always identify the denominator. “Five percent of carry” could mean 5% of the GP’s carry pool for one fund, not 5% of all fund profits. The documents should state whether the allocation is calculated before or after expenses, taxes, organizational costs, broken-deal costs or other deductions.

Vesting, departure and clawbacks

Many carry plans vest over time. A partner who leaves generally keeps vested carry under the plan while unvested carry is forfeited and may be reallocated. The result depends on the plan’s definitions of service, good leaver, bad leaver, retirement, disability, termination and resignation.

Questions the carry documents should answer

  • When does vesting start, and is it time-based, milestone-based or both?
  • Does vesting accelerate on a sale, change of control or retirement?
  • What happens to vested carry that has not yet been distributed?
  • How is forfeited carry reallocated?
  • Can a departed partner participate in future funds?
  • Who bears taxes, expenses and any internal clawback?
  • Can the GP repurchase vested interests, and at what valuation?

A clawback can require recipients to return previously distributed carry if later losses mean the GP received more than the final waterfall permits. Internal agreements should explain how that obligation is shared among current and former partners. A headline carry percentage without these provisions is not enough to value the package.

How the GP commitment changes a partner’s package

Sponsors often commit approximately 1%–2% of total fund commitments as GP capital, although the amount varies by fund and sponsor. The GP may fund that amount from partner cash, financing, management-company resources or a combination, subject to the fund and internal agreements.

Partners should distinguish three numbers: the total GP commitment, the partner’s funded amount and the partner’s percentage of the GP’s resulting investment return. A partner who funds 10% of the commitment may receive 10% of the capital interest, while another arrangement can allocate returns differently. The commitment can create meaningful upside when the fund performs, but it also requires cash and exposes the partner to losses and financing costs before any carry is paid.

  • Residual operating profits after salaries, bonuses, technology, compliance and other costs;
  • Voting rights over budgets, hiring, strategy, new products and distributions;
  • Enterprise value if the platform is sold or receives a GP-stakes investment;
  • Proceeds from future funds and vehicles supported by the platform; and
  • Information, inspection or governance rights specified in the company agreement.

Founders may receive a larger management-company share because they built the platform, funded early losses, guaranteed obligations or created the brand. A broader team may receive carry for work on a specific vintage without receiving platform equity. The two allocations therefore answer different questions: who created and owns the continuing business, and who is being rewarded for a fund’s performance.

What market surveys can—and cannot—tell you

Public compensation surveys are useful for benchmarking cash pay, bonus design, carry participation and co-investment practices, but they do not establish a universal partner ownership percentage.

Source Coverage How to use it
Heidrick & Struggles, 2023 587 North American investment professionals; anonymous, self-reported and aggregated Compare base salary, bonus and carried-interest plans across role groups, while recognizing reporting and sample limitations
MM&K and Holt, 2024 53 private-equity and venture-capital positions Review salary, benefits, annual bonus, carry participation, co-investment plans and GP-commitment requirements

Fund size and vintage, seniority, origination and portfolio duties, GP-commitment funding, vesting, departure provisions and negotiated governance documents can move an individual deal far away from a survey midpoint. Use a survey to frame questions, not to infer a guaranteed percentage.

How to compare two partner offers

Put both offers into a single comparison sheet and request the governing documents, not just a term-sheet summary.

Area What to compare
Cash Base salary, target and maximum bonus, payment timing, deferral and conditions
Fund carry Fund vintage, percentage of the carry pool, vesting schedule, expenses, hurdle and waterfall
Downside Clawback exposure, tax obligations, indemnities and any repayment security
GP commitment Total required contribution, the partner’s funded amount, financing terms and capital-return allocation
Management company Equity or profits interest, voting rights, distributions, valuation and sale participation
Departure Good- and bad-leaver definitions, forfeiture, repurchase price and treatment of unpaid vested carry
Future access Eligibility for later funds, co-investments, continuation vehicles and successor products
Information and governance Reporting, inspection, consent thresholds and rights to see calculations

Ask for worked distribution examples showing what the partner receives at several fund outcomes, including a loss, a return below the hurdle, a moderate realization and a strong realization. The example should identify timing, taxes, expenses, carry escrow and clawback assumptions. A lawyer experienced in private-equity fund formation and executive compensation can then reconcile the examples to the GP agreement, LPA, carry plan and management-company documents.

A simple way to read a partner’s economics

  1. Start with the entity: mark each payment as management-company cash, fund carry, GP capital return or management-company ownership.
  2. Find the denominator: determine whether every percentage refers to fund profits, the GP carry pool, the GP commitment or company equity.
  3. Trace the timing: note when fees, bonuses, carry distributions and capital returns can actually be paid.
  4. Read the leaver rules: separate vested from unvested rights and identify repurchase or forfeiture provisions.
  5. Model downside: include capital calls, financing costs, clawbacks and a fund that never clears its hurdle.
  6. Check platform rights: confirm whether the partner participates in the management company and future products or only one fund vintage.

The practical conclusion is straightforward: management fees and bonuses pay for current employment, carry rewards a fund’s realized performance, GP capital interest rewards invested money, and management-company ownership captures the value of the continuing platform. A credible partner package states each right separately and explains how the waterfall, vesting, departure rules and governance affect the amount that can ultimately be retained.
