A public company’s market capitalization is a visible, time-specific calculation: its quoted share price multiplied by its outstanding shares. A private-company valuation is an estimate made for a particular purpose and date, using financial evidence, comparable businesses, and assumptions about risk, ownership rights, and marketability. The methods overlap, but the inputs—and the question being answered—can differ substantially.
What a public company’s market capitalization tells you
Market capitalization, or market cap, is calculated by multiplying a company’s current quoted share price by its shares outstanding. It gives a readily observable measure of the market value of the company’s outstanding common equity at that moment. The price comes from trading in the company’s shares; the multiplication scales that price across the shares counted in the calculation.
That figure is not the same as the value of the entire operating business, nor is it a guaranteed acquisition price. It describes the equity at the quoted price, not what a buyer would necessarily pay to take control, assume the company’s obligations, or purchase every share. Analysts therefore need to be clear whether they are discussing equity value or enterprise value and must compare like with like. CFA Institute discusses this distinction in its overview of equity valuation applications and processes.
A quoted price is observable, but it is still a market price formed under particular conditions. It does not establish that every shareholder could sell a large holding at exactly that price, or that a particular share class or ownership interest has identical rights and value.

Why a private-company valuation is an estimate
Private-company shares generally do not trade on an exchange with a continuously quoted price. An analyst therefore has to estimate value from evidence such as the company’s financial results and forecasts, prices or multiples for comparable businesses, relevant transactions, or the value of its assets and liabilities. The answer is tied to the date and purpose of the assignment; it is not a continuously updating market quote.
This does not mean private businesses require an entirely different theory of value. CFA Institute identifies income, market, and asset-based approaches for private companies, while noting that analysts often adapt inputs to the company’s circumstances. The IRS also identifies asset-based, market, and income approaches among generally accepted business valuation methods in its valuation standards and guidelines.
The key difference is often the evidence available and how carefully it must be interpreted. For a mature private firm, comparable public companies can help inform a cost of capital or a valuation multiple, but the analyst must decide which businesses are genuinely comparable and how their differences affect the estimate. CFA Institute describes that use of public-company comparables in its 2026 Private Company Valuation curriculum.
How the valuation approaches work
Income approach
An income-based analysis estimates the value of future economic benefits, commonly cash flows, by forecasting them and discounting them to reflect timing and risk. The result depends on assumptions about matters such as future performance and the appropriate discount rate. A forecast is not a fact: its support, consistency with historical results, and sensitivity to changed assumptions all matter.

Market approach
A market approach draws on multiples or transaction evidence from businesses considered comparable. Public-company prices can be useful inputs, but a multiple cannot simply be copied from a listed company onto a private one. Differences in growth, margins, scale, risk, capital structure, and the rights attached to the interest being valued may require adjustments or may make a proposed comparable unsuitable.
Asset approach
An asset-based analysis estimates the relevant assets and liabilities. It can be appropriate when the company’s value is closely tied to its assets or when an income or market approach does not best fit the assignment. The choice of method depends on the business, the evidence, and the valuation purpose; no one approach is automatically right for every private company.
Why private and public values can diverge
Private-company information can vary in depth, consistency, and independent verification. An analyst may need to assess how reliable financial statements are, how forecasts were built, and whether reported results reflect the continuing business. This work may include normalizing earnings—for example, separating nonrecurring items or owner-related expenses from ongoing operations where the evidence supports doing so. It is not a license to adjust results arbitrarily.
Company-specific characteristics also affect the analysis. Size, operating history, access to capital, customer concentration, and dependence on particular managers can influence the outlook and risk assessment. These are factors to investigate, not assumptions that every private company has weaker records, more risk, or lower value than a public peer.

Public-company comparables can still help, especially for a mature private business, but the analyst must weigh whether the businesses match in the aspects that matter to the selected method. A difference in size or growth, for example, is relevant only through its effect on the business economics, risk, or valuation input being used. The conclusion should reflect the actual company and evidence, rather than a blanket private-company reduction.
Liquidity and control are different questions
A public share is generally easier to trade because an established market provides quotations and a pool of potential buyers. A private share may face transfer restrictions, a narrower buyer pool, or no organized resale market. A marketability or liquidity adjustment, when relevant, addresses the difficulty of selling the particular interest under its actual circumstances. It is not a universal percentage applied to all private businesses.
Control is a separate issue. An interest with decision-making rights may differ in value from a minority interest that lacks those rights. Whether control affects the conclusion depends on the rights being valued and the assignment. A control premium is not mechanically added to every private-company estimate, just as a marketability discount is not automatically appropriate in every case. CFA Institute’s discussion of private-company valuation treats these adjustments as situational rather than fixed rules.
These concepts should not be collapsed into one generic “private-company discount.” A marketability question concerns the ability to sell an interest; a control question concerns what the holder can do with it. The answers can differ for two interests in the same company.

Purpose and valuation date determine what the estimate means
“What is the company worth?” is incomplete without asking what is being valued, for whom, and as of when. A valuation for an option grant, tax reporting, financial reporting, a transaction, or a dispute may address a different question. The relevant interest might be the whole company, a specific share class, or a particular ownership stake. A conclusion should identify its purpose, subject interest, and valuation date so readers do not treat it as a timeless price.
Section 409A is a specific tax context, not a universal rule for every private-company valuation. The IRS states in its Internal Revenue Bulletin 2024-20 that fair market value for this purpose is determined through reasonable application of a reasonable valuation method, with reasonableness assessed from the facts and circumstances as of the valuation date. That guidance should not be generalized into a single required method or rule for unrelated valuation purposes.

Two estimates can differ without either being automatically wrong. Before comparing a private-company estimate with a public market value—or comparing two private estimates—check whether they answer the same question and rely on compatible evidence.

Why a financing-round figure may not equal the company’s value
A reported financing-round valuation is tied to the transaction that produced it. It should not automatically be treated as the value of every share or as the value of the company at a later date. The security sold, its rights, the transaction terms, and the date all matter. A price paid for one class or package of rights does not, without analysis, establish an identical value for a different interest.
The same discipline applies when a private-company figure is compared with a public market capitalization. First identify the share or ownership interest each figure represents, then examine the methods, evidence, date, and relevant rights. A valuation is most useful when its assumptions and scope are visible—not when its headline number is detached from them.
What the numbers do—and do not—say
There is no generally applicable private-company discount or control premium that can responsibly be applied to every business. A defensible adjustment depends on the company, the specific interest, its rights and transferability, the valuation purpose, and the date. Without evidence tied to those circumstances, a precise percentage can create a false sense of certainty.

Likewise, a public market capitalization is a useful market observation, not a promise about sale proceeds or a direct measure of what an acquirer would pay. A private-company estimate is a reasoned conclusion based on a stated method and evidence, not an exchange quote. Keeping those meanings separate is the starting point for interpreting either figure.
