Assess an AI drug-discovery partnership by starting with the decision you need to improve—not the vendor’s model score. Define the target, discovery stage, intended output, users, downstream action and consequences of error; then test evidence in that context, diligence data and intellectual-property rights, examine regulatory and operational readiness, and use a pilot with pre-agreed success and stop criteria. No single accuracy metric, return-on-investment hurdle or contract form applies to every program.
1. Define the pharmaceutical decision before scoring the AI
A partnership is assessable only when its proposed use is specific. Write a one-page context-of-use statement before reviewing a demo or benchmark. FDA’s draft guidance describes credibility assessment as applying to “a particular context of use (COU),” and FDA/EMA principles call for a clear use, risk-based evaluation and lifecycle management.
Specify the scientific problem
- Bottleneck: target identification, molecule generation, lead optimization, activity or toxicity prediction, experimental prioritization, or another task.
- Therapeutic scope: disease area, target class, modality, chemistry constraints and relevant biological systems.
- Discovery stage: hypothesis generation, hit finding, lead series selection, preclinical candidate nomination or another stage.
- Inputs: internal assays, omics, structures, literature, clinical data, images or other datasets, including their formats and access restrictions.
- Output: ranked compounds, predicted properties, target hypotheses, experiment recommendations, synthesized molecules or a report.
- User and action: who will consume the output and which experiment, investment or portfolio decision it changes.
- Failure consequence: wasted synthesis, a missed opportunity, safety risk, misleading regulatory evidence or another material harm.
Record what is out of scope. A platform validated for one target class, assay type or data regime should not be presumed to generalize to another. If the intended use changes—from internal prioritization to evidence supporting a regulatory submission—the credibility, documentation and controls must be reassessed.

Fix the driver behind crashes, sound loss and screen glitchesFind Drivers →Repair Windows errors before they cause bigger problemsFix Now →Scan for outdated or missing drivers - takes under a minuteDriver Scan →Turn the statement into a decision question
Use a question such as: “Can this system increase the proportion of compounds selected for our specified assay, compared with our current ranking process, without adding unacceptable review time or data risk?” The question should identify the baseline, population, time window and decision owner. “Is the model state of the art?” is not a decision question and cannot define a useful pilot.

2. Request evidence that matches the claim
Ask for enough detail to reproduce the logic of the claim, not merely a slide showing a high score. Match the evidence to the intended use and the consequences of an incorrect output.
Evidence request checklist
| Evidence area | Questions to answer | Why it matters |
|---|---|---|
| Data provenance | Who generated each dataset? What dates, instruments, assays, inclusion rules and exclusions apply? Are any records licensed or restricted? | Unclear provenance can hide bias, incompatible measurements or rights that prevent use in your program. |
| Evaluation design | How were training, validation and test sets split? Were near-duplicates, time-correlated samples, scaffold analogues or target information kept apart? | Leakage can make a model appear accurate while failing on genuinely new chemistry or biology. |
| Comparator | Is the comparison against a simple baseline, an established internal method, an external tool or an expert workflow? Were all methods given comparable data? | A strong result against a weak baseline may not improve your current process. |
| Metrics and uncertainty | Which metrics answer the scientific question? Are confidence intervals, calibration, ranking quality, class imbalance and abstention behavior reported? | Average accuracy can conceal poor performance in the high-value tail or unsafe overconfidence. |
| External or prospective validation | Has the system been tested on an independent institution, later time period, new target or prospective wet-lab batch? | Prospective evidence is more informative about deployment than retrospective benchmark performance. |
| Failure analysis | Which chemical series, assays, targets or data conditions cause errors? What are the known limitations and out-of-domain signals? | Failure modes determine whether human review or a narrower scope can make the tool safe and useful. |
| Reproducibility | What model version, code, dependencies, random seeds, hardware and preprocessing produced the result? | Version drift and undocumented preprocessing can prevent verification and invalidate later comparisons. |
| Data dependencies | Does performance depend on proprietary, third-party or continuously refreshed data? Can your team legally and technically provide equivalent inputs? | A result may not transfer if the partner’s hidden data cannot be supplied in your environment. |
Ask the partner to demonstrate uncertainty and failure cases, not only its best examples. For molecule-generation systems, inspect novelty, synthesizability, property trade-offs and duplicate or near-duplicate rates. For prediction systems, examine calibration and performance at the operating threshold you would actually use. For experimental prioritization, measure whether the ranking improves the next batch of experiments rather than treating a retrospective score as proof of drug-development success.
The available guidance does not establish a universal metric set or acceptance threshold for AI drug-discovery systems. Select metrics that answer your decision question, and agree the analysis plan and thresholds before anyone sees pilot results. A prospective wet-lab confirmation or a controlled benchmark may be necessary before a larger commitment.

3. Diligence data, intellectual property and confidentiality
The data and rights can determine whether a technically good system is usable. Map every asset that enters the collaboration and every output that may leave it.
Build an asset-and-rights map
| Asset | Questions for the term sheet and definitive agreement |
|---|---|
| Background IP | Which pre-existing software, model architecture, patents, compounds, assays and know-how does each party bring? What license is granted, for which field and territory, and for how long? |
| Foreground inventions and compounds | Who owns new targets, molecules, compositions, methods, patents and regulatory-relevant inventions? Are rights exclusive, field-limited or shared? |
| Model weights and software | Who may use, host, modify, audit or transfer the trained model and derivative versions? What happens to updates created during the project? |
| Training and validation data | May the partner retain project data, combine it with other customers’ data, or use it to train or improve models? Are deletion and return obligations technically enforceable? |
| Experimental results | Can each party use results for internal research, patent filings, regulatory submissions, publications and follow-on programs? |
| Third-party constraints | Do licenses, patient consents, privacy rules, material-transfer terms or confidentiality obligations limit training, disclosure, publication or commercialization? |
| End of the relationship | What is retained, deleted, returned or archived at termination? Do licenses, validation rights, regulatory-use rights and support continue during transition? |
WIPO’s contracting guidance distinguishes background IP from foreground IP and highlights data provenance, validation data, publication, regulatory use, derivative work and confidentiality. Put those issues in the agreement rather than relying on a presentation or a general “commercially reasonable” promise. Specify security controls, access logs, breach notification, subcontractors, audit rights and the permitted locations for data processing.
4. Make regulatory relevance specific to the intended use
First classify the proposed use. An internal tool that helps scientists prioritize experiments is different from a system that generates evidence intended to support a regulatory decision about safety, effectiveness or quality.

Research-use assessment
For internal prioritization, document the human review step, the model’s limitations, data governance, change control and records needed to reproduce decisions. Define when a scientist must override, escalate or disregard an output. Monitor performance after data, assays, targets or model versions change.
Regulatory-support assessment
For evidence that may be submitted to a health authority, define the context of use, risk, critical data, validation design, documentation and lifecycle controls in the relevant jurisdiction. The FDA document issued in January 2025 is draft, explicitly nonbinding and marked “Not for implementation”; it is a framework to consider, not an approval or endorsement of a particular discovery platform. Determine whether later agency expectations or product-specific advice supersede it before relying on the document.
FDA and EMA published ten joint good-practice principles in January 2026. They cover human-centered design, risk management, standards, clear context of use, multidisciplinary expertise, data governance, model-development practices, performance assessment, lifecycle management and essential information. Use these as a cross-functional checklist, then map the result to the laws and guidance in each intended submission geography. An EMA medicinal-product lifecycle reflection paper adopted in September 2024 also supports considering AI across the product lifecycle rather than treating validation as a one-time event.

5. Test operational fit and value
A model that cannot be integrated into the scientific workflow has no practical value. Assess the complete operating environment.
Operational diligence questions
- What compute, storage, APIs, laboratory systems and data pipelines are required?
- How long does onboarding take, and who performs data mapping, preprocessing and quality checks?
- How will cybersecurity, privacy, identity management and vendor-risk reviews be completed?
- Where do scientists see results, and how are rationale, uncertainty and provenance recorded?
- Who owns monitoring, recalibration, validation after updates and incident response?
- What support, service levels, training and documentation are included?
- Can the system operate if an external data source, model endpoint or partner service is unavailable?
Use a transparent counterfactual
Estimate value against the process you use today. State which experiments, review hours, cycle times or portfolio decisions could change; the probability that the change occurs; implementation and support costs; and the cost of false positives and false negatives. Separate measured pilot outcomes from assumptions about downstream clinical or commercial benefit. Public descriptions of AI-partnership work emphasize decision-relevant pilots, operational assumptions, implementation needs, ROI and buy-versus-build-versus-partner analysis, but they do not provide a universal ROI formula or hurdle. Set your own project-specific threshold with finance, science and program leadership.
Do these 3 things before closing this tab:
1Fix the driver behind crashes, sound loss and screen glitches2Clear out junk files and repair common Windows errors3Scan for outdated or missing drivers - takes under a minute6. Design a pilot as a decision instrument
A pilot should answer a written question and end in a go, revise or stop decision. A polished demonstration is not a pilot.

- Write the decision: identify the program, stage, user, baseline and action that will follow the result.
- Freeze the scope: name targets, compounds, assays, data fields, model version, duration and exclusions. State whether the pilot tests scientific performance, workflow utility, integration or commercial viability; one pilot may not answer all four.
- Agree the protocol: define comparator, data splits, blinding or independent review, statistical analysis, uncertainty reporting and treatment of missing or failed experiments.
- Set thresholds in advance: choose minimum scientific improvement, reproducibility, turnaround time, usability, safety and data-quality criteria. Record what result is inconclusive and what triggers a stop.
- Assign responsibilities: specify who supplies data, runs models, performs wet-lab work, verifies outputs, pays for experiments and owns the decision.
- Lock data and IP terms: execute confidentiality, permitted-use, retention, publication, regulatory-use and deletion terms before sharing sensitive data.
- Run the agreed test: preserve logs, model versions, prompts or parameters where relevant, input snapshots, analyst decisions and deviations from protocol.
- Review failure as well as success: classify errors by target, assay, chemistry, data quality and operating condition. Decide whether narrowing the context fixes the problem or whether the premise fails.
- Make the next decision: expand, repeat with a revised protocol, negotiate a larger collaboration, build internally, or stop. Document the rationale and any conditions for re-entry.
Include the resources and time required for prospective confirmation. If the pilot cannot be completed with the data, laboratory capacity or governance available for production, its result will not establish deployment readiness.
7. Compare partnership structures and risk allocation
Choose a structure that matches uncertainty, desired control and the value of the outputs. The same parties may use more than one instrument.
| Structure | Best used when | Terms to compare |
|---|---|---|
| Bounded pilot | The company needs evidence before committing to a broad program. | Fixed scope, data access, protocol, funding cap, success criteria, ownership of pilot outputs, confidentiality and an explicit no-go path. |
| Research collaboration | Both parties contribute science and expect iterative target or program work. | Targets and stages, work plans, governance, milestones, cash and reimbursable costs, invention ownership, publication, regulatory use and expansion rights. |
| License | The partner has a platform, compound or technology the company wants to use or commercialize. | Field, territory, exclusivity, sublicensing, fees, milestones, royalties, diligence obligations, access to updates, support and termination. |
| Option structure | The company wants a defined right to expand after technical evidence, without committing immediately. | Option period, exercise criteria and price, reserved capacity, data and IP treatment during the option, exclusivity and post-exercise terms. |
Compare every proposal on scope and stage; funding and contingent payments; ownership or licenses for compounds, inventions, data and platform outputs; exclusivity, field, target and territory; access to updates; publication and regulatory-use rights; governance; termination and transition; and expansion options.

Outbyte PC Repair FREERepair Windows errors before they cause bigger problemsFix Now →Outbyte Driver Updater FREEFix the driver behind crashes, sound loss and screen glitchesFind Drivers →A 2026 SEC filing describes one company’s February 2026 research collaboration and license covering platform work to identify, generate and optimize small-molecule candidates against three initial targets, alongside a separate technology-enablement agreement for platform access. That filing illustrates that scientific work and platform access can be separated contractually; its economics and terms are specific to that transaction and should not be treated as a template.
8. Establish cross-functional governance and decision gates
Form a review group with scientific, AI or technical, drug-development, legal, privacy, compliance, procurement, information-security and business-development expertise. Give one person authority to approve data access and one accountable owner for the program decision.
Recommended gates
- Gate 0—problem fit: context of use, baseline, risk and expected decision are written and approved.
- Gate 1—evidence fit: partner disclosures, data rights, validation design and limitations support a fair pilot.
- Gate 2—pilot readiness: protocol, thresholds, responsibilities, security review and IP terms are complete.
- Gate 3—pilot result: independent review confirms whether criteria were met and explains failures.
- Gate 4—scale or stop: the company approves expansion, a narrower use, another experiment, internal development or termination.
Maintain a risk register covering scientific error, data leakage, IP disputes, privacy, cybersecurity, regulatory credibility, operational dependence and partner concentration. Revisit it whenever the target, data, model version, workflow or intended use changes.
Quick Recap
9. Common assessment mistakes and their fixes
- Buying a benchmark score: require a comparator and prospective test tied to your decision.
- Letting the vendor define success: write thresholds, analysis and stop rules jointly before the pilot.
- Assuming model quality transfers: test your target class, assay conditions and data distribution.
- Leaving rights until after technical work: settle training-data, foreground-invention, compound, publication and regulatory-use rights before data exchange.
- Treating draft guidance as approval: label the January 2025 FDA document as draft and nonbinding, and verify current jurisdictional expectations.
- Counting predicted molecules as drug-development value: measure confirmed experimental outcomes, workflow impact and realistic counterfactual cost.
- Ignoring version change: require release notes, validation triggers, rollback capability and records for every production model.
