Yes, an NBA team ownership interest can be sold or transferred, but signing a private deal does not by itself make the transfer effective. The NBA Constitution and By-Laws require league review and approval; the approval route depends on the size and structure of the transfer, the buyer’s existing approval status, and whether the deal could change effective control. The June 2024 edition reviewed here sets out limited exceptions to a full Board of Governors vote, not a blanket exemption for small stakes.
What a seller is transferring
An NBA ownership transaction is not simply a matter of handing over a share certificate. Article 5 of the June 2024 NBA Constitution and By-Laws governs transfers of a membership or an interest in an NBA member. The relevant interest may be held directly or through an ownership structure, so the league’s review can matter even when a transaction is framed as a change in an entity above the team rather than a direct sale of team shares.
The practical starting point is to map what changes hands: the direct interest in the member, any indirect interests in entities that own it, and any rights that could affect control. The league rules also address trusts. Replacing a trustee or beneficiary may be treated as transferring the trust’s entire interest unless the Commissioner determines that only a portion is being transferred. The transaction’s label is not a substitute for analyzing its substance under Article 5.

Who approves a transfer
The ordinary Article 5(f) route requires an application, a Commissioner investigation, and an affirmative vote of at least three-fourths of all Governors at a meeting duly called for that purpose. The required fraction is of all Governors, not merely those who happen to vote. The June 2024 Constitution and By-Laws state: “A transfer shall only become effective if approved by the affirmative vote of not less than three-fourths (3/4) of all Governors at a meeting duly called for such purpose.”
There are narrower routes for certain transfers below 10%: the Commissioner may approve specified transfers of 5% or less, and the Committee may approve specified transfers above 5% but below 10%, without a full Governors vote. Those exceptions are conditional. A new or unapproved owner crossing a specified ownership band, or a transfer that is or may be a change in effective control, can take the deal outside the exception. A percentage figure alone therefore does not establish the approval path.

The table summarizes the routes, not a way to determine eligibility without examining the complete rule. In particular, “under 10%” is not equivalent to “no Board approval required.” The buyer’s prior league approval and the effect of the transaction on direct and indirect ownership must be considered alongside the stated percentage.

How to prepare and submit a transfer
Article 5 makes approval part of the transaction, so the parties should establish the likely route and assemble the ownership information before treating a signed agreement as a completed sale. The following sequence reflects the league process described in the June 2024 rules; the applicable route and documentation can depend on deal facts.
- Map the ownership change. Identify the interest being sold, the legal entities and trusts through which it is held, the percentage before and after the transaction, and the people or entities that will become owners. Include indirect changes and any trust changes that may be treated as a transfer.
- Assess the thresholds and control implications. Determine whether the buyer is already approved, whether the transfer takes a new or unapproved person or entity across a specified ownership band, and whether the deal is or may be a change in effective control. Do not assume a small percentage guarantees an exception.
- Prepare the application and undertaking. The agreement to transfer and the application must include a binding undertaking from the proposed buyer and each prospective owner to be bound by the NBA’s governing documents if the transfer is approved.
- Provide the investigation funding where required. For a transfer of 10% or more, or a smaller transfer that may change control, the application must include a $50,000 certified check to cover investigation and processing expenses. The league repays the amount less expenses; if expenses exceed the amount, the additional expenses may be assessed against the member. For a transfer below 10% with no change of control, the member is assessed the investigation, review, and processing expenses instead.
- Allow the league review to run. The Commissioner investigates and submits the proposal and pertinent information for approval under the applicable pathway. Under the ordinary route, the Governors must give the required affirmative vote at a duly called meeting.
- Make effectiveness contingent on approval. The transaction documents should not treat signing alone as completion of the league transfer. Article 5 says the transfer becomes effective only through the required approval process; Article 13 provides a serious consequence for attempting to bypass it.
- Set out governance separately. State who is to serve as Governor or Alternate Governor, whether the seller retains an interest or role, and when any role changes take effect. These are distinct arrangements from the economics of the stake and remain subject to league acceptance.
Costs and deal terms beyond the league process
The $50,000 figure is not a general purchase fee or a quoted price for an ownership stake. Under the June 2024 rules, it is a certified check accompanying an application for a transfer of at least 10%, or a smaller interest that may change control, to cover league investigation and processing expenses. The NBA repays the deposit less those expenses, while an overrun may be assessed against the member. For a transfer below 10% with no control change, the rules instead place investigation, review, and processing expenses on the member; the reviewed rule does not set a single fixed amount for that category.
That league expense provision does not settle the parties’ other costs or obligations. The NBA rules explain league approval, not the tax, securities, estate, financing, or entity-law treatment of a particular transaction. Those questions depend on the deal and the relevant jurisdiction, and the reviewed league sources do not support a universal tax answer, a seller-proceeds estimate, or a standard set of regulatory filings.

Likewise, the league approval route should not be mistaken for a rule that determines the purchase price or the seller’s economic return. The reviewed primary sources provide no relevant market statistic for NBA ownership interests. A percentage stake is not enough, on its own, to infer valuation, rights, distributions, voting arrangements, or other negotiated terms.
Ownership percentage does not automatically grant team control
The economic interest and the team’s league-facing governance roles are separate deal dimensions. A buyer’s percentage does not, by itself, establish that the buyer becomes Governor, and a selling family’s retained economic interest does not dictate whether someone from that family continues in a league role. Those arrangements are subject to the transaction and the league’s approval.
The Lakers transaction announced in October 2025 illustrates the distinction: the NBA announced unanimous Board approval of Mark Walter’s purchase of the majority interest, while the Buss family retained an ongoing interest and Jeanie Buss was to remain Governor for at least five years after closing. Commissioner Adam Silver described the transaction as transferring the family’s majority interest while Jeanie Buss remained Governor and an active league member. The release describes the planned arrangement; it should not be generalized into a standard term for other sales.

The NBA’s June 2025 announcement concerning the Timberwolves and Lynx shows another configuration. The league approved the controlling-interest sale from Glen Taylor to Marc Lore and Alex Rodriguez, described as the culmination of a gradual transfer. Lore was designated Timberwolves Governor and Rodriguez Alternate Governor; their roles were reversed for the Lynx. That release demonstrates that transfers may be staged and that governance assignments can be specified alongside a controlling-interest sale.

A transaction need not be described as one immediate handoff to be a transfer. The NBA’s Timberwolves announcement characterized Lore and Rodriguez’s acquisition as the culmination of a gradual transfer from Glen Taylor. The Lakers announcement, meanwhile, described a majority interest changing hands while the prior family retained an ongoing interest. Together, the examples show that deal structure can include successive stages or continuing ownership by the seller’s side; they do not establish that either structure will be available or approved in every case.

Approval and closing are also different milestones. In March 2026, NBA Communications announced Board approval of a controlling-interest sale of the Trail Blazers to a group led by Tom Dundon and said Dundon would serve as Governor. The announcement said closing was expected that week. An expected closing is not evidence, by itself, that closing occurred, so the release supports the approval and announced role but not a claim that the sale had already closed.

What happens if the parties transfer an interest without approval
Article 13 makes an unapproved transfer or attempted transfer more than a paperwork defect: it can be grounds for termination of the membership or the owner interest by a three-fourths vote of the Board. That consequence is why the parties cannot safely treat league approval as a post-closing formality or assume that a private contract alone makes an interest effective under NBA rules.
The practical implication is to make league approval a condition to effectiveness and coordinate the legal closing with the league process. The exact contract protections, timing, and remedies are transaction-specific; the Constitution and By-Laws provision identifies the league consequence, not a universal contract form.
What the league rules do not decide
The June 2024 NBA Constitution and By-Laws provide the governing transfer framework discussed here, but they do not answer every legal or commercial question attached to a sale. A prospective buyer or seller still needs transaction-specific advice about the ownership entities, the purchase agreement, financing, and applicable law. In particular, the reviewed league materials do not provide a universal answer on taxes, securities treatment, seller proceeds, valuation, or jurisdiction-specific filings.
Because the operative text described here is the June 2024 edition, anyone structuring a transaction should confirm the current Constitution and By-Laws and any later amendments before relying on its thresholds or procedure. League rules can be amended, and this explanation should not be read as a determination that a specific proposed transfer qualifies for a particular approval exception.
