NBA franchise ownership disputes do not follow one universal route. The NBA Constitution and By-Laws govern relations among league members and reserve some decisions for the Commissioner or Board of Governors. Separate purchase, partnership, or family-governance agreements may direct the people involved to mediation, arbitration, or court. A sale also requires Board approval. Which process applies depends on who is disputing what right, and which document supplies that right.
Start with the right being disputed
“An ownership dispute” can describe several different problems: whether a sale contract was followed, whether a minority investor can inspect records, who controls a team within a family, or whether league rules permit an owner to remain. Those issues may involve different parties and different decision-makers. Treating them all as questions for the Commissioner—or as ordinary court cases—can give a misleading answer.
The first task is to identify the source of the claimed right. It may be the NBA Constitution and By-Laws, a private purchase agreement, a partnership or other ownership agreement, or a separate governance arrangement. The process then depends on the document’s terms and the parties’ status. Public reports often describe the outcome without publishing the contracts or the full reasoning behind a private decision.
- Who is in conflict? The dispute might involve member clubs, a controlling owner and minority investors, buyers and sellers, or relatives with interests in a team.
- What right is claimed? A party may rely on league rules, a sale deadline, access to records, a management role, or another agreement.
- Who is assigned to decide? The relevant document may point to the Commissioner, Board of Governors, a mediator or arbitrator, or a court.
- What stage has been reached? Negotiation, mediation, arbitration, litigation, and league approval are distinct steps; one does not automatically replace another.
- What is public? A league announcement or court filing may establish a procedural event, while confidential mediation or private contract terms may remain undisclosed.
What the NBA Constitution and By-Laws provide
A federal court examining an NBA dispute described the Constitution and By-Laws as a contract among Association members. In that case, the court quoted Article 24(d), which gives the Commissioner “exclusive, full, complete, and final jurisdiction of any dispute involving two (2) or more Members of the Association.” It also quoted Article 24(m): certain Commissioner actions under Article 24 or other constitutional provisions, when not specifically referable to the Board of Governors, are “final, binding and conclusive, as an award in arbitration,” and enforceable in a court of competent jurisdiction under New York law.

Those provisions matter, but their scope should not be stretched beyond the case and text described. The court was addressing a Knicks–Raptors dispute involving alleged misuse of confidential information, not a controlling-owner buyout. Its discussion shows how the court read the league’s dispute provisions in that context; it does not settle every internal ownership conflict. Article 24 also distinguishes actions assigned specifically to the Board from other Commissioner actions.
That distinction is important when someone asks whether “the Commissioner decides” an ownership dispute. The Commissioner has broad authority over disputes involving multiple Association members under the quoted provision. It does not follow that every disagreement among owners, investors, relatives, or buyers is exclusively within that jurisdiction. The relevant constitutional clause and private agreement have to be considered together.
Why Board approval is a separate part of a sale
A contract dispute between a buyer and seller can be resolved without itself completing the transfer of an NBA team. NBA ownership transfers are subject to Board of Governors approval. The reported transactions illustrate that the contract path and league-approval path can both matter: the Board approved the Ishbia-led purchase of the Suns and Mercury in February 2023, and approved Tom Dundon’s purchase of a controlling interest in the Trail Blazers in March 2026.

The Timberwolves transaction makes the distinction especially clear. The buyer-seller dispute went to mediation and arbitration, but the Board still had to approve the transfer afterward. In the Associated Press account, the Board’s 30 team owners unanimously approved it. A favorable arbitration outcome for a buyer therefore should not be described as a substitute for league approval.
These reported approvals establish the Board’s role in those transfers; they do not provide a complete inventory of current approval criteria or the wording of every governing rule. The full current Constitution and the private transaction documents are not reproduced in the public reporting described here. Avoid inferring an exhaustive approval checklist from the examples alone.

Timberwolves: contract dispute, mediation, arbitration, approval
Glen Taylor sought to stop the staged sale to Marc Lore and Alex Rodriguez after asserting that a purchase deadline had passed. Lore and Rodriguez contested that account, saying the timing issue related to league approval. According to the Associated Press, the parties first went to mediation and then presented their dispute to a three-member arbitration panel. The panel ruled for Lore and Rodriguez, and Taylor chose not to appeal. The Board of Governors later unanimously approved the transfer.

The public account establishes the sequence and result, not the panel’s full reasoning or every term of the sale agreement. It is therefore fair to say that arbitration resolved the reported buyer-seller dispute in the buyers’ favor; it is not fair to invent the contractual analysis or treat that sequence as a rule for all sales.

In 2025, two minority owners sued Mat Ishbia and the team seeking records to evaluate the franchise’s financial condition. They alleged insufficient transparency and possible mismanagement. Those are allegations reported from litigation, not findings that a court made.
A later Associated Press report said Ishbia and the minority owners agreed to confidential binding mediation. The filing provided for dismissal with prejudice after mediation was completed and removed a scheduled trial from the calendar. That procedural development does not reveal the substantive resolution: the report did not state what the mediation achieved. It is important not to turn a confidential process or a court-calendar change into an unreported finding about the underlying allegations.

Sterling: what the league said about a termination vote
In May 2014, as the Sterling controversy unfolded, NBA spokesman Mike Bass said: “Under the NBA Constitution, if a controlling owner’s interest is terminated by a 3/4 vote, all other team owners’ interests are automatically terminated as well. It doesn’t matter whether the owners are related as is the case here. These are the rules to which all NBA owners agreed as a condition of owning their team.” This is a contemporaneous statement by the league’s spokesman about the Constitution’s stated rule.
The statement describes a threshold and the asserted consequence if that kind of termination occurs. By itself, it does not prove that a three-fourths vote was taken or that such a vote was the mechanism that completed the Clippers’ sale. Those are separate factual claims and should not be inferred from the quoted statement.
Lakers: a negotiated family-governance arrangement
The Buss family dispute illustrates another possible endpoint: a negotiated arrangement about who controls the team. The Associated Press reported that conflict over control led to court proceedings and a 2017 agreement naming Jeanie Buss controlling owner. Because the agreement’s complete terms are not set out in that account, it should be understood as an example of a family governance resolution, not as a template for other franchises or proof that another family dispute would be settled the same way.

Can the NBA force an owner to sell?
The strongest specific evidence here is the NBA spokesman’s 2014 explanation of a three-fourths vote to terminate a controlling owner’s interest, including the stated effect on other owners’ interests. That provides a league-stated rule in the Sterling controversy, not a complete description of every present-day circumstance in which an owner might lose an interest or a transaction might proceed.
Whether a particular owner can be required to relinquish an interest depends on the applicable constitutional provisions and the facts and procedure involved. A contract dispute between owners is not automatically the same as league action to terminate an ownership interest. Nor does a transfer agreement alone remove the separate requirement for Board approval of a transaction. The public examples do not supply a full, current rulebook or establish that one route applies to every case.
Does the Commissioner arbitrate ownership disputes?
Not as a universal rule. Article 24(d), as quoted by a federal court, gives the Commissioner jurisdiction over disputes involving two or more Association members. Article 24(m), as quoted in the same opinion, gives certain Commissioner actions a binding, arbitration-like status when they are not specifically referable to the Board. The wording itself makes the Board distinction relevant.

Those examples do not establish that the Commissioner administered either process. To identify the decision-maker in a new dispute, locate the provision governing the claimed right and the parties involved.
How to read a new ownership-dispute report
When a dispute makes the news, separate what has been alleged, what a decision-maker has ruled, and what league action remains. The following sequence helps keep those categories distinct:
- Identify the parties and their roles. Determine whether the reported conflict is between member clubs, a seller and buyer, a controlling owner and minority investors, or members of a family ownership structure. The parties’ status affects which rules and agreements may be relevant.
- Find the claimed source of the right. Look for whether the dispute concerns a league constitutional provision, a purchase contract, a partnership agreement, or another governance document. A report that omits the document’s terms cannot establish those terms.
- Separate the decision channels. A Commissioner proceeding, Board decision, private mediation, arbitration, and court litigation are not interchangeable. A case may involve more than one channel at different stages.
- Check the procedural status. A lawsuit filing records claims, not proof. An agreement to mediate is not the same as a published settlement. An arbitration result may resolve a contractual question while league approval remains necessary for the transfer.
- Mark what remains private or unreported. If no source discloses the arbitration award, mediation result, or agreement text, do not infer its reasoning or terms from the eventual outcome alone.
This approach avoids the most common misreadings: treating allegations as findings, assuming the Commissioner controls every owner dispute, confusing a private contract ruling with Board approval, and treating a league spokesman’s explanation of a rule as proof of the precise steps taken in a particular sale. The available cases demonstrate several distinct mechanisms, not a single standard procedure.
