Use a private-company revenue estimate as a lead or hypothesis, not a verified fact, until you know exactly what it measures and can trace it to supporting evidence. The appropriate weight depends on whether the figure is historical or projected, its period and revenue definition, the records behind it, the level of audit or review, and how well it agrees with other information.

No general accuracy rate for third-party private-company revenue estimates has been established. A precise-looking number can therefore create false confidence; your diligence should focus on evidence quality and on how alternative revenue cases change financing needs, cash flow and value.

Start with the kind of number you have

Three figures are often called “revenue,” but they carry different evidentiary weight. Label the category before using the number in a model or investment memo.

Historical reported revenue

This is revenue recorded for a completed period, such as a fiscal year or quarter, in company financial statements or accounting records. It is the most useful starting point for understanding what the business has already recognized, but it is not automatically audited or comparable with another company’s figure. Ask what accounting basis was used, whether the statements were audited, reviewed or neither, and whether the period is complete.

Management forecast

A forecast describes expected future revenue. It depends on assumptions about customer additions, pricing, retention, capacity and timing. A forecast is not evidence that the revenue will occur. Treat the assumptions as the subject of diligence and use a range or scenarios when uncertainty is material.

Third-party estimate

Vendors, researchers and data providers may infer revenue from customer counts, transaction information, web activity, industry benchmarks or proprietary models. Such an estimate can help you find a company or form a question, but it is not an audit merely because an outside party produced it. You need to know what records the provider used, when they were collected, which assumptions were applied and how the result was checked.

Estimate category What it describes Questions to ask before relying on it
Historical reported revenue Recognized revenue for a completed fiscal year, quarter or other stated period What accounting basis and definition were used? Are the statements audited, reviewed or neither? What records support the figure?
Management forecast Expected future revenue based on operating assumptions What are the customer, price, retention, capacity and timing assumptions? What are the low and high cases?
Third-party estimate An outside model or inference about company revenue What primary records or observed activity support it? How fresh is the data? Can the provider explain its method and uncertainty?

Make the period and definition explicit

Two figures cannot be compared safely until you write down their coverage period and definition. A completed fiscal-year result, a trailing-period total, a quarterly figure and an annualized run rate answer different questions. An annualized run rate may multiply a recent month or quarter by a factor; it does not prove that the same pace will continue.

Also distinguish gross billings from recognized revenue and from any other operating measure the source uses. Billings can include amounts invoiced before revenue is recognized, while a vendor may use a proxy that is not an accounting measure. Preserve the source’s terminology in your worksheet and explain any conversion. Do not silently compare a projected run rate with a completed fiscal-year figure.

Record the fiscal year-end or “as of” date, the currency and the geography covered. If one estimate is for a calendar year and another is for a non-calendar fiscal year, align the periods or keep them separate. A stale estimate may be less useful even when its original method was sound.

Trace the estimate to evidence

Issuer financial statements and records

For a private placement, the U.S. Securities and Exchange Commission says investors are generally responsible for obtaining the information needed to make an informed decision. Its investor bulletin advises examining financial statements supplied by the issuer and considering whether you could afford to lose most or all of the investment. This is guidance for private placements, including Regulation D offerings; it does not mean every private company has identical disclosure obligations.

Request the statements, notes and supporting schedules that produced the revenue line. Determine whether an independent accountant audited or reviewed them, or whether management prepared them without that level of assurance. “Unaudited” does not mean false, but it means you must place more weight on corroboration and less on the label alone.

Management materials

Pitch decks and operating updates can explain customer growth, pricing and pipeline, but they are not substitutes for accounting records. Reconcile any headline revenue number to statements, bank or billing records when those are available, and ask management to explain changes between periods.

Vendor models and inferred data

Ask the provider to identify the observed inputs, estimation date, model structure and uncertainty. A number derived from customer or transaction data may be useful, but you should know whether the data are complete, sampled, stale or based on assumptions about pricing. If the provider cannot explain the evidence chain, use the estimate only as a lead for questions.

Test assumptions instead of accepting precision

For a forecast, list every material driver and connect it to an observable fact where possible:

Build at least a lower and higher plausible case when any of these drivers is uncertain. PCAOB attestation guidance discusses presenting forecasted elements as a range and identifying the assumptions behind them. A range makes uncertainty visible; it does not make the forecast reliable by itself. Show which assumptions change in each case and how quickly cash runs out if the lower case occurs.

Auditing standards provide a useful evidence-quality lens: auditors in scope evaluate whether significant assumptions are reasonable and whether supporting data are reliable. That principle does not certify an unaudited vendor estimate, and it does not imply that every private company is audited.

Corroborate with independent signals

Compare the estimate with other periods, operating activity and later disclosures. Useful checks include:

  • Whether reported customer counts and average pricing could mathematically produce the claimed revenue.
  • Whether hiring, capacity, inventory or infrastructure is consistent with the claimed scale.
  • Whether contracts, renewals or transaction records support the timing of recognition.
  • Whether a later statement confirms, revises or contradicts the estimate.
  • Whether the figure uses the same revenue definition as the comparison figure.

A discrepancy is a diligence question, not an invitation to choose whichever number produces the highest valuation. Record the alternatives, ask the issuer or provider to reconcile them, and retain the explanation with your investment file.

Understand how revenue affects valuation

Revenue is an input to valuation, not a valuation itself. The CFA Institute describes three broad private-company approaches:

  • Income approaches: forecast cash flows and discount them to present value.
  • Market approaches: apply valuation multiples from comparable companies or transactions.
  • Asset-based approaches: value assets and liabilities, with adjustments where appropriate.

Private firms differ widely in disclosure quality, and cash flows or earnings may need adjustment before they are a forecasting baseline. A weak revenue estimate can therefore affect projected margins, cash flow, financing requirements and any revenue-derived multiple.

Run the valuation under the lower, central and higher revenue cases. For each case, recalculate gross margin or other operating assumptions, cash consumption, capital required and implied value. If the business needs another financing round in the lower case, model dilution and the timing of that financing. In a comparable-company analysis, confirm that the peer set, period and revenue definitions match; a multiple applied to billings is not automatically comparable with one applied to recognized revenue.

A practical diligence workflow

  1. Classify the figure. Mark it as historical reported revenue, management forecast or third-party estimate.
  2. Write down the period. Identify fiscal year, quarter, trailing period or annualized run rate, plus the “as of” date.
  3. Define revenue. State whether it is gross billings, recognized revenue or another measure.
  4. Identify the source. Note the issuer, accountant, vendor or model and obtain the underlying statement, schedule or methodology.
  5. Check assurance. Record whether statements are audited, reviewed or neither, and do not imply an audit where none exists.
  6. Document assumptions. For projections, list customer, pricing, retention, capacity and timing drivers and build a range.
  7. Corroborate. Compare with operating activity, prior periods and subsequent disclosures; investigate mismatches.
  8. Stress the valuation. Recalculate cash flow, financing needs and implied value under alternative revenue cases.
  9. Set an investment threshold. Decide what unresolved evidence gap would cause you to reduce, defer or reject the investment.

How to compare two estimates

When estimates disagree, compare them on the same axes rather than averaging them. The following checklist keeps unlike evidence from being blended into a misleading single number.

Comparison axis What to record Why it changes reliance
Historical versus projected Completed reported period or future expectation Historical results describe what occurred; projections depend on assumptions.
Period and definition Fiscal year, quarter, trailing period or run rate; billings or recognized revenue Different periods and definitions are not directly comparable.
Evidence source Primary statements and records versus modeled or inferred data Closer access to records generally makes the evidence chain easier to test.
Assurance status Audited, reviewed or neither The level of independent work affects how much verification has occurred.
Freshness Collection or reporting date Older data may miss current churn, pricing or operating changes.
Assumptions and range Disclosed drivers, low/high cases and sensitivity Visible uncertainty is more useful than unexplained precision.
Consistency Agreement with other periods, activity and subsequent disclosures Independent agreement strengthens confidence; unexplained gaps require follow-up.

Assuming an outside source has audited the company

Correction: Ask what records were examined and what work was performed. An external model is not an audit unless an appropriately scoped audit occurred.

Using one precise forecast in a valuation

Correction: Present a range, vary the material drivers and show the financing consequences of the lower case.

Ignoring a mismatch because the higher figure supports the deal

Correction: Treat discrepancies as unresolved diligence items and require a documented reconciliation before increasing reliance.

What the evidence can and cannot establish

A revenue estimate can help you identify a company, frame questions and construct scenarios. It cannot, by itself, establish profitability, cash generation, solvency, ownership rights or a fair investment price. Private-company disclosure quality varies, so the existence of a revenue figure does not prove that it is verified.

A September 28, 2026 statement by SEC Chief Accountant Kurt Hohl and Brian Daly, Director of the SEC Division of Investment Management, said: “Auditors are also required to evaluate the reasonableness of significant assumptions and reliability of data supporting the fair value conclusions reflected in the financial statements.” That sentence concerns audit evidence for fair-value conclusions. It should be used as a diligence principle, not presented as a rule that directly audits every private-company revenue estimate.

There is no established universal error rate for third-party private-company revenue estimates. Do not substitute a made-up accuracy percentage for an evidence review. Your reliance should rise only when the period and definition are clear, records are traceable, assumptions are disclosed, assurance is understood and independent information is consistent.
