Early investors can sell IPO shares only when the shares are eligible for resale and the holder is permitted to sell them. A lockup commonly bars specified insiders and existing shareholders from selling for about 180 days, but the actual period, covered shares, and release conditions depend on the company’s filings and the holder’s agreement. The scheduled end of a lockup does not necessarily clear separate securities-law resale requirements.

What an IPO lockup is

An IPO lockup is generally a contractual promise by specified shareholders not to sell, transfer, or otherwise dispose of covered shares for a stated period. The company and its underwriter commonly arrange these agreements with certain insiders and other existing holders around the public offering. The restriction applies to the people, securities, and transactions described in the agreement—not automatically to every person who owned shares before the IPO.

Investor.gov says most lockups prevent insiders from selling for 180 days, while also emphasizing that terms vary. That figure is a common convention, not a universal SEC-imposed waiting period for founders, employees, or all early investors. Agreements may set a different period, restrict only some shares, cap the amount that can be sold, or release shares in stages.

Lockups help limit how much stock can enter the public market immediately after an IPO. Without a restriction, a large group of existing holders might sell soon after trading begins, increasing the supply of shares available to buyers. The agreement’s practical effect depends on its precise terms and on any separate resale rules that apply to the shares.

When an early investor can sell

There is no single expiration date that applies to all early investors or all IPOs. An investor’s sale eligibility depends on the specific shares, the holder’s applicable agreement, the IPO registration documents, and any additional securities-law requirements. In some cases, shares are registered and offered for sale as part of the IPO; other shares remain unavailable until later.

Shares sold in the IPO

An existing shareholder may sell shares as a selling shareholder in the IPO if those shares are included in the registered offering. The IPO prospectus identifies selling shareholders and the shares they are selling. Proceeds from those shares go to the selling holders, not to the company. This is different from newly issued shares whose proceeds go to the issuer.

The fact that an early investor sells some shares in the IPO does not establish that all of that investor’s remaining shares are immediately saleable. A holder can sell registered shares in the offering while retaining other shares subject to a lockup or separate resale conditions.

Shares that may become eligible later

For shares not sold in the IPO, the prospectus’s “Shares Eligible for Future Sale” section, or a similarly named section, can explain which shares are locked up, registered for later sale, or expected to become eligible at a future time. It is a starting point, not a personal clearance to trade: the agreement and the holder’s circumstances still matter.

Even after the contractual restriction ends, a public resale may be subject to Rule 144 or another available exemption from registration. Requirements can depend on whether shares are restricted securities or control securities and whether the holder is an affiliate. The SEC’s Rule 144 overview describes conditions involving holding periods, current public information, volume limits, transaction requirements for affiliates, notice filings in certain circumstances, and removal of restrictive legends before public sale. Which requirements apply is fact-specific, and the current rule should be checked before relying on the overview, which is dated 2013.

How to check a particular IPO’s lockup terms

Use the issuer’s IPO prospectus and, where available, the applicable agreement rather than assuming a standard 180-day date. SEC investor guidance directs investors to the prospectus and EDGAR for lockup information. The prospectus can describe the offering and expected future share availability, while an agreement may contain the detailed restrictions, exceptions, and release mechanics.

  1. Find the company’s IPO filing. Search the SEC’s EDGAR database for the issuer’s registration statement and final prospectus. Confirm that you are reading the filing for the relevant offering, not a later filing or another company with a similar name.
  2. Check the cover for selling shareholders. Note whether existing holders are selling shares in the IPO and how many. Those registered offering shares are distinct from a holder’s remaining shares.
  3. Search the prospectus for key terms. Look for “lock-up,” “restricted period,” “Shares Eligible for Future Sale,” “underwriting,” and “selling shareholders.” Review the surrounding text, not just search-result snippets; the terms may be explained across multiple sections.
  4. Identify the covered holder and shares. Check whether the person or entity is bound, which securities are covered, and what actions are restricted. Do not assume that a provision covering one insider or class of shares applies identically to every shareholder.
  5. Read the timing and release mechanics. Find the event that starts the restricted period, its scheduled end, and any staged releases, share caps, conditions, exceptions, amendment rights, or waiver provisions described in the filing or agreement. Do not calculate a trading date from “180 days” alone if the relevant start date or terms are unclear.
  6. Check other resale requirements. Determine whether Rule 144 or another registration exemption is relevant to the holder and shares, and whether a restrictive legend or other administrative step must be addressed before a public sale. Contractual release and legal resale eligibility are separate questions.
  7. Confirm the current facts before acting. Filings and agreements can be amended, and issuer-specific terms matter. A holder considering a transaction should verify the current documents and obtain advice suited to the holder’s circumstances rather than treating an educational summary as a legal determination.

How IPO lockups differ from FINRA’s underwriting-compensation restriction

One source of confusion is that FINRA Rule 5110 also contains a 180-day restriction, but it addresses a different category of securities. The rule applies to certain securities received as underwriting compensation by participating FINRA members. Its 180-day period runs from the start of public-offering sales, is subject to listed exceptions, and must be disclosed in the distribution-arrangements section.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

That FINRA provision should not be mistaken for a statutory lockup on every founder or early investor. A company’s contractual agreements with specified shareholders and Rule 5110’s treatment of covered underwriting-compensation securities have different scopes and terms. For a specific IPO, consult the relevant prospectus disclosures and agreements; do not infer one restriction from the presence of the other.

What happens when a lockup expires

Expiration removes the contractual restriction only to the extent set out in the agreement. It does not mean every covered share must be sold, that all shares become freely tradable at once, or that separate resale conditions disappear. A release can be staged or limited, and a holder may still need to satisfy applicable resale requirements.

For the market, the possibility that previously restricted shares will become tradable can create “market overhang”: shares are outstanding but have not yet been available for trading. Investor.gov and the SEC’s IPO bulletin explain that a stock’s price may decline when previously restricted shares become available, particularly if a large number are released at once. This is a risk, not a prediction. Holders are not required to sell, and actual price movements depend on supply, demand, and broader market conditions. The available guidance does not establish a typical percentage decline or a reliable direction of movement for any individual IPO.

How to compare lockup terms across holders or IPOs

A useful comparison needs more than the headline duration. For each issuer or holder situation, establish the terms from the relevant filing and agreement, and keep the contractual restriction separate from any securities-law resale requirements.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
What to compare What to establish
Coverage Which holders, securities, and transactions are covered by the restriction.
Duration and dates The contractual length and the event or date that starts and ends the restricted period.
Release mechanics Whether shares are released in stages, subject to volume limits, exceptions, waivers, or other conditions.
IPO versus later sales Which shares are registered for sale in the IPO and which may become eligible later.
Additional resale conditions Whether the holder or shares face separate restricted-security, affiliate, registration, or legend-removal requirements.
Potential supply How many shares could become eligible relative to the existing public float, using figures disclosed for that specific issuer.

If a filing gives only an expected eligibility date or a general description, treat it as an estimate or summary rather than proof that a particular holder can trade then. The actual agreement, subsequent amendments, and applicable resale rules may change the answer.

Common mistakes to avoid

  • Treating 180 days as a universal rule. It is common according to Investor.gov, but agreements vary and not every holder is covered.
  • Assuming every pre-IPO shareholder is locked up. Coverage is defined by the relevant agreements; some existing shareholders may sell registered shares in the IPO.
  • Confusing IPO sales with later sales. Shares sold as part of the offering are not the same as the holder’s remaining shares, which may stay restricted.
  • Equating expiration with immediate trading eligibility. Rule 144 or other requirements, including possible legend removal, may still apply.
  • Predicting a price fall as a certainty. A larger potential supply can create pressure, but neither sales nor a decline is guaranteed.
  • Applying FINRA Rule 5110 to all insiders. Its 180-day restriction concerns certain underwriting-compensation securities, not a general lockup for founders and early investors.

Sources and scope

Investor.gov’s “Initial Public Offerings: Lockup Agreements” explains the common duration, variation in terms, possible sale limits, and prospectus disclosures. Its “Updated Investor Bulletin: Investing in an IPO” discusses selling shareholders, future share eligibility, and market overhang. The SEC’s “Rule 144: Selling Restricted and Control Securities” describes resale conditions; that overview is dated 2013, so current requirements should be confirmed. FINRA Rule 5110 explains the separate restriction for covered underwriting-compensation securities. These are educational materials, not a determination that a particular shareholder may sell specific shares.
