When an Indian IPO is oversubscribed, shares are not divided by applying one ratio to every applicant. The registrar, lead merchant banker and designated stock exchange first separate valid bids by investor category, apply that category’s reservation and minimum-lot rules, and then prepare the final basis of allotment. In the retail category, a successful application generally receives at least one minimum bid lot when enough lots exist; if there are more eligible applicants than available lots, a computerised draw of lots selects the successful applications. Remaining shares, if any, are handled under the proportionate and rounding method stated in the offer document.

What oversubscription means

An IPO is described as oversubscribed when valid bids exceed the number of shares offered in a particular portion of the issue. A headline such as “10 times subscribed” is usually an aggregate figure across all categories and bidding days. It is not an allotment promise and cannot be converted into a universal one-in-ten allocation.

Indian public issues reserve separate portions for categories such as retail individual investors, non-institutional investors (NII) and qualified institutional buyers (QIB). The offer document specifies each portion, the minimum application or bid lot, the cut-off time, and the basis-of-allotment procedure. Demand in one category does not automatically transfer to another for the purpose of calculating your entitlement.

  • Category demand: Retail, NII and QIB subscription multiples are calculated against their own reserved shares.
  • Valid bids: Duplicate applications, invalid PAN or demat details, bids outside the permitted price or lot, and payment failures can be excluded before the calculation.
  • Minimum lot and rounding: The number of whole lots that can be assigned controls the result; fractional shares are not credited.
  • Final basis: The published basis-of-allotment notice is the authoritative result for that issue, not an intraday subscription headline.

How the retail allotment is decided

1. Shares are converted into minimum lots

The prospectus states a minimum bid lot, for example a fixed number of shares that must be bid together. The retail portion is divided by that lot size to determine how many complete minimum lots are available. The exact lot size and retail share count differ from issue to issue.

2. Valid retail applications are counted

After bidding closes, the issue team reconciles exchange data, bank or UPI responses and demat information. Only valid applications in the retail category enter the allotment calculation. An application that fails a technical or payment check is not treated as a successful retail application merely because funds were initially blocked.

3. One minimum lot is assigned where possible

The governing approach is minimum-lot treatment subject to availability. If the retail portion contains at least as many complete lots as there are valid retail applicants, each valid applicant can receive at least one lot, with any remaining shares handled under the stated rules. In a heavily oversubscribed issue, the opposite is true: there are fewer available minimum lots than applicants.

4. A draw of lots selects successful applications when lots are scarce

When eligible retail applicants outnumber available minimum lots, the basis-of-allotment process uses a draw of lots to choose which applications receive the minimum lot. This is why a retail IPO can produce one lot for some applicants and no shares for many others instead of giving every applicant a fractional tenth or twentieth of the bid.

SEBI’s ICDR framework says that the draw of lots, where required, is conducted in the presence of a public representative on the governing board of the designated stock exchange. The registrar, lead merchant banker and exchange work together to reconcile applications and finalise the basis fairly.

5. Residual shares are handled under the stated method

Rounding, rejected bids and the exact category share count can leave shares after minimum-lot allotments. Those residual shares may be distributed proportionately, in whole lots, or by another method stated in the offer document and approved in the basis. “Proportionate” therefore describes the treatment of remaining shares in the applicable rule; it does not mean every retail applicant receives a fractional share.

Worked example: 10-times demand does not mean one-tenth allotment

Assume, purely for illustration, that the retail portion has 100 complete minimum lots available and receives 1,000 valid retail applications. The allotment process can select 100 applications by draw of lots and credit one minimum lot to each selected application. The other 900 applications receive no shares. If rounding or the category rules leave residual shares, those shares are processed using the proportionate method stated for that issue.

This example does not predict the result of a real IPO. Actual outcomes depend on the final number of valid applications, the category’s reserved share count, the lot size, rejected bids and the approved basis-of-allotment calculation. A “10x” figure for the whole issue could coexist with a lower or higher retail multiple because NII and QIB demand may be very different.

How the investor categories differ

Category Typical rule to verify in the offer document What determines your result Is a retail-style draw guaranteed?
Retail individual investor Minimum bid lot; minimum-lot treatment subject to availability Number of valid retail applications versus complete lots in the retail portion, then any residual-share rule Used when valid applicants exceed available minimum lots; exact procedure is stated in the issue documents
Non-institutional investor (NII) Minimum NII application size and sub-categories are specified in the current offer document Valid demand in the relevant NII sub-category, reserved shares, lot or share quantities and the stated allocation formula Not stated as a universal current rule; read the prospectus and final regulations
Qualified institutional buyer (QIB) Reserved QIB portion and category-specific allocation process Valid institutional bids and the QIB basis described for that issue Not stated as a universal current rule
SME or other special issue category Issue-specific lot, application-size and allocation requirements The particular SME or main-board prospectus and approved basis Do not assume the main-board retail process applies

Filed 2025 offer documents describe NII sub-categories, minimum NII application sizes and proportionate allocation of remaining shares. SEBI consultation material published in 2025 recorded a proposal to replace NII proportionate treatment with draw-of-lots minimum-lot treatment in some contexts. That proposal should not be treated as a blanket current rule: confirm the final regulation and the specific prospectus for the IPO you are applying to.

Does applying for more lots improve a retail allotment chance?

For a highly oversubscribed retail portion, simply entering a larger retail quantity does not normally create multiple independent chances in the draw. The process is designed around eligible applications and the minimum-lot outcome. If the available minimum lots are fewer than valid applicants, the draw selects successful applications; an application that requested several lots may still receive only one minimum lot or none, depending on the approved basis.

There are important limits on trying to create extra entries. The issue rules and application intermediaries validate PAN, demat and bank or UPI details. Multiple applications that breach the rules can be rejected rather than improving your odds. Use the category and lot size for which you are eligible, submit accurate details, and rely on the prospectus instead of assuming that a larger bid guarantees a larger retail allotment.

What happens to money paid through ASBA or UPI?

ASBA blocking and release

ASBA (Application Supported by Blocked Amount) keeps the application money in your bank account but places a block for the amount you bid. SEBI investor guidance states that the amount corresponding to shares allotted is debited, while the balance is released. Until the basis is finalised, the blocked amount normally cannot be used for other purposes, even though it has not yet been transferred to the issuer.

UPI mandate

With a UPI application, your bank account receives a mandate request for the bid amount. Approving the mandate blocks the funds. The current SEBI Investor guidance gives retail individual investors a ₹5 lakh per-transaction UPI limit. Banks, intermediaries and exchanges can impose operating cut-offs or technical requirements, so check their current instructions before bidding.

After basis finalisation

NSE’s ASBA procedure explains that funds remain in the investor’s account until the basis of allotment is finalised. The amount for allotted shares is then transferred and the unused balance is unblocked. A full rejection should result in release of the entire block; a partial allotment should leave only the amount needed for the shares credited. The timing visible in your bank app can vary because the registrar, sponsor bank, UPI app and your bank must complete their respective updates.

  • If your mandate is still pending before the bid closes, follow the intermediary’s instructions immediately; an unapproved mandate is not a completed application.
  • If the block remains after the stated release window, check the mandate status with your bank and application intermediary and quote the IPO, application number and UPI reference.
  • Do not cancel a valid mandate merely because the subscription multiple is high; cancellation can make the bid invalid, subject to the issue’s permitted modification and withdrawal rules.

Who finalises the basis of allotment?

The registrar collates application and payment records, the lead merchant banker supervises the process, and the designated stock exchange reviews and approves the basis. Where a draw is required, the ICDR framework provides for oversight by a public representative. The approved document records the category-wise number of valid applications, successful applications, lots or shares assigned and the treatment of rejected or residual shares.

This separation matters because the exchange subscription page is a demand indicator, while the basis-of-allotment notice is the legally operative result for your application. A late change in valid-bid counts, rejection of technical duplicates or rounding can change the final outcome after the headline multiple was displayed.

How to check your IPO allotment

  1. Find the issue’s registrar and the designated exchange named in the prospectus or issue notices.
  2. Open the registrar’s official allotment-status page when the basis is published, or use the exchange and depository channels specified for that issue.
  3. Select the IPO, then enter the requested identifier, such as PAN, application number or demat details, exactly as submitted.
  4. Read whether shares were allotted, the number of shares or lots, and any rejection or non-allotment message.
  5. Check your demat account for the credit and your bank or UPI app for the debit or release. These updates may not appear at the same moment.

Keep the application number, bid confirmation, mandate reference and bank statement until the shares are credited or the block is released. If the status differs between the registrar and your bank, contact the intermediary named in the issue documents rather than submitting duplicate applications.

Common reasons for no allotment or rejection

  • Oversubscription: Your valid retail application was not selected in the draw because available minimum lots were fewer than applicants.
  • Duplicate or conflicting applications: More than one application using the same permitted identity details can be rejected under the issue rules.
  • Incorrect PAN, demat or bank information: A mismatch prevents the application from being treated as valid.
  • Unapproved, expired or failed UPI mandate: The funds were not successfully blocked by the cut-off.
  • Bid outside the permitted terms: The price, quantity, category or timing did not meet the prospectus requirements.
  • Insufficient available balance: The bank could not honour the ASBA block or UPI mandate.

A non-allotment caused by the draw is different from a technical rejection. In the first case, the application was valid but unsuccessful; in the second, it was removed before the category calculation. Both can show zero shares, so use the registrar’s status and the basis document for the precise reason.

Questions to answer before relying on a subscription number

Is a 10-times subscription the probability of receiving one-tenth?

No. It is a demand multiple, often for the whole issue. Category-wise demand, valid applications, minimum lots and rounding determine the result.

Is IPO allotment a lottery or proportionate?

Retail allotment uses minimum-lot treatment and a draw of lots when there are more eligible applicants than available minimum lots. Proportionate allocation can apply to residual shares or to another category under that issue’s rules. NII, QIB, SME and main-board procedures must be checked separately.

Can the final result differ from the last subscription update?

Yes. The final calculation uses valid bids after technical checks and reconciliation. The basis-of-allotment notice, not the provisional subscription display, controls the number credited.

When is blocked money actually yours to use?

ASBA and UPI normally keep the amount blocked until basis finalisation. After that, the allotted amount is debited and the remainder is unblocked, subject to processing time at the banks and intermediaries.

Practical checklist

  • Read the current prospectus for category reservation, minimum bid lot, application-size limits and the stated basis.
  • Apply in the correct investor category with one accurate PAN, demat account and payment path that you control.
  • Approve the ASBA block or UPI mandate before the intermediary’s cut-off and retain the reference number.
  • Interpret the subscription multiple as demand information, never as a guaranteed allotment fraction.
  • Check the registrar’s final basis and reconcile the demat credit with the bank debit or unblocked balance.
  • For any unresolved block or mismatch, contact the registrar, sponsor bank, UPI provider or broker named in the issue documents.

The decisive rule is simple: oversubscription is resolved separately within each category, and the final basis-of-allotment notice determines what your application receives. For retail applicants, intense demand usually means a one-lot-or-zero result decided by the required draw, while ASBA or UPI protects the unused funds by keeping them blocked until the calculation is complete.
