IPO shares are allocated by the issuing company and its underwriters—not assigned automatically to everyone who places an order. Individual investors may be offered shares through a participating broker, but access and allotments are limited, and no broker can guarantee an allocation. If you do not receive shares, you can usually try to buy once public trading begins, at the market price rather than necessarily the IPO offering price.

What an IPO allocation is

An IPO allocation is the number of shares, if any, assigned to an investor from the shares being sold in a company’s initial public offering. The offering price is the price established for the IPO. It is not a price that every investor can obtain simply by placing an ordinary order before the stock is listed.

Allocation happens before public trading starts. The company and its underwriters set the offering’s structure and distribution. Underwriters are financial firms involved in arranging and distributing the offering; most IPOs other than the smallest use a syndicate of multiple broker-dealers. Only a limited number of broker-dealers are invited into that syndicate, and syndicate members need not receive equal quantities to distribute to their customers.

The Securities and Exchange Commission (SEC) says it does not regulate the business decision of how IPO shares are allocated. Issuers and underwriters have wide latitude in making that decision. That means there is no general rule that requires an allocation to be divided equally among retail customers, or that a customer who requests shares must receive them.

How the allocation process works

1. The issuer and underwriters set the offering

The company and underwriting syndicate establish the offering terms and decide how shares will be distributed. The number of shares available is finite. When demand is greater than the supply being offered, the underwriters must decide how to distribute the shares they control.

2. Syndicate members receive shares to distribute

Participating broker-dealers receive allocations from the syndicate. Those quantities can differ, so a customer’s chances may depend in part on whether their broker is involved and how many shares that broker has available for customers. A broker that is not participating in a particular IPO may not be able to offer its clients an allocation in it.

3. Brokers decide which customers may participate

A participating broker may make shares available to some individual customers, subject to its own eligibility rules and the quantity it receives. A firm may consider a customer’s financial situation, investment objectives, existing holdings and risk tolerance. It may also limit participation based on account balances, trading activity or access to premium services. These policies vary by firm and can differ from one offering to another.

A broker may collect an indication of interest or an order through its own process. Do not assume that submitting one guarantees shares, fixes the final allocation or commits every broker to the same procedure. Ask the firm how it handles participation in that specific IPO, including whether an indication is binding and what happens if the final terms change.

4. The allocation may be smaller than requested—or zero

Even an eligible customer of a participating broker may receive fewer shares than requested, or none. In a high-demand offering, underwriters may prioritize institutional investors and wealthy or otherwise valued clients. A broker also cannot distribute more shares to its customers than it has received for that purpose.

The SEC’s Investor.gov guidance is explicit: “No brokerage firm can guarantee you will be able to purchase shares in an initial public offering (IPO).” Treat statements about access as an opportunity to request or be considered for shares, not as a promise of a purchase.

Two ways an individual investor can buy shares

Factor Direct IPO allocation Purchase after trading begins
Access Requires a broker involved in the offering and meeting that firm’s requirements. Requires a brokerage account able to place an order once the stock trades publicly.
Price The IPO offering price, if shares are allocated to you. The then-current market price; it may be above or below the offering price.
Likelihood of getting shares Not assured; access and allotments may be limited. An order may be possible, but execution and price depend on the market and order.
Timing Allocation is handled before public trading begins. Available after the stock starts trading publicly.
Price uncertainty The offering price is specified for the IPO, but eligibility and allocation remain uncertain. Price can move during early trading, when available supply may be limited.

These are different routes, not two ways to place the same order. An ordinary order placed with a broker before listing does not itself give an investor access to the IPO offering price. If you do not receive a direct allocation, buying in the market is the more common route for individual investors, but it does not preserve the offering price.

How to check whether you can participate

  1. Find out whether your broker is participating. Ask whether the firm has access to this specific offering and whether it expects to make any shares available to individual customers. Participation in one IPO does not establish access to another.
  2. Ask for the firm’s eligibility rules. Confirm whether the firm assesses suitability and whether account balance, trading activity, premium-service status or other customer criteria apply. Ask whether any restrictions could apply after receiving an allocation.
  3. Clarify the order process. Ask whether the firm accepts indications of interest, how it treats them, when it communicates an allocation and what steps—if any—you must take. The broker’s process and deadlines are specific to that firm and offering.
  4. Read the latest prospectus. The prospectus is usually included in the company’s registration statement on Form S-1. It describes the offering terms, the company’s business and financial condition, management and risks. Registration statements and amendments are available through SEC EDGAR; check the latest version because terms can change during registration.
  5. Check who is selling shares. Review the prospectus cover and selling-shareholder sections to see whether existing shareholders are selling and how many shares they are offering. Proceeds from shares sold by existing holders go to those shareholders, not to the company.
  6. Make your decision using the disclosed information and your own circumstances. An allocation is not evidence that the shares suit your objectives, risk tolerance or portfolio. Consider the stated risks and financial information rather than treating access to the offering as a reason to invest.

Why you might not receive an IPO allocation

  • Your broker is not in the syndicate. Only a limited number of broker-dealers are invited into a syndicate, and firms outside it may not have shares to offer customers.
  • Your broker has few shares to distribute. Syndicate members receive different quantities, and a broker’s customer allotment can therefore be limited even when the firm participates.
  • You do not meet the broker’s criteria. Firms may apply suitability reviews or customer-level requirements, including criteria related to financial situation, objectives, holdings, account balances, trading activity or services.
  • Demand exceeds supply. Underwriters may prioritize institutional or wealthy investors and other valued clients when an offering is heavily demanded.
  • You requested more than the firm could allocate. A request is not a guarantee of the amount received; the final allocation can be reduced or zero.

These factors are not interchangeable: an investor can meet a broker’s eligibility rules and still receive no shares because of the broker’s limited allotment or the syndicate’s distribution decisions.

What happens if you get an allocation

Receiving an allocation gives you an opportunity to buy the number of shares assigned to you under the broker’s process; it does not make the shares risk-free or guarantee that their market price will rise. Confirm the share quantity, price and any required action or deadline with your broker rather than assuming that an indication of interest was itself a completed purchase.

Some brokers discourage “flipping,” meaning quickly reselling IPO shares after public trading begins. A firm may respond to an immediate resale by refusing future IPO allocations or imposing temporary restrictions on participation. The policy is broker-specific, so ask about it before participating and read the firm’s stated terms.

Why the price can change after trading starts

Once public trading begins, an investor buying in the market pays the price available through that market, not necessarily the IPO offering price. Early trading can be affected by limited shares available for sale and by temporary price-support activity from underwriters. Those conditions can change; underwriter support may end, and the stock can trade below its offering price.

Some shares held by founders, early investors and employees may be restricted or subject to lock-up agreements. A lock-up limits when certain holders can sell. The SEC describes 180 days as a typical lock-up period, not a guarantee that every IPO will use that duration or that all holders will be covered by the same terms. The prospectus is the place to check the terms for a particular company.

Lock-ups can affect when additional shares may become eligible for sale, but they do not establish what the stock’s price will be at that time. Read the relevant prospectus disclosures and treat early trading as uncertain rather than assuming a limited supply will persist.

A practical decision checklist

  • Do I understand that an IPO allocation is discretionary and may be zero?
  • Has my broker confirmed whether it participates in this particular offering and explained its customer eligibility rules?
  • Have I checked the latest Form S-1 or amended prospectus, including the risks, offering terms and selling-shareholder information?
  • Do I understand whether any broker restrictions could follow a quick resale?
  • If I do not receive shares, am I willing to buy only at a market price that may differ from the offering price?
  • Have I considered the possible effects of limited early supply, changing underwriter support and later sales by holders subject to lock-ups?

What to do if you do not get shares at the IPO price

You can ask your broker whether it has an allocation update or whether any firm-specific restrictions affect your eligibility. If you still have no allocation, the alternative is to decide whether to place an order after public trading begins. At that point, evaluate the live market price and the prospectus disclosures rather than treating the IPO price as a price you are entitled to receive. You can also choose not to buy; missing an allocation does not require a market purchase.
