If you store your inventory in a warehouse in another Indian state, that location may count as a place of business for GST purposes. If you become liable to register there, you generally need a separate GST registration for that state. Those state registrations are treated as distinct persons, so moving stock between them can have GST consequences even when the same business owns the goods and no money changes hands. Returns and filing dates must be checked for each GSTIN against the current GST Portal and applicable notices.

Why a warehouse can affect your GST registration

GST registration is not determined only by where your head office is located or where you receive online orders. The place where you conduct business matters too. CBIC’s sectoral FAQs describe a warehouse or godown used to store goods as a place of business. The GST Portal’s registration guidance also provides for declaring principal and additional places of business, including their addresses and supporting premises documents.

For an online seller, this means a warehouse in another state should be included in the registration analysis. A registration in the state of your head office should not automatically be assumed to cover inventory stored at a business location in another state. If the seller is liable to register in that other state, the general rule is to apply for a separate state registration.

Does every sale or delivery into another state require registration?

No. Do not treat every order delivered to a customer in another state as an automatic registration trigger there. Registration depends on the seller’s liability under the Act and the facts of its operations. A warehouse where the seller stores inventory is a relevant fact; merely having a customer in a state is not the same thing as having a warehouse there.

The registration provisions and exceptions can depend on the seller’s circumstances, supply model, and applicable notifications. The general application window under the Act is 30 days after liability to register arises, subject to statutory qualifications and exceptions. The 30 days is not a blanket grace period for every online seller or every new warehouse arrangement: first determine whether and when liability arose for the particular seller.

How to assess a marketplace or third-party fulfilment centre

Using a marketplace fulfilment centre does not settle the registration question by itself. The official material establishes the general treatment of a warehouse used for storing goods, but it does not resolve every third-party fulfilment arrangement. Before deciding that a centre is, or is not, attributable to your business, examine the actual operating and contractual arrangement.

  • Identify who owns the inventory while it is held at the centre.
  • Check which legal entity is named in the supply and dispatch documents.
  • Review who contracts for the storage service and what the agreement says about access, control, and movement of stock.
  • Determine how orders are picked, packed, and dispatched, and from which location.
  • Confirm the state and premises details that the seller will declare in its GST registration application.

These are fact-finding checks, not a substitute for applying the law to the arrangement. Where the seller’s role in a marketplace warehouse is unclear, have the contracts and transaction flow reviewed before deciding how to register.

How separate state registrations affect stock transfers

Different state establishments of the same person are treated as distinct persons under section 25 of the CGST Act. The Act also treats registrations held by the same person as distinct persons for GST purposes. This matters because Schedule I provides that supplies between distinct persons in the course or furtherance of business can be treated as supplies even if made without consideration.

As a result, moving inventory from one state GST registration to another may raise a taxable inter-registration supply issue, even if there is no sale to an outside customer at that point and the same business owns the goods. The transfer should not be dismissed as an internal warehouse move merely because no cash changes hands.

What to review before moving stock

The general distinct-person principle does not answer every question about a particular transfer. It does mean the seller should review the tax treatment and records before stock starts moving between registrations. A movement may involve questions about whether a supply has occurred, the appropriate value, documentation, and the recipient registration’s input tax credit. The statutory principles alone do not establish the valuation calculation or the full document set for every movement.

  • Map the originating and receiving GSTINs, the locations, and the inventory involved.
  • Determine whether the registrations are distinct persons and whether the movement is in the course or furtherance of business.
  • Have the supply treatment and applicable valuation method checked for the specific transaction.
  • Confirm which invoice or other movement records are required under the current rules and how the receiving registration will account for the transaction.
  • Check whether an e-way bill or other transport document is required for the route and movement. The requirement should be determined from the current rules and facts; the general principles above do not establish it for every transfer.

Keeping the origin, destination, GSTINs, dispatch details, and transaction records consistent helps the seller reconcile warehouse movements with its returns. It also reduces the risk of treating one registration’s stock movement as unrelated to the other registration that receives the goods.

Returns are handled for each GSTIN

A seller with registrations in multiple states should plan compliance registration by registration. Each GSTIN has its own return profile and tax-period activity to report. Do not assume that filing for the head-office GSTIN covers another state registration, or that the seller and its marketplace have identical reporting responsibilities.

The GST Portal identifies GSTR-1 as the statement of outward supplies for covered normal and casual registered taxpayers. It provides for monthly or quarterly filing and includes details for specified supplies through e-commerce operators. The portal guide says GSTR-1 is required even for a nil period. Consequently, a registration with no reportable outward supply in a period should not simply be ignored: check the GST Portal profile and file as required for that period.

Monthly or quarterly GSTR-1

Monthly or quarterly filing depends on eligibility and the registration’s selected filing profile. The GST Portal guide describes quarterly filing as available to eligible taxpayers with aggregate turnover up to ₹5 crore, subject to the guide’s conditions. That threshold is an eligibility condition in the portal guidance, not a promise that every seller below it can file quarterly or that every GSTIN should be placed on a quarterly cycle without checking its profile.

When planning a multi-state operation, verify the filing frequency shown for each registration. Do not infer one GSTIN’s frequency from another GSTIN’s settings. The seller must also account for the fact that GSTR-1 covers outward-supply information, including specified e-commerce supplies, while the marketplace operator may have separate statutory duties.

What about GSTR-3B and due dates?

Return forms, return frequency, due dates, extensions, and exceptions can depend on the GSTIN’s filing profile and current notifications. There is no single universal deadline that can safely be applied to every state registration and every tax period based only on the general rules described here. Check the GST Portal’s return calendar and applicable notifications for each GSTIN and period, including the relevant GSTR-3B filing requirement.

Use a calendar or compliance tracker that identifies the GSTIN, tax period, forms due, filing status, and payment status. A state-by-state tracker is particularly useful when one registration is monthly and another is on an eligible quarterly cycle, or when a notification changes a deadline for a particular period.

Keep state and supply details consistent in records

Correct state information affects how online supplies are reported. CBIC Circular No. 170/02/2022-GST emphasizes accurate place-of-supply reporting in invoices and relevant returns. For an online seller, that makes customer-state and place-of-supply data an important part of the order-to-return workflow, alongside the warehouse and GSTIN information.

Build a reconciliation that connects orders and marketplace reports to invoices, dispatch records, stock transfers, and the return data for the relevant registration. If a seller’s systems assign the wrong state or GSTIN to an order, the error can flow into invoices and reported outward supplies. Review unusual cases—such as dispatches from a fulfilment centre different from the seller’s registered business location—rather than relying solely on a marketplace report’s summary field.

Can a small online seller use the composition scheme?

Do not assume that a small turnover automatically makes the composition levy available. The Act places restrictions on composition eligibility, including restrictions involving inter-state outward supplies. It also contains mandatory-registration categories for specified e-commerce supplies, alongside notified exceptions. The outcome depends on the seller’s exact sales model, the kind of supplies made, and the current notifications.

Before choosing a scheme, check whether the seller makes inter-state outward supplies, whether it supplies through an e-commerce operator in a category covered by the rules, and whether a relevant notified exception applies. A seller that uses warehouses in several states should also consider how distinct registrations and inter-registration movements interact with its proposed treatment. The general rules do not establish that every marketplace seller is ineligible or that every small seller qualifies; verify the current provisions for the specific business.

A practical setup sequence for multi-state warehousing

  1. Map the business locations. List the head office, each warehouse or fulfilment centre holding inventory, the state of each location, and the entity that owns or controls the stock.
  2. Assess registration liability by state. Apply the Act and current notifications to the seller’s facts. Treat a warehouse used to store goods as a relevant place-of-business issue, but do not use customer destinations alone as a universal trigger.
  3. Apply for each required registration. The general statutory application window is 30 days after liability arises, subject to qualifications and exceptions. In the GST Portal application, provide the principal and additional places of business and the required address and premises-supporting details.
  4. Configure stock movement controls. Identify which GSTIN dispatches and receives inventory. Before inter-registration transfers begin, determine the supply treatment, valuation, records, and any transport-document requirements for the actual movements.
  5. Confirm each GSTIN’s filing profile. Check whether GSTR-1 is monthly or quarterly for that registration, whether it is required for a nil period, and which other returns and deadlines apply.
  6. Reconcile sales and reporting data. Match customer state and place-of-supply information, invoices, marketplace reports, warehouse dispatches, and stock-transfer records to the appropriate GSTIN’s return data.
  7. Recheck when the model changes. A new state warehouse, change in inventory ownership, revised fulfilment contract, or different dispatch arrangement can alter the registration analysis. Reassess rather than carrying forward an old conclusion by default.

Common mistakes to avoid

  • Assuming the head-office GSTIN covers every warehouse. A warehouse used to store goods can be a place of business, and liability in another state may require a separate registration.
  • Registering wherever any customer lives without analysis. Customer location alone is not a universal registration trigger; apply the statutory rules to the seller’s facts.
  • Treating a transfer between state GSTINs as automatically tax-free. Distinct-person supplies in the course or furtherance of business can be supplies without consideration.
  • Assuming a marketplace’s filing replaces the seller’s own returns. Operators can have separate duties, while the seller remains responsible for its own registration and return obligations.
  • Using a single deadline for every registration. Verify filing frequency and due dates for each GSTIN and tax period on the current portal and under applicable notices.
  • Assuming an e-way bill is always required—or never required—for a transfer. Check the current transport rules against the route and transaction details.
