Contract manufacturing for an overseas customer is not automatically an export of services under Indian GST. First determine whether the Indian business is processing goods belonging to another registered person (job work), supplying finished goods, or providing a manufacturing service. Only after that characterization can a service be tested against all five conditions in section 2(6) of the Integrated Goods and Services Tax (IGST) Act: supplier in India, recipient outside India, place of supply outside India, permitted receipt of consideration, and parties that are not merely establishments of the same legal person.
What the rule means for an Indian contract manufacturer
The overseas location of a customer, a foreign-currency invoice, or shipment of finished goods outside India does not by itself establish an export of services. GST analysis starts with the legal supply and the parties to it.
There are three separate questions:
- Is the Indian business supplying processing or manufacturing services, goods, or a mixed arrangement?
- If it is a service, do all five statutory export-of-services conditions apply to the actual transaction?
- If it is job work, has the business followed the goods-movement and record requirements in section 143 of the CGST Act?
Those questions can produce different answers in the same supply chain. A business may perform work on customer-owned materials under a job-work arrangement, while another contract with the same group may be a sale of finished products. The contract, title to inputs and output, risk allocation, invoicing, and payment trail matter more than the commercial label “contract manufacturing.”
When contract manufacturing is “job work”
Section 2(68) of the CGST Act defines job work as “any treatment or process undertaken by a person on goods belonging to another registered person.” The registered person whose goods are processed is the principal for the section 143 framework. CBIC Circular No. 38/12/2018-GST, dated 26 March 2018, explains this treatment and the movement of inputs or capital goods to a job worker.

Facts that support job-work treatment
- The goods being treated or processed belong to another registered person.
- The Indian manufacturer is performing a process on those goods rather than selling its own inventory as the principal supply.
- The principal and job worker can be identified in the contract, records, challans and invoices.
Facts that require a different analysis
If the Indian manufacturer buys materials, takes title and risk, and supplies a completed product for an agreed price, the transaction may be a supply of goods rather than a service. If both parties contribute materials or the contract combines a product with processing, the result may depend on the precise title, risk, consideration and invoicing terms. The official job-work circular does not decide every mixed-input or finished-goods arrangement. Do not treat the word “job work” in a purchase order as conclusive.
Job work and export of services are different tests
Job-work status does not confer export status. Job work addresses how goods belonging to another registered person are treated and how those goods move under section 143. Export of services is a separate, conjunctive test in section 2(6) of the IGST Act. A job worker must still satisfy every export condition if it claims that its processing service is an export.
Conversely, a service can potentially meet the export test without being job work. The decisive issues are the identity of the supplier and recipient, the statutory place of supply, the payment route and the distinct-person rule.

The five conditions for export of services
Section 2(6), as reproduced in official GST Council material, requires all of the following. Failure of one condition prevents the service from qualifying as an export of services.
1. The supplier must be located in India
Identify the legal entity issuing the invoice and performing the service. An Indian company, partnership or other taxable person must be the supplier for this condition. The analysis should follow the contracting and invoicing entity, not merely the factory location or group brand.

2. The recipient must be located outside India
Establish which legal person receives the service and is liable under the contract. A customer’s headquarters, purchasing agent or payment bank may not be the recipient. Obtain the foreign entity’s legal name, registration details and contractual role.
3. The place of supply must be outside India
This is often the most overlooked condition. Customer location is not a substitute for the statutory place-of-supply rule. Apply the relevant provision of the IGST Act to the actual service, including any special rule that may apply to the type of service or the location of performance. A foreign customer and foreign payment do not cure a place-of-supply result located in India.
4. Consideration must be received through a permitted route
The statutory wording allows convertible foreign exchange or Indian rupees wherever the Reserve Bank of India permits it. Trace the actual receipt to the supplier’s books and bank records. A foreign-currency invoice alone is insufficient if settlement occurred through an arrangement that does not meet the permitted route.
5. Supplier and recipient must not be merely establishments of a distinct person
Determine whether the parties are separate legal persons or establishments of the same legal person. This condition is independent of the other four; a related-company relationship does not automatically fail it, and a separate-looking commercial arrangement does not automatically satisfy it.
Separate companies, subsidiaries and branches
The GST Council-hosted clarification reproduced from the CBIC process distinguishes an Indian-incorporated company from a foreign-incorporated company. An Indian subsidiary, sister concern or group company and a foreign-incorporated parent are separate legal persons for the distinct-person condition. Supply between them is not excluded solely because they are related. The supplier must still prove the recipient’s location, place of supply and permitted payment.

A branch, agency or representative office can instead be an establishment of the same legal person. If the overseas “customer” is actually a branch or office of the Indian entity, the fifth condition may not be met. Confirm the incorporation documents, contracting entity, tax registrations and authority under which the overseas office operates.

Payment in foreign currency, INR and Special Rupee Vostro Accounts
Convertible foreign exchange is one permitted route, but the law also recognizes INR where RBI permits it. CBIC’s 2023 clarification, reproduced in GST Council material for the 52nd GST Council Meeting, addresses export proceeds paid in INR from designated Special Rupee Vostro Accounts of correspondent banks in a partner trading country, opened by authorized-dealer banks.
The clarification treats that receipt as satisfying section 2(6)(iv) subject to the conditions and restrictions in Foreign Trade Policy 2023 and extant RBI circulars, without prejudice to permissions required under another law. It does not turn every rupee payment into export consideration. Keep the bank advice, account details, remittance documentation and evidence of the applicable RBI and trade-policy permissions.
What changes when work is outsourced overseas
CBIC Circular No. 78/52/2018-GST, dated 31 December 2018, addresses an Indian exporter that has a service contract with an overseas recipient but performs part of the service through a supplier outside India. This is a different fact pattern from an Indian factory processing customer-owned goods.

Two supplies must be separated
- The Indian exporter supplies services to the overseas recipient for the full contract value.
- The Indian exporter imports services from the overseas subcontractor for the outsourced portion.
The circular states that the total contract value can be treated as export of services when section 2(6) and section 13(2) conditions are satisfied. The Indian exporter must pay integrated tax under reverse charge on the imported service and may claim input tax credit of that tax, subject to the normal conditions for credit.
When the overseas customer pays the subcontractor directly
The circular also describes a case in which the overseas customer pays the overseas subcontractor directly. That portion may still count as receipt of consideration for the Indian exporter’s export if the Indian supplier pays reverse-charge IGST on the imported service and RBI has allowed the relevant consideration to be retained outside India. This is a specific clarification with stated conditions, not a general approval of third-party payment arrangements.
Section 143 compliance for an Indian job worker
When the arrangement is job work, review the section 143 process separately from export status. The principal’s inputs or capital goods may move to the job worker under the prescribed procedure. The file should show:
- the principal’s registration and ownership of the goods;
- delivery challans and movement records for inputs or capital goods;
- the processing performed and quantities received, consumed, returned or sent onward;
- the destination after processing, including return to the principal, supply to another party or export; and
- compliance with the applicable statutory return, supply and export time limits.
The circular framework covers subsequent movement and export routes, but the applicable time limits and current procedural requirements must be checked against the law and notifications in force for the transaction date.

A practical decision sequence
- Map every legal party. Name the Indian manufacturer, the principal, the invoiced recipient, any overseas subcontractor and any branch or representative office. Record incorporation and registration details.
- Read the operative clauses. Identify who owns inputs and finished goods, who bears loss and quality risk, who controls specifications, and whether consideration is for processing, goods or both.
- Classify the supply. Test the facts against the job-work definition. If the Indian business supplies its own finished goods or a mixed arrangement, conduct a separate goods or composite-supply analysis rather than assuming job work.
- Apply the five export conditions independently. Document supplier location, recipient location, the exact place-of-supply provision, settlement route and distinct-person status.
- Trace the money. Match invoices to bank credits. For INR receipts, identify the RBI-permitted route; for direct payment to an overseas subcontractor, test the Circular 78/52/2018-GST conditions.
- Complete job-work records. Reconcile challans, quantities, processing reports and the eventual return, supply or export of the goods within the applicable period.
- Review the current law. Before filing a return, refund or reply to a notice, verify the current CGST and IGST Acts, notifications, CBIC circulars, RBI directions and Foreign Trade Policy terms.
How common fact patterns differ
| Fact pattern | Primary GST question | What must be established |
|---|---|---|
| Indian processor treats goods owned by another registered person | Job work under section 2(68) and section 143 | Principal’s ownership and registration, documented movement, processing consideration and compliant destination of the goods |
| Indian manufacturer buys materials and sells completed products to a foreign customer | Goods-supply analysis rather than automatic service export | Title, risk, invoicing and whether the contract is for goods, services or a composite supply |
| Indian company provides a manufacturing service to a separately incorporated foreign group company | Whether all five section 2(6) conditions are met | Separate legal identity, statutory place of supply, permitted receipt and the other export conditions |
| Indian entity contracts with its own overseas branch or representative office | Distinct-person condition | Whether the overseas office is an establishment of the same legal person |
| Indian exporter outsources part of a service to a supplier outside India | Circular 78/52/2018-GST treatment of two supplies | Full-value export conditions, reverse-charge IGST, input-tax-credit eligibility and any direct-payment or retention conditions |
Documents that support the position
- Signed contract, purchase orders, statements of work and amendments identifying the supplier, recipient and subcontractors.
- Evidence of incorporation, GST registration and branch or office status for each relevant entity.
- Input and output title records, insurance and risk clauses, specifications, quality reports and inventory ledgers.
- Tax invoices, debit or credit notes, delivery challans, e-way or transport records where applicable, and job-work registers.
- Bank statements, foreign-inward-remittance records, authorized-dealer confirmations and documents supporting any Special Rupee Vostro Account route.
- Reverse-charge tax payment records and input-tax-credit records for imported services used in an outsourced service contract.
- Evidence showing where the service is actually received and the reasoning for the statutory place-of-supply provision used.
Frequent errors and how to correct them
“The customer is abroad, so it is an export”
Correct the file by testing the place of supply and payment route, not just customer address. Keep a written analysis tied to the specific IGST provision that locates the place of supply outside India.

“Job work automatically means zero-rated export service”
Separate the section 143 goods procedure from the section 2(6) export test. A job worker must satisfy all five export conditions before treating the service as an export.
“Our parent company is foreign, so the distinct-person condition is satisfied”
Confirm that the parent is a separately incorporated foreign company. A branch or representative office of the same legal person is a different case.
“Any rupee credit qualifies as export proceeds”
Identify the permitted RBI route. Special Rupee Vostro receipts are covered only subject to Foreign Trade Policy 2023, RBI conditions and other required approvals.
