Leaving a company does not automatically give you, or take away, all of your stock options. The outcome depends on three separate questions: which options were vested on your termination date, how long the plan and grant agreement let you exercise them, and whether the option is an incentive stock option (ISO) or a nonstatutory stock option (NSO) for federal tax purposes. Unvested options are commonly forfeited. Vested options may survive for a limited contractual period, then expire if you do not exercise them. The often-repeated “90 days” is not a universal deadline.
What happens to your options when employment ends
Stock options are contractual rights to buy shares at a specified exercise price (the strike price). Departure usually affects vesting and the time available to exercise, while tax law determines how an exercise or later sale is treated. Your option plan and individual grant agreement control the contract; federal tax rules do not rewrite those documents.
Unvested options usually stop at termination
In the plain-vanilla pattern described by the U.S. Securities and Exchange Commission (SEC), options that have not vested are forfeited when employment ends. If your grant has a cliff or a vesting schedule, only the shares vested under that schedule by the plan’s termination date are generally eligible for any post-employment exercise period. A promise that you were “close” to a vesting date does not itself create a right to those shares.

Vested options can have a short post-termination life
Vesting does not mean you own the shares. It means you have earned the contractual right to exercise the vested portion, subject to the agreement’s deadline and other conditions. SEC Staff Accounting Bulletin No. 107 gives a qualified example in which post-termination exercise is “typically 30-90 days.” That is an accounting staff example, not a statute, a survey, or a rule that applies to every employer. Some plans use a different period, a longer window for certain departures, or special treatment for retirement, death or disability.

After the contractual deadline, the option normally expires without value even if the shares later become more valuable. Obtain the exact expiration date in writing; do not calculate it from a generic 90-day assumption.
| At departure | Common result | Document that controls |
|---|---|---|
| Unvested options | Forfeited in the SEC’s plain-vanilla example | Plan vesting rules and grant agreement |
| Vested options within the exercise window | May be exercised if all contractual conditions are met | Grant agreement, plan and issuer procedures |
| Vested options after the contractual deadline | Generally expire unexercised | Expiration and termination provisions in the award documents |
The 90-day rule: what it means and what it does not mean
“You have 90 days after leaving” combines two different concepts. A plan may provide a 90-day post-termination exercise window, but it may also provide 30 days, a longer period, or a special period for a particular type of termination. The contract is the source of that deadline.
Separately, the federal ISO rules include an employment timing test. Under 26 U.S.C. § 422, statutory treatment generally requires the holder to have been an employee through the date three months before the exercise date. A one-year period applies in the specified disability case. Exercising after the applicable employment period can mean that the exercise no longer receives statutory ISO treatment. That tax rule does not extend, shorten or otherwise change the contractual expiration date.
For example, a grant could contractually allow exercise for 180 days after termination, while an exercise made more than three months after employment ends may not satisfy the ISO employment test. You would need to analyze both the contract deadline and the tax classification for the proposed exercise. Do not infer either one from the other.

Find the facts for your specific grant before making a decision
Before paying an exercise price or allowing a deadline to pass, assemble the following information for each grant:
- Termination date used by the plan: The relevant date may be the last day worked or another date defined in the documents, rather than the date you announced your resignation.
- Vested share count: Confirm the number vested as of that date, including how a partial vesting period or cliff is handled.
- Contractual expiration date: Ask the plan administrator or issuer to confirm the final exercise date and the time zone or cut-off time used by its platform.
- Option classification: Identify whether each grant is an ISO or an NSO. Keep the grant notice and any later modification together.
- Exercise price and payment mechanics: Calculate the strike price multiplied by the shares you intend to exercise, then check permitted payment methods and any required tax withholding.
- Share-transfer restrictions and liquidity: Determine whether shares can currently be sold, whether company approval is required, and whether a tender offer or public market is available. An exercise can require cash long before a sale is possible.
Request written confirmation when a verbal explanation conflicts with your documents. The agreement controls contractual rights, and the issuer’s cap-table or equity platform should show the grant-level dates and share counts.
ISO versus NSO: why the label changes the tax timing
The Internal Revenue Service calls an option granted under an ISO plan a statutory option. Options outside the statutory ISO rules are generally nonstatutory. The distinction matters at exercise and at sale, especially after you leave.

| Regular federal income at exercise | Generally no regular taxable income at exercise, but the spread may be an alternative minimum tax (AMT) adjustment when the shares become transferable or cease to be subject to a substantial risk of forfeiture. | For most NSOs without a readily determinable fair market value at grant, the fair market value at exercise minus the amount paid is compensation income at exercise. |
| Employment timing after departure | The federal employment test can affect whether the exercise receives statutory ISO treatment; the three-month rule is separate from the contract deadline. | No ISO employment test applies, although the grant’s contract and other tax rules still govern. |
| Records to retain | Exercise date, shares transferred, strike price, fair market value and AMT-related basis information. | Exercise-date compensation amount, withholding records and basis information. |
The IRS summarizes the NSO issue this way: “Most nonstatutory options don’t have a readily determinable fair market value.” Read the current IRS Topic no. 427, Stock options for the federal distinction and information-return discussion. The detailed federal rules and examples appear in IRS Publication 525 (2025).

Why an ISO exercise can create an AMT bill
An ISO exercise may produce no regular federal income-tax income on the exercise date, yet the difference between the shares’ fair market value and the exercise price can enter the AMT calculation when the shares are transferable or no longer subject to a substantial risk of forfeiture. Your regular-tax basis and AMT basis can therefore differ. Keep the valuation and exercise records needed to calculate both; a later sale may require an adjustment rather than simply copying a broker’s basis.
Why an NSO exercise can require cash for tax immediately
For a typical NSO with no readily determinable grant-date value, the exercise spread is compensation income at exercise. The cash needed is therefore more than the strike price alone: you may also need funds for the tax associated with that income, according to the issuer’s withholding and reporting process. Confirm the actual amount and payment method with the plan administrator and your tax professional.
Should you exercise before leaving?
There is no universally correct answer. Exercising before departure can preserve an ISO’s employment timing for that exercise, but it commits cash to shares whose value and liquidity are uncertain. Waiting may preserve cash today but expose vested options to a short post-termination deadline or to loss of statutory ISO treatment after the employment period.

- Confirm the dates and shares. Record the plan-defined termination date, vested shares and contractual expiration date.
- Identify the tax type. Mark the grant ISO or NSO and note whether a proposed ISO exercise would occur within the federal employment period.
- Compute the exercise cash. Multiply shares by strike price. Add any known withholding or transaction charges, without assuming a future sale will fund them.
- Estimate tax exposure. For an NSO, model compensation income on the exercise spread. For an ISO, model a possible AMT adjustment and maintain separate regular-tax and AMT basis records.
- Test liquidity. Find out whether shares can be sold now, when transfers are permitted, and whether company approval or a specific transaction is required.
- Set a loss limit you can afford. Treat the exercise as a cash-and-risk decision, not a guaranteed investment return. Federal sources do not establish a private company’s value, future price or ability to provide liquidity.
- Submit the exercise correctly. Follow the issuer’s current portal instructions, payment deadlines and withholding requirements, and save the confirmation.

What happens when you sell ISO shares
Exercising and selling are separate events. For favorable statutory disposition treatment, the general ISO holding-period test requires you not to sell before the later of one year after the shares were transferred to you and two years after the option was granted. The relevant dates are the grant date, exercise/transfer date and sale date—not simply your employment end date.
A sale before both periods have run is a disqualifying disposition. The ordinary-income component can be tied to the relevant exercise spread, with any remaining gain potentially treated as capital gain under the applicable rules. The exact calculation depends on the sale price, basis and other facts, so use the current IRS instructions rather than a simplified percentage.
Holding periods do not guarantee a profit or create liquidity. Private-company shares may remain difficult to sell even after the statutory period has passed.

When you sell, Form 1099-B may omit compensation that was previously included in basis for options granted on or after January 1, 2014. The IRS says taxpayers are responsible for making appropriate basis adjustments on Form 8949. Reconcile the broker’s proceeds and basis with the amount already included as compensation or an AMT adjustment, and retain the calculation supporting your entries.
Common mistakes and how to avoid them
- Assuming every deadline is 90 days: Read the termination and expiration clauses for the actual grant.
- Confusing vested with owned: Vested options are rights to buy shares, not shares already held.
- Ignoring the option type: ISO and NSO exercises can create income at different times and in different forms.
- Spending money without a liquidity plan: You may owe exercise-related tax while being unable to sell private shares.
- Using one tax basis: ISO transactions can require separate regular-tax and AMT basis tracking.
- Accepting a broker’s 1099-B basis without checking: Compare it with compensation previously reported and make any required Form 8949 adjustment.
- Relying on federal rules for every tax question: State, local and non-U.S. taxes can differ and require separate advice.
What the federal sources do—and do not—decide
The federal sources establish the ISO and NSO tax mechanics, the ISO employment and holding-period tests, and the need to correct basis reporting when appropriate. They do not determine your employer’s contractual deadline, whether your particular grant remains exercisable, the value or liquidity of private shares, or your state, local or non-U.S. tax liability. Those questions require your plan documents, issuer information and personal tax facts.
For the controlling documents and current federal guidance, start with the SEC’s Staff Accounting Bulletin No. 107, 26 U.S.C. § 422, IRS Topic no. 427 and IRS Publication 525 (2025). Check the IRS instructions for the tax year in which you exercise or sell.
