The Reserve Bank of India (RBI) does not make every large non-banking financial company (NBFC) list automatically. Under its Scale Based Regulation (SBR) framework, the top 10 eligible NBFCs by asset size always enter the Upper Layer. Other NBFCs are assessed each year through a risk-based score that combines quantitative measures, qualitative factors and supervisory judgment. Once RBI identifies an NBFC as an Upper-Layer NBFC (NBFC-UL), it must be listed within three years.

What “Upper Layer” means in RBI’s NBFC framework

RBI’s SBR framework, issued on October 22, 2021, divides NBFCs into four regulatory layers:

Layer How it is defined Regulatory idea
Base Layer NBFCs that fall within the framework’s lower-risk and smaller-scale segment Baseline requirements
Middle Layer NBFCs requiring more extensive prudential oversight Enhanced requirements for larger or more complex businesses
Upper Layer NBFCs specifically identified by RBI through the automatic top-10 rule, annual scoring and supervisory assessment Significantly enhanced regulation and mandatory listing
Top Layer Expected to remain empty unless RBI considers an NBFC-UL’s potential systemic risk to have increased substantially Exceptional, systemically important supervision

Upper-Layer status is therefore a regulatory classification, not simply a label for a company above a particular asset threshold. The classification reflects the potential effect of an NBFC’s size, connections, complexity, liabilities, group structure and market reach on the financial system.

The first gateway: RBI’s automatic top-10 rule

The clearest part of the test is the automatic rule. RBI’s framework says: “The top ten eligible NBFCs in terms of their asset size shall always reside in the upper layer, irrespective of any other factor.”

Three qualifications matter:

  • It is the top 10 eligible NBFCs, not every company that happens to exceed an unspecified asset number.
  • The ranking is relative: an NBFC can enter because it is among the 10 largest eligible institutions, even if there is no permanent rupee threshold.
  • The rule is based on asset size for this automatic group. It should not be confused with the separate total-exposure measure used to assemble the wider scoring pool.

This means that a large NBFC outside the top 10 is not automatically Upper Layer solely because of its size. It moves to the next part of the process: annual assessment and possible supervisory identification.

How RBI builds the annual scoring pool

For the non-automatic candidates, RBI computes scores annually using the NBFC’s position as of March 31. The scoring appendix describes a candidate set made up of three groups:

  1. The top 50 NBFCs by total exposure. Total exposure includes the credit equivalent of off-balance-sheet exposure. The 10 NBFCs already placed in the Upper Layer by asset size are excluded from this portion of the pool.
  2. NBFCs that were NBFC-ULs in the prior year. Existing Upper-Layer institutions remain within the supervisory process rather than disappearing from consideration after one year.
  3. NBFCs added through supervisory judgment. RBI can bring an institution into the assessment when its supervisory view indicates that it warrants consideration, even if it does not enter through the other two routes.

The March 31 reference date is important when comparing annual lists. A list published later in the calendar year reflects the financial and risk position used for that assessment date, not necessarily the company’s balance sheet on the publication day.

What the score measures

RBI’s broad scoring balance gives quantitative parameters a 70% weight and qualitative parameters a 30% weight. Those percentages come from the 2021 RBI framework and describe the framework’s weighting, not a market statistic or a prediction of listing probability.

Quantitative parameters: 70%

The quantitative side covers three broad risk dimensions:

  • Size and leverage: the scale of the institution and the extent to which its balance sheet is supported by borrowing or other leverage.
  • Interconnectedness: the institution’s links with other financial entities and the wider financial system.
  • Complexity: features of the business that can make risk harder to understand, manage or resolve.

The framework uses these categories to compare candidates consistently. They are not a single “assets over X” test, and the broad categories should not be treated as a published formula that produces an automatic listing decision.

Qualitative parameters: 30%

The qualitative side addresses characteristics that a purely numerical ranking could miss:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • Nature and type of liabilities: how the NBFC is funded and the risks associated with those obligations.
  • Group structure: the way the NBFC sits within a corporate or financial group, including structural features relevant to supervision.
  • Segment penetration: the extent to which the NBFC is concentrated in or influential within particular business segments.

RBI’s published framework gives these categories a 30% combined weighting. It is safer to use the categories and the 70:30 balance than to quote detailed sub-parameter percentages unless the controlling RBI appendix is checked for the specific version being applied.

Why a high score does not guarantee inclusion on the annual list

The score informs RBI’s decision, but qualification under the methodology and publication on the annual NBFC-UL list are not identical outcomes. RBI retains supervisory discretion and can explain an omission or qualification in its release.

Piramal Enterprises example

In the release for the 2024–25 review, published January 16, 2025, RBI stated that Piramal Enterprises Limited qualified for identification as NBFC-UL under the scoring methodology but was not included in that year’s list because of ongoing reorganisation in its business group. This is a direct example of why a company’s calculated score cannot be read as a guaranteed final classification.

Tata Sons qualification

The same 2024–25 release said Tata Sons’ inclusion was without prejudice to its pending de-registration application. That wording shows that RBI can identify an institution while expressly preserving the position of a separate regulatory application or proceeding.

When comparing companies, therefore, use the published inclusion or omission rationale as well as the numerical factors. A ranking alone is incomplete.

Does group asset consolidation decide Upper-Layer status?

No. RBI’s October 11, 2022 directions on multiple NBFCs in a group require consolidation of group NBFC assets for specified Middle-Layer classification purposes. Those directions explicitly state that the provisions do not apply to Upper-Layer classification.

That distinction prevents a common error: adding the assets of related NBFCs and treating the resulting figure as the Upper-Layer test. For NBFC-UL status, the relevant framework is the automatic top-10 rule, the annual scoring pool and RBI’s supervisory assessment—not the Middle-Layer group-consolidation provision.

What happens after RBI identifies an NBFC-UL?

Identification creates both a listing obligation and a staged transition to enhanced regulation.

  1. Formal advice: RBI’s Department of Regulation advises the NBFC of its classification.
  2. Three-month implementation step: within three months of that advice, the NBFC must put in place a board-approved policy and implementation plan for the enhanced requirements. Before the actual listing, the policy must provide disclosure requirements on the same lines as those applicable to a listed company.
  3. Enhanced-regulation deadline: the NBFC must meet the enhanced requirements within a maximum of 24 months from RBI’s advice.
  4. Listing deadline: RBI’s framework states that an NBFC-UL “shall be mandatorily listed within 3 years of identification as NBFC-UL.”

The 24-month transition for enhanced requirements and the three-year listing period are related but distinct deadlines. A company should track both from the date of RBI’s formal classification advice and maintain board-approved evidence of its implementation plan.

How long Upper-Layer status lasts

Identification is not an annual pass that disappears as soon as a company’s score falls. An NBFC identified as NBFC-UL remains subject to enhanced regulation for at least five years, even if it no longer meets the scoring criteria in a later annual review.

Under the framework, an NBFC can move out after failing to meet the classification criteria for five consecutive years. The framework also describes a possible earlier exit where the institution makes a voluntary strategic move to readjust its operations under a board-approved policy. That earlier route does not apply when downsizing results from adverse NBFC-specific circumstances and deteriorating financial conditions.

This durability rule is designed to prevent a temporary change in size or risk indicators from producing rapid swings between regulatory regimes.

  1. Check eligibility and asset-size rank. Determine whether the NBFC is eligible and whether it is among the 10 largest eligible NBFCs by asset size.
  2. Use the correct measurement for the wider pool. For the scoring candidate set, examine total exposure, including the credit equivalent of off-balance-sheet exposure, rather than substituting a simple asset figure.
  3. Identify the reference date. Confirm that the figures correspond to the March 31 position used for that annual computation.
  4. Review the risk dimensions. Assess size and leverage, interconnectedness and complexity, then review liabilities, group structure and segment penetration.
  5. Check prior-year status. A prior NBFC-UL remains in the candidate set, and its status is subject to the framework’s persistence and exit rules.
  6. Look for supervisory additions or explanations. RBI may add an institution through supervisory judgment and may explain why a qualifying company was omitted or treated specially.
  7. Find the formal advice date. The three-year listing clock and the transition timetable depend on RBI’s identification and advice, not merely on a company appearing in news coverage.

This checklist is useful for understanding the decision, but only RBI’s formal communication establishes the classification.

What the January 16, 2025 list tells readers—and what it does not

RBI’s latest annual list identified in the available material was published on January 16, 2025 for the 2024–25 review. It is a dated example of the framework in operation, not a timeless roster. A newer RBI list or an amendment may supersede it, so anyone checking a company’s current status should verify the latest RBI publication.

The 2024–25 release is especially useful because it records both a scoring qualification that did not result in inclusion for that year and a qualification attached to Tata Sons’ pending de-registration application. Those notes demonstrate how the rule operates in practice: the methodology structures the assessment, while RBI’s supervisory decision determines the published result.

Common mistakes when interpreting the rule

  • “Every large NBFC must list.” Incorrect. The automatic rule covers the top 10 eligible NBFCs by asset size; other institutions require the annual assessment and RBI identification.
  • “There is one fixed asset cutoff.” Incorrect. The automatic test is a rank among eligible NBFCs, not a universal rupee threshold.
  • “The top-50 pool is ranked by assets.” Incorrect. The scoring pool uses total exposure, including credit equivalents of off-balance-sheet exposure, while the automatic group uses asset-size rank.
  • “A qualifying score guarantees the list.” Incorrect. RBI may apply supervisory judgment and publish a specific reason for omission or special treatment.
  • “Middle-Layer group consolidation determines Upper-Layer status.” Incorrect. The 2022 consolidation directions expressly do not apply to Upper-Layer classification.
  • “Leaving the top 10 ends the obligation immediately.” Incorrect. The framework keeps an NBFC-UL under enhanced regulation for at least five years, subject to the stated exit conditions.

The practical answer

RBI decides whether an NBFC must list under the Upper-Layer rules in two stages. First, the top 10 eligible NBFCs by asset size enter automatically. Second, RBI evaluates the wider candidate pool each year, using the March 31 position, a score weighted 70% toward quantitative risk measures and 30% toward qualitative factors, prior-year status and supervisory judgment. RBI then formally advises the institution of its classification.

Once identified, the NBFC must adopt the required board-approved transition policy, meet enhanced requirements within the prescribed timetable and complete a mandatory listing within three years. A score is evidence in the decision, not the decision itself; the annual RBI list and the formal advice to the company control the outcome.
