In a U.S. IPO, the issuer and underwriters set how shares are distributed, and individual investors may receive few or none. A separate lockup agreement typically restricts certain insiders from selling shares after the IPO; the SEC says most lockups last 180 days, but the actual terms vary by offering. Neither a request for shares nor a lockup’s calendar end date guarantees a particular outcome.
How IPO share allocations are decided
The issuer and its underwriters establish the offering’s distribution structure before public trading begins, including how shares are divided among institutional and individual investors. The SEC does not assign shares to individual investors or regulate that business decision: “The SEC does not regulate the business decision of how IPO shares are allocated.”
Underwriters and dealers often distribute most IPO shares to institutional and high-net-worth clients, including mutual funds, hedge funds, pension funds, insurance companies, and wealthy individuals. That describes common practice, not a fixed allocation formula or a guarantee that every offering uses the same eligibility rules. As a result, an individual investor may receive only part of a requested allocation—or none.

Why a broker may consider prior IPO sales
Underwriters may discourage “flipping”—selling IPO shares soon after receiving them—by declining to allocate shares to customers who sold quickly after earlier allocations. That is an allocation practice, not a general legal prohibition: flipping is not prohibited by federal securities laws.
What an IPO lockup restricts
A lockup is a contractual restriction on selling shares. In the IPO context, the company and underwriter typically enter into the agreement before the company goes public. It commonly covers insiders such as employees, their friends and family, and venture capitalists, although the specific covered holders and securities depend on the agreement.

The SEC says most lockups prevent insiders from selling for 180 days, but terms vary. Some agreements may also limit how many shares can be sold during a specified interval. The 180-day period is a commonly reported contract term, not a statutory U.S. lockup requirement. The SEC describes the typical term in its lockup guidance.
How to find the lockup terms for a specific IPO
For a U.S. company using a lockup, securities laws require the company to disclose the terms in its registration documents, including the prospectus. Find the prospectus through SEC EDGAR or request it from the company’s shareholder-relations department. Read the filing rather than assuming the common term applies.

- Duration and dates: Identify when the restriction starts and the stated expiration date.
- Covered holders and securities: Check whose shares and which securities are subject to the agreement.
- Exceptions or staged releases: Look for provisions that allow early release or make shares eligible for sale in stages.
- Other sale restrictions: Determine whether additional requirements or restrictions may apply to a holder.
The SEC also advises investors to review the prospectus for information about selling shareholders and lockup terms. Its IPO investor bulletin provides further guidance.
What lockup expiration can mean for the stock
When shares become eligible for sale, the potential supply of stock can increase. The SEC cautions that a stock’s price may fall in anticipation of locked-up shares entering the market, and prices may decline as restricted shares become available. These are possible market effects—not evidence that holders will sell or that a price decline is certain.

Expiration removes only the contractual restriction to the extent the agreement provides. Other restrictions, registration requirements, insider-trading laws, company policies, or staged-release terms may still affect whether a particular holder can sell. A date on the calendar alone does not establish that all covered shares can be sold immediately.

- Compare the number of shares the company is issuing with the number existing shareholders are selling.
- Review how the prospectus describes distribution and investor categories, and check the participating broker’s current allocation process.
- Find the lockup’s length, start date, and stated expiration date.
- Check which holders and securities are covered, along with any exceptions, early releases, or staged releases.
- Consider other applicable restrictions before concluding that shares will be available for sale when the lockup ends.
