Cross-listing can give investors another way to trade a foreign company’s securities, but it does not make every route equivalent. A U.S. investor might buy an American Depositary Receipt (ADR), a foreign share listed directly in the United States, or a share traded on the company’s home-market exchange through a broker. The instrument affects how the holding is administered, what information is available, how voting works, and which fees or legal risks to check.
Before investing, identify the exact security and venue, then review its current issuer filings, any ADR deposit agreement, your broker’s fees and procedures, and the security’s trading status. U.S. disclosure and investor-protection rules discussed below are specific to the circumstances covered by U.S. Securities and Exchange Commission guidance; they are not a universal description of every country’s rules.
What cross-listing changes—and what it does not
A foreign company may make its securities available in more than one market. That can give an investor access through a familiar U.S. trading venue or, if the broker supports it, through a foreign exchange. But “cross-listed” does not identify a single type of security or guarantee that a U.S. investor owns the same instrument, receives the same information, or has the same rights as a shareholder registered in the company’s home market.

What is an ADR, and is it the same as owning the foreign shares?
An American Depositary Receipt is a negotiable certificate evidencing an ownership interest in American Depositary Shares (ADSs). The ADSs, in turn, represent interests in shares deposited with a custodian in the issuer’s home market. In everyday market usage, “ADR” and “ADS” are often used interchangeably, but the distinction helps explain the custody chain: an ADR holder’s interest is administered through a depositary arrangement rather than necessarily being registered directly as the owner of home-market shares.
An ADR can represent one underlying share, several shares, or a fraction of a share. Its ratio therefore matters when comparing its price with the home-market share. SEC Investor Bulletin: American Depositary Receipts, dated August 17, 2012, describes the structure and notes that investors may surrender receipts for the underlying shares through intermediaries active in the foreign market. Whether conversion is practical, how it works, and what it costs depend on the deposit agreement and the available intermediaries. Do not assume that a conversion can be completed instantly or through every broker.
Sponsored and unsponsored programs
A sponsored ADR program is set up by the foreign company with a depositary bank. The arrangement may provide services such as recordkeeping, shareholder communications, and dividend payments. An unsponsored ADR may be established without the company’s cooperation. The label alone does not tell you what voting, conversion, or communication services are available: check the specific deposit agreement and issuer materials.
ADR levels are not interchangeable
The SEC’s 2012 bulletin describes three general ADR program levels. These descriptions are a guide to common program characteristics, not a substitute for checking an issuer’s current filings and status.
| Program level | Trading and capital raising | General reporting description in the SEC’s 2012 bulletin |
|---|---|---|
| Level 1 | OTC trading presence; cannot raise capital through the program | Generally does not put issuer reports on EDGAR |
| Level 2 | Exchange-listed; cannot raise capital through the program | Subject to Form 20-F annual reports |
| Level 3 | Exchange-listed; can be used to raise capital | Offering registration and Form 20-F reporting |
Those are general descriptions from the SEC’s August 17, 2012 bulletin. Reporting rules, exemptions, and an individual issuer’s circumstances can affect what filings are required now; confirm them in the issuer’s current SEC record rather than inferring obligations from an ADR label alone.

Can a U.S. investor buy a foreign company through a U.S. broker?
Often, but access depends on the specific security and broker. A U.S. broker may offer an ADR or a foreign share listed directly in the United States. It may also be able to route orders to foreign markets, but the SEC does not establish that every broker supports every venue or security. Foreign-market access can involve different order handling, market hours, settlement procedures, and currency conversion than a U.S.-traded ADR.
Use this sequence to establish what you are actually buying:
- Find the exact security. Search the broker’s security details and identify whether the instrument is an ADR/ADS, a directly U.S.-listed foreign share, or a home-market share. Check the exchange or OTC venue as well as the ticker.
- Check the issuer’s filings and investor materials. For a U.S.-traded security, look for the issuer’s SEC filings and the relevant deposit agreement if it is an ADR. If it is a home-market share, determine where the issuer publishes primary disclosures and whether they are available in a language you can use.
- Confirm your broker can trade that route. Ask whether it supports purchases and sales in the exact security and venue, and whether any order, custody, conversion, or corporate-action restrictions apply.
- Review the price and trading conditions. Check the current quote, bid-ask spread, trading volume, market hours, and any currency conversion needed for the order. These are security- and venue-specific conditions, not qualities guaranteed by cross-listing.
- Before buying an ADR, read its deposit agreement. Look for the share ratio, conversion terms, applicable fees, and how the depositary handles dividends, votes, and other corporate actions.
How do price, liquidity, and currency exposure differ?
An ADR’s price generally corresponds to the home-market share price adjusted for the ADR-to-share ratio. For example, if one ADR represents multiple underlying shares, the comparison must account for that ratio. The SEC’s Investor Bulletin: International Investing describes this relationship; it is a general pricing explanation, not a guarantee that two venues’ quotes will match at every moment.
ADRs trade in U.S. dollars, which can make the transaction operationally familiar to a U.S. investor. Dollar trading does not remove exposure to the foreign currency: exchange-rate movements can raise or lower the value of the underlying shares when expressed in dollars. Currency restrictions or delays in moving money may also matter in some countries, as the SEC’s International Investing guidance explains.

Trading convenience also does not establish that an ADR is more liquid than the home-market share or that a directly listed share has a tighter spread. Trading volume, market hours, spreads, and broker availability vary by security, venue, and date. Markets can have shorter hours or lower trading volumes than U.S. markets, and differences in market operation can affect how readily an investor can trade. A current comparison requires market data for the particular security and venues; the SEC’s general guidance does not provide a universal liquidity ranking or an arbitrage rule.
| Route | What the investor holds or trades | Practical points to verify |
|---|---|---|
| ADR/ADS | An interest in deposited foreign shares administered through a depositary structure | ADR ratio, deposit agreement, conversion route, depositary fees, voting process, venue and reporting status |
| Direct U.S. listing | Foreign company shares listed directly in a U.S. market; this is not an ADR | Share class, U.S. filings, trading conditions, broker availability, and the rights attached to that class |
| Home-market share | The share traded on the foreign company’s home-market exchange | Broker support, local trading hours, currency conversion, disclosure language, settlement and applicable legal rules |
The SEC’s Investor.gov International Investing page gives Canadian companies as an example of foreign companies whose shares may be listed directly in U.S. markets. That example illustrates the distinction; it does not mean every foreign issuer offers a direct U.S. listing.
Do these 3 things before closing this tab:
1Repair Windows errors before they cause bigger problems2Fix the driver behind crashes, sound loss and screen glitches3Clear out junk files and repair common Windows errorsDo ADR holders have voting rights?
There is no safe universal answer based only on the fact that a security is an ADR. A depositary arrangement may forward shareholder communications, and a depositary may charge for voting-related services. Those facts do not, on their own, establish that an ADR holder has an identical vote to a directly registered shareholder, that every vote can be passed through, or that the holder can meet the relevant procedures and deadlines.
For a particular issuer, examine the deposit agreement, the proxy statement or voting materials, the issuer’s charter and share-class terms, and your broker’s instructions. Voting rights and procedures can depend on the share class, governing arrangements, local law, custody chain, and timing. A broker’s deadline may be earlier than the issuer’s meeting date because instructions must move through intermediaries.

Also distinguish substantive rights from administrative convenience. A depositary may handle communications or dividend payments, but that service does not by itself change the underlying share-class rights. If a vote is important to your decision, confirm in advance whether instructions are accepted for your exact ADR, which choices are available, how they must be submitted, and whether a fee applies.

In the United States, foreign companies listed on U.S. exchanges or publicly offering securities in the country must file reports with the SEC, according to the SEC’s Investor Bulletin: International Investing. The SEC’s Division of Corporation Finance identifies Forms 20-F and 6-K among the reporting forms used by foreign private issuers and notes that exemptions may apply under specified conditions. Do not assume every foreign company with a U.S. trading presence follows all the rules that apply to a domestic U.S. issuer.

OTC-traded foreign securities may not face the same reporting requirement as securities listed on a U.S. exchange or offered publicly in the United States. The 2012 SEC ADR bulletin also describes reporting differences among ADR levels. Check the issuer’s filings and the security’s actual listing circumstances; the words “U.S.-traded” or “ADR” alone do not establish how much current information is available.
For home-market shares, company information may not be filed with the SEC and may not be available in English, the SEC cautions. Separate from disclosure, the practical ability to pursue a legal claim can differ by jurisdiction. The SEC’s Investor.gov International Investing guidance warns that a U.S. investor may not be able to pursue certain remedies as a private plaintiff in U.S. courts or collect a U.S. judgment against a non-U.S. company. This is not a claim that no remedy exists; the available route depends on the facts and applicable law.

Which fees should you check?
There is no single current ADR fee or universal cost schedule. A depositary bank may charge custody fees under the deposit agreement and may charge for services related to dividends, currency exchange, voting, or other events. Depending on the arrangement, a charge can be deducted from dividends or passed through the custody chain. The SEC’s 2012 bulletin advises investors to ask their broker and review the specific Form F-6 deposit agreement.
Separately, a broker may charge commissions or other account-specific fees; a transaction may also involve foreign-exchange, tax, conversion, or exchange charges. Which of these apply depends on the broker, instrument, market, and transaction. Review the current fee schedule and security-specific terms before trading rather than treating a historical example as a quote.

The SEC’s August 17, 2012 bulletin gave an example of 1,000 ADRs being assessed a fee ranging from $20 to $50. That is a dated example from the bulletin, not a present-day rate, standard charge, or estimate for a particular ADR.
Could U.S. trading be restricted?
Trading status can change. The SEC’s January 9, 2023 investor bulletin on the Holding Foreign Companies Accountable Act (HFCAA) described a U.S. trading prohibition after an issuer was identified for two consecutive years under the process described at that time. It warned that a restriction could severely limit opportunities to sell.
That bulletin does not establish the current status of any particular company in October 2026. If a possible restriction matters to an investment, check current SEC materials, the Public Company Accounting Oversight Board (PCAOB) information, and exchange notices for the issuer. Do not infer a company’s present status from the general rule or an old list.
