Companies buy Bitcoin through an approved treasury process, document the trade and custody arrangement, and then account for the asset under the rules applicable to their reporting jurisdiction. For U.S. GAAP reporters, qualifying crypto assets are measured at fair value each reporting period under FASB Accounting Standards Update (ASU) 2023-08, with changes recognized in net income, for fiscal years beginning after December 15, 2024. Federal tax accounting is separate: the IRS treats virtual currency as property, so a book remeasurement gain is not automatically a taxable gain.
What a corporate Bitcoin purchase actually involves
A corporate purchase is more than an exchange order. It is an authorization, settlement, ownership, custody and recordkeeping event. The company must be able to show who approved the investment, which counterparty executed it, how much Bitcoin was received, what consideration and fees were paid, when control passed, and where the units are held.
No U.S. rule prescribes one universal procurement channel or requires every company to self-custody. A business may transact through an exchange, an institutional custodian, another counterparty, or a self-managed wallet. The appropriate structure depends on treasury policy, internal controls, liquidity needs, legal restrictions and risk tolerance.

Set the mandate before placing an order
Define why the company is buying
The policy should state whether Bitcoin is a treasury investment, a payment asset, an operational holding or another permitted use. That purpose affects approved size, liquidity requirements, holding period, hedging decisions and who may authorize a sale. A policy should also identify prohibited activities, such as lending, staking or pledging the asset, if those activities are outside management’s mandate.

Set approval and segregation rules
Use separate responsibilities for trade approval, execution, custody administration, accounting and reconciliation. For example, an approver can authorize an allocation, a treasury employee can place the order, and an accounting employee can post and reconcile the transaction. Multi-person approval for withdrawals is especially important when private keys or withdrawal permissions are involved.
Specify evidence to retain
- Approved investment memo or board resolution.
- Counterparty onboarding and account-ownership evidence.
- Order and execution confirmations, including date, time, quantity, price and fees.
- Cash payment evidence and the blockchain transaction identifier.
- Wallet addresses, account statements and proof of access or control.
- Basis, fair-value and tax-lot records linked to the units acquired.
Execute and record the acquisition
Trade and settlement
After funding the approved account, the company places the order under its policy and confirms that the Bitcoin quantity credited to its account matches the execution report. The settlement record should identify whether the units remain in an exchange account, moved to a custodian, or transferred to a company-controlled wallet. Reconcile the fiat debit, the crypto units received and all recorded fees as one transaction package.
Illustrative general-ledger treatment
The exact account titles and fee treatment depend on the company’s accounting policy and applicable standards, but the economic flow is generally represented as follows:
| Event | Illustrative entry or accounting action | Evidence |
|---|---|---|
| Purchase and receipt | Debit a Bitcoin or qualifying-crypto-asset account at the acquisition amount; credit cash or a payable | Confirmation, cash record and settlement identifier |
| Transaction costs | Capture fees separately and apply the company’s documented policy for their treatment | Fee schedule and invoice or execution report |
| Reporting-date remeasurement | Adjust the qualifying asset to fair value; recognize the change in net income under ASU 2023-08 | Valuation support and closing-unit reconciliation |
| Sale or other disposition | Remove the units sold and record the book gain or loss under the applicable accounting policy | Sale confirmation, units disposed and proceeds |
The journal-entry illustration is not a substitute for a company’s chart of accounts or technical accounting memo. The critical control is that the ledger quantity, acquisition data and custody record agree.
Choose a custody model deliberately
Custody determines who controls cryptographic keys, who can authorize a transfer, who maintains the authoritative internal record and who bears recovery and loss risk. A custodian’s role does not by itself establish that the custodian owns the Bitcoin economically; the contract and facts must be evaluated.
Rank #2
| Approach | Key control and recovery | Counterparty and insolvency exposure | Control and operating burden |
|---|---|---|---|
| Institutional third-party custodian | Custodian usually controls signing infrastructure; the company must understand approval, recovery and access procedures | Exposure to the custodian’s contract, controls and financial condition | Often easier to segregate duties and obtain statements, but requires vendor oversight and reconciliations |
| Exchange custody | Platform controls withdrawal keys; company relies on account permissions and recovery processes | Platform, account-freeze and withdrawal-availability risks | Convenient trading and liquidity, with careful monitoring of balances and permissions required |
| Company self-custody | Company controls keys and recovery materials directly | Less reliance on a custodian, but loss, theft or unauthorized signing becomes the company’s responsibility | Highest internal burden for key ceremonies, backups, access reviews and segregation |
There is no universally best option. Compare each model against key control, recovery responsibility, counterparty exposure, auditability, transaction cost, liquidity, operational workload, treasury restrictions and the quality of accounting and tax records.
If self-custody is approved
A Bitcoin hardware wallet or other cold-storage wallet is only a tool for a self-custody design. It does not replace governance. Document who creates and approves keys, where backups are stored, how a second person can participate in recovery, how devices are secured, and what happens if an authorized employee leaves or a device fails. Test the recovery process without exposing production funds, and record every transfer through a controlled change process.

Test the scope criteria
ASU 2023-08 added Topic 350-60 for crypto assets that satisfy all of the specified characteristics. The asset must be:
- Fungible.
- Secured by cryptography.
- Resident on a distributed ledger or similar technology.
- Not an enforceable claim on other goods, services or assets.
- Not issued by the reporting entity or its related parties.
Bitcoin generally needs to be assessed against these criteria in the company’s facts and contracts; the accounting conclusion should be documented for each material holding. A different digital asset, a wrapped instrument, a token with contractual rights or an asset issued by a related party may fall outside the scope.
Effective date and adoption
The amendments apply for fiscal years beginning after December 15, 2024, including interim periods within those fiscal years. Early adoption was permitted for financial statements that had not yet been issued or made available for issuance, subject to the ASU’s transition provisions. To determine whether a particular company has adopted early or on the required date, read its accounting-policy and transition disclosures rather than assuming every filer changed on the same day.

Subsequent measurement and income statement effects
For an in-scope holding, the company measures Bitcoin at fair value at each reporting date and recognizes changes in net income. This replaces the older pattern in which an intangible-asset model could record impairment while not recording upward remeasurement. The fair-value source, valuation time, unit count and any restrictions should be consistent with the company’s documented policy and controls.

Balance-sheet and note presentation
Qualifying crypto assets are presented separately from other intangible assets on the balance sheet. Remeasurement changes are presented separately from changes in the carrying amounts of other intangible assets in the income statement.
For each significant crypto-asset holding, disclosures include the asset’s name, cost basis, fair value and number of units. For holdings that are not individually significant, the entity discloses aggregate fair value and aggregate cost basis. If a contract restricts sale, additional disclosure includes the fair value of the restricted asset, the restriction’s nature and remaining duration, and circumstances that could cause the restriction to lapse.
Why book fair value and tax results diverge
Federal tax classification
The IRS treats virtual currency as property for federal income-tax purposes. General property-transaction principles therefore apply, but the tax result depends on the transaction, tax year, entity and facts. A fair-value gain recognized in financial statements is not automatically a realized taxable gain merely because the market price increased at a reporting date.
Disposition records and specific identification
When a company sells, exchanges or otherwise disposes of Bitcoin, it needs acquisition and disposition records. The IRS material describes recording the acquisition date and time, basis, fair market value at acquisition, disposition date and time, fair market value at disposition, and cash or property received. A taxpayer may choose which units are disposed of when it can specifically identify those units and substantiate their basis. The accounting subledger should therefore preserve lot-level information even when the financial statements report an aggregate balance.
Transfers between company-controlled wallets
Under the IRS virtual-currency FAQ framework, transferring virtual currency between wallets or accounts belonging to the same taxpayer is non-taxable. That treatment does not eliminate the need to document ownership, addresses, dates, quantities and control, and later guidance or different facts may change the analysis.
Broker Form 1099-DA reporting
Broker Form 1099-DA reporting applies to covered transactions on or after January 1, 2025. This is an information-reporting development, not a replacement for the company’s own books or its independent tax determination. The IRS FAQ cited for virtual-currency issues also states that its FAQs generally apply to transactions completed before January 1, 2025; companies should use current digital-asset guidance for later transactions and tax years.
Do not confuse company-owned Bitcoin with customer assets
SEC Staff Accounting Bulletin 122, effective January 30, 2025, rescinded Topic 5.FF guidance concerning obligations to safeguard crypto assets held for platform users. Under the bulletin, an entity with a safeguarding obligation for assets held for others assesses whether to recognize a liability and how to measure it under loss-contingency guidance: FASB ASC 450-20 for U.S. GAAP or IAS 37 for IFRS.
That staff guidance addresses a platform’s obligation to safeguard customer assets. It does not replace the fair-value model for qualifying Bitcoin owned by the reporting company. A treasury department holding its own Bitcoin should not adopt a customer-asset liability model simply because it uses a custodian.
Controls auditors and boards will expect
- Authorization: approved limits, named approvers and documented exceptions.
- Access management: least-privilege account roles, multi-person withdrawal approval and periodic access reviews.
- Key governance: documented key generation, backup, recovery and succession procedures where the company controls keys.
- Completeness: daily or periodic reconciliation of wallet addresses, custodian statements, blockchain confirmations and the general ledger.
- Valuation: a documented fair-value source, closing time, unit count and treatment of sale restrictions.
- Tax-lot integrity: acquisition and disposition timestamps, basis, proceeds and specific-identification evidence.
- Change control: independent review of new addresses, policy changes, software updates and transfers.
- Incident response: procedures for a lost key, suspected compromise, frozen account, custodian failure or unreconciled balance.
Common failure modes and how to correct them
The ledger says one quantity and the custodian says another
Freeze discretionary transfers, identify the last agreed balance, trace every subsequent transaction identifier and have an independent reviewer approve the correcting entry. Do not overwrite the historical subledger; preserve the investigation trail.
Best Value
The company cannot prove which units were sold
Reconstruct lot ownership from acquisition confirmations, wallet addresses, timestamps and transfer logs. If specific identification cannot be substantiated, apply the method required by the relevant tax rules and disclose the uncertainty to the tax adviser.
A market-price increase was booked as taxable income
Separate the financial-reporting remeasurement entry from the tax provision. Prepare a book-to-tax reconciliation that identifies unrealized fair-value changes and actual dispositions, then apply the rules for the company’s tax year and entity.
A restricted holding was reported like unrestricted Bitcoin
Capture the contractual restriction, remaining duration and lapse conditions when the asset is acquired. Feed that information into the fair-value disclosure and review it at every reporting date.
