Companies add bitcoin to treasury by adopting a board-approved policy, allocating only money that is not needed for operations, executing through controlled institutional channels, securing the private keys, and preparing accounting, tax, disclosure and risk controls before the first purchase. The allocation may be funded with excess cash, a staged operating-budget program, equity or debt proceeds, but each source changes the company’s liquidity and risk profile.
Bitcoin is not a risk-free cash substitute. Its price can move sharply, access can be lost through custody or counterparty failure, and debt-funded purchases can force sales at unfavorable prices. A sound program treats bitcoin as a separately governed reserve asset with explicit limits, independent approvals and continuous reporting.
1. Define why the company would hold bitcoin
The board and finance team should write the objective before discussing an amount. A policy designed to solve one problem can be unsuitable for another, so the rationale must be specific and measurable.

A company may want an asset whose supply is not tied to a particular government or banking system. That objective does not remove price risk; it defines why the board is willing to accept it.

Inflation, currency or balance-sheet policy
Multinational businesses sometimes examine bitcoin alongside foreign-currency reserves, commodities or short-term securities. The policy should identify which currency exposure or purchasing-power risk is being addressed and how success will be evaluated.
Payments or strategic use
A business that accepts bitcoin, pays suppliers with it or develops digital-asset products may need a working inventory. Operational holdings should be separated from long-term reserves because payment timing, settlement limits and inventory turnover are different from an investment allocation.
Set limits and liquidity rules
The policy should specify a maximum percentage of cash, investments or net assets; a minimum amount of immediately available operating liquidity; permitted instruments; rebalancing triggers; and events that require a sale. Examples include a covenant breach, a need to fund payroll, a downgrade in a custodian’s status or a change in law. The board should also state whether the limit is measured at cost or current fair value, since those methods produce different results during a large price move.
2. Put governance and internal controls in place
Bitcoin ownership is a control system, not just a trade. The policy should assign responsibilities across the board, treasury, finance, legal, information security and internal audit functions.
Define authority and segregation of duties
- The board approves the policy, allocation ceiling, funding method and any use of leverage.
- A treasury committee or designated officers approve individual purchases within that ceiling.
- A trading employee or approved desk executes orders, while a separate employee verifies settlement.
- Accounting staff reconcile wallet balances, custodian statements, transaction IDs and the general ledger.
- Legal, tax and compliance staff review counterparties, sanctions controls, licensing and reporting obligations.
No single employee should be able to initiate, approve, settle and record a transaction. Set dual approval for transfers, independent verification of wallet addresses and documented emergency procedures for a suspected compromise.

Choose counterparties and venues
List permitted exchanges, over-the-counter desks, brokers, banks and custodians. Due diligence should cover regulatory status in the relevant jurisdiction, financial condition, insurance scope, bankruptcy treatment of client assets, withdrawal procedures, security controls, audit reports and concentration limits. A company should not assume that an exchange’s customer-asset terms protect it in every insolvency scenario.
Require evidence and periodic review
Keep an approval memo, trade confirmation, wallet or account statement, transaction hash, fee record, price source and accounting entry for each purchase. The board should review exceptions, counterparty exposure, policy utilization and control testing at a defined interval, such as quarterly.

Control of bitcoin depends on control of private keys. Custody arrangements must address both cyber threats and ordinary human failure.
Self-custody, third-party custody and hybrids

Many companies use cold storage for strategic reserves and limited hot-wallet balances for approved payments. Whatever the design, document key-generation ceremonies, geographic backups, access roles, transaction limits, withdrawal delays and the process for rotating credentials.
Business continuity and incident response
Test recovery without moving production funds. The plan should identify who can authorize an emergency transfer, how a compromised device is isolated, where encrypted backups are held, and how the company communicates with auditors, insurers, regulators and customers. Custody diversification can reduce dependence on one provider, but it also adds reconciliation and governance work; Strategy’s first-quarter 2026 filing describes seeking additional custodians partly to diversify custody-related loss risk.

4. Select an execution method and purchase schedule
Institutional execution can reduce slippage and provide trade records, but it does not eliminate market or counterparty risk. Treasury should compare quoted spread, fees, settlement timing, withdrawal limits, market depth, collateral requirements and the legal entity actually holding the asset.
Lump-sum and staged buying
A single purchase gives immediate exposure and a simple cost basis, but it concentrates timing risk. A staged schedule spreads execution over predetermined dates or price bands and can make cash planning easier. The schedule should be written in advance so that employees do not improvise during a volatile market.
Pre-trade checks
- Confirm that the proposed amount is within the board-approved percentage and leaves the required operating liquidity.
- Verify the counterparty, settlement account, wallet address and dual-approval status using an out-of-band confirmation.
- Record the price source, order type, maximum slippage, fees and expected settlement time.
- After settlement, independently match units received, transaction identifiers, custody records and the accounting entry.
5. Decide how purchases will be funded
Funding determines whether bitcoin risk remains contained within surplus cash or is transferred to shareholders and creditors.

Strategy’s 2025 Form 10-K states that its corporate strategy includes acquiring and holding bitcoin with proceeds from capital-raising transactions. That is an example of a funding choice, not evidence that capital raising is appropriate for every operating company. Debt should never be described as neutral financing: a falling bitcoin price can coincide with weaker operating cash flow, collateral calls or a refinancing deadline.
6. Build accounting treatment before the first trade
For companies reporting under U.S. GAAP, Accounting Standards Update 2023-08 changes the measurement model for qualifying crypto assets. For fiscal years beginning after December 15, 2024, those assets are measured at fair value on the statement of financial position, and changes in fair value are recognized in net income each reporting period. The standard also requires separate presentation and disclosures.

What fair-value accounting means operationally
- Establish an approved price source and valuation time for each reporting date.
- Reconcile units held, restricted or pledged units, fees and transfers to the custodian’s records.
- Capture realized and unrealized changes separately for management reporting even though both affect the financial statements through fair value.
- Document the classification, presentation and disclosure decisions with the external auditor.
Strategy disclosed a $12.745 billion cumulative-effect increase to opening retained earnings on January 1, 2025, when it adopted ASU 2023-08. Its 2024 Form 10-K reported approximately 478,740 bitcoins held as of February 14, 2025, with an aggregate purchase price of $31.134 billion and an average purchase price of approximately $65,033 per bitcoin. Those dated figures illustrate the scale and earnings sensitivity of fair-value accounting; they are not a target allocation for other companies.
7. Analyze tax effects separately from book income
Taxable income may not move in the same period or by the same amount as book fair-value income. The company’s advisers should map federal, state, local and international rules for acquisition, disposal, staking or lending (if permitted), custody fees, losses, withholding and intercompany transfers.
Corporate alternative minimum tax
The U.S. Inflation Reduction Act created a 15% corporate alternative minimum tax for qualifying corporations. Strategy’s 2025 filing discusses the possibility that unrealized fair-value gains could affect this calculation. Whether CAMT applies depends on the company’s applicable financial-statement income and other statutory tests, so a large corporation should model the exposure before buying and update it as prices change.
Tax controls
- Maintain lot-level units, acquisition dates, cost basis, fees and disposal proceeds.
- Reconcile tax records to wallet and custodian statements after every transfer.
- Identify jurisdictions where a transfer, payment or collateral arrangement could be treated as a taxable disposal.
- Obtain current Treasury and IRS guidance, plus local advice, because rules and interpretations can change.
8. Compare direct bitcoin with indirect alternatives
A treasury committee should compare the exposure it actually wants, not simply the headline price movement.

The U.S. Securities and Exchange Commission has described operating companies that hold bitcoin as “imperfect bitcoin proxies”: they provide partial bitcoin exposure alongside additional company-specific risks. A treasury decision should therefore ask whether direct ownership is necessary or whether a security exposure would meet the objective with less operational work.

9. Establish disclosure and monitoring routines
Management reporting should show units held, fair value, cost basis, unrealized and realized changes, fees, custodians, counterparties, encumbrances, collateral, liquidity headroom and policy exceptions. Reconcile those figures to the general ledger and board-approved limits at every reporting date.
Public-company reporting
Public companies should align risk factors, fair-value disclosures, material-event reporting and earnings commentary with the actual policy. Explain funding sources, leverage, custody concentration, restrictions on access and the circumstances under which bitcoin may be sold. Avoid language that equates bitcoin with cash or guarantees liquidity.
Board dashboard
- Current allocation as a percentage of cash and net assets.
- Days of operating liquidity remaining after a stress scenario.
- Exposure by custodian, venue and legal entity.
- Largest one-day and one-month price sensitivity to earnings and covenants.
- Open incidents, failed controls, policy exceptions and remediation owners.
10. Stress-test the policy before expanding it
Run scenarios that combine a bitcoin price decline with an operating downturn, higher interest rates, frozen withdrawals, custodian insolvency, a compromised key, a regulatory restriction or a covenant breach. Calculate whether the company can meet payroll, suppliers, debt service and margin calls without selling bitcoin. Test who can access backups and whether auditors can obtain independent evidence of existence and ownership.

Revisit the allocation after acquisitions, major debt issuance, a change in cash needs, a new jurisdiction, a custody incident or a material change in accounting or tax rules. A policy that was prudent when approved can become excessive after the company’s operating risk changes.
Key risks a board must acknowledge
- Market risk: Bitcoin’s price can move sharply, creating earnings and liquidity volatility.
- Custody risk: Lost, compromised or inaccessible keys can permanently impair access.
- Counterparty risk: An exchange, custodian, lender or bank may fail, freeze withdrawals or enter insolvency.
- Regulatory risk: Licensing, reporting, tax and legal treatment can change by jurisdiction.
- Leverage risk: Debt-funded purchases add interest, refinancing, collateral and forced-sale pressure.
- Governance risk: Weak approvals, address errors or poor segregation of duties can turn a controllable allocation into an operational loss.
- Disclosure risk: Overstating liquidity or understating volatility can mislead investors and weaken confidence.
The practical standard is simple: buy only within a written limit, preserve operating liquidity, prove who controls the keys, reconcile every unit and fee, and disclose the downside scenarios as clearly as the expected benefits.
