Commercial property owners refinance a development loan by arranging replacement debt that pays the existing obligation in full under the new lender’s terms. The lender underwrites the borrower and guarantors, the project’s construction and leasing progress, current income, repayment capacity, collateral value, remaining debt, and market conditions at the time of closing. Start well before maturity, compare complete loan proposals rather than headline rates, and keep a documented extension discussion open with the current lender until the takeout loan is certain.
What refinancing a development loan actually involves
A development loan is often sized and structured while a property is being built, renovated or leased. A refinance replaces that interim debt with another facility—possibly permanent financing, a bridge loan, or a modified development facility—before or at maturity. The replacement lender must be satisfied that its proceeds can cover the existing payoff and transaction costs, and that the property and sponsor can support the new debt under current conditions.
The underwriting is not based on project cost alone. Lenders reassess operating income, expenses, occupancy, lease quality, construction completion, market value, sponsor strength and the reliability of the proposed repayment source. A project that looked financeable when rates, rents or construction costs were different may produce a smaller loan or require additional equity at refinance.
The Office of the Comptroller of the Currency (OCC) describes refinance risk as the possibility that a borrower cannot replace existing debt at a future date on reasonable terms and prevailing market conditions. Its October 3, 2024 bulletin identifies construction and development loans as commonly exposed to this risk, particularly when rising rates increase the cost of replacement debt.

Start with the existing loan and a realistic timetable
Confirm the maturity and payoff mechanics
Read the signed note, loan agreement, amendments, guaranties and lender payoff statement. Confirm the contractual maturity date, outstanding principal, accrued interest, extension options, notice deadlines, prepayment or exit charges, reserve requirements, reporting covenants and conditions for releasing collateral. These provisions control how much the new loan must deliver and how early the process must begin.
Ask the existing lender for an up-to-date payoff calculation with an expiration date. Interest, protective advances, unused fees, legal charges or reserve shortfalls can change the amount between an initial estimate and closing. Include lender-required escrows and closing costs in the refinance budget rather than treating the principal balance as the entire payoff.
Work backward from closing
Set an internal deadline substantially ahead of maturity for selecting a lender. Allow time for a term sheet, application, appraisal, environmental and property diligence, title work, underwriting questions, credit approval, document negotiation and funding. The exact duration depends on the asset and lender; the important point is that a refinancing cannot be assumed to close simply because an application has been submitted.

Property and leasing information
- Current rent roll, executed leases, amendments, expirations, options, concessions and tenant deposits.
- Occupancy, collections, delinquencies, leasing pipeline and signed-but-not-yet-occupied space.
- Trailing operating statements showing actual revenue and expenses, with unusual items identified.
- Construction completion status, remaining punch-list work, permits, certificates of occupancy and unresolved lien or contractor matters where applicable.
- Current project budget, cost-to-complete estimate and evidence of funding for remaining work.
- Insurance, property-tax status, service contracts and material operating obligations.
Sponsor, guarantor and debt information
- Existing debt schedule, including principal, rates, maturities, reserves and guarantees.
- Updated sponsor financial statements, liquidity, net worth and contingent liabilities.
- Guarantor information requested by the lender, including liquidity or completion support.
- Entity documents, ownership structure, litigation disclosures and authorization for borrowing.
This is a practical preparation list, not a universal checklist. Each lender may request different items based on property type, jurisdiction, ownership structure and loan size. Providing consistent, reconciled information reduces avoidable underwriting delays.
How lenders size the replacement loan
The lender generally tests two related questions: can the property and sponsor repay the proposed debt, and is the collateral sufficient if the lender must enforce its security? The proposed loan must also be large enough to pay the old debt and closing costs, or the owner must fund the difference.

Debt service coverage
The OCC defines the debt service coverage ratio (DSCR) as net operating income divided by annual debt service. Net operating income should reflect defensible property income and operating expenses, not optimistic gross potential rent. Annual debt service must reflect the proposed interest rate, amortization and any required principal payments.
For planning, ask each lender to show its DSCR calculation and the income and expense assumptions behind it. Model realistic vacancy, concessions, repairs, taxes, insurance and management costs. There is no single DSCR threshold established as universal by the OCC materials; a lender’s requirement varies with property, market, sponsor and structure.
Loan-to-value and debt yield
Loan-to-value (LTV) compares the proposed debt with the lender’s accepted property value. Debt yield, when used, compares net operating income with the loan amount. OCC guidance treats DSCR, LTV and debt yield as complementary risk measures rather than a single automatic approval test. A strong result on one measure does not eliminate weaknesses on another.

Request a proceeds analysis that shows the proposed principal, payoff, reserves, fees and any cash required from the sponsor. If the replacement loan is smaller than the payoff, the shortfall may require equity, a negotiated paydown, restructuring or a different capital source.
Do these 3 things before closing this tab:
1Fix the driver behind crashes, sound loss and screen glitches2Repair Windows errors before they cause bigger problems3Scan for outdated or missing drivers - takes under a minuteConstruction completion and lease-up: can you refinance before full occupancy?
Potentially, but the answer depends on the lender’s underwriting and the evidence supporting repayment. A property does not become automatically refinanceable merely because construction is substantially complete, and full stabilization is not a universal requirement stated by the OCC. A not-yet-stabilized asset is simply evaluated with greater attention to execution and cash-flow risk.
What to document when lease-up is still underway
- Signed leases, tenant credit information, commencement dates and expected rent collections.
- Actual occupancy and collections separated from projected leases.
- Leasing velocity, remaining vacant space and a realistic schedule to reach stabilized operations.
- Any construction delays, cost overruns, change orders or unfinished work, with a funded completion plan.
- Operating results to date and sensitivity cases showing how debt service performs if lease-up takes longer.
OCC commercial lending guidance says lenders should assess the reasonableness of development assumptions, the timing required to complete and lease a project, and whether stabilized cash flow will service the debt. Those are underwriting considerations, not a rule that every refinance must wait for a particular occupancy percentage.
Understand which value supports the loan
Development cost is not the same as collateral value. Construction appraisal guidance distinguishes among several concepts:
| Valuation concept | What it describes | Why it matters in refinancing |
|---|---|---|
| As-is | Value in the property’s current physical and operating condition. | Relevant when incomplete work, vacancy or current defects affect immediate collateral strength. |
| As-complete | Prospective value after the planned construction is finished. | May inform a facility that relies on documented remaining work and completion funding. |
| As-stabilized | Prospective value after operations reach the assumed stable occupancy and income level. | Useful for evaluating a lease-up plan, but dependent on the assumptions and timing being credible. |
The applicable appraisal type and accepted value depend on the transaction and lender. Do not present a projected as-stabilized value as though it were today’s cash value, and do not assume an appraiser will credit every projected rent or cost saving.

Compare complete offers, not just interest rates
Obtain written proposals and compare the economics and control terms in one schedule. A lower initial rate can still produce a weaker outcome if proceeds are insufficient, amortization is aggressive or reserves and covenants restrict operations.
| Comparison item | Questions to ask |
|---|---|
| Net proceeds | How much remains after the old-loan payoff, fees, escrows, reserves and required paydown? |
| Rate structure | Is the rate fixed or floating? What index, spread, floor, cap or reset applies? |
| Debt service | What are the payment amounts under base, higher-rate and slower-lease-up cases? |
| Amortization and interest-only period | When does principal repayment begin, and how does that affect cash flow? |
| Maturity and extensions | What is the term, and are extensions discretionary, conditional or subject to new underwriting? |
| Recourse and guarantees | Which obligations are full, limited or nonrecourse, and what completion or carry support is required? |
| Reserves and escrows | What amounts are held for taxes, insurance, capital work, leasing or interest, and how can they be released? |
| Covenants and reporting | What DSCR, LTV, leasing, financial-reporting or cash-management tests apply? |
| Fees and closing conditions | What are the origination, legal, appraisal, environmental, title and other charges, and which are payable if the loan does not close? |
| Prepayment | Are there lockouts, defeasance, yield maintenance or other exit costs? |
Review the final loan agreement, not only the term sheet. Definitions of net operating income, permitted transfers, reserve releases, cash sweeps and default triggers can materially change the practical cost and flexibility of the financing.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone. What happens if the loan matures before refinancing closes?
Contact the existing lender early and ask for its extension or renewal process. Request the conditions in writing: required paydown, updated appraisal, new reserves, reporting, covenant compliance, fees, interest-rate changes or completion milestones. An extension is a negotiated credit decision, not an automatic borrower right.
OCC guidance tells banks to evaluate risk when considering extensions and renewals and to deal prudently with creditworthy borrowers experiencing stress. That guidance does not guarantee an extension for a particular property. The lender may decline, require a principal reduction or approve only a short term that gives time to complete a sale or refinance.
Keep alternatives active
- Continue resolving title, construction, leasing and documentation issues that could delay the takeout loan.
- Quantify the cash needed for any paydown and identify the timing of available equity.
- Ask professional advisers to review default, notice and extension provisions before a deadline passes.
- Evaluate whether a different loan structure, sale, capital partner or negotiated restructuring is more realistic than the original refinance plan.
Do not treat an unsigned indication, appraisal order or credit submission as committed replacement financing. Until closing conditions are satisfied and funds are available, the maturity exposure remains.

Market and regulatory context
The OCC’s October 3, 2024 refinance-risk bulletin is supervisory guidance on evaluating risk from origination through monitoring and maturity. Its discussion of rising rates, market liquidity and replacement debt explains why a loan that was supportable at origination may not refinance on the same terms later.
The OCC Commercial Real Estate Lending handbook, published in March 2022, covers acquisition, development, construction and income-producing property for national banks and federal savings associations. It is examiner guidance, not a borrower approval manual. Requirements differ by lender, property type, geography, sponsor and transaction.
No current market-wide interest rate, universal LTV limit, mandatory DSCR floor or 2026 transaction statistic is established here. Use actual lender quotes, current appraisals and the signed loan documents for those figures.
Do not confuse residential construction-to-permanent rules with commercial refinancing
Residential agency materials sometimes describe a construction-to-permanent structure in which interim construction debt is replaced by permanent financing, including transactions with two closings and different lenders. That illustrates the general distinction between temporary construction debt and permanent debt, but residential agency eligibility rules do not establish commercial property refinance proceeds, ratios or approval requirements.
A practical decision checklist
- Record the maturity date, payoff amount, extension rights, fees and notice requirements from the actual loan documents.
- Prepare reconciled rent, lease, operating, construction, budget, title, insurance, tax, sponsor and guarantor information.
- Ask multiple qualified lenders to size proceeds using current income, defensible expenses, realistic rates and the lender’s valuation approach.
- Separate actual operations from projections and explain completion, lease-up, cost-to-complete and stabilized-income assumptions.
- Compare net proceeds, payment burden, recourse, reserves, covenants, maturity flexibility, fees and prepayment terms.
- Set a decision date well before maturity and maintain a documented extension or renewal discussion with the existing lender.
- Have legal, tax, accounting and real-estate professionals review the final structure for the property and jurisdiction.
The central test is whether the replacement debt can pay the existing obligation and remain serviceable under credible operating and market assumptions. If the proceeds or repayment case do not work, identify the gap early enough to negotiate equity, restructuring, an extension or another orderly outcome.
