Cloud marketplace fees reduce the cash a SaaS vendor receives, but they do not automatically reduce reported revenue or gross margin. AWS, Microsoft and Google Cloud each publish schedules that withhold a percentage from marketplace transactions. Your financial statements still require a separate ASC 606 or IFRS 15 assessment of whether your company is the principal providing the promised SaaS service or an agent arranging someone else’s service.
The reliable way to analyze a marketplace deal is to separate three layers: contractual transaction value, marketplace settlement deductions and accounting presentation. A $100 license with a 3% platform charge produces $97 before other adjustments, but recognized revenue could differ depending on the promised service, control and cost-of-revenue policy.
What a cloud marketplace fee actually changes
A marketplace fee is primarily a commercial and settlement term. The platform bills or collects from the customer, retains its stated charge and disburses the balance to the software vendor. The deduction changes cash proceeds and unit economics immediately.

For management reporting, keep these amounts separate:
- Customer contract value: the amount charged for the subscription, usage or other contracted item.
- Marketplace deduction: the fee retained under the platform’s seller agreement.
- Settlement proceeds: cash paid to the vendor after fees, refunds, taxes and other adjustments.
- Recognized revenue: the amount presented under the vendor’s applicable accounting framework.
- Cost of revenue: hosting, support, payment, implementation and other delivery costs classified according to company policy.
Confusing these layers can make a dashboard appear to show a revenue decline when it is actually showing a lower payout, or can make a gross-margin percentage look artificially high by omitting infrastructure costs.
Current marketplace rates for SaaS offers
The following schedules are the published mechanics described in the platform documentation. Rates and eligibility can change, so verify the seller agreement and offer-specific terms before signing or quoting a customer.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Fix the driver behind crashes, sound loss and screen glitches3Repair Windows errors before they cause bigger problems| Marketplace and transaction | Published seller economics | Important conditions |
|---|---|---|
| AWS public SaaS offer | 3% listing fee | AWS schedule effective January 5, 2024; fee is calculated on pre-tax total contract value (TCV) and deducted from the seller disbursement. |
| AWS private offer below $1 million TCV | 3% | Standard private-offer tier. |
| AWS private offer from $1 million to below $10 million TCV | 2% | Tier is based on TCV. |
| AWS private offer at or above $10 million TCV | 1.5% | Tier is based on TCV. |
| AWS stated renewals | 1.5% | Applies where the schedule treats the transaction as a renewal. |
| AWS CPPO transaction | Base rate plus 0.5 percentage point | Channel-partner private offer structure adds to the applicable rate. |
| AWS South Korea transaction | Base rate plus 1 percentage point | Regional addition effective April 1, 2025; AWS describes it as additive. |
| Microsoft transact offer | 3% standard store service fee | Microsoft deducts the fee when paying the publisher. The exact path and offer terms still matter. |
| Google Cloud standard offer | Vendor receives 97% (3% retained) | Vendor Net Revenue Schedule effective April 21, 2025, subject to eligibility requirements. |
| Google Cloud new private offer below $1 million TCV | Vendor receives 97% (3% retained) | TCV tier and schedule eligibility apply. |
| Google Cloud new private offer from $1 million to below $10 million TCV | Vendor receives 98% (2% retained) | TCV tier and schedule eligibility apply. |
| Google Cloud new private offer at or above $10 million TCV | Vendor receives 98.5% (1.5% retained) | TCV tier and schedule eligibility apply. |
| Google Cloud listed channel shifts, migrations and native renewals | Vendor receives 98.5% (1.5% retained) | Only the transactions covered by the schedule qualify. |
These percentages are not interchangeable across offers. Product type, public versus private status, TCV, renewal status, channel structure and buyer geography can all change the result.
How AWS marketplace fees flow through a SaaS sale
Public SaaS offers
AWS lists a 3% listing fee for public SaaS offers. The fee is calculated on pre-tax TCV and appears as a line item in the listing-fee invoice. The deduction is taken from the amount disbursed to the independent software vendor (ISV).
Do not apply the 20% public rate shown for certain AMI, container and machine-learning server products to a SaaS listing. That is a different product category.
Private offers, renewals and channel structures
For private offers, AWS lists 3% below $1 million TCV, 2% from $1 million to below $10 million, and 1.5% at or above $10 million. The stated renewal rate is 1.5%. A CPPO adds 0.5 percentage point to the applicable rate. AWS also lists a 1 percentage point South Korea regional addition effective April 1, 2025.

A seller comparing a public offer with a private offer should therefore model the actual TCV and transaction path, rather than using a single “AWS fee.” Confirm whether the deal is a renewal, whether a channel partner is involved and whether the buyer’s jurisdiction triggers a regional addition.
AWS dashboard labels are settlement measures
AWS defines gross revenue in its collections and disbursement reporting as the amount billed to the customer for product usage or monthly fees. Its listing fee is the marketplace charge deducted from that billed amount. Seller net revenue is the transaction amount net of marketplace fees, refunds and specified sales or use taxes.
Those labels explain how AWS calculates a payout and how its dashboard organizes data. They do not independently determine the vendor’s financial-statement revenue policy.
How Microsoft’s 3% fee affects the publisher payout
Microsoft’s Marketplace documentation describes a standard 3% store service fee for a customer purchase of a transact offer. Its SaaS illustration uses a $100 monthly license charge: Microsoft bills $100, retains $3 and pays the publisher $97.
That example is settlement arithmetic, not a universal revenue-recognition conclusion. The same documentation says the publisher is billed directly for Azure usage in the example. The publisher must therefore evaluate Azure infrastructure and any other incurred or pass-through costs separately when determining its license economics and cost of revenue.
For the described subscription and pay-as-you-go options, Microsoft acts as the publisher’s agent for billing, payment and collection and deducts the fee at payout. “Agent” in that operational description should not be treated as proof that every publisher records its SaaS revenue net; the publisher still performs its own principal-versus-agent analysis for each specified promise.
How Google Cloud’s 2025 vendor-net schedule works
Rates under the schedule
Google Cloud’s Vendor Net Revenue Schedule is effective April 21, 2025. Eligible standard offers produce 97% vendor net revenue, equivalent to a 3% marketplace retention. New private offers produce 97% below $1 million TCV, 98% from $1 million to below $10 million and 98.5% at or above $10 million.

The schedule also lists 98.5% vendor net revenue for specified channel shifts, migrations and native renewals. In each case, the percentage is the vendor’s net share, not a guarantee that every transaction using similar language qualifies.
Eligibility and exclusions
Google says the schedule applies to new transactions and automatic renewals from the effective date when the organization has agreed to the current Marketplace Vendor Agreement, the products meet listing and operational requirements and the transaction does not include professional services.
Installments remaining under existing transaction terms that began before April 21, 2025 are not automatically moved to the new schedule. Check the agreement date, renewal mechanics, product composition and services included before forecasting a Google Cloud payout.
Does a marketplace fee reduce SaaS revenue?
Not automatically. ASC 606 and IFRS 15 use a principal-versus-agent model. The central question is whether the entity controls the specified good or service before it is transferred to the customer.
When gross presentation may be appropriate
If the SaaS company controls the specified subscription service before transfer, it may be the principal. In that case, the company generally evaluates the consideration for that promised service on a gross basis, while assessing the marketplace charge under the applicable guidance and contract facts.
Quick wins for a faster PC:
Scan for outdated or missing drivers - takes under a minuteDriver Scan →Clear out junk files and repair common Windows errorsFree Scan →Fix the driver behind crashes, sound loss and screen glitchesFind Drivers →When net presentation may be appropriate
If the company is arranging for another party to provide the specified service and does not control it before transfer, it may be an agent. An agent recognizes the fee or commission to which it is entitled for arranging the other party’s service rather than the full amount collected from the customer.
Why the answer is transaction-specific
IFRS 15 indicators such as responsibility for fulfillment, inventory risk where relevant and pricing discretion can help evaluate control, but they are not a mechanical checklist. IASB staff wrote in its 2024 post-implementation review material that “the assessment to determine whether an entity is a principal or agent requires significant judgment.”

The analysis must identify the reporting entity, customer, agreement, specified promise and party that controls that promise. A marketplace’s role in billing or collecting cash does not, by itself, settle the SaaS vendor’s accounting conclusion.
Should the fee be contra-revenue or an expense?
There is no universal classification called “the marketplace fee.” The answer follows from the accounting analysis for the relevant promise and the applicable presentation guidance.
Start by documenting what the platform provides to the seller—such as listing, billing, collection or channel access—and what the seller promises to the customer. Then determine whether the platform charge is a reduction of consideration, a cost of obtaining or fulfilling a contract, or another operating cost under the company’s policy and framework.
Do not force the classification based solely on the marketplace dashboard’s “listing fee” or “service fee” label. Those labels describe the platform’s commercial charge, not the seller’s complete financial-statement policy.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone. How to model gross margin correctly
Build the settlement bridge
- Start with the customer’s pre-tax contract value or billed amount.
- Apply the marketplace percentage to the fee base specified by the platform, such as pre-tax TCV.
- Subtract marketplace fees, refunds and specified taxes shown in settlement reporting.
- Reconcile the result to the expected disbursement.
- Separately identify hosting, cloud usage, support, payment processing, implementation and other delivery costs.
- Apply the company’s revenue-recognition and cost-of-revenue policies to calculate reported gross margin.
Example: a $100 sale with a 3% charge
A $100 customer license subject to a 3% marketplace charge produces a $3 platform deduction and $97 before other adjustments or costs. That is the same payout illustration Microsoft publishes. It does not establish whether accounting revenue is $100 or $97.
If the company recognizes $100 of revenue and incurs $20 of hosting and support costs, it must still decide where the $3 marketplace charge belongs under its policy. If it recognizes only a $3 arranging fee for a specified service, the margin calculation uses that recognized revenue instead. The fee rate alone cannot determine aggregate gross margin.

Model taxes and refunds separately
Taxes collected for a government authority, customer refunds and credits can affect settlement proceeds without representing marketplace economics. AWS’s reporting definitions explicitly separate listing fees, refunds, taxes, gross revenue and seller net revenue. Keep those fields separate in the data model so a tax change is not mistaken for a fee-rate change.

Offer-comparison checklist for finance and sales
Before approving a marketplace route, compare the complete transaction rather than just the headline percentage:
- Fee base: billed amount, pre-tax TCV, usage or another measure.
- Offer type: public, private, renewal or migration.
- TCV tier and whether the platform measures it per contract or transaction.
- Channel-partner structure and any additive uplift.
- Buyer country and regional adjustments.
- Whether professional services or other excluded items are bundled.
- Refund, tax, credit and currency-conversion treatment.
- Expected customer access, procurement or cloud-commitment value.
- Internal costs of configuring, supporting and reconciling marketplace sales.
- Who controls each promised service for revenue presentation.
A lower fee can still produce less profit if the route requires expensive support or discounting. Conversely, a higher fee may be commercially rational when the channel unlocks a customer commitment the seller could not efficiently reach directly. Quantify those trade-offs with company-specific pipeline and cost data rather than assuming a universal marketplace uplift.
Common mistakes and how to avoid them
Calling every deduction a revenue reduction
Settlement netting and financial-statement net presentation are different questions. Label the dashboard metric as payout or settlement net unless the accounting policy supports a revenue conclusion.
Using a product rate for the wrong offer
AWS’s 20% public rate for certain server products is not its public SaaS rate. Microsoft’s $97 example is tied to a stated $100 SaaS scenario. Google’s percentages depend on schedule eligibility. Map the exact offer before applying a rate.
Ignoring effective dates
AWS’s cited schedule is effective January 5, 2024; its South Korea addition is effective April 1, 2025; Google’s vendor-net schedule is effective April 21, 2025. Existing installments and renewals may follow different terms.
Leaving infrastructure out of margin
A marketplace deduction is not the same as hosting or Azure usage. Assign infrastructure and support costs to the appropriate cost category, then calculate margin from recognized revenue.
Treating principal-agent indicators as a checklist
Responsibility for fulfillment, inventory risk and pricing discretion inform the analysis, but control of the specified service remains the core question. Document the facts and judgment for each material arrangement.

A practical monthly reconciliation
- Export marketplace gross charges, fees, refunds, taxes and net disbursements.
- Match each transaction to the contract, offer type, TCV tier, renewal status and buyer jurisdiction.
- Flag channel-partner, migration, native-renewal and professional-services cases for special treatment.
- Reconcile the platform net amount to the bank settlement and accounts receivable.
- Bridge settlement data to recognized revenue using the company’s ASC 606 or IFRS 15 policy.
- Reconcile hosting, support and other delivery costs to cost of revenue.
- Review unusual variance in fee rate, refunds, taxes or gross margin before publishing management reports.
This process prevents a platform schedule change from being hidden inside a broad revenue variance and gives finance, sales and engineering a common economic view.
Bottom line for SaaS operators
Cloud marketplaces commonly retain about 1.5% to 3% for the SaaS transactions covered by the published AWS, Microsoft and Google schedules, with important differences by offer, TCV, renewal, channel and geography. The retained amount reduces the seller’s settlement proceeds.
Whether it reduces reported revenue, appears as contra-revenue or is recorded as an expense requires a separate principal-versus-agent and presentation analysis under ASC 606 or IFRS 15. Build forecasts with both a cash-settlement bridge and an accounting bridge; neither one can substitute for the other.
