Chinese AI companies usually need a financing stack rather than one instrument: long-term project debt for land, power and buildings; equipment or technology-innovation debt for servers and networking; and leases for part of the GPU fleet when utilization or hardware life is uncertain. Start with relationship banks and policy-supported facilities, then add a technology-innovation bond when the company has the scale, audited information and disclosure capacity to access investors. Keep every tranche tied to a documented use of proceeds, commissioning schedule and repayment source.
Separate the assets before choosing the debt
A data-center expansion combines assets with very different useful lives and cash-flow profiles. Treating the whole project as one borrowing can create an avoidable maturity mismatch. Prepare a ring-fenced schedule that separates the following buckets:
| Asset or cash-flow bucket | Financing that generally fits | Evidence lenders or investors will expect |
|---|---|---|
| Land, power connections, buildings and cooling systems | Long-term project or infrastructure loan; a bond can fund a larger, disclosure-ready program | Construction budget, permits, commissioning milestones and contracted or forecast demand |
| Servers, networking, storage and other equipment owned by the company | Equipment loan, technical-upgrade loan or technology-innovation debt | Vendor contracts, delivery dates, useful-life assumptions and equipment security arrangements |
| Recurring GPU capacity purchased from a lessor | GPU-compute lease with scheduled operating payments | Utilization forecast, service-level terms, upgrade and renewal clauses, data-location controls |
| Receivables and supply-chain needs during growth | Receivables finance, supply-chain finance, guarantee-backed working-capital facilities | Customer contracts, invoice quality, payment history and supplier obligations |
The financing package should identify which lender or investor receives which security, how proceeds move through controlled accounts, and which operating cash flows service each tranche. Include utilization assumptions and customer or offtake evidence rather than relying only on a forecast of AI demand.
Use bank and policy-supported debt first
Relationship banks can often structure a project loan for construction, an equipment loan for servers and networking, and working-capital lines for receivables or supply-chain obligations. These facilities normally require a credit assessment of the company and the project, and may include collateral, guarantees and financial covenants.

How the PBOC relending facility works
The People’s Bank of China’s 2024 technology-innovation and technical-upgrade relending facility was set at RMB500 billion. Its announced rate was 1.75% for one year, with the facility extendable twice. PBOC refinancing covered 60% of the principal of a qualifying loan; the commercial bank still retained lending-risk responsibility. This is therefore an incentive and funding source for the bank, not an automatic loan or subsidy paid directly to the AI company.
Ask each relationship bank to test the project against current eligibility rules for technology-innovation or technical-upgrade relending, equipment-upgrade programs, local interest subsidies and government-backed guarantees. The bank decides whether the borrower, expenditure and documentation qualify, and it remains responsible for underwriting and collection. A policy label cannot substitute for evidence that the project meets the bank’s rules.
Information to take to the bank
- Describe the facility, power capacity, equipment list and commissioning timetable in a use-of-proceeds schedule.
- Show how the project supports qualifying technology development or technical upgrading, including the product, research or computing workloads involved.
- Provide customer contracts, offtake indications, historical utilization and a downside case for slower deployment.
- Map collateral and guarantees: land or equipment where available, receivables, intellectual-property rights and any shareholder or third-party support.
- Ask for the proposed tenor, amortization, covenants, draw conditions and whether the bank will seek relending or a local subsidy.
Compare offers on total cost and flexibility, not only the policy-linked rate. A facility with a lower nominal rate can still be unsuitable if its draw schedule, mandatory amortization or collateral package does not match construction and ramp-up.
When a technology-innovation bond is appropriate
China’s 2025 PBOC and China Securities Regulatory Commission framework allows eligible technology companies to issue technology-innovation bonds. Proceeds may fund product design, research and development, project construction, operations and acquisitions. The framework covers company bonds, enterprise bonds and non-financial enterprise debt instruments, and provides for flexible maturities, simplified agreed disclosures, specialized ratings and credit-risk mitigation mechanisms.

“科技型企业可发行科技创新债券,募集资金用于科技创新领域的产品设计、研发投入、项目建设、运营、并购等。”
For a GPU or data-center program, the important question is not whether the project sounds innovative; it is whether the issuer can document an eligible use, demonstrate repayment capacity and meet the disclosure and intermediary requirements for the chosen market. A bond is more compelling when the funding need is large, staged over several years and too broad for one relationship bank, or when the company wants to diversify beyond bank credit.
Prepare the issuer before approaching the market
- Define a single, auditable proceeds register covering construction, equipment, R&D, operations or acquisitions that the bond permits.
- Set out draw and commissioning milestones, expected utilization and the cash flows assigned to interest and principal.
- Assemble financial statements, ownership and related-party information, material contracts, permits and risk factors early enough for agreed disclosures and rating work.
- Decide whether collateral, guarantees, insurance or a credit-protection instrument is needed to reach the target investor base.
- Build a post-issuance reporting process so that proceeds, covenant compliance and project progress can be reported throughout the bond’s life.
Government reporting shows the scale of the market: the State Council Information Office said in 2026 that various entities had issued RMB1.8 trillion of technology-innovation bonds during 2025. That aggregate does not establish a coupon, spread or approval timetable for an individual AI issuer. Pricing and execution remain dependent on credit quality, structure, market conditions and investor demand.

Complement bonds with secured and receivables-based facilities
Growth-stage companies rarely finance every need with a public bond. A bank project loan can fund a defined facility; an equipment loan can be drawn against delivered servers; and intellectual-property-pledge finance can monetize patents or other eligible rights when hard assets are limited. Receivables or supply-chain finance can shorten the cash-conversion cycle for customers and suppliers. Guarantee companies, shareholder support and other credit enhancements can help a bank or bond investor accept a higher-risk technology borrower.

Security should be deliberate. Match equipment collateral to the equipment-funded tranche, assign receivables only where contracts and payment flows are clear, and document the ownership and enforceability of pledged intellectual property. Keep collateral and proceeds aligned with the permitted purpose of each facility. Over-pledging the same assets to several creditors can block later refinancing and trigger covenant problems.
Lease GPUs when flexibility is worth the recurring payment
GPU leasing converts a large initial purchase into contracted operating payments. It can preserve cash for construction, reduce exposure to accelerator obsolescence and let the company scale capacity in stages. The trade-off is a continuing payment obligation, renewal risk and dependence on the lessor’s hardware, maintenance and power arrangements.
A 2025 Hong Kong Exchanges and Clearing filing illustrates the route in practice: it earmarked HK$16.0 million for domestic GPU-compute leasing and HK$8.0 million for data-storage expansion, with both allocations intended for use by 2028. Those are the amounts and timing in that filing, not a market benchmark for a typical Chinese AI company and not a yuan-denominated cost.
Compare ownership debt with a lease
| Decision factor | Owning GPUs with debt | Leasing GPU capacity |
|---|---|---|
| Upfront cash | Higher initial funding need for purchase and installation | Lower initial outlay, replaced by scheduled contractual payments |
| Technology obsolescence | Borrower keeps residual value and bears replacement risk | Lessor or contract structure may provide upgrade flexibility; renewal terms must be checked |
| Utilization risk | Debt service continues even when equipment is idle | Payment obligation remains, but capacity can be contracted in stages |
| Control and data sovereignty | Company controls the physical deployment, subject to facility rules | Contract must specify data location, access, security, service levels and subcontractors |
| Vendor concentration | Concentrated exposure to purchased hardware and maintenance providers | Additional exposure to the lessor’s solvency, supply and renewal decisions |
Before signing, model the full payment stream, deposits, maintenance, electricity treatment, minimum-use commitments, early termination, replacement hardware and end-of-term return conditions. Require measurable uptime and performance remedies, and verify that the arrangement preserves Chinese data-residency and customer-contract obligations.

A practical financing sequence
- Define the asset and cash-flow bucket. Ring-fence construction, owned equipment and recurring leased capacity. Attach a budget, commissioning milestones, utilization assumptions and customer or offtake evidence to each bucket.
- Obtain bank term sheets. Ask relationship banks about project and equipment loans, technology-innovation or technical-upgrade relending, local interest subsidies and government-backed guarantees. Confirm who bears risk, what security is required and when funds can be drawn.
- Test bond readiness. If the required amount and maturity exceed practical bank capacity, appoint the relevant intermediaries, select the permitted bond format and prepare the agreed disclosures, rating materials and proceeds controls under the 2025 framework.
- Add credit enhancement selectively. Evaluate IP pledges, receivables, equipment, shareholder support, insurance, guarantee companies and credit-protection instruments. Use only enhancements that are enforceable and proportionate to the tranche being supported.
- Lease uncertain GPU demand. Keep a portion of rapidly changing accelerator capacity flexible when utilization is not yet proven. Compare the lease’s total contractual cost and data controls with ownership debt before committing.
- Set governance before drawdown. Establish a proceeds ledger, covenant calendar, utilization reporting and a refinancing plan for maturities that do not match the asset life.
Match maturity, amortization and risk to the technology
Construction and power assets are long-lived, so long-term project debt with a draw period and amortization after commissioning can be more suitable than short-dated borrowing. GPUs depreciate technologically faster; shorter equipment finance or leases can reduce the risk of repaying a long loan after the hardware is no longer competitive. The exact tenor must follow the asset, customer contracts and lender requirements.
Bank facilities generally require less public preparation than a bond, although timing remains transaction-specific. Loans may require collateral, guarantees and financial covenants. Bonds diversify funding and can offer flexible terms, but they require disclosure, ratings or other investor work and depend on a market window. Ownership preserves residual value but leaves obsolescence risk with the borrower; leasing preserves upgrade flexibility but creates recurring contractual payments. A balanced stack accepts these trade-offs instead of optimizing a single headline rate.
What large issuers show—and what they do not prove
Large technology companies demonstrate that AI infrastructure can be financed through substantial capital expenditure and debt programs, but their scale and credit profile are not a template for a smaller issuer. Alibaba reported plans for more than three years of AI and cloud investment exceeding its investment during the prior decade. Its 2025 Form 20-F reported RMB72.524 billion of borrowings principal across maturities as of March 31, 2025. Those figures show the magnitude of funding available to a major group; they do not establish the leverage, pricing or collateral a growth-stage AI company can obtain.

- Assuming relending is an approval: obtain written eligibility feedback and a conventional credit assessment from the bank; the bank still bears lending risk.
- Mixing permitted and non-permitted uses: separate construction, R&D, operations, acquisitions and general corporate spending in the proceeds ledger, then obtain counsel and intermediary confirmation before issuance.
- Borrowing long for rapidly obsolete hardware: shorten amortization, lease uncertain capacity or build replacement reserves rather than relying on perpetual refinancing.
- Ignoring utilization downside: stress-test customer delays, power constraints and lower GPU occupancy, and size committed capacity to contracted demand.
- Leaving currency mismatches unresolved: the cited leasing example is in Hong Kong dollars, while the proposed borrowing need is yuan. Identify exchange-rate exposure and decide whether payments, hedges or a different currency structure are appropriate.
- Overlooking refinancing windows: maintain a maturity ladder, begin refinancing well before bond or loan maturity and avoid allowing one lender or one market opening to become a single point of failure.
No authoritative universal coupon, spread, leverage ratio or approval timetable applies to every Chinese AI issuer. Current term sheets, local policy rules, collateral values, project economics and market conditions determine the executable structure. Confirm eligibility and documentation with the relevant bank, bond intermediaries, guarantee providers and legal advisers before signing or issuing.
