Issuing more shares does not automatically make existing investors worse off. In a bitcoin-treasury company, the decisive measure is bitcoin—and ultimately total value available to common shareholders—per assumed diluted share after issuance costs, interest, preferred dividends and other senior claims. A company can sell stock, buy bitcoin and increase that per-share amount. It can also grow its bitcoin balance while reducing each common share’s economic exposure.
To judge which outcome occurred, follow the denominator (all current and potential common shares), the assets purchased with new capital, and the obligations that rank ahead of common stock.
What share dilution means in a bitcoin-treasury company
When a company issues new common shares, the same corporate assets and earnings are divided among more ownership units. Your percentage ownership falls unless you buy enough of the new shares to maintain it. For a bitcoin-treasury company, however, the asset pool can expand at the same time: proceeds from the issue may purchase additional bitcoin.

- Ownership dilution: What fraction of the company does each existing share represent after the issue?
- Economic accretion or dilution: How much bitcoin and other value is attributable to each share after all new shares and financing obligations are counted?
A larger bitcoin total answers only the first half of the question. If the share count grows faster than the bitcoin balance, bitcoin per share falls. If bitcoin bought with the proceeds grows faster than the diluted share count—and the cost of raising capital is manageable—bitcoin per share can rise even though your ownership percentage declines.

Strategy’s 2025 Form 10-K describes this approach. The company says it primarily funds bitcoin purchases with class A common-stock and preferred-stock at-the-market (ATM) proceeds, while also using convertible notes and secured debt. It evaluates whether an issuance and related purchase are expected to be accretive after considering dilution, cash obligations, fees and execution costs.
The per-share metric that matters: BPS
Strategy defines bitcoin per assumed diluted share (BPS) as bitcoin holdings divided by assumed diluted shares outstanding. “Assumed diluted” means the denominator is intended to include shares that could result from instruments such as convertible notes, options or other potential dilution, not merely the common shares currently trading.
Use this sequence when reading a filing:
- Find the reported bitcoin holdings for the measurement date.
- Find the assumed diluted share count used for the same period.
- Divide bitcoin holdings by that denominator to obtain BPS, or use the company’s reported BPS figure.
- Compare BPS with the prior period rather than comparing bitcoin totals alone.
Strategy also reports BTC Yield, the percentage change in BPS over a period. It uses BPS, BTC Yield, BTC Gain and BTC dollar gain as key performance indicators for assessing whether its acquisition strategy is accretive to shareholders. These are issuer-defined operating metrics, not guaranteed investment returns or measures of common-stock market value.

BPS can therefore increase while the value ultimately available to common shareholders is constrained by debt, preferred dividends, liquidation preferences or other claims.
How a common-stock ATM can be accretive—or dilutive
What an ATM actually does
An ATM program authorizes a company to sell shares into the market from time to time at prevailing prices. It is a capacity to issue, not proof that all authorized shares have already been sold. Each filing or offering update should be checked for the number of shares actually issued, net proceeds received and remaining authorization.

- Common shares outstanding increase.
- The company receives cash, reduced by commissions, fees and other execution costs.
- The company may use the net cash to buy bitcoin or fund other obligations.
The transaction is accretive to BPS only if the bitcoin acquired (and any other value retained) exceeds the bitcoin exposure represented by the new diluted shares after those costs. Selling at a large premium to the company’s underlying asset value can make that arithmetic favorable. If the premium narrows, the same financing price may no longer buy enough bitcoin per new share.

Documented 2025 common-stock examples
Strategy reported $4.4 billion of net proceeds in the first quarter of 2025 from issuing 12,624,595 class A common shares. It reported another $2.2 billion of net proceeds from issuing 6,734,712 class A shares between April 1 and April 28, 2025. Those figures are period-specific proceeds and share counts; they should not be treated as a standing issuance rate.
The company also had a $21 billion common-stock ATM authorization in 2025. Authorization is not the same as utilization: an investor must reconcile the authorization with subsequent reports of actual sales and proceeds.
A simple per-share test
Suppose, purely as an illustration, that a company has 100,000 bitcoin and 1,000,000 assumed diluted shares, or 0.10 bitcoin per share. It sells 100,000 new shares and uses net proceeds to buy 12,000 bitcoin. The post-issue figures are 112,000 bitcoin and 1,100,000 shares, or about 0.1018 bitcoin per share: BPS increased. If the proceeds bought only 9,000 bitcoin, post-issue BPS would be about 0.0991 and existing holders would experience economic dilution even though the company owned more bitcoin in total. Interest, fees and other claims would reduce the benefit further.
Preferred stock: capital with senior claims
Preferred stock can raise money without immediately adding common shares, but it changes the priority structure. Preferred holders generally receive dividends and have liquidation rights ahead of common shareholders. Depending on the series’ terms, conversion or other features can also affect future common dilution.
Strategy announced a $2.1 billion ATM program in 2025 for its 10.00% Series A Perpetual Strife Preferred Stock. The company said on May 22, 2025 that it expected to sell this perpetual preferred stock in a disciplined manner over an extended period, taking account of the security’s trading price and trading volume at the time of sale. The statement describes an issuance policy, not a guarantee that the full authorization would be sold.

For common investors, analyze a preferred issue in two layers:
- Cash burden: Estimate whether recurring preferred dividends can be paid from operating cash, asset sales or financing without forcing unfavorable new issuance.
- Residual value: Determine what remains for common holders after preferred dividends, liquidation preferences and any conversion-related effects are considered.
A rise in BPS before preferred dividends does not by itself prove that common equity became more valuable. Senior distributions can absorb part of the bitcoin strategy’s gains, especially during periods when the company has little operating cash flow.
Convertible notes: deferred dilution plus a maturity clock
Convertible notes provide cash as debt today, with the possibility of conversion into common shares later. Before conversion, they do not increase the common share count in the same way as an immediate stock sale, but they create interest (if applicable), maturity and refinancing obligations. If holders convert, the resulting shares enlarge the denominator.
Strategy issued $2.0 billion of 0% convertible senior notes in 2025 with an initial conversion price of $433.43 per class A share. “0%” describes the stated coupon; it does not eliminate maturity, repayment, conversion or issuance risks.
The company also reported that 7,373,528 class A shares were issued when substantially all of its $1.05 billion of 2027 convertible notes converted. That event demonstrates why investors must update the denominator after conversion rather than relying on an earlier diluted-share estimate.

- Under what conditions can holders convert, and when does the note mature?
- Are shares already included in the company’s assumed diluted count?
- If conversion does not occur, where will repayment cash come from?
- Could refinancing require another stock, preferred or debt issue?
Debt and collateral can reduce the common shareholder’s upside
Secured or other debt avoids immediate common-share issuance, but it places repayment and, in the secured case, collateral demands ahead of common equity. Interest and principal payments can consume cash that might otherwise support bitcoin purchases or corporate expenses.

Strategy’s filing warns that debt and preferred holders have claims to assets and dividends senior to common equity. Bitcoin purchased with senior capital therefore may not fully accrete to common holders. The relevant analysis is not just “How many bitcoin does the company own?” but “How much of that asset remains after senior claims are satisfied?”
Asset coverage matters most when bitcoin prices or the company’s share premium fall. A lower market value can make new financing more expensive or unavailable, while debt still comes due on its contractual schedule.

1. Establish the measurement date
Share counts, bitcoin holdings, ATM capacity, conversion status and market premiums change quickly. Use figures that refer to the same date or period. Label whether a number is quarter-end, year-to-date or an event occurring after the reporting date.
2. Start with BPS, not the headline bitcoin total
Calculate or locate bitcoin per assumed diluted share. A growing bitcoin balance with a falling BPS is economic dilution at the bitcoin-exposure level.
3. Reconcile every part of the denominator
Include common shares sold, shares issued on note conversion, and options or other assumed dilution where the company’s methodology requires them. Check whether a new preferred instrument is convertible or otherwise affects common economics.

4. Measure BTC Yield over the stated period
BTC Yield shows the percentage change in BPS and is useful for tracking gross per-share accretion or dilution. Treat it as a company KPI, not a promised return, and read its definition and limitations in the filing.
5. Deduct the cost of capital
Account for preferred dividends, interest, issuance fees, commissions, legal and execution costs, and any cash reserve needed for maturities. Strategy says its all-in assessment considers cash obligations and potential dilution; investors should perform the same reconciliation rather than stopping at gross bitcoin acquired.
6. Test seniority and coverage
Map debt, preferred dividends, liquidation preferences and collateral claims before assigning residual value to common shares. Ask how much asset coverage remains if bitcoin falls and whether obligations can be met without another dilutive transaction.

Consider a simultaneous fall in bitcoin and the company’s share premium. Axios has reported that a prolonged downturn could pressure digital-asset treasury companies to sell crypto to repay borrowings, potentially amplifying losses. The scenario is a risk to test, not a forecast that a sale will occur.
How the financing instruments compare

Common mistakes when evaluating dilution
- Equating more bitcoin with more value per share: The denominator and senior claims can grow faster than assets.
- Counting ATM authorization as completed issuance: Only actual sales, proceeds and shares issued affect the current calculation.
- Ignoring assumed dilution: Convertible notes and other instruments can change the effective share count before or when conversion occurs.
- Treating BTC Yield as a guaranteed return: It tracks a company-defined change in BPS and does not capture every liability or preferred right.
- Overlooking financing costs: Dividends, interest and fees can turn gross accretion into a weaker or negative result for common holders.
- Using stale figures: A quarter-end share count may be obsolete after an ATM sale or note conversion announced later.
Investor checklist for each new financing announcement
- Record the announcement and reporting dates.
- Identify the instrument, authorized amount, actual amount sold and net proceeds.
- Update common shares outstanding and assumed diluted shares.
- Check bitcoin acquired, total holdings and the company’s BPS and BTC Yield calculations.
- List new dividends, interest, maturities, conversion terms and collateral rights.
- Calculate post-transaction asset coverage under both a base case and a lower-bitcoin-price case.
- Read the next periodic filing to confirm what was actually issued, converted, repaid or left unused.
What the reported 2025 figures show—and what they do not
As of March 31, 2025, Strategy reported 528,185 bitcoins, a $35.6 billion original cost basis and a $43.5 billion market value. On April 28, 2025, it reported a 13.7% year-to-date BTC Yield. These are snapshots for the dates stated, not permanent values or a forecast of future performance.
The figures illustrate why timing and reconciliation matter. The market value can move with bitcoin’s price, while the share count can change through ATM sales or conversions. A favorable BPS result at one date does not remove the need to examine later preferred dividends, debt service, dilution or a change in the share premium.
Bottom line for common shareholders
Share issuance is economically positive only when the assets and per-share exposure gained from the financing exceed the dilution and all associated obligations. Common-stock ATMs can increase BPS when issued at a sufficient premium and deployed efficiently; the same program can dilute holders when that premium compresses or costs rise. Preferred stock and debt may postpone common dilution but place dividends, repayment and senior claims ahead of common equity. Convertible notes can defer dilution while preserving a future conversion and maturity risk.
For every transaction, compare bitcoin per assumed diluted share, reconcile all potential shares, subtract financing costs, and test whether senior claims remain covered in a downturn. That process—not the headline bitcoin total or the size of an ATM authorization—shows whether existing investors’ economic exposure improved.
