Bitcoin treasury companies typically build their holdings with a mix of excess cash, operating cash flow and money raised by issuing shares, preferred securities or debt. After funds are available, they arrange purchases through a method suited to the size and terms of the trade, then custody the Bitcoin. The strategy can increase Bitcoin held per share, but only if the Bitcoin acquired compares favorably with the new shares or obligations created; it also leaves the company with financing costs, liabilities and custody risks.
How a treasury purchase moves from financing to Bitcoin
A Bitcoin purchase is one step in a longer capital-management process. A company must decide how much money it can deploy, choose whether to use existing cash or raise new capital, complete the financing if needed, execute the purchase, and manage the resulting assets and obligations. The sequence varies by issuer; there is no single standard playbook.
- Set the amount available. Management weighs cash and short-term investments against working-capital needs, expected operating expenses, contractual obligations and other anticipated needs. Strategy’s FY2025 filing describes its treasury reserve as including cash and short-term investments above working-capital requirements alongside Bitcoin.
- Choose a funding source. The company can allocate available cash or raise capital through common shares, preferred securities, convertible debt, secured borrowing or other securities permitted under its offering documents.
- Complete the financing or cash allocation. An announced financing capacity is not the same as a completed sale, and a completed raise is not proof that all proceeds were used to buy Bitcoin.
- Arrange and execute the purchase. The company chooses counterparties, timing and execution terms. One issuer’s SEC-filed disclosure describes using multiple over-the-counter liquidity providers and a time-weighted average price plan.
- Hold the Bitcoin and manage the obligations. The company must account for custody and security while continuing to service debt, preferred distributions, operating needs and future maturities.
Strategy’s FY2025 filing says its financing and acquisition decisions are assessed in light of market conditions, capital structure, contractual obligations and anticipated operating needs. That helps explain why a company may raise money at one time and acquire Bitcoin later, or retain funds for other uses rather than immediately deploy every dollar.
Where the money comes from
The financing mix can change by company and over time. Some issuers have used operating cash flow or cash reserves; others have relied on capital markets. The instruments differ in who bears the cost and what claims they create against the company.

Each method shifts risk differently. Common equity does not create a contractual debt repayment, but issuing more shares reduces existing holders’ percentage ownership. Debt can avoid an immediate common-share sale, but it creates repayment, interest, conversion, collateral or refinancing obligations. Preferred securities can bring dividend obligations and priority over common equity. The final offering terms—not just the instrument’s label—determine the specific rights and costs.
What a shelf prospectus does—and does not—mean
A shelf prospectus establishes a framework under which an issuer may offer specified securities, subject to its terms and applicable requirements. It is financing capacity, not cash already received. Bitcoin Treasury Corporation said in December 2025 that a November 2025 short-form base shelf prospectus permitted it to raise up to CAD $300 million through common shares, preferred shares, debt securities, subscription receipts or warrants. That ceiling does not establish that the company sold securities for the full amount or used any particular amount to purchase Bitcoin.
How equity issuance can affect Bitcoin per share
For a shareholder, the key question is not simply whether a company bought more Bitcoin. It is how that purchase compares with the shares and other claims created to fund it. A financing can dilute existing owners by increasing the share count, while the Bitcoin purchased with its proceeds can still increase Bitcoin attributable to each share. Whether that happens depends on the amount of Bitcoin acquired relative to the fully diluted shares or claims issued, as well as valuation, financing terms and fees.
BitcoinTreasuries.net uses Bitcoin per Share (BPS) to describe Bitcoin attributable per share, generally on a fully diluted basis, and describes Bitcoin yield as the percentage change in BPS over time. Those measures require care: a company’s calculation date, treatment of convertibles and warrants, and other fully diluted assumptions can differ. A change in BPS is not the same as a change in the company’s share price or an investor’s fiat-currency return.

Issuing shares can be more or less attractive depending on the price investors are paying for the equity relative to the market value of the Bitcoin holdings. A premium or discount can change the economics of raising equity, but neither automatically makes an issuance beneficial or harmful. The company also has liabilities and may have an operating business, so a comparison of share value with Bitcoin alone is incomplete.
Strategy’s FY2025 filing notes that proceeds and financial instruments do not always map cleanly to Bitcoin purchases made at the same time, and that new shares can dilute holders. As a result, investors should distinguish an announced raise, securities actually sold, proceeds retained for other purposes, Bitcoin acquired, and the fully diluted claims outstanding. No neutral, harmonized sector-wide figure establishes what percentage of treasury-company Bitcoin purchases comes from each financing method.
How companies execute Bitcoin purchases
Once funds are available, the company needs to obtain Bitcoin on terms it considers acceptable. Execution arrangements may involve liquidity providers, negotiated fees and a defined schedule; the particular approach depends on the issuer and transaction. The available company disclosure does not support treating one method as universal across treasury companies.
A disclosed over-the-counter example
In a 2024 SEC-filed supplemental disclosure, Metaplanet described buying Bitcoin through multiple over-the-counter (OTC) liquidity providers. It said it negotiated trading commissions and used a time-weighted average price (TWAP) execution plan over a prearranged interval. A TWAP plan spreads execution across a specified period with the aim of tracking an average price over that interval; it does not guarantee a favorable purchase price.

The disclosure says the company prioritized periods it expected to have lower volatility and higher liquidity. It also considered pricing, trading volume, security and service when choosing providers. This is a company-specific account of its approach, not evidence that all treasury companies trade OTC, use TWAP, or follow the same provider-selection criteria.
OTC execution can give an issuer a way to arrange a large trade through liquidity providers rather than simply placing an order on a public exchange. It does not remove the need to assess commissions, execution quality, counterparty exposure or operational controls. A weighted-average target likewise cannot eliminate price movement during the execution window or ensure that the final purchase is cheaper than another available method.
How purchased Bitcoin is held
Execution and custody are separate decisions. In the same SEC-filed supplemental disclosure, Metaplanet said it held Bitcoin offline in cold storage with multiple third-party providers. Offline storage is intended to reduce exposure to online attack paths, but the disclosure does not establish that this arrangement eliminates risk. Using third parties also makes provider security, controls, operational processes and counterparty arrangements relevant.
That custody example should not be generalized to every issuer. Companies may disclose different levels of detail about their storage arrangements, and the evidence available here does not establish a universal custody model. Institutional custody is also distinct from an individual shareholder holding Bitcoin directly: buying a company’s shares does not give the shareholder control of the company’s Bitcoin or a right to redeem shares for it.

Company examples show why the playbook changes
Strategy’s disclosures illustrate a financing mix that has developed over time. Its FY2025 filing says that before 2025 the company primarily used common-stock sales and senior convertible notes for Bitcoin purchases, and also describes historical use of operating cash flow, senior secured notes and a Bitcoin-collateralized term loan. The filing says the company structured and issued five classes of preferred stock in 2025, which it groups under the label “digital credit.” It also says Strategy announced its first Bitcoin acquisition in August 2020. These are issuer-specific facts, not a template every company follows.
Bitcoin Treasury Corporation’s December 18, 2025 release provides a different illustration: a shelf framework permitting up to CAD $300 million in several kinds of securities. The company’s chief executive, Elliot Johnson, said that, as market conditions permitted, it intended to raise capital to purchase additional Bitcoin inventory when it was accretive to shareholders. The statement describes the issuer’s intention; it is not evidence that a particular amount was raised, that a purchase followed, or that an investment outcome was achieved. The company also said it would enter into options contracts using its Bitcoin inventory to enhance income-generating capability, a distinct treasury activity from buying Bitcoin with new capital.
These examples span US SEC filings and a Canadian issuer release. Offering terms and obligations depend on the relevant jurisdiction and final offering documents. A financing authorization, a company’s stated intention, and a completed Bitcoin purchase are separate events and should be described as such.

A useful comparison looks beyond the headline Bitcoin balance. The following questions help identify how the company funded its holdings, what it owes, and what a common shareholder’s claim represents.

- Financing mix and cost: What share of funding came from common equity, preferred securities, convertible or secured debt, or cash deployment? What are the associated coupons, dividends, fees and maturities?
- Dilution and fully diluted Bitcoin per share: How many shares are outstanding after accounting for convertibles and warrants where information permits? What calculation does the company use for BPS, and as of what date?
- Balance-sheet resilience: Does the company retain cash for working capital? Can it meet debt service and preferred distributions? Does it face collateral exposure or near-term maturities?
- Valuation: Does the equity trade above or below the market value of the company’s Bitcoin holdings? Consider liabilities and any operating business rather than treating Bitcoin holdings as the whole company.
- Execution and custody: What purchase channels, provider fees, counterparties, custody arrangements and controls has the company actually disclosed? If details are not disclosed, do not assume the company follows another issuer’s practice.
These measures answer different questions. BPS focuses on Bitcoin attributable to each share under a stated calculation; share-price performance reflects market pricing and the company’s full financial and operating risks. Neither metric alone captures the cost of capital or whether the company can meet obligations through changing market conditions.
What shareholders own—and what they do not
A share in a Bitcoin treasury company is a security in the company, not direct ownership of a corresponding fraction of coins held in a personal wallet. The company’s liabilities, preferred claims, debt covenants, operating business, management decisions and market valuation all affect the share’s value. Strategy’s filing states that owning its shares does not confer ownership of or a redemption right for its Bitcoin.
That distinction matters when assessing both upside and downside. A company may hold more Bitcoin while its share price moves differently because investors are also pricing financing costs, dilution, debt and other claims, the operating business, and market expectations. The purchase itself does not guarantee a particular share-price result, BPS increase or return.
