Aircraft leasing in India is a regulated financing and asset-use arrangement: a lessor owns or finances an aircraft, engine or qualifying part and lets an airline or other operator use it for rent. The operator avoids paying the entire purchase price on day one, but accepts scheduled rent, maintenance, insurance, records, return-condition and default obligations. The commercial result depends on who carries residual-value risk, how the lease is funded, the tax status of the lessor, currency exposure and the remedies available if the operator fails to pay.
Most institutional leasing activity is organised through GIFT IFSC in Gandhinagar. The IFSCA framework permits registered lessors to offer operating, finance and hybrid leases, as well as sale-and-leaseback and related asset transactions. India’s 2025 aircraft-object law has also strengthened the statutory framework for registration, deregistration and creditor remedies. Businesses should compare the full life-cycle cost and legal protections of a lease with an outright purchase before signing.
What an aircraft lease actually transfers
An aircraft lease separates ownership from use. The lessor may buy the asset with its own capital, borrow against it or acquire it in a sale-and-leaseback. The airline (the lessee) receives possession and operating rights for an agreed period and pays rent according to the contract. The lease normally allocates responsibility for maintenance, insurance, technical records, regulatory compliance, taxes, damage and return condition in detailed schedules.

Operating lease
An operating lease is generally shorter or more flexible than the asset’s entire economic life. The lessor expects to recover value by re-leasing or selling the asset after the current term, so the lessor normally retains more residual-value and remarketing exposure. Airlines use this structure when they value fleet growth, replacement flexibility or a defined return date over eventual ownership.
Finance lease
A finance lease shifts more of the aircraft’s economic risks and rewards toward the lessee. The payment profile and term may be designed around substantially recovering the asset’s cost and financing return. Depending on the contract and accounting and tax rules that apply to the parties, the lessee may bear much of the market-value, maintenance and end-of-life risk even though legal title remains with the lessor during the term.
Hybrid and related transactions
Hybrid leases combine operating and finance features. The IFSCA framework also recognises purchase, sale-and-leaseback, novation, transfer and assignment transactions, together with permitted asset-management support. That flexibility lets parties refinance an aircraft already in service, replace a lessor, transfer a lease or separate technical management from funding.

How a lease is arranged in India
A transaction usually moves through the following decisions. The exact documents and approvals vary by aircraft, operator, lender and jurisdiction, but skipping any of these workstreams can leave a supposedly cheap lease expensive or difficult to enforce.
- Define the operating need. Specify aircraft or engine type, delivery window, expected utilisation, routes, term, replacement plan and whether the operator needs a new or used asset. A fleet plan should show how many aircraft are required in each season rather than treating a lease as an isolated purchase.
- Select the structure. Decide between operating, finance or hybrid treatment and determine whether the transaction is a direct lease, sale-and-leaseback, novation or transfer. Put the intended residual-value and return strategy in writing before negotiating rent.
- Choose the lessor and funding chain. Verify whether the lessor is an IFSCA-registered entity or is otherwise permitted to conduct the proposed activity. Map equity, bank debt, export-credit funding and security interests so that the airline knows who can give instructions and who must consent to a transfer.
- Check the asset. Review title, serial numbers, configuration, maintenance status, life-limited parts, modification and repair records, liens, export-control restrictions and the aircraft’s registration history. For an engine or part, confirm compatibility, remaining cycles and traceability.
- Model the cash flows. Compare base rent, escalation, maintenance reserves, security deposits, commitment fees, interest embedded in rent, delivery or acceptance payments and any end-of-term compensation. Run scenarios for late delivery, grounding, fuel-price pressure and an early return.
- Agree technical and operational covenants. The lease should identify approved operators, maintenance providers, inspections, records delivery, parts standards, flight-hour and cycle reporting, insurance limits and the lessor’s access rights. These provisions protect the asset and determine whether the airline can change its operating model.
- Allocate taxes and payment mechanics. Identify the lessor’s location, the payment route, currency, withholding obligations, GST treatment and responsibility for assessments or changes in law. If an IFSC TDS declaration is intended, make it a closing deliverable rather than an assumption.
- Complete registrations and security filings. Coordinate aircraft registration, deregistration powers, Cape Town Convention interests where applicable, local security filings and lender notices. Confirm which party must maintain each filing and how amendments or a lessor transfer will be recorded.
- Close and deliver. Closing normally requires executed lease documents, evidence of insurance, technical acceptance, payment of deposits and delivery conditions. Keep an agreed document checklist; missing records can delay acceptance and start rent without allowing productive operation.
- Manage the asset throughout the term. The lessor, operator, lender and technical manager should reconcile utilisation, maintenance reserves, inspections, insurance renewals and financial covenants. Start return planning well before expiry because heavy checks, parts replacement and records reconciliation can take months.
Why GIFT IFSC is central to Indian aircraft leasing
GIFT IFSC in Gandhinagar is India’s principal institutional platform for aircraft leasing. The policy objective is to bring leasing and financing activity that historically took place in offshore centres into an Indian international financial services centre with specialist supervision, tax treatment and financial infrastructure.
The Ministry of Civil Aviation’s 2024–25 annual report records that, as of 31 December 2024, 33 aircraft-leasing entities, including provisional registrations, were registered in GIFT-IFSC. Those entities had leased 116 aviation assets: 63 aircraft and 53 engines. The same report records Air India acquiring six A350-900 and two A320neo aircraft through finance leases via the IFSC. It also records IndiGo establishing a GIFT City leasing arm and finance-leasing 24 A321neo aircraft. These figures are a snapshot at that date, not a guarantee that every entity had completed all approvals or that the market has remained unchanged since then.

IFSCA permission and scope
The IFSCA Framework for Aircraft Lease treats aircraft and helicopters, engines and specified parts as financial products. A registered lessor may conduct operating or financial leases, hybrids, sale-and-leaseback, purchase, novation, transfer and assignment, plus permitted asset-management support.
An applicant must qualify under the Finance Company Regulations, apply through the Single Window IT System and obtain an IFSCA certificate before undertaking a permitted activity. “Planning to register” is not the same as being authorised to sign or perform every type of lease, so an airline or investor should verify the entity’s certificate, scope and conditions for the proposed transaction.
Tax, GST and withholding considerations
Tax benefits are potentially significant but conditional. They depend on the entity, its IFSC status, the tax year, the asset and the statutory conditions attached to the particular incentive. A financial model should show the benefit only after confirming that the lessor and transaction satisfy those conditions.
IFSC aircraft-leasing tax holiday
The Ministry of Civil Aviation’s 2022–23 annual report describes a 100% tax holiday for 10 consecutive years within a block of the first 15 years for eligible IFSC aircraft-leasing entities, together with specified treatment for interest and royalty paid to non-residents. The ten years are consecutive once selected within the 15-year window; the provision is not an automatic, unlimited exemption for every lease, lessor or year. Confirm the election, commencement date, qualifying income and continuing conditions with Indian tax counsel.
TDS declaration for qualifying lease rent
Income Tax Department Form 1 guidance explains that an eligible IFSC aircraft-leasing unit can submit a declaration so that a lessee does not deduct tax at source on qualifying lease rent or supplemental lease rent for the declared period. Eligibility requires the lessor to be an IFSC unit engaged in aircraft leasing and to meet the relevant permission and deduction conditions.

Without a valid declaration, the lessee should not assume that gross payment is permitted. A tax model should separately test withholding, permanent-establishment exposure, transfer pricing, indirect taxes, customs and any tax treaty position.

GST and transaction taxes
The available policy description does not establish a single GST result for every aircraft, engine or payment flow. GST treatment can depend on the parties’ locations, import or export steps, place-of-supply rules, lease terms and the nature of maintenance or other services. Price GST, customs and registration costs explicitly, identify who funds them and obtain a transaction-specific opinion rather than labelling the lease “tax-free.”
Lease versus purchase: a decision based on total economics
Leasing can lower the immediate cash requirement, but it does not make an aircraft free. Rent includes the lessor’s funding cost, operating expenses, expected residual value, transaction costs and risk premium. Buying requires more upfront capital or debt but may give the operator control over configuration, timing and eventual sale proceeds.
| Decision axis | Leasing questions | Buying questions |
|---|---|---|
| Upfront capital | How much deposit, pre-delivery payment and reserve funding is required, and what financing margin is embedded in rent? | Can the business fund the purchase without weakening liquidity or breaching debt covenants? |
| Fleet flexibility | Can the term, extension, substitution or return rights follow demand and replacement cycles? | Would owned capacity remain useful if routes or utilisation change? |
| Residual value | Does the lessor bear market and remarketing risk, or does the lessee owe a residual or purchase amount? | Does the buyer have the expertise and balance sheet to manage resale risk? |
| Maintenance | What reserves, approved shops, inspections and return-condition costs apply? | Who funds heavy checks and can the owner choose maintenance timing and providers? |
| Tax and cash timing | Are rent, supplemental rent, withholding and GST modelled for the specific lessor and year? | How do depreciation, interest, GST and sale taxes affect the ownership case? |
| Default and control | How quickly can the lessor enforce, deregister, export or repossess after a default? | What lender security and insolvency restrictions apply if the buyer financed the asset? |
| Currency | Does lease currency match revenue, and are hedging and transfer restrictions affordable? | Will purchase debt and future sale proceeds be exposed to the same currency risk? |
Use a discounted-cash-flow comparison over the same operating horizon. Include delivery delays, downtime, maintenance reserves, insurance, taxes, deposits, end-of-term costs and the value of flexibility. Comparing only monthly rent with a purchase price will systematically understate the cost of leasing.

Maintenance, insurance and return-condition obligations
Technical clauses often determine the real cost of an operating lease. Maintenance reserves may be paid per flight hour or cycle and later applied to qualifying events. Read the release conditions: a reserve can be refundable, creditable only against specified work or retained if records and shop approvals are incomplete.
Records and life-limited parts
The operator must preserve complete, traceable records for airframe, engines, components, modifications, repairs and life-limited parts. Missing documentation can reduce the asset’s market value even when the aircraft is mechanically sound. The lease should identify electronic-record standards, audit rights, retention periods and the process for correcting discrepancies.
Insurance and risk of loss
Insurance requirements normally cover hull, liability, war risk where applicable and named-interest protections for the lessor and lenders. Confirm deductibles, territorial limits, permitted operators and notice periods for cancellation. The party carrying the risk of loss should be clear for ground events, transport, repossession and storage.

Redelivery
Return conditions can specify configuration, paint, engine performance, remaining cycles, corrosion status, records and location. Build a redelivery plan early: shop slots, parts procurement and record reviews can affect the final months of rent. A lease that appears inexpensive at delivery can become costly if the operator has not budgeted for return work.
What happens when an airline defaults?
Default remedies are contractual, statutory and fact-specific. A missed payment may trigger notices, cure periods, additional interest, reserve calls and restrictions on operations before termination. The lease, security documents, Cape Town filings, aircraft registry status and the operator’s insolvency proceedings must be reviewed together.
India’s 2025 aircraft-object law
The Protection of Interests in Aircraft Objects Act, 2025 came into force on 1 May 2025. The Ministry of Civil Aviation says it gives domestic effect to the Cape Town Convention and Aircraft Protocol, harmonises treaty obligations with domestic insolvency law and designates the Directorate General of Civil Aviation (DGCA) as the national registry authority.
“The Protection of Interests in Aircraft Objects Bill, 2025, strengthens India’s aviation sector by granting legal force to the Cape Town Convention.” — Ministry of Civil Aviation, Government of India, 2 April 2025.
The reforms are intended to improve creditor remedies and make deregistration, export and repossession more predictable. They do not eliminate the need for legal work. The outcome can still depend on the lease wording, security and international-interest filings, insolvency facts, court or administrator action, aircraft location, export permissions and current implementing rules.
Practical default planning
- Document the trigger. Track payment, covenant, insurance, maintenance and insolvency defaults against the notice and cure periods in the lease.
- Protect the asset. Confirm insurance, flight status, records, location and preservation steps while discussions continue.
- Check registrations and filings. Verify international interests, local security, powers of attorney and DGCA records before demanding deregistration or export.
- Coordinate insolvency strategy. Determine whether the operator is in a proceeding that affects enforcement, possession, aircraft operation or payment of post-commencement rent.
- Choose the remedy. Restructuring, a consensual return, assignment, replacement of operator or formal repossession each has different cost and timing consequences.
- Plan export and remarketing. Arrange technical inspection, records transfer, ferry permissions, storage, maintenance and a replacement lessee; legal possession alone does not create an immediately usable aircraft.
Investor and lessor due diligence
An investor evaluating an Indian aircraft-leasing platform should examine both the entity and every underlying lease. The following checklist keeps regulatory status, asset quality and enforcement risk in one review.

Risks that deserve explicit modelling
Residual-value and technology risk
Aircraft values can change with fuel prices, passenger demand, emissions rules, new technology and manufacturer support. A lessor with concentrated exposure to one type may face weak remarketing options if operators defer deliveries or retire fleets. A lessee taking residual risk through a finance or hybrid lease should stress-test sale proceeds and extension assumptions.
Currency and transfer risk
Lease rent and aircraft debt are often denominated in a major foreign currency while an Indian airline earns a mixed revenue base. Model depreciation, hedging cost, convertibility, payment restrictions and the timing of maintenance payments. A currency mismatch can overwhelm a modest difference in headline rent.
Political, regulatory and insolvency risk
Changes in aviation policy, import rules, sanctions, airport access or insolvency practice can affect utilisation and enforcement. The 2025 Act improves the statutory framework, but each transaction still requires current legal review and a plan for aircraft located outside India.

One airline, route group, engine type or maintenance provider can create correlated losses. Investors should test what happens if a major lessee grounds aircraft, a shop loses approval, or parts become scarce.
A practical decision framework for businesses
Before issuing a request for proposals, management should answer these questions in sequence:
- Is the need temporary or long-term? Temporary capacity, seasonal growth or uncertain routes generally favour flexibility; a stable long-term requirement may justify ownership or a finance-oriented structure.
- Can the balance sheet absorb ownership risk? Include purchase debt, reserves, maintenance shocks and the possibility of a delayed sale, not just the acquisition price.
- Which party is best equipped to manage residual value? A specialist lessor may have broader remarketing channels, while an airline may prefer control over configuration and timing.
- What return condition is operationally realistic? Align maintenance planning and records systems with the lease’s redelivery standard from the first flight.
- Does the tax result survive a conservative case? Recalculate without an incentive until eligibility, election and payment documentation are confirmed.
- Can the default plan work in the aircraft’s actual location? A contractual remedy is useful only if filings, registry processes, courts, export permissions and technical support are ready.
Bottom line for businesses and investors
India’s aircraft-leasing market is an institutional financing sector centred on GIFT IFSC and regulated IFSCA lessors, not an informal aircraft-rental market. Operating, finance and hybrid structures can cover aircraft, helicopters, engines and specified parts, but each allocates funding, maintenance, residual value, tax and default risk differently. The latest activity figure cited by the Ministry of Civil Aviation is 33 registered or provisional entities and 116 leased aviation assets at 31 December 2024.
The strongest case for leasing is usually a combination of fleet flexibility, preserved upfront capital and access to specialist asset management. The strongest case for buying is control over the asset and its residual value when the operator can fund and manage ownership risk. Compare total cash cost, not rent alone; verify every tax and TDS condition; and build Cape Town, DGCA, insolvency and repossession analysis into the transaction before signing.
