AI data centers are financed with a layered capital stack rather than one universal loan. Developers usually draw construction loans, revolving facilities or syndicated credit while a site is being built. After the facility has contracted tenants and operating cash flow, the owner can refinance with long-term bonds, private placements, asset-backed securities (ABS), commercial mortgage-backed securities (CMBS) or other debt. A special-purpose vehicle (SPV) or joint venture may own the project, allowing a hyperscaler to secure capacity without carrying every dollar of project debt on its consolidated balance sheet.
The choice among bank debt, bonds and private credit depends on construction risk, tenant contracts, credit ratings, required speed, collateral and whether the borrower wants corporate, project-level or asset-level financing. Those choices matter because obligations can remain economically similar to debt even when they appear as leases, guarantees or offtake commitments rather than as a parent-company loan.
The financing lifecycle of an AI data center
Financing changes as a project moves from land acquisition to construction and then to stable operations. Lenders take more completion and cost-overrun risk during construction, while bond investors generally prefer a predictable stream of lease or operating cash flow. A project can therefore use several forms of capital in sequence, with each refinancing intended to match the asset’s risk and useful life.

1. Development and construction
Before a facility produces revenue, the developer commonly uses a construction loan, revolving credit facility, bridge loan or syndicated bank financing. The borrower draws funds as equipment, power infrastructure, buildings and other approved costs are incurred instead of receiving the entire commitment on day one. Banks may secure the facility with mortgages, pledges of project interests, borrowing-base formulas and completion covenants.

Construction lenders focus on permits, interconnection, equipment delivery, contractor performance, budget contingencies and the strength of the expected tenant. A delay in energizing the site can postpone rent or capacity payments while interest continues to accrue. Syndication lets several banks share a large exposure, but it also introduces consent and coordination requirements when the project needs a waiver or a revised budget.
2. Lease-up and stabilization
Once the building is operating and has contracted tenants, the risk profile changes. A long-term lease, capacity reservation or contracted offtake agreement can support refinancing because lenders can underwrite scheduled payments rather than only a construction budget. Owners may replace a floating-rate construction facility with fixed-rate debt, securitize receivables or place a private loan against the asset.
3. Long-term ownership financing
Stabilized properties can support investment-grade corporate bonds, project-level bonds, private placements, ABS, CMBS or industrial revenue bonds. The appropriate instrument depends on who owns the facility, how predictable the cash flow is and whether investors receive a corporate claim, a mortgage claim or a claim on a defined pool of contracts.

Bank loans: the construction engine
Bank debt is useful when a developer needs a committed facility before the asset can issue securities. A revolving facility can fund land, design and early procurement; a construction loan can fund approved costs through completion; and a bridge can cover the period until a bond or permanent loan is issued. The amount actually drawn can be below the maximum commitment, which is important when interpreting market totals.
S&P Global Market Intelligence estimated $121.91 billion of lender commitments to U.S. data-center properties in 2025. “Committed” refers to the maximum drawable amount on facilities and does not necessarily mean that the full amount had already been funded in cash. The estimate includes active techniques such as credit facilities, ABS, CMBS and industrial revenue bonds, rather than only traditional construction mortgages.
Floating-rate bank loans expose the borrower to benchmark-rate changes. Sponsors may hedge that exposure with interest-rate swaps, caps or other contracts, but hedging adds cost and can create collateral or termination obligations. A shorter bank tenor also creates a maturity wall: the project must refinance, repay from asset sales or obtain an extension before the facility expires.

Bonds and securitization: matching long-lived assets with long-term money
Corporate bonds
Public corporate bonds are most accessible to investment-grade hyperscalers. Investors lend to the company rather than to one building, so the issuer’s rating, cash generation, leverage policy and market access drive pricing. Bond proceeds can fund a broad build-out, including power, networking and multiple campuses, without negotiating a separate mortgage for every site.

J.P. Morgan Asset Management reported hyperscaler issuance of $17 billion in 2024, $109 billion in 2025 and $194 billion in the first six months of 2026, and estimated $279 billion for full-year 2026. These figures describe issuance volumes, not the total cost of building data centers or the amount of debt outstanding at year-end.
Private placements
A private placement is a bond-like loan sold to a limited group of institutional investors. Terms can be customized around construction milestones, tenant concentration, permitted liens, cash sweeps and reporting. It may be faster or more tailored than a broadly marketed public issue, but it is less transparent and can be harder to trade.
ABS and CMBS
ABS can package defined receivables or contractual cash flows, while CMBS is secured by commercial real estate and its mortgage payments. Securitization separates a pool of assets or contracts from the sponsor and gives investors claims to that pool under documented priority rules. Performance depends on tenant payments, residual values, occupancy, power availability and the legal isolation of the collateral.
Brookfield Infrastructure Partners cited approximately $1.1 billion of investment-grade ABS for a North American colocation portfolio and approximately $325 million of ABS for contracted hyperscale growth. Those examples illustrate how contracted data-center revenue can be financed without relying solely on unsecured parent-company bonds.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Fix the driver behind crashes, sound loss and screen glitches3Repair Windows errors before they cause bigger problemsIndustrial revenue bonds
Industrial revenue bonds can be used when a public entity owns or leases the site. The public issuer sells the bonds, while project payments typically support debt service. Eligibility, security and tax treatment depend on the applicable jurisdiction and project structure, so they are not interchangeable with a standard corporate bond.

How private credit and SPVs fund AI capacity
Private credit fills gaps where a borrower needs speed, bespoke covenants, asset-level collateral or financing that does not resemble a conventional public bond. A private lender can negotiate directly with the sponsor, underwrite a single campus or accept a more complex combination of leases, guarantees and offtake agreements.
The common SPV structure
- Create the owner. The developer and one or more investors form an SPV or joint venture that owns or develops the data-center facility.
- Raise project debt. The SPV borrows through a private placement or direct private-credit loan secured by the facility, project contracts and related accounts.
- Contract the revenue. A hyperscaler signs a long-term lease, capacity reservation or contracted offtake agreement that provides the cash flow used for debt service.
- Add support where required. The hyperscaler may retain a minority stake, provide guarantees or agree to other protections that improve lender confidence.
- Operate and refinance. Lease or offtake payments service the SPV debt. At stabilization or maturity, the SPV can refinance, issue securities or repay from operating cash flow.
Economically, this can resemble debt that is largely outside the hyperscaler’s consolidated balance sheet. The Bank for International Settlements described such arrangements as “shadow borrowing”: obligations economically akin to debt but largely residing outside corporate balance sheets. The accounting presentation does not eliminate the payment obligation; it changes where the asset and liability appear and which guarantees or lease commitments must be analyzed.
Why a sponsor chooses private credit
- Speed: A negotiated loan can close without waiting for a public bond-market window.
- Customization: Covenants can reflect a particular campus, tenant, power contract or construction schedule.
- Collateral: The lender can take security over the project and its contracts rather than rely only on the parent’s unsecured credit.
- Confidentiality: Terms may be less visible than those of a registered public bond.
- Balance-sheet objectives: An SPV or joint venture can keep some project debt outside the parent’s consolidated borrowing, subject to accounting rules and guarantees.
The trade-offs are higher opacity, concentrated lender exposure, potentially floating-rate debt and a greater dependence on the private-credit market’s willingness to refinance. A guarantee can also bring the obligation back to the hyperscaler if the SPV or project fails to pay.
How much leverage is being used?
The Kansas City Fed has shown AI-related debt across bank commercial-real-estate loans, real-estate investment trusts, private credit, high-yield bonds, CMBS and ABS. Its chart shows 90% debt financing for the AI SPV category and 85% for neoclouds, while hyperscalers report lower consolidated leverage. These are category-level figures from the chart, not a universal rule for every project.
The difference matters. A parent company may look conservatively leveraged while an affiliated SPV carries substantial debt supported by rent payments, residual-value guarantees, leases or offtake contracts. Analysts therefore need to examine commitments and contingent obligations in addition to the debt shown on the parent’s balance sheet.
Why the market is scaling so quickly
The Federal Reserve Bank of Dallas estimated that AI-capable data centers could require $3 trillion to $5 trillion of investment over three to five years. Its analysis noted that long-lived data-center assets encourage long-term fixed-rate liabilities, while private-credit borrowing is more likely to be floating-rate and may be paired with pay-fixed interest-rate swaps.

Dallas Fed analysis also said Wall Street forecasts centered on $300 billion of AI-related investment-grade issuance could create as much as $360 billion of 10-year-equivalent duration in 2026. “Duration” measures the sensitivity of debt values and interest costs to market rates. A large wave of long-term issuance can affect bond-market absorption, swap markets and the refinancing cost for other borrowers.
Private-credit vehicles are themselves connected to banks. The Board of Governors of the Federal Reserve System reported about $95 billion of committed bank credit lines to private-credit vehicles in the fourth quarter of 2024, up about 145% over five years. Those lines can provide liquidity to private funds, but they also create a transmission channel if data-center loans deteriorate or refinancing becomes difficult.

Construction and completion risk
Power-connection delays, equipment shortages, permitting problems or cost overruns can exhaust a construction budget before revenue begins. A lender may require more equity, restrict additional draws or extend the maturity at a higher spread.
Tenant and offtake risk
A long-term contract is valuable only if the counterparty performs. A tenant may delay deployment, renegotiate capacity or fail to take the contracted power. Concentration in one hyperscaler can make a project appear stable while leaving it exposed to one credit decision.
Interest-rate and refinancing risk
Floating-rate private credit and bank loans become more expensive when benchmark rates rise. Fixed-rate bonds avoid that specific exposure but can be costly to refinance if the issuer must repay during a period of wide credit spreads. Swaps reduce some rate risk but introduce collateral, basis and termination risks.
Valuation and residual-value risk
Specialized facilities may be difficult to sell or repurpose. If a lender relies on residual value, a change in chip design, cooling requirements, power prices or tenant demand can reduce recovery value. That is particularly important when leverage is high.

Structural and reporting risk
BIS warned that private-credit-funded SPVs can create shock channels through bank funding lines, refinancing pressure, changes in private-credit appetite and guarantee activation. A parent-company review that counts only consolidated debt can miss obligations embedded in leases, rent support, residual-value guarantees and offtake contracts.
How to analyze a proposed financing
- Identify the borrower. Determine whether the obligor is the hyperscaler, a property subsidiary, a joint venture or an SPV.
- Map the cash flow. Trace rent, capacity payments, offtake revenue and reserve accounts to the debt-service waterfall.
- Separate commitment from funding. Distinguish a lender’s maximum commitment from the amount actually drawn.
- Check maturity and rate exposure. Record fixed versus floating debt, hedges, swap terms and the date refinancing is required.
- Review security and guarantees. List mortgages, pledges, borrowing bases, parent guarantees and termination or step-in rights.
- Stress the contracts. Test lower occupancy, delayed energization, tenant default, higher rates and reduced residual value.
- Look through the structure. Include lease and offtake commitments when comparing economic leverage across companies.
What “off balance sheet” really means
Off-balance-sheet financing does not mean free financing or no liability. It usually means the project debt is recorded at an SPV or joint venture and is not fully consolidated by the hyperscaler under the applicable accounting analysis. The parent may still owe rent, guarantee debt service, fund construction shortfalls or purchase capacity under a long-term contract.
For a complete view, compare consolidated debt with lease liabilities, purchase commitments, guarantees, minority investments and the SPV’s own leverage. The question is not only “Where is the loan reported?” but also “Who must pay if the project cannot refinance or the tenant does not use the capacity?”
Bottom-line decision framework
Bank loans are the usual workhorse when a project is being built or acquired and funds must be drawn over time. Public bonds provide large, long-tenor funding to issuers with investment-grade access, while private placements tailor bond-like terms to a smaller investor group. ABS and CMBS finance defined pools of contracts or real-estate cash flows. Private credit and SPVs offer speed, collateral and customized risk allocation, but can make leverage and refinancing obligations harder to see.
AI data-center finance therefore works as a sequence: bank or private construction capital gets the facility built, contracted revenue supports stabilization, and long-term bonds or securitization can refinance the completed asset. The most important analytical task is to follow every payment, guarantee and maturity through the structure, including obligations that sit outside the hyperscaler’s consolidated balance sheet.
