CCC Intelligent Solutions announced on October 15, 2026, that a consortium led by GTCR and including Elliott Investment Management has agreed to acquire the Nasdaq-listed insurance-technology company in an all-cash transaction. The proposed deal would pay each stockholder $7.75 per share and is expected to close in the first quarter of 2027, subject to approvals and other conditions. Until closing, CCC remains a public, independently operated company.

Key terms of the proposed transaction

CCC filed a definitive agreement describing the transaction as an approximate $6.1 billion enterprise-value deal. Enterprise value is a measure that includes the value attributed to the operating business and debt-related obligations; it is not the same as the equity value received by shareholders.

Term What CCC disclosed
Buyer Consortium led by GTCR and including Elliott Investment Management
Consideration $7.75 in cash for each CCC share
Stated valuation Approximately $6.1 billion enterprise value
Premium Approximately 44% above the July 9 unaffected closing price and 59% above the 30-day average price as of July 9
Expected closing First quarter of 2027, if required approvals and closing conditions are satisfied
Post-closing status CCC is expected to become privately held, stop trading on Nasdaq and cease SEC reporting

The $4.6 billion equity-value figure sometimes associated with the announcement is not stated as a separate equity value in the primary materials described by CCC. A definitive debt-and-cash bridge, merger proxy or other primary filing would be needed to confirm that figure. It should not be treated as interchangeable with the approximately $6.1 billion enterprise value.

What CCC shareholders should expect

Before the transaction closes

CCC continues to operate as a public company. Its shares remain listed on Nasdaq, shareholders retain their normal voting and trading rights, and CCC continues its existing business and SEC reporting obligations. The announcement itself does not immediately convert shares into cash or remove the listing.

At closing

If the transaction is completed, eligible shares are expected to be converted into the agreed cash consideration of $7.75 per share under the merger agreement. CCC would no longer be a Nasdaq-listed public company, and its regular SEC reporting would end as a consequence of becoming privately held.

Why the outcome is not guaranteed

CCC says completion depends on stockholder approval, required regulatory approvals and customary closing conditions. Its filing also warns that the timetable could change, the agreement could be terminated, competing proposals could emerge, or litigation could be brought. Until all conditions are met, the announced price is a proposed transaction term rather than a guaranteed payment.

Why GTCR and Elliott are buying CCC

CCC describes itself as a software-as-a-service and artificial-intelligence platform for the insurance economy. Its network connects more than 35,000 businesses, including insurers, automakers, collision repairers, parts suppliers and lenders. The company says its products support decisions and workflows across the claims and vehicle-repair lifecycle.

CCC also points to 40 years of industry data and more than a decade of embedded AI. Those assets can help automate estimating, claims handling, repair decisions and related processes, while the network creates value when more participants use the same platform.

The stated technology thesis

CCC CEO and chairman Githesh Ramamurthy said, “With GTCR and Elliott’s experience and resources, we will continue to build on our momentum and extend our leadership.” CCC says the buyers intend to accelerate artificial-intelligence and “agentic” capabilities, expand the network and continue investing in the team. The announcement does not promise a change to the company’s products or customer relationships before closing.

Why take the company private?

CCC’s transaction FAQ says private ownership could reduce exposure to volatile public-market conditions while giving management and the new owners more flexibility to invest for the longer term. The FAQ also says day-to-day operations and strategy are expected to remain unchanged before the transaction closes. Any product, staffing or investment changes after closing will depend on decisions made by the new owners and are not fixed by the announcement.

How to read the valuation and premiums

The $7.75 offer is a per-share cash price. The approximately $6.1 billion figure is enterprise value, so it reflects more than the market value of common stock alone. Equity value normally requires an adjustment for debt, cash and other balance-sheet items; CCC’s announcement does not provide that bridge.

The quoted premiums use July 9 as the reference date for both the unaffected closing price and the 30-day average. That date is the company’s stated comparison point, even though the definitive transaction was announced on October 15. The premiums therefore measure the offer against those specified historical prices, not against every price at which the stock traded before the announcement.

Transaction timeline and decision points

  1. October 15, 2026: CCC announces and files the definitive all-cash agreement.
  2. Proxy and stockholder vote: CCC must distribute transaction materials and obtain the required stockholder approval. CCC’s filing does not state a voting date.
  3. Regulatory review: The parties must obtain required regulatory clearances and satisfy other customary conditions.
  4. Targeted completion: CCC currently expects closing in the first quarter of 2027, but that is an estimate rather than a fixed deadline.
  5. After completion: CCC becomes privately held, its Nasdaq trading ends and its routine SEC reporting stops.

What the deal could mean for the insurance-software market

The transaction places a large, data-rich claims and repair platform under private-equity ownership at a time when insurers and repair networks are investing in automation. GTCR and Elliott will be able to pursue acquisitions, product development and network expansion without the same quarterly public-market reporting cycle. Those possibilities are strategic intentions, not guaranteed outcomes: the agreement does not establish a new product roadmap, pricing policy or customer commitment.

For customers, the immediate implication is continuity. CCC remains operationally independent until closing, and the announced transaction does not itself require customers, repairers or suppliers to change systems. Customers should look for future communications if ownership changes lead to contractual, product or support updates after completion.

What to watch next

  • CCC’s proxy statement, which should provide fuller merger terms, voting procedures and financial disclosures.
  • The definitive debt, cash and share-count details needed to reconcile enterprise value with any separately reported equity value.
  • Regulatory decisions and the date of the stockholder meeting.
  • Any competing proposal, litigation, amendment or delay that changes the expected first-quarter 2027 closing.

In practical terms, shareholders face a cash-out proposal rather than an immediate delisting: the $7.75 payment and private-company outcome occur only if the required approvals and closing conditions are completed.
