Choose a green bond if your company has a substantial, identifiable pipeline of eligible environmental projects and can ring-fence, reconcile and report the proceeds through the bond’s life. Choose a sustainability-linked loan (SLL) if you need general-purpose, capex or refinancing liquidity and can commit to ambitious, measurable sustainability-performance targets that change the loan’s margin or another contractual term.

Neither instrument is automatically cheaper. The right choice depends on the size and tenor of funding, currency, credit profile, investor or lender access, data quality, verification capacity and the total cost of meeting the instrument’s obligations.

The fundamental difference: what makes each instrument “sustainable”

A green bond is a use-of-proceeds security. Investors’ money is earmarked for defined green projects or assets, such as renewable energy, clean transportation, energy-efficiency upgrades, water management, waste treatment or pollution prevention. The issuer must identify eligible projects, track allocations and disclose how funds are used and what environmental outcomes result.

An SLL is a performance-linked loan. Borrower and lenders agree key performance indicators (KPIs) and sustainability-performance targets (SPTs) before or, where possible, concurrently with origination. The loan’s margin or another financial or structural feature changes according to performance against those targets. Proceeds are generally available for broader corporate purposes, subject to the negotiated loan documents and the integrity requirements of the Sustainability-Linked Loan Principles (SLLP).

SEBI describes use-of-proceeds bonds as “securities earmarked for specific projects designed to generate the intended impacts.” Its 2024 proposal distinguishes these from KPI bonds, which pursue sustainability and ESG objectives without being tied to a specified project. SEBI proposal (2024)

The Loan Market Association says that “Sustainability-linked loans aim to incentivise the borrower’s achievement of ambitious, predetermined sustainability performance objectives.” SLLP (26 March 2025)

Decision axis Green bond Sustainability-linked loan
Defining promise Proceeds finance eligible green projects or assets. Borrower performance against KPIs and SPTs changes financial or structural terms.
End use Restricted to eligible project categories; allocation and any unallocated balance must be disclosed. Generally broader corporate, capex or refinancing use, subject to the loan agreement.
Capital source Public or private bond investors; suitable for benchmark-size and potentially longer-tenor funding where market access exists. Banks or private lenders; suitable for relationship lending, club facilities and revolving credit.
Core preparation Green-finance framework, project screening, proceeds ledger, allocation reporting and impact measurement. Material KPI baselines, ambitious SPT calibration, reporting controls and independent verification.
Pricing mechanism Coupon is fixed when issued; any “greenium” is market-specific. Margin ratchet or another adjustment linked to KPI/SPT performance is common.
Ongoing assurance Allocation, eligible-project and impact disclosures; external review is common and may be required by transaction terms. At least annual KPI/SPT reporting and independent external verification through the last trigger event are core SLLP elements.
Main failure risk Proceeds cannot be deployed as represented, creating disclosure, reputational and potential greenwashing risk. KPIs are immaterial, SPTs unambitious, data unreliable or verification is missed, undermining credibility and any pricing benefit.

When an Indian company should prefer a green bond

You have a real, financeable project pipeline

Start with a project inventory, not with the label. List projects expected to draw funds during the bond’s allocation period, their budgets, commissioning dates, expected environmental benefits and ownership or refinancing status. Typical categories include solar or wind generation, electrification of transport, industrial energy-efficiency equipment, sustainable water and wastewater systems, recycling and resource-efficiency facilities, and pollution-control infrastructure. Your framework must define eligibility and exclusion rules clearly enough for an investor or reviewer to reproduce the decision.

You can control proceeds until maturity

Set up a proceeds ledger that reconciles the bond account, temporary investments, project disbursements and any refinanced assets. The ledger should identify each project, amount allocated, allocation date and remaining balance. If projects are delayed or withdrawn, disclose where unallocated proceeds are temporarily placed and how quickly they will be reallocated. A finance team that cannot produce this audit trail should not promise a labelled green bond.

The issue size and market access justify a bond

Public bonds involve documentation, arrangers, listing or private-placement processes, investor communications and continuing disclosures. They are most efficient when the required amount is large enough to attract a diversified investor base and the company can offer a tenor and currency investors will buy. A private placement can reduce distribution complexity, but it does not remove the need for credible eligibility and reporting.

You can measure environmental impact

Define indicators before issuance: for example, renewable generating capacity, megawatt-hours of clean electricity, tonnes of greenhouse-gas emissions avoided, energy saved, water treated or waste diverted. Explain the methodology, boundary, baseline and assumptions. Environmental impact reporting should distinguish expected from achieved results and avoid claiming causality beyond what the data supports.

When an Indian company should prefer an SLL

Funding must remain flexible

An SLL can fund general corporate purposes, working capital, eligible and ineligible capex, acquisitions or refinancing, unless the lenders impose narrower restrictions. This is useful when projects are numerous, change frequently or cannot be separated into a qualifying portfolio. The loan can be a term facility, revolving credit facility or club deal negotiated with relationship banks.

Your sustainability issue is company-wide and material

Select KPIs that reflect the borrower’s most significant environmental or social impacts and that management can influence. Depending on the sector, examples may include absolute or intensity-based greenhouse-gas emissions, renewable-energy share, energy consumption, water intensity, waste recovery, workplace safety or supply-chain outcomes. A cosmetic KPI that has little connection to strategy will be difficult to defend and may fail lender scrutiny.

You have a defensible baseline and forecasting system

Before signing, document historical performance, organizational and operational boundaries, calculation methods, restatements and data controls. Establish how acquisitions, disposals, production changes and methodology revisions affect the KPI. If data is incomplete, an SLL may still be possible, but the parties will need a credible plan for closing gaps, conservative baselines and targets that can be independently verified. Do not set a target merely because it is easy to measure.

You can accept ambitious targets and recurring verification

The March 2025 SLLP expects ambitious, predetermined SPTs. LMA guidance says ambition should reflect sector, geography, local context, historical performance, peer benchmarks and official targets. The loan normally includes a margin reduction when targets are met, and may include an increase, neutral band or other consequence when they are missed. You must provide at least annual KPI information and a sustainability confirmation statement, then obtain independent external verification against each SPT until the final trigger event.

India’s regulatory and market context

Green-debt disclosure expectations

SEBI’s February 2023 circular revised disclosure requirements for issuance and listing of green debt securities. The framework addresses the decision process used to select eligible projects, tracking of proceeds, temporary placement of unallocated money and qualitative or quantitative environmental-impact measures. Read the SEBI disclosure circular with the rules and listing conditions applicable when your transaction launches; requirements can change.

Offshore issuance and market development

RBI reported that liberalised external commercial borrowing (ECB) norms enabled Indian companies to raise offshore green, social, sustainable and sustainability-linked bonds. It also reported that India ranked second among emerging economies by cumulative green-bond issuance in calendar year 2021. What the 2025 SLLP means in practice

Agree KPIs and SPTs before calling the facility an SLL

LMA guidance says a facility should not be communicated as sustainability-linked until KPIs, SPTs and all core SLLP components are agreed. The documentation should specify the KPI definition, calculation formula, baseline year, observation dates, annual targets, trigger thresholds, reporting deadline, verification standard, consequences of a missed or restated result and treatment of exceptional events.

Make targets ambitious, not merely compliant

Test each SPT against the company’s historical trend, a credible transition pathway, sector peers and relevant national or regional goals. Explain why the target is material and how much improvement it requires. A target that would have been met without the loan, or that covers only a small portion of the business, weakens the incentive and can draw criticism even if the paperwork is complete.

Build verification into the calendar

At least annually, deliver KPI data and a sustainability confirmation statement. An independent external reviewer must verify performance against each SPT through the last trigger event. The LMA wording is explicit: “Borrowers shall obtain independent and external verification of the borrower’s performance level against each SPT for each KPI…” LMA SLLP

A decision test for the board and treasury team

Questions that point toward a green bond

  • Is there a documented pipeline of eligible renewable-energy, clean-transport, energy-efficiency, water, waste or pollution-control projects?
  • Can finance segregate, reconcile and report proceeds from closing through maturity, including temporary investments?
  • Is the likely issue size, tenor, currency and credit profile realistic for public or private bond investors?
  • Can the company fund a framework, external review, allocation reporting and impact measurement?

Questions that point toward an SLL

  • Does the company need general-purpose, capex or refinancing liquidity rather than project-restricted proceeds?
  • Are material KPI baselines supported by repeatable systems, controls and management ownership?
  • Can the board accept ambitious SPTs, annual reporting and independent verification?
  • Is a bank or club facility more practical than a public bond for the required amount, tenor or credit profile?

If both sets are answered “yes,” compare execution capacity and financing terms rather than assuming one label is superior. A company may use a green bond for a ring-fenced capital programme while maintaining an SLL for broader liquidity, provided each instrument’s promises remain distinct and are not double-counted.

Cost: compare total funding, not the label

Green-bond cost components

  • Coupon determined by issuer credit, tenor, currency, rating, liquidity and investor demand.
  • Arranger, legal, trustee, listing, exchange and documentation fees.
  • Framework preparation and external review or second-party-opinion fees.
  • Systems and staff time for allocation, impact and continuing disclosures.
  • Currency hedging and any tax or ECB-related costs for offshore issuance.

SLL cost components

  • Base bank margin and commitment or utilisation fees.
  • The size and direction of the KPI/SPT margin ratchet, including any neutral band.
  • Independent verification and sustainability-reporting costs each year.
  • Lender-consent, amendment and information costs if KPIs, baselines or corporate structure change.
  • Hedging, agency, legal and other facility fees.

A green bond may price through a comparable conventional bond in some markets, while an SLL may earn a margin reduction when targets are met. Neither outcome is universal. Request comparable term sheets, model best-, base- and worst-case KPI outcomes, and calculate the all-in cost including compliance. Treat any claimed “greenium” or SLL discount as a transaction-specific hypothesis to test, not as a guaranteed benefit.

Execution roadmap: green bond

  1. Map the portfolio. List proposed and existing projects, budgets, timelines, ownership, refinancing eligibility and expected environmental indicators.
  2. Write the framework. Define eligible categories, exclusions, project-evaluation criteria, management of proceeds, reporting frequency and impact methodology.
  3. Obtain review and approvals. Use an external reviewer where required by investors, listing rules or transaction terms; obtain board, risk and compliance sign-off.
  4. Design the ledger and controls. Reconcile proceeds, temporary placements, allocations and balances at least quarterly internally, with evidence retained for audit.
  5. Structure and market the issue. Select size, tenor, currency, listing or private-placement route, arrangers and investor distribution strategy.
  6. Report after closing. Publish allocation and impact information on the agreed timetable, explain unallocated proceeds and disclose material changes to projects or methodology.

Execution roadmap: sustainability-linked loan

  1. Identify material KPIs. Tie each KPI to the company’s strategy and the impacts most relevant to its sector and geography.
  2. Validate the baseline. Document data sources, boundaries, calculation methods, historical results, restatement rules and internal controls.
  3. Calibrate SPTs. Benchmark ambition against peers, historical performance, official targets and a credible transition pathway; set annual observation dates and trigger levels.
  4. Agree the mechanics. Specify margin adjustments, neutral bands, missed-target treatment, force-majeure or structural-change provisions, reporting deadlines and consequences of unverifiable data.
  5. Select the verifier. Confirm independence, scope, assurance standard, timing and access to data before financial close.
  6. Operate and report. Collect KPI evidence continuously, provide the annual sustainability confirmation statement and obtain verification through the final trigger event.
  7. Control communications. Do not describe the facility as an SLL until the KPIs, SPTs and core SLLP components are agreed; ensure investor, lender and public statements match the legal documents.

Common failure modes and fixes

Green-bond proceeds are diverted or remain idle

Why it happens: projects are delayed, budgets change or the issuer lacks a live allocation ledger. Fix: maintain a project-level register, define temporary-placement rules, set reallocation authority and disclose balances and timing rather than implying full allocation.

The green label is broader than the eligibility rules

Why it happens: marketing language outruns the framework, or refinancing and mixed-use assets are treated inconsistently. Fix: publish category definitions, exclusions, look-back periods and the treatment of partial financing before launch; have an independent reviewer test the framework.

SLL targets are too easy or immaterial

Why it happens: the borrower selects a KPI with good data rather than a KPI that drives meaningful change. Fix: document materiality, compare with peers and transition pathways, and require board-level ownership of the target.

Data cannot be verified on time

Why it happens: inconsistent sites, acquisitions, manual spreadsheets or unclear boundaries. Fix: assign data owners, lock calculation protocols, test controls before the first observation date and agree restatement and exceptional-event clauses with lenders.

The economics are overstated

Why it happens: a headline discount ignores fees, hedging, verification and internal systems. Fix: compare all-in, risk-adjusted term sheets and model the cost of both achieving and missing SPTs.

Information to assemble before seeking terms

  • Three years of audited financial statements and current debt, ratings and covenant information.
  • For a green bond: project pipeline, budgets, eligibility evidence, expected environmental metrics, allocation controls and reporting timetable.
  • For an SLL: KPI definitions, historical data, baseline calculations, organizational boundaries, target pathway, peer benchmarks and proposed verifier.
  • Funding requirements by amount, drawdown profile, tenor, currency, refinancing need and acceptable security or covenant package.
  • Legal and regulatory analysis covering SEBI requirements, RBI or ECB rules, listing, tax, foreign-exchange exposure and lender or investor eligibility at launch.
  • Internal owners for treasury, sustainability, finance controls, legal review, investor or lender communication and annual assurance.

Bottom line for an Indian company

Use a green bond when the financing promise is best expressed as “your money will fund these documented environmental projects,” and your systems can prove allocation and impact. Use an SLL when the promise is “our company will improve these material metrics,” and you can support ambitious targets with reliable data, annual reporting and independent verification.

Obtain current, comparable term sheets and recheck applicable SEBI, RBI, ECB, listing, tax and lender requirements when the transaction is launched. The strongest choice is the instrument whose operational promise your company can keep for the entire tenor—not the label that appears cheapest at signing.
