Use Form 3 when someone first becomes a Section 16 insider, Form 4 for most ownership changes after that, and Form 5 only for eligible exempt or previously missed transactions handled in an annual filing. In practice, Form 4 is the filing to check for a reported insider purchase or sale; Form 3 establishes the insider’s starting holdings; Form 5 closes limited gaps after the issuer’s fiscal year.
What the three forms are for
Forms 3, 4 and 5 are the principal ownership reports used under Section 16 of the U.S. Securities Exchange Act by company officers, directors and people who beneficially own more than 10% of a class of registered securities. They are filed with the Securities and Exchange Commission (SEC) and become part of the issuer’s public filing record.
The forms are best understood as a timeline rather than three interchangeable versions of the same report:
- Form 3 starts the relationship. It records the person’s beneficial ownership when the person first becomes an insider.
- Form 4 records changes as they occur. It is the normal filing for most purchases, sales and other changes after the initial report.
- Form 5 is an annual exception and catch-up. It covers eligible transactions that could be deferred or transactions that should have been reported earlier but were omitted.
A filing proves that an insider reported a beneficial-ownership event. It does not, by itself, establish why the transaction occurred or predict the company’s future share price.

Comparison at a glance
| Form | Trigger | What it reports | General deadline | How to use it |
|---|---|---|---|---|
| Form 3 | A person becomes a Section 16 insider | Beneficial ownership at entry, including holdings when the person assumes the role | Within 10 days after becoming an insider | Identify a new director, officer or holder of more than 10% of a registered class |
| Form 4 | A subsequent change in beneficial ownership | Most purchases, sales, gifts, option exercises and equity-award transactions, with transaction details | By the end of the second business day after the transaction | Check a current insider purchase, sale or other ownership change |
| Form 5 | An annual clean-up for eligible exempt or missed transactions | Transactions that could be deferred or were not reported earlier; transactions already reported generally do not need to be repeated | Generally within 45 days after the issuer’s fiscal year-end | Review year-end omissions and eligible transactions that did not require an earlier Form 4 |
These are general Section 16 deadlines. The applicable issuer, transaction exemption, filing instructions and later rule changes can alter the analysis.
Form 3: the initial ownership report
When Form 3 is triggered
Form 3 is required when a person first enters a reporting category. Typical examples are a newly appointed director, a newly hired officer, or a person who crosses the threshold of beneficial ownership of more than 10% of a registered class of securities.
The filing is tied to the change in status, not to a later trade. A newly appointed director therefore has a Form 3 even if the director makes no purchase or sale after joining the board.
Do these 3 things before closing this tab:
1Scan for outdated or missing drivers - takes under a minute2Repair Windows errors before they cause bigger problems3Fix the driver behind crashes, sound loss and screen glitchesWhat to look for in the filing
Read Form 3 as a snapshot of the insider’s starting position. It identifies the reporting person and issuer and lists the securities the person beneficially owns at the time the insider relationship begins. The filing can distinguish direct ownership from ownership attributed through another person or entity, and its footnotes explain attribution or other qualifications.
Form 3 is not a transaction-by-transaction trading log. If the person bought shares before becoming an insider, those shares can appear in the initial holdings snapshot, but the form is not reporting that earlier purchase as a new Section 16 transaction.
How the deadline works
The general Form 3 deadline is measured from the date the person becomes an insider. The SEC’s investor guidance describes a filing within 10 days. For a live compliance question, confirm the effective date of the appointment or ownership threshold and consult the current SEC instructions rather than counting from a press release date that may not match the legal status date.

Form 4: the normal filing for an insider transaction
Which events usually lead to Form 4
After the initial Form 3, Form 4 is the first place to look for a new reportable ownership change. The SEC describes Form 4 as covering most purchases and sales, and it is also used for events such as gifts, option exercises and equity-award transactions.
What’s actually slowing this PC down?
Pick the symptom - the matching free tool is one click away.
A transaction can be reportable even when the insider did not place a conventional open-market order. An award, exercise, transfer or gift can change beneficial ownership or the type of security held. The transaction description and footnotes are therefore as important as the headline “buy” or “sell” impression.
What Form 4 tells you
For a reported transaction, inspect the transaction date, the number of securities, the price per share when one is reported, the ownership type and the explanatory footnotes. These details help distinguish an acquisition from a disposition, identify whether ownership is direct or indirect, and show whether the reported price represents a market transaction or another form of consideration.
The form can show how many securities were acquired or disposed of and the price per share. It may also show the insider’s resulting holdings. A single filing can contain several lines, so do not assume that every line represents a separate open-market trade.
When Form 4 is due
The general deadline is the end of the second business day after the transaction. Business-day counting matters around weekends and market holidays. A filing that appears “late” under a calendar-day count may still be timely, while a transaction near a weekend can have a deadline that is different from a simple two-day estimate.

Form 5: the limited annual clean-up
When Form 5 is used
Form 5 is generally due no later than 45 days after the issuer’s fiscal year ends. It is used when at least one transaction during the year was eligible for deferred reporting or was not reported earlier because of an omission. It is not a routine replacement for Form 4.
The fiscal-year reference belongs to the issuer, not automatically to December 31. Before judging whether a Form 5 is timely, identify the company’s fiscal year-end in its filings and then calculate the 45-day period from that date.
When Form 5 is not needed
If every transaction that required reporting was already included on Forms 4, and no eligible transaction was deferred to Form 5, an insider generally does not need to file Form 5 for that year. Previously reported transactions do not need to be copied onto a Form 5 merely for completeness.
Why Form 5 can be misunderstood
A Form 5 appearing after year-end does not necessarily describe a new trade made near the filing date. It can concern an earlier transaction that qualified for annual reporting or an earlier omission. Always read the transaction date and footnotes instead of treating the filing date as the trade date.
Which form should you check?
Use this sequence when you are looking at a person, an issuer or a particular transaction:
- Check whether the person has just become an insider. If the event is a new officer or director appointment, or the person has newly become a holder of more than 10% of a registered class, start with Form 3.
- Check whether beneficial ownership changed after insider status began. Search Form 4 first for a purchase, sale, gift, option exercise, award or another ownership change.
- Check the transaction date and filing date. A Form 4’s filing date is not necessarily the date of the underlying event, and a Form 5 filed after year-end can relate to an earlier transaction.
- Use Form 5 as the exception path. Look for it when an eligible exempt transaction could be deferred or when a transaction was omitted from an earlier report.
- Confirm the issuer’s fiscal year-end before evaluating Form 5 timing. The annual deadline runs from that issuer-specific date.
- Read the footnotes before drawing a conclusion. Ownership attribution, transaction type and special circumstances can change how a line should be interpreted.
Practical EDGAR workflow
1. Find the issuer and reporting person
Open the SEC’s EDGAR filing search and search by the company or by the reporting person. Narrow the results to the issuer’s ownership filings when the search interface allows it. Searching both names can reveal filings made under a person’s name that are easy to miss when you search only the company.

2. Filter by form type
Use the form type as the first filter: Form 3 for initial status, Form 4 for ongoing changes and Form 5 for annual clean-up. This prevents a year-end Form 5 from being mistaken for the latest trade and keeps an initial Form 3 from being treated as evidence of a current purchase.

3. Read the dates in context
Record the date the person became an insider when reviewing Form 3. On Form 4, record the transaction date separately from the filing date. On Form 5, identify both the transaction date and the issuer’s fiscal year-end. Date context is essential for deciding whether a filing is an initial report, a current transaction report or a deferred annual report.
4. Inspect the transaction and ownership fields
For each relevant line, note the transaction date, ownership type, number of securities and price. Then read every footnote associated with that line. Footnotes can explain indirect ownership, the nature of an award or exercise, and why a reported amount or price should not be read as a simple cash-market trade.
5. Compare related filings
Compare a Form 4 with the insider’s earlier Form 3 to understand the change from the starting position. If a Form 5 appears, check whether the transaction was already disclosed on a Form 4; a previously reported transaction generally should not be repeated solely because the annual form exists.
Common situations and the form to inspect
| Situation | First form to check | Reason |
|---|---|---|
| A person is appointed a director | Form 3 | The appointment creates the initial Section 16 reporting relationship. |
| A new executive becomes an officer | Form 3 | The initial holdings are disclosed when insider status begins. |
| An existing insider buys shares | Form 4 | The purchase is a subsequent beneficial-ownership change. |
| An existing insider sells shares | Form 4 | The sale is normally reported as an ongoing ownership change. |
| An insider exercises an option or receives an equity award | Form 4 | These are common post-entry events that can change ownership. |
| An insider makes a gift of securities | Form 4 | A gift can be a reportable beneficial-ownership change. |
| An eligible exempt transaction was deferred during the year | Form 5 | The annual form can capture transactions permitted to wait until year-end. |
| A reportable transaction was missed earlier | Form 5 | The annual filing can be used to disclose an eligible omission. |
| All reportable activity was already filed | Usually none | A Form 5 is generally unnecessary when there is no deferred or omitted transaction. |
What an insider filing can—and cannot—tell you
Information the forms provide
- The person’s reporting relationship and, for Form 3, the holdings at entry.
- The transaction date and number of securities for reported Form 4 or Form 5 activity.
- A reported price per share when the filing supplies one.
- Whether the reported ownership is direct or attributed through another person or entity, subject to the form’s explanations.
- Footnotes that describe the transaction or qualify the ownership information.
Inferences the forms do not establish by themselves
A reported sale does not prove that the insider expects a decline. A reported purchase does not prove that the insider expects a rise. Awards, option exercises, gifts, tax-related actions and other circumstances can produce a filing without representing a discretionary open-market bet. The filing is evidence of the reported event, not a complete statement of the insider’s motivation or a forecast of company performance.
Investors can consider insider ownership and transactions as one part of company research, but the SEC’s investor guidance leaves the investment decision to the individual reader. A sound review therefore combines the filing with the transaction type, footnotes, the insider’s total holdings and other company information rather than treating one line as a signal.

Frequent mistakes when comparing Forms 3, 4 and 5
Mistake: treating Form 3 as a purchase report
Form 3 reports the holdings associated with entering insider status. It does not automatically mean the person bought those securities at the time of the appointment. Check the acquisition history and later Form 4 filings for evidence of subsequent trades.
Mistake: using Form 5 for every year-end transaction
Form 5 is not a second chance to summarize every Form 4. It is limited to eligible deferred activity and transactions that were not reported earlier. A transaction already reported on Form 4 generally does not need to be duplicated.
Mistake: counting calendar days instead of business days
The general Form 4 rule uses the end of the second business day. Weekends and market holidays can affect the calculation. Use the transaction date, a calendar that accounts for non-business days and the current SEC instructions.
Mistake: assuming December 31 is every issuer’s year-end
Form 5 timing depends on the issuer’s fiscal year-end. Verify that date in the company’s SEC filings before deciding whether an annual filing is late or missing.
Mistake: reading only the transaction line
Ownership type, footnotes, the resulting holdings and the distinction between direct and indirect ownership can materially change the meaning of a line. Read the complete filing, not just the quantity and price.
Mistake: treating a filing as a prediction
Section 16 filings disclose reported ownership events. They do not provide a guaranteed trading signal, a statement of intent or a performance statistic. Avoid adding a predictive conclusion that the form itself does not support.
Scope and compliance caveats
This comparison describes the general Section 16 framework for U.S. issuers and reporting persons. Specific exemptions, issuer status, transaction coding, beneficial-ownership attribution and later amendments to SEC rules can affect both the required form and the deadline.

Bottom line
Start with Form 3 for the moment a person becomes a director, officer or more-than-10% holder. Start with Form 4 for the insider’s later purchase, sale, gift, option exercise, award or other ownership change. Look to Form 5 only when an eligible exempt transaction or an earlier omission belongs in the issuer’s annual clean-up. In EDGAR, filtering by 3, 4 or 5 and then checking dates, quantities, prices, ownership type and footnotes will usually identify the filing that answers your question.
