First Horizon’s third-quarter 2026 loss was driven primarily by an accounting mark tied to a planned sale of residential mortgages. The bank’s adjusted result slightly exceeded expectations, while revenue came in below the analyst forecast.
What First Horizon reported for Q3 2026
First Horizon Corporation’s quarter ended September 30, 2026 produced a mixed set of headline figures. Adjusted earnings per share, a non-GAAP measure, were above consensus, but reported revenue missed and the GAAP result was negative.

The revenue shortfall was approximately 0.7% of the consensus estimate. That is a modest miss in isolation, but it appeared alongside a large accounting charge that changed the quarter from a positive adjusted result into a GAAP loss.

Adjusted EPS excludes items First Horizon classifies as notable. GAAP earnings include those items, so the two measures can point in opposite directions without describing different quarters.

After agreeing in early October to sell a selected group of lower-yielding residential mortgages, First Horizon reclassified approximately $4.5 billion of loans from held-for-investment to held-for-sale. The reclassification required the portfolio to be measured for the pending transaction, and the earnings presentation recorded a $473 million pre-tax loss related to the sale.

The mortgage-sale mark is an accounting impact associated with valuing assets that are being prepared for sale; it should not be read as evidence that First Horizon’s ordinary lending activity suddenly became unprofitable. The $94 million loss is the GAAP outcome after these charges and other adjustments, whereas the $0.53 figure is the company’s non-GAAP view of underlying quarterly earnings.

What the mortgage transaction is intended to do
Management described the planned sale as part of a strategic reduction and broader realignment of the residential-mortgage business. The stated objectives are to create additional balance-sheet capacity, improve the liquidity profile and increase earnings per share and return on tangible common equity (ROTCE).

Management’s 2027 outlook
Relative to the consensus forecast available on October 2, 2026, management estimated that the transaction could produce approximately 4% or $45 million of after-tax earnings accretion in 2027 and improve ROTCE by roughly 150 basis points. Those are forward-looking company estimates, not realized results. The estimate excludes additional potential benefits from redeploying released capital into higher-yielding loans.
Capital and balance-sheet context
The presentation reported a 10.3% common equity tier 1 (CET1) ratio after transaction-related effects and tangible book value per share of $13.84. These figures provide the key capital context for a sale that creates a large current-period accounting hit but is intended to reshape future asset mix.

The available figures describe the quarter-end position; they do not by themselves establish whether deposits or loans grew or declined from the prior quarter. The relatively low reported net charge-off ratio also does not remove the need to monitor credit performance after the asset mix changes.
Will selling the mortgages improve future earnings?
The transaction can help if the sold loans generate less income than the assets First Horizon uses the released balance-sheet capacity to fund. That is the basis for management’s projected accretion. The outcome depends on several conditions:

- The portfolio must close at terms consistent with the recorded valuation.
- Capital and liquidity released by the sale must be redeployed effectively.
- Replacement loans must deliver higher yields without an offsetting increase in credit losses, funding costs or operating expenses.
- The mortgage business realignment must reduce the drag associated with lower-yielding residential assets.
A successful sale could therefore make the current loss look more like a one-time transition cost than a recurring earnings pattern. Conversely, delays, weaker pricing or unsuccessful redeployment would reduce or postpone the projected benefit.
What investors should watch next
- Closing disclosure: Check whether the mortgage portfolio settles in early Q4 as planned and whether final proceeds differ materially from the marked value.
- Capital ratios: Follow CET1 and tangible book value after the transaction is completed, not only the pro forma figures presented with the announcement.
- Asset replacement: Look for evidence that released capacity is moving into higher-yielding loans rather than remaining idle.
- Core revenue and expenses: Separate recurring net interest and fee performance from sale-related items in subsequent results.
- Credit quality: Track charge-offs, delinquency trends and provisioning as the loan mix changes.
- Accretion delivery: Treat the $45 million and 150-basis-point projections as targets to be tested against reported 2027 results.
Bottom line
First Horizon’s Q3 report is not a simple deterioration story. Revenue was modestly below forecast and adjusted EPS narrowly beat consensus, but a $473 million pre-tax mark on a planned $4.5 billion mortgage sale drove the GAAP loss. The strategic case rests on completing the sale, preserving capital strength and successfully shifting funds into more profitable lending.
