Fintech companies in the United States can raise private venture capital, sell securities through registered public offerings, or use exempt online offerings such as Regulation Crowdfunding. These routes involve different company stages, legal requirements, investors and liquidity options. The latest figures show active capital markets, but they are not one combined measure of fintech funding: some track fintech-specific investment, others cover all US venture activity, securities offerings or financial intermediaries.
What “fintech investment” can mean
Fintech investment is not a single, consistently measured pool of money. A company’s financing round, an investor’s purchase of public shares, proceeds from an online securities offering, and assets managed by an investment adviser are different activities. Their totals should not be added together.
- Company funding is money raised by a fintech issuer, such as venture capital or proceeds from a securities offering.
- Venture investment measures capital deployed in venture deals across a defined market or sector. It is not the same as money raised by venture funds.
- Offering proceeds measure money issuers report raising through a specified securities route.
- Intermediary assets describe assets associated with regulated advisers or broker-dealers. They are not amounts invested in fintech startups.
That distinction matters when interpreting the current numbers: the sources use different categories, periods and methods, and there is no single reconciled US fintech investment total in the available estimates.

Private venture rounds
Venture funds invest in private startups and growth companies across stages that commonly include pre-seed or seed, early venture, later venture and venture growth. A company may raise several rounds as it develops. Round size and access depend on the issuer and investors; the market-wide figures do not mean that every fintech company can raise capital on similar terms.

NVCA’s 2026 Yearbook, using PitchBook data through December 31, 2025, reports $320 billion deployed across 15,352 US venture deals in 2025. Deal value rose 51% from 2024 and was the second-highest annual total on record, but deal count grew by less than 1%. The Yearbook attributes much of the increase to unusually large rounds, including nearly $60 billion raised collectively by five companies. This is venture activity across all sectors, not fintech alone.
Fundraising by venture firms is a separate measure from their investment in companies. NVCA reports that US VC funds raised $67 billion across 585 funds in 2025. The ten largest funds captured $22 billion, or 32.9% of that capital, illustrating how concentrated fund commitments were.
Registered public offerings
An initial public offering (IPO) is a company’s first registered public offering of shares. It can be part of a transition to public-market ownership and trading, but not every IPO follows the same listing path. A company that is already public may raise additional capital through a registered follow-on offering.

Federal securities law generally requires an offer or sale of securities to be registered with the SEC or to qualify for an exemption. The SEC reported 208 IPOs raising more than $137 billion in the first half of 2026, compared with 180 IPOs raising more than $27 billion in the first half of 2025. It also reported 557 follow-on registered offerings raising more than $111 billion in H1 2026. These are broad US market figures; they do not establish how many offerings involved fintech issuers.
Online securities offerings under Regulation Crowdfunding
Regulation Crowdfunding (Reg CF) is a securities route, not donation-based crowdfunding. It allows eligible issuers to offer and sell securities online through a registered broker-dealer or funding portal. The security and its rights depend on the actual offering terms, so a label such as “equity” or “investment” is not enough to establish what an investor owns or is owed.
SEC staff reported 9,851 Reg CF offerings and $1.644 billion in reported raised proceeds cumulatively through June 30, 2026, covering the period since May 16, 2016. These statistics are based on EDGAR filings and issuer updates. The SEC cautions that filed information can be inaccurate or later revised, and that the statistics are not a substitute for reviewing the underlying offering materials.
How to compare the main investment routes
| Route | Typical issuer stage | How capital reaches the company | What to examine |
|---|---|---|---|
| Private venture round | Private startup or growth company | Private investors or funds invest in a financing round. | Security type, ownership or conversion terms, voting rights, investor eligibility and potential exit path. |
| IPO or follow-on offering | IPO: company making its first registered public share offering. Follow-on: public issuer raising additional capital. | Investors buy securities in a registered offering. | Offering documents, security terms, fees and whether shares have a public trading market after the offering. |
| Regulation Crowdfunding | Issuer using an exempt online securities offering | Investors participate through a registered broker-dealer or funding portal. | Offering filings, security rights, intermediary, fees, transfer restrictions and applicable eligibility requirements. |
Across all three routes, check whether the company is private or public, what legal route it is using, what the specific security provides, and whether investors may be able to sell or transfer it. A possible acquisition or future public listing is not the same as a current market for an investment.
What the 2025 fintech estimates do—and do not—show
Two widely reported 2025 US figures describe fintech activity differently. PitchBook’s 2026 fintech VC summary reports $42.8 billion in fintech VC deal value, which it describes as the highest since 2022, and $67.6 billion in fintech exit value. KPMG’s February 2026 Pulse of Fintech H2 2025 reports $56.6 billion in US “fintech investment” for 2025, up from $42.4 billion in 2024. KPMG also reports that deal volume declined from 2,085 to 1,977 year over year; its H1 2025 figure is $32.7 billion across 1,016 deals, and its H2 figure is $23.9 billion across 961 deals.
The sources do not provide a common methodological reconciliation. The difference may reflect dataset coverage or category definitions; it does not establish that one figure corrects the other. Keep the attributions and labels attached to the numbers rather than averaging them or relabeling KPMG’s broader “fintech investment” measure as venture capital. Neither should be confused with NVCA’s $320 billion across all US venture sectors.
Investment, fundraising and exits tell different stories
Money invested in companies, capital raised by venture funds and value realized through exits measure separate parts of the funding cycle. A company can receive funding without investors being able to sell their holdings, and a rise in public offerings does not by itself demonstrate that fintech companies are listing at the same rate.
NVCA reports $217.1 billion across 1,463 venture-backed exits in 2025, more than twice the prior year’s value but still below peak levels. Its Yearbook says the exits did not clear the private-company liquidity backlog. Venture exits can include IPOs, acquisitions and secondary transactions; the aggregate exit figure is not a count or value for fintech exits alone. PitchBook separately reports $67.6 billion in fintech exit value for 2025, using its fintech category.

Broker-dealers
Broker-dealers can perform securities-related functions, including acting as an intermediary in certain offerings. For Reg CF, an issuer must use a registered broker-dealer or funding portal. The SEC’s June 2025 release reports approximately 3,340 broker-dealers and approximately $6.4 trillion in broker-dealer assets for 2024. The release also says the number of broker-dealers declined by about 30% from 2010 to 2024 while assets grew by approximately $1.7 trillion. These figures describe the broader intermediary industry, not fintech startup funding.
Best Value
Investment advisers
Investment advisers provide advisory services and may manage client assets; their role is distinct from a broker-dealer’s. SEC staff statistics based on Form ADV report 22,932 investment advisers and $177 trillion in regulatory assets under management for 2025. Adviser categories can overlap, and regulatory assets under management are not capital invested in fintech companies. They should not be added to venture deployment, offering proceeds or broker-dealer assets.
How to assess a fintech investment opportunity
- Identify the issuer and route. Establish whether the company is private or public and whether the offering is registered or relies on an exemption. For Reg CF, identify the registered broker-dealer or funding portal involved.
- Read the actual offering materials. Verify the security, ownership, repayment or conversion terms, voting rights and any other rights described in the documents. Do not infer them from a marketing label.
- Check eligibility, costs and restrictions. Review who may invest, intermediary and offering fees, and whether the security can be transferred or resold.
- Consider liquidity and loss risk. Determine whether a trading market exists, or whether a future sale depends on an acquisition, IPO or other event. Do not assume that a company’s growth or a strong market headline guarantees an exit or return.
- Match statistics to the question. Check the source, reporting period, geography and measure. A sector estimate, a filing-based offering total, a broad-market IPO count and adviser assets cannot answer the same question.
A market overview is not a recommendation to buy a particular fintech security. SEC staff specifically advises reviewing relevant Reg CF filings rather than relying on aggregate statistics when making an investment decision.
