Fiduciary liability insurance and an ERISA fidelity bond are not the same protection. Fiduciary liability insurance is optional coverage for losses associated with fiduciary acts or omissions, while the ERISA fidelity bond addresses plan losses caused by fraud or dishonesty by people who handle plan money or property. ERISA does not require fiduciary liability insurance, and the wording of any policy—not its label—determines what it actually covers.

The short answer: insurance and the bond cover different failures

Plan sponsors often use “ERISA fiduciary insurance” as a shorthand for several different products. The legally important distinction is between fiduciary liability insurance and the ERISA fidelity bond required under section 412. They respond to different causes of loss and cannot be substituted for one another.

Fiduciary liability insurance generally addresses losses arising from an alleged or established breach of fiduciary responsibility—such as an imprudent decision, failure to follow the plan document, or a conflict-related act. It is optional under ERISA. The plan may purchase it, but if plan assets pay the premium, the policy must allow the insurer to seek recourse against a fiduciary when the loss results from that fiduciary’s breach.

The fidelity bond protects the plan against loss caused by fraud or dishonesty by covered people who handle plan funds or other plan property. The U.S. Department of Labor (DOL) describes theft as an example. A bond is not a promise to pay for poor judgment, an imprudent investment, or an administrative breach. Conversely, fiduciary liability insurance is not the ERISA section 412 bond and does not satisfy the bond requirement simply because it contains the word “fiduciary.”

Question Fiduciary liability insurance ERISA fidelity bond
Primary risk Losses associated with fiduciary acts, omissions, or breaches Plan losses caused by fraud or dishonesty by covered people handling plan funds or property
ERISA classification Optional liability insurance permitted under section 410 Bonding protection addressed by section 412
Required by ERISA? No Separate bonding requirements apply; do not treat them as optional liability insurance
Typical loss theory A fiduciary failed to act prudently, follow plan terms, control expenses, or avoid a conflict A covered person stole or otherwise dishonestly misappropriated plan money or property
When plan assets pay The policy must permit insurer recourse against a fiduciary in the event of a fiduciary breach The plan is generally the protected party for a qualifying fraud or dishonesty loss, subject to bond terms
What determines payment Insuring agreements, definitions, exclusions, limits, retention, defense provisions, and endorsements Bond wording and applicable bonding rules

The DOL’s Field Assistance Bulletin No. 2008-04 and its Advisory Council discussion make this distinction explicit. They also emphasize that ERISA does not otherwise prescribe the scope of fiduciary liability insurance coverage. A policy title is therefore only a starting point for review.

Who is an ERISA fiduciary?

Fiduciary status depends on what a person or organization actually does, not on a job title, committee name, or statement that someone is “only” a sponsor employee. Under the DOL’s descriptions, a person or entity may be a fiduciary when it has discretionary control over plan management or assets, authority or responsibility for plan administration, or responsibility for providing compensated investment advice.

People and groups that may have fiduciary functions

  • A retirement or benefits committee that selects investments, approves administrative practices, or exercises discretion over claims or plan operations.
  • Trustees and other people with authority over the plan trust or its assets.
  • Plan administrators and sponsor personnel who make discretionary decisions rather than merely carrying out ministerial instructions.
  • Service providers whose compensated investment advice or delegated authority gives them fiduciary responsibility.
  • An employer or other entity, to the extent it performs fiduciary functions; the corporate label does not by itself resolve status.

The same individual can perform both fiduciary and nonfiduciary tasks. For example, processing a transaction exactly as instructed may be ministerial, while deciding which investment menu to offer or how to interpret an ambiguous plan provision may involve discretion. The analysis is functional and fact-specific.

What fiduciary duties create liability?

ERISA fiduciaries must act solely in the interests of participants and beneficiaries and for the purpose of providing benefits and paying reasonable plan expenses. They must act prudently, follow the governing plan documents insofar as those documents are consistent with ERISA, diversify investments, and avoid prohibited conflicts. Paying an expense from plan assets is not enough to make it permissible; the expense must be reasonable and connected to plan administration.

A fiduciary who fails to meet those standards can face personal exposure. The DOL explains that a fiduciary may be required to restore losses to the plan or return profits made through improper use of plan assets, and a court may order other appropriate relief. Personal exposure is why sponsors should identify fiduciary functions before discussing insurance limits or relying on indemnification arrangements.

Examples of allegations that are conceptually different from theft

  • An investment decision allegedly made without a prudent process.
  • Failure to monitor an investment option, committee, or delegated service provider.
  • Use of plan assets for an expense that was not reasonable or not permitted.
  • Failure to follow a plan provision when administering benefits.
  • A conflict of interest that influenced a decision affecting participants.

These examples describe types of fiduciary allegations, not a promise that any particular insurance policy covers them. Coverage depends on the policy’s definitions, exclusions, conditions, and endorsements.

What the ERISA fidelity bond does—and does not do

The fidelity bond is designed to protect the plan from a different event: fraud or dishonesty by a person who handles plan funds or other plan property. In Field Assistance Bulletin No. 2008-04, the DOL states: “No. The fidelity bond required under section 412 of ERISA specifically insures a plan against losses due to fraud or dishonesty (e.g., theft) on the part of persons (including, but not limited to, plan fiduciaries) who handle plan funds or other property.”

That wording has two practical implications. First, the dishonest person may be a fiduciary, but does not have to be one; the bond focuses on handling plan property and the dishonest conduct. Second, the plan is the party whose loss the bond addresses. It is not a personal-liability policy for a committee member accused of imprudence, and it is not a substitute for reviewing controls over access to plan accounts.

Why a bond claim is not a fiduciary-breach claim

Suppose an employee with authority to transfer plan money secretly diverts funds. That is the kind of fraud or dishonesty risk a fidelity bond is intended to address, subject to the bond’s conditions and exclusions. If a committee instead selects an investment after an allegedly inadequate review process and the investment loses value, the issue is a potential fiduciary breach, not automatically a bond loss. Treating both events as “fiduciary insurance” can leave a plan without the protection it expected.

Is fiduciary liability insurance required?

No. The DOL says ERISA does not require fiduciary liability insurance. Section 410 permits a plan to purchase liability insurance for fiduciaries, but the statute does not dictate a universal coverage form or minimum limit for that optional insurance.

The optional nature of insurance does not eliminate fiduciary duties. A sponsor cannot use a policy—or the absence of one—to transfer responsibility for acting prudently, monitoring delegates, or correcting a breach. Insurance may help with covered defense costs, settlements, judgments, or other loss categories, but only if the policy’s terms reach the particular claim and the insured person or entity.

Can plan assets pay the premium?

Yes, a plan may purchase fiduciary liability insurance, including with plan assets, subject to ERISA’s condition on recourse. When plan assets pay, the policy must permit the insurer to seek recovery from a fiduciary in the event of that fiduciary’s breach. The recourse term matters because a plan-paid policy cannot be structured to eliminate the fiduciary’s accountability for a breach.

Before authorizing payment, document who is insured, what fiduciary functions are covered, how the recourse provision operates, and whether the policy also covers the plan as an entity. Do not assume that a sponsor, committee, individual fiduciary, plan, and service provider all have identical insured status. The declarations, definitions, insuring agreements, and endorsements control.

Questions for the premium-payment decision

  • Which account will pay the premium, and what plan expense rationale supports that payment?
  • Does the policy expressly satisfy the required recourse condition when plan assets fund it?
  • Which people, committees, trustees, and entities are insured, and in what capacities?
  • Are defense costs inside or outside the stated limit, and who controls defense and settlement decisions?
  • Does the policy cover the plan itself, or only individual fiduciaries and sponsoring entities?

How to compare an actual policy

There is no ERISA-approved checklist that makes every policy equivalent. The DOL’s guidance says ERISA otherwise does not address the scope of liability insurance coverage. Use the following dimensions to compare the actual form, not a quote summary or marketing label.

1. Insured persons and insured entities

List every person and organization whose conduct could create exposure: sponsor personnel, committee members, trustees, administrators, and delegated providers. Confirm whether coverage follows a person when duties change and whether the plan, sponsor, or affiliated entities are insured. A policy that covers an individual fiduciary but not the plan may respond differently from one that names both.

2. Covered acts and loss definition

Read the operative insuring agreements and definitions of “wrongful act,” “loss,” “claim,” and “fiduciary.” Determine whether the policy addresses alleged breaches, only adjudicated liability, or both. Check how restitution, disgorgement, penalties, taxes, benefits owed under the plan, and amounts that are uninsurable under applicable law are treated. These categories are policy-specific; do not assume that every judgment or settlement is an insured loss.

3. Defense, investigation, and settlement

Confirm when the insurer’s duty to defend or advance defense costs begins, whether defense costs reduce the limit, and who selects counsel. Review consent-to-settle language, allocation rules for claims involving insured and uninsured conduct, and the treatment of investigations or demands that may precede a lawsuit. A policy can have a substantial nominal limit yet provide less usable protection if defense costs erode that limit.

4. Exclusions and severability

Examine exclusions for fraud, dishonesty, personal profit, prior knowledge, other insurance, employment practices, cyber events, and bodily injury or property damage. Determine whether an exclusion applies only after a final adjudication and whether the conduct of one insured is imputed to another. Severability and entity-versus-insured provisions can materially change the result when several people are named in one claim.

5. Limits, retention, and related coverage

Compare the aggregate limit, per-claim limit, retention, sublimits, and any separate limits for investigations or regulatory matters. Ask whether defense costs are inside the limit. Identify endorsements that add or remove coverage and whether the policy is written on a claims-made basis with notice, retroactive-date, and extended-reporting requirements. These are review prompts, not statements that a particular form includes any one feature.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

6. Recourse and payment source

If plan assets pay the premium, locate the recourse language required by ERISA section 410. Ask the broker or counsel to explain when the insurer may pursue a fiduciary and how that interacts with defense and settlement. Keep the written explanation with the plan’s fiduciary-governance records.

A practical decision process for plan sponsors

  1. Map fiduciary functions. Create a current list of committees, trustees, sponsor employees, administrators, and advisers who exercise discretion over plan management, assets, administration, or compensated investment advice.
  2. Separate the two loss categories. Verify the plan’s ERISA fidelity bond for fraud or dishonesty involving plan funds or property. Evaluate optional fiduciary liability insurance separately for breach-related exposure.
  3. Collect the complete forms. Request the policy wording, declarations, endorsements, application, and renewal terms. A certificate or proposal summary is not a substitute for the contract.
  4. Compare coverage dimensions. Review insureds, covered acts, loss definition, exclusions, defense, settlement, limits, retention, notice, and recourse with a qualified insurance professional and ERISA counsel as appropriate.
  5. Document the payment decision. If plan assets pay, record the expense rationale and confirm the section 410 recourse condition. If the sponsor pays, document which sponsor or fiduciary interests the policy is intended to address.
  6. Align governance with the policy. Maintain committee charters, minutes, investment and service-provider monitoring records, conflict disclosures, and evidence of prudent decision processes.
  7. Revisit after changes. Reassess insured persons, fiduciary delegations, acquisitions, plan mergers, providers, and policy amendments at renewal or when responsibilities change.

Monitoring delegated fiduciaries remains mandatory

Appointing another fiduciary does not end the appointing fiduciary’s responsibilities. The DOL’s fiduciary FAQ says that a fiduciary who appoints another fiduciary for a permitted purpose must monitor the appointee. Monitoring should be matched to the delegated function and documented rather than treated as a one-time appointment.

Evidence of a monitoring process

  • A written description of the delegated authority and the standard used to select the appointee.
  • Regular review of performance, fees, conflicts, compliance reports, and service levels relevant to the delegation.
  • Committee or trustee minutes showing questions asked, information reviewed, and follow-up actions.
  • A process for escalating deficiencies and replacing a provider or fiduciary when monitoring shows that the arrangement is no longer prudent.

Insurance can respond only within its contract. Good monitoring reduces the likelihood of a breach and gives the sponsor a clearer record when a claim is made.

What to do after a suspected loss or claim

Suspected fraud or dishonesty

  1. Protect remaining plan assets and preserve account records, approvals, electronic logs, and other evidence.
  2. Follow the plan’s internal incident and bonding procedures without making admissions that could prejudice coverage.
  3. Notify the fidelity-bond carrier and appropriate advisers within the time required by the bond.
  4. Assess whether the same conduct creates a separate fiduciary-liability notice obligation.

Alleged fiduciary breach

  1. Preserve plan documents, committee minutes, investment reviews, provider reports, communications, and conflict disclosures.
  2. Review the policy’s definition of claim and notice requirements with coverage counsel or the broker.
  3. Provide timely notice in the manner the policy requires; late notice can affect rights under a claims-made form.
  4. Coordinate defense, settlement, and any corrective action so that communications do not inadvertently waive protections or violate plan duties.

These steps are general risk-management guidance, not individualized legal or coverage advice. The policy, bond, plan documents, and applicable law govern a particular event.

Common mistakes to avoid

  • Calling every product “ERISA insurance.” Ask whether the document is a section 412 fidelity bond or optional fiduciary liability insurance.
  • Assuming the bond covers bad decisions. A fraud-and-dishonesty bond is aimed at losses caused by covered dishonest conduct, not ordinary imprudence.
  • Assuming liability insurance is mandatory. ERISA permits it but does not require it.
  • Relying on a certificate or slogan. Coverage scope comes from the contract’s insuring agreements, definitions, exclusions, limits, and endorsements.
  • Ignoring who is insured. A committee member, the plan, the sponsor, and a service provider may have different status or no status under the same form.
  • Forgetting recourse when the plan pays. Confirm the insurer’s right of recourse against a fiduciary after a breach.
  • Stopping oversight after delegation. Appointment of another fiduciary does not eliminate the duty to monitor.
  • Treating insurance as a substitute for governance. A policy does not authorize conflicted decisions, unreasonable expenses, or failure to follow the plan.

Bottom line for sponsors

Start by identifying the functions that make people or entities fiduciaries. Keep the ERISA fidelity bond focused on the plan’s exposure to fraud or dishonesty involving plan funds or property. Evaluate fiduciary liability insurance separately as optional protection for breach-related claims, and judge it by the policy wording rather than its name. If plan assets pay the premium, verify the required recourse provision. Finally, continue monitoring every appointed fiduciary and retain records showing a prudent process.

The DOL materials cited here describe federal ERISA concepts for U.S. employee benefit plans. They do not establish the terms of any current insurance product, premium, insurer financial strength, or claim outcome. Plan sponsors should have qualified ERISA and insurance advisers review their own plan documents, bond, policy, and responsibilities.
