Electronic Arts’ acquisition by Saudi Arabia’s Public Investment Fund (PIF), Silver Lake and Affinity Partners was valued at approximately $55 billion in enterprise value and was completed on August 4, 2026. U.S. lawmakers had raised concerns about possible foreign influence, user-data access and national security before the deal closed. Those concerns are not proof of misconduct, and the available official Xbox material does not substantiate speculation that Microsoft or Xbox is acquiring EA.
What happened to EA’s takeover?
EA announced a definitive agreement in 2025 to be acquired by a consortium comprising PIF, Silver Lake and Affinity Partners. EA later announced that the transaction was completed on August 4, 2026. It is therefore a completed acquisition, not a pending bid.
| Detail | What the cited sources establish |
|---|---|
| Transaction value | Approximately $55 billion in enterprise value, according to EA’s 2025 transaction disclosure. |
| Debt financing | Approximately $20 billion, according to the same EA disclosure. |
| Buyers | PIF, Silver Lake and Affinity Partners, as identified in EA’s completion announcement. |
| Completion | August 4, 2026, the date EA announced the deal had closed. |
The $55 billion figure is enterprise value, not a claim that the buyers paid that amount entirely in cash. EA’s disclosure separately identified approximately $20 billion in debt financing.

Concerns about foreign influence, privacy and national security
In October 2025, U.S. Senators Richard Blumenthal and Elizabeth Warren publicly raised concerns about possible Saudi foreign influence and national-security risks. They pointed to the potential for access to sensitive personal information collected from EA users, as well as possible influence over the company’s AI development and product design and direction.

The senators described their position this way: “The deal’s potential to expand and strengthen Saudi foreign influence in the United States is compounded by the national security risks raised by the Saudi government’s access to and unchecked influence over the sensitive personal information collected from EA’s millions of users, its development of artificial intelligence (AI) technologies, and the company’s product design and direction.” This is the senators’ characterization of potential risks, not a regulator’s finding that improper access or influence occurred.
Warnings about debt and possible cost-cutting
In January 2026, House Democrats asked the Federal Trade Commission to scrutinize the proposal. They warned that the deal’s debt financing could create incentives for cost-cutting, including layoffs, offshoring, restructuring or studio closures. Those were prospective warnings about possible consequences; they do not establish that any of those actions occurred because of the acquisition.

What is known about post-close effects?
The cited material establishes the deal terms, the closing date and the concerns lawmakers raised before completion. It does not establish that the acquisition caused specific job cuts, studio closures, game cancellations or changes to EA’s creative policies. It also supplies no independent study measuring realized post-acquisition effects. Treat claims about those outcomes as unverified unless supported by direct company statements, regulator findings or attributable reporting.
Is Xbox buying EA?
The available official Xbox material concerns Microsoft’s Xbox reset; it does not link Xbox to EA or identify a plan to acquire the company. On this evidence, speculation that Microsoft or Xbox is buying EA is unsubstantiated. EA’s completed acquisition was announced with PIF, Silver Lake and Affinity Partners as the buyers.

Why the wording matters
“Serious allegations” can sound like misconduct has been established. In this case, the documented issue is that named lawmakers raised concerns about potential risks and asked for scrutiny; the cited sources do not establish that the feared access, influence or employment consequences took place. Likewise, “billion-dollar takeover” is technically true but obscures the reported scale: EA disclosed an approximately $55 billion enterprise-value transaction.
