No. SEC-registered investment advisers are not required by the cited SEC materials to use AI compliance tools, and the available evidence does not show that most RIA firms risk fines without them. Advisers do have compliance, advertising, and recordkeeping duties; software may help organize that work, but it does not guarantee compliance or prevent penalties.
What the SEC rules require—and who they cover
The SEC Marketing Rule applies to advisers registered, or required to be registered, with the SEC that directly or indirectly disseminate covered advertisements. It took effect May 4, 2021, with a compliance date of November 4, 2022, according to the SEC’s small-entity guide.
The guide describes seven general prohibitions addressing false or misleading advertising. It also sets conditions for testimonials, endorsements, third-party ratings, and performance information. Covered advisers must make and keep advertisements and specified related records. The guide summarizes the requirements; it is not a substitute for the rule text or firm-specific legal advice.
“RIA” is not enough to determine which requirements apply. The cited guide concerns SEC-registered or SEC-required-to-register advisers, not every state-registered adviser. Firms should establish their registration status and review applicable federal and state obligations rather than assume the same rules apply to all advisers.

What SEC enforcement shows about AI and compliance
Misleading claims about AI can create risk
In March 2024, the SEC announced settled charges against two advisers over false or misleading claims about their purported use of AI. The firms agreed to pay $400,000 in total civil penalties. That is the combined amount in this case, not an average fine or a prediction of what another firm would pay. SEC Chair Gary Gensler said, “Investment advisers should not mislead the public by saying they are using an AI model when they are not.” Read the SEC’s announcement.
The case is not evidence that advisers need AI compliance products. It illustrates that claims about AI use, like other public statements, must not mislead.

Ordinary compliance failures can also lead to penalties
In a separate 2025 enforcement matter, the SEC described a registered adviser that failed to maintain advertisement copies, implement certain procedures, and conduct its annual review. Meridian Financial agreed to a $75,000 civil penalty. The SEC announcement does not establish that AI software would have prevented those failures. See the order announcement.
What recent SEC review guidance means for firms
In its September 14, 2026 announcement, the SEC said advisers must review compliance policies and procedures at least annually and linked to a staff Risk Alert on annual review practices. The SEC’s Risk Alerts index also lists a December 16, 2025 Marketing Rule alert discussing staff observations on testimonials, endorsements, and third-party ratings.

The 2025 alert says it is a staff statement, not a rule; it has no legal force or effect and creates no additional obligations. It may help firms understand examination observations, but it does not replace the governing requirements. The annual review announcement and alerts are examination context, not an endorsement of AI tools.
Where compliance software or AI may help
Technology can support a compliance program by routing marketing materials for review, recording decisions, retaining advertisement evidence, organizing annual-review work, or flagging items for human attention. Those are operational uses, not proof of compliance. The SEC materials cited here do not require AI, say that a product makes a firm compliant, or promise that using one will prevent a penalty.

Human accountability still matters. A firm should assign reviewers, define escalation paths, document decisions, and have qualified personnel assess whether a flagged item actually violates a requirement. AI output can miss context or produce errors; treating an automated approval as a substitute for review can create a new control weakness.

How to evaluate a tool without mistaking it for a safeguard
These are practical evaluation questions, not SEC-approved criteria or a vendor ranking. Compare the tool’s actual fit with the firm’s obligations and existing controls:
- Workflow coverage: Does it support the firm’s needs for marketing review, annual compliance review, recordkeeping, and oversight of AI-related claims?
- Evidence and retrieval: Can the firm preserve review history and retrieve or export advertisements, decisions, and related records when needed?
- Human review: Can staff inspect flagged content, document dispositions, and escalate uncertain or high-risk issues?
- Data and vendor controls: What information is processed, who can access it, and what controls govern retention and handling?
- Integration and burden: Does it fit existing systems and procedures, or will it add duplicate work, gaps, or unmanageable alerts?
Before adopting a product, map the relevant obligations to the firm’s current process, identify a specific control gap, and test whether the tool closes it. Keep written procedures and accountable reviewers in place, and have compliance and legal professionals assess the resulting process.
Quick Recap
What advisers should do next
- Confirm scope. Determine whether the firm is SEC-registered or required to register, and identify the rules applicable to its registration and activities.
- Map the workflow. Inventory covered advertisements, review and approval steps, retention practices, and the annual compliance review process.
- Check the evidence trail. Verify that advertisements and specified related records are retained and can be retrieved, and that review decisions are documented.
- Review AI statements. Confirm that any public claim about AI use accurately describes what the firm actually does.
- Assess tools against a defined gap. Adopt automation only where it improves a documented process, and retain human oversight and firm-specific legal review.
