Decagon has hired a bank to evaluate acquisition interest and has held preliminary discussions with ServiceNow and other potential buyers, according to a report published October 13, 2026. No acquisition has been announced: there is no confirmed buyer, purchase price, exclusivity agreement, signed deal or board approval.

The reported sale exploration comes months after Decagon raised $250 million at a $4.5 billion valuation and offered employees a chance to sell vested shares at the same valuation.

What has been reported

Business Insider, in a report published October 13, 2026, said Decagon hired a bank to assess acquisition interest and held early discussions with ServiceNow and other possible buyers. The report describes the conversations as preliminary. It does not establish that ServiceNow made a formal offer or that Decagon has selected a buyer.

The bank’s identity has not been disclosed in the information available here. Hiring a bank to evaluate interest can support a range of outcomes, including a strategic investment, a sale process, or a decision to remain independent. It is not evidence that a transaction will close.

What Decagon does

Founded in 2023 by Jesse Zhang and Ashwin Sreenivas, Decagon sells AI agents for enterprise customer service. Its software handles interactions through chat, email and voice and can perform operational tasks such as tracking orders, issuing returns and booking travel.

Bloomberg reported that Decagon added more than 100 corporate clients in the year before its January 2026 financing. The report named Avis Budget Group and Deutsche Telekom among those customers. TechCrunch also described the agents as resolving customer inquiries across chat, email and voice.

Decagon’s funding and valuation timeline

Date Event What it says about valuation
January 28, 2026 Bloomberg reported a $250 million financing led by Coatue Management and Index Ventures. Andreessen Horowitz, Accel and Bain Capital Ventures were among the existing investors included in the round. The financing valued Decagon at $4.5 billion, according to Bloomberg.
March 4, 2026 Decagon announced its first employee tender offer, led by its Series D investors. The tender was conducted at the same $4.5 billion valuation.
March 4, 2026 TechCrunch reported that more than 300 employees could sell part of their vested shares. This was employee liquidity at the existing valuation, not an announced company sale.

The $4.5 billion figure is therefore supported by a reported private financing and Decagon’s subsequent tender announcement. It is a private-market valuation, not a publicly traded market capitalization and not a confirmed price that an acquirer would pay. A buyer could negotiate a higher or lower value depending on growth, contracts, retention, profitability, market conditions and deal terms.

Did ServiceNow try to buy Decagon?

There is no public confirmation that ServiceNow tried to buy Decagon. The October 13 report says ServiceNow was among companies involved in preliminary discussions. That wording supports “early acquisition interest” or “exploratory talks,” not a signed offer or an agreed transaction.

Nothing in the available reporting confirms:

  • a definitive acquisition agreement;
  • a purchase price or a valuation different from $4.5 billion;
  • exclusive negotiations with ServiceNow;
  • approval by either company’s board; or
  • a closing date or regulatory filing.

Why ServiceNow is a plausible potential buyer

ServiceNow sells enterprise workflow and AI-agent products to many of the same large-company customers that buy customer-service automation. That overlap makes a strategic conversation commercially plausible: Decagon’s agents could complement broader workflow and service-management products, while a large enterprise software company could potentially distribute the technology to existing accounts.

That is an analysis of product and customer overlap, not evidence that ServiceNow will acquire Decagon. The reported discussions could end without an offer, or could involve a partnership or investment rather than a takeover.

How a buyer might evaluate Decagon

Decision factor What is established What remains unknown
Strategic overlap ServiceNow and Decagon both address enterprise software and AI-enabled service workflows; the overlap makes interest plausible. The exact products, contracts or technical integrations discussed by the companies have not been disclosed.
Distribution Decagon reported more than 100 corporate customers added in the prior year, and its agents operate across three customer-contact channels. No buyer’s plan for distributing or bundling the agents has been announced.
Integration and governance Decagon’s agents perform customer-service actions such as returns and order tracking. There is no public integration plan, governance structure or timeline for combining Decagon with a buyer.
Valuation and financing Decagon’s latest reported financing valuation was $4.5 billion, following a $250 million round. The report gives no acquisition price, offer size, financing terms or indication that a buyer has agreed to match that valuation.
Product-roadmap risk Decagon has built an independent product around chat, email and voice agents. It is unknown whether any buyer would preserve that roadmap, absorb the product into another platform or change its availability to existing customers.

What happens next

The clearest confirmation would be a joint announcement identifying a buyer and signed transaction terms. Other meaningful signals would include a regulatory filing, shareholder documentation, a disclosed tender or merger agreement, or statements from Decagon or the reported potential buyers.

Until one of those appears, the defensible description is that Decagon is evaluating acquisition interest and has held early talks that include ServiceNow. The company remains independently valued at $4.5 billion based on its 2026 financing and employee tender offer, while any sale price is unknown.

What Decagon’s CEO has said

When Decagon announced the March 4 tender offer, co-founder and CEO Jesse Zhang wrote: “At Decagon, we want our team to be able to benefit from the equity they’ve earned, and we seek opportunities for more prosperity as we build together.” The statement explains the employee-liquidity program; it does not announce an acquisition.
