A unicorn is a privately held startup valued at about $1 billion or more. A decacorn is a privately held startup valued at about $10 billion or more—ten times the usual unicorn threshold. Both labels describe a reported private-market valuation, not revenue, profit, cash reserves or a guarantee that the company will succeed.
The short answer: decacorns are ten-billion-dollar unicorns
The terms are shorthand used in venture capital and startup reporting:
| Term | Typical valuation threshold | What it describes |
|---|---|---|
| Unicorn | About $1 billion or more | A privately held startup or company that has reached that valuation category |
| Decacorn | About $10 billion or more | A privately held startup or company valued at roughly ten times the unicorn threshold |
| Hectocorn | About $100 billion or more | A private company in the next commonly used valuation tier |
The “deca-” prefix means ten, so a decacorn is not a separate kind of corporate structure. It is a valuation tier above a unicorn. A company can move from one category to another when a later financing, secondary transaction or other private-market assessment produces a higher valuation.
There is no universal law, regulator or accounting standard that makes a company a unicorn or decacorn. Data providers set definitions for their own trackers. When a company sits exactly on a threshold, the provider’s wording and method matter.

What “unicorn company” means
PitchBook uses “unicorn” generally for a privately held startup valued at $1 billion or more. In its narrower venture-market classification, the company must be venture-backed and must have raised a financing round at a post-money valuation of at least $1 billion.
CB Insights’ tracker defines a unicorn as a private company with a valuation over $1 billion. That “over” wording can technically exclude a company reported at exactly $1 billion, whereas PitchBook’s “or more” wording includes the boundary in its venture-backed formulation. The difference is small in everyday conversation but important when reconciling lists from different providers.
Private status is part of the usual meaning
These labels normally apply while a company is privately held. A financing round gives investors shares and establishes a valuation for that transaction. Once a company becomes publicly traded, its market capitalization is visible through the stock market and the private-startup label may no longer be the most useful description, even if its value remains above the same numerical threshold.
The threshold is a valuation, not a cash balance
A $1 billion unicorn valuation does not mean the company has $1 billion in its bank account. In a priced funding round, investors buy a specified amount of equity at a specified price. The resulting share price multiplied by the company’s fully diluted shares produces a post-money valuation. Most of the company’s shares are not sold in that round, so the headline valuation can be much larger than the cash invested in the transaction.
For example, a hypothetical startup could raise $100 million at a $1 billion post-money valuation. The round supplies $100 million of new capital; it does not deposit $1 billion into the company. The valuation is the negotiated value of the entire equity base after the investment. The example illustrates the mechanics only; it is not a claim about any named company.
What “decacorn” means
A decacorn is generally a privately held company valued at about $10 billion or more. The threshold is ten times the standard $1 billion unicorn level. CB Insights uses the decacorn category for private companies valued over $10 billion.

Because a decacorn is still private, its valuation is usually tied to a financing event or another private transaction rather than a continuously quoted exchange price. Preferred-share rights, liquidation preferences, option pools, debt, currency conversions and the terms negotiated by investors can all affect how a provider records the valuation. A headline number should therefore be read with its date and source.
Decacorn does not mean “ten times as successful”
The label ranks valuation, not operating performance. A decacorn may have high revenue but low or negative profit; another may have strong margins but a lower valuation. Neither term tells you:
- annual revenue or growth rate;
- profit, losses or free cash flow;
- cash remaining and expected spending rate;
- customer numbers, retention or market share;
- debt, dilution or investor preferences;
- whether the latest valuation could be reduced in a later round; or
- whether an eventual public offering or acquisition will reward earlier investors.
Valuation reflects what investors agreed to pay under particular assumptions at a particular time. It is not a performance certificate.
Unicorn versus decacorn: the distinctions that matter
| Question | Unicorn | Decacorn |
|---|---|---|
| Numerical tier | Usually around $1 billion | Usually around $10 billion |
| Relationship between tiers | Entry point for the commonly named category | Ten times the unicorn threshold |
| Ownership status | Normally privately held | Normally privately held |
| Typical evidence | A reported private valuation, often from a funding round | A reported private valuation, often from a funding round |
| What the label measures | Equity valuation | Equity valuation |
| What it does not measure | Revenue, profit, cash or probability of success | Revenue, profit, cash or probability of success |
| Boundary language | CB Insights says “over $1 billion”; PitchBook’s venture definition says “at least $1 billion” | CB Insights says “over $10 billion” |
| Universal legal status? | No | No |
So the direct answer to “Is a decacorn bigger than a unicorn?” is yes, by the conventional valuation thresholds. The answer does not imply that every decacorn has better products, safer finances or a clearer path to an exit.
How a private valuation is created
1. Investors and the company negotiate a financing round
The company and new or existing investors agree on the amount invested, the security issued and the price per share. A preferred-equity round is common in venture financing, although the precise security and rights vary.

1Fix the driver behind crashes, sound loss and screen glitches2Repair Windows errors before they cause bigger problems3Scan for outdated or missing drivers - takes under a minute2. The post-money value is calculated
“Post-money” means the agreed value immediately after the new investment. If investors put in $50 million for 5% of the post-financing equity, the implied post-money valuation is $1 billion. The company receives $50 million, while the implied value of all shares is $1 billion.

3. A data provider records the event
Trackers collect the round announcement, filings, investor disclosures or other private-market information and classify the company. A provider may apply additional rules about whether the company is venture-backed, how a secondary sale is treated or whether a valuation is sufficiently documented.
4. The value can change without a public quote
A later round at a higher price can move a company into the decacorn tier. A down round, a recapitalization or changed investor terms can lower the implied value. Private companies do not publish a new market price every second, so the last reported valuation may be old, conditional or superseded.
Why sources disagree about who qualifies
Different lists can show different totals because they answer slightly different questions. Compare the following before treating a count as definitive:
Recommended Free Tools
- Threshold wording: “over” excludes an exact boundary in ordinary mathematical usage; “or more” includes it.
- Company universe: one tracker may include all private companies, while another requires venture backing.
- Event type: a provider may require a priced funding round and post-money valuation rather than an estimate from a secondary transaction.
- Timing: a list published after a new round can differ from one compiled weeks earlier.
- Currency and methodology: providers may convert non-dollar rounds or handle complex share classes differently.
- Status changes: an acquisition, initial public offering, shutdown or prolonged absence of new information can remove a company from a private-company cohort.
When a company is reported at exactly $1 billion, identify the provider and its convention. Do not silently combine a “more than $1 billion” list with an “at least $1 billion” list and call the result a universal census.
How many unicorns and decacorns are there?
Counts are snapshots, not permanent facts. CB Insights’ tracker said there were more than 1,300 unicorns worldwide as of March 2026. Its live page also displays a current total and cumulative valuation that can change as the tracker is updated. The March date and the provider should accompany any use of that figure.
PitchBook’s December 6, 2024 explainer stated that its figures were accurate to PitchBook Platform data as of November 26, 2024, and warned that platform data changes often. That cutoff is not interchangeable with a March 2026 CB Insights snapshot. A responsible comparison names both providers and dates instead of adding the totals together.

A historical decacorn reference
CB Insights reported 46 companies with decacorn valuations in 2022, in the context of a milestone involving a 1,000-unicorn cohort. That is a historical cohort figure, not the number of decacorns today. The same 2022 article said roughly 31% of that then-current unicorn cohort was valued at exactly $1 billion. Both statistics need their 2022 context when quoted.

The unicorn metaphor became popular in startup investing because a privately held company worth at least $1 billion was once considered exceptionally rare. Historical accounts commonly associate the 2013 cohort definition with investor Aileen Lee. As more startups crossed the threshold, additional animal terms were introduced to distinguish much larger private companies. “Decacorn” uses the numerical prefix rather than describing a business model.
These expressions are useful shorthand, but their popularity can make them sound more official than they are. They remain market terminology maintained by analysts, investors and business journalists.
How to read a headline claiming a company is a unicorn or decacorn
- Find the valuation date. A figure from a financing announcement may be months or years old.
- Identify the event. Check whether it was a new primary funding round, a secondary sale, an internal estimate or another transaction.
- Check post-money versus pre-money. The two values answer different questions and should not be compared as though they were the same.
- Confirm private status. A public company’s market capitalization is not the same type of private-round valuation.
- Read the provider’s definition. “Over $1 billion” and “at least $1 billion” produce different edge cases.
- Look for the currency and share class. A dollar conversion and preferred-share rights can affect the reported figure.
- Separate value from performance. Review revenue, margins, cash use, debt and customer evidence independently.
Common misunderstandings and corrections
“The company raised $1 billion, so it is a unicorn”
Not necessarily. The amount raised is the cash invested in a round. Unicorn status concerns the company’s implied equity valuation, usually the post-money value, which can be higher or lower than the amount raised.
“A $10 billion valuation means the company has $10 billion to spend”
No. The company may have raised only a fraction of that amount. The remainder is the implied value of shares held by founders, employees and existing investors.
“Every tracker uses the same list”
No. Provider definitions, cutoff dates, evidence standards and treatment of borderline companies differ.

“Unicorn means profitable”
No. A valuation is an investor pricing judgment. Profitability must be established from financial results, not inferred from the animal label.
“Decacorn is a permanent status”
No. Private valuations can rise or fall, and a company can leave a tracker after an acquisition, public listing or revised data.
What investors and founders should ask beyond the label

- What was the latest financing date and post-money valuation?
- How much new capital was invested, and what dilution did it create?
- Were the shares common or preferred, and what liquidation preferences apply?
- What are revenue growth, gross margin, operating loss and cash runway?
- How concentrated are customers and how durable is retention?
- Is the valuation supported by comparable public companies or recent transactions?
- What would happen to the valuation in a down round or delayed exit?
A company can be strategically important without being a unicorn, and a unicorn can still fail to deliver a profitable or liquid outcome. The category is a starting point for analysis, not the analysis itself.
Related terms: hectocorn and valuation stages
A hectocorn is commonly used for a private company valued at $100 billion or more. The word follows the same pattern: “hecto-” denotes one hundred, making the threshold one hundred times the usual unicorn baseline. As with unicorn and decacorn, the term is informal and provider definitions may vary.
Other financing vocabulary can be more informative than an animal label. “Pre-money” describes value before a round; “post-money” describes value after it. “Primary financing” supplies new money to the company, while a “secondary” transaction transfers existing shares between holders. Understanding those distinctions helps explain what a reported valuation actually represents.
