A data-center sale does not automatically preserve your contract, pricing, service levels, or termination rights. The outcome depends on the transaction structure and the executed agreement: assignment and change-of-control language, consent and notice mechanics, successor obligations, service-level remedies, security and data-processing terms, and exit provisions. Before accepting a new invoice or operator contact, identify the legal buyer and post-closing provider, assemble the complete contract record, obtain written successor assurances, test operational continuity, and compare the risk and cost of staying with a controlled migration.
This checklist is for tenants of colocation facilities, data halls, managed infrastructure sites, and related power, cooling, security, and connectivity services. Have technology counsel review the documents where consent, liability, regulated data, or a critical workload is involved.
What a data-center sale can change
“Sale” can describe several legally different events. A stock sale may leave the contracting company unchanged while its ultimate parent changes. A merger may place the contract with a surviving entity. An asset sale may transfer the facility but not every contract, permit, carrier arrangement, or employee. A landlord may retain the building while appointing a different operator, or the existing provider may seek a separate assignment of your agreement.

| Transaction or event | Tenant question | Why it matters |
|---|---|---|
| Stock sale or change of control | Does the agreement define a change of control and require notice or consent? | The same named company may have a new parent, finances, strategy, and management. |
| Merger | Which entity survives, and does it assume every obligation? | Billing, insurance, liability, indemnities, and remedies may depend on the surviving entity. |
| Asset or facility sale | Was the tenant contract expressly assigned or assumed? | Real estate, permits, utilities, security systems, and service contracts may transfer separately. |
| Operator replacement | Is a change-of-operator trigger separate from an assignment trigger? | Staff, procedures, subcontractors, escalation paths, and security controls can change without a new owner. |
| Contract assignment or novation | Did the buyer sign an assumption or novation accepted by the tenant? | A signed document can clarify successor duties and responsibility for pre-closing events. |
A provider announcement is not proof that your agreement was assigned, that a qualified transferee condition was met, or that operational controls remain unchanged. Continue following the existing contract until the legal position and effective date are documented.

1. Establish the transaction facts
Send a written information request to the current provider and, where appropriate, the proposed buyer. Record each answer and the person responsible for confirming it.
- Legal name of the buyer, post-closing operator, contracting entity, ultimate parent, and every guarantor.
- Expected closing date and the date operational control, billing, support, and security responsibility will change.
- Facility, building, data-hall, cage, power-system, and network assets included in the transaction.
- Whether the deal is a stock sale, merger, asset sale, facility transfer, operator change, or direct contract assignment.
- Which licenses, permits, utility arrangements, carrier and cross-connect contracts, security systems, and subcontractor agreements transfer or must be re-papered.
- Whether employees, remote-hands teams, security personnel, and incident-response staff will remain in place.
Ask for the transaction notice, the proposed assumption or novation, and a schedule of contracts that will not transfer. Do not infer continuity from a press release or a new logo on an invoice.
2. Build and read the complete contract file
Collect one controlled copy of every document that governs the service. Missing schedules often contain the provisions that determine whether you can object or exit.

| Clause group | Questions to answer |
|---|---|
| Assignment and control | Does an assignment, change of control, change of operator, or subcontractor change trigger notice, consent, or a termination right? Is consent deemed after a stated period? Are competitors excluded? Must a transferee meet financial or “qualified transferee” tests? |
| Successor obligations | Must the buyer assume SLAs, service credits, confidentiality, security, data-processing duties, indemnities, insurance, audit rights, and liabilities arising before and after closing? |
| Performance and remedies | What uptime, power, temperature, response, maintenance-window, credit, chronic-failure, and liability-cap terms apply? |
| Security and incidents | How quickly must incidents be reported? Who cooperates with forensics and regulators? Can you audit and obtain evidence? |
| Commercial changes | How are indexation, pass-through charges, taxes, power charges, renewal pricing, and new fees handled? |
| Exit and transition | Are termination, step-in, relocation, migration assistance, data return, deletion, and transition-fee rights defined? |
Orrick notes that data-center leases commonly restrict a landlord’s transfer without tenant consent and should identify notice, qualified transferees, prohibited assignees, and financial requirements. Those protections are useful only if you can produce the executed clause and comply with its response deadlines.
3. Obtain written successor assurances
Request a signed assumption agreement or novation when the contract, risk profile, or transaction structure warrants one. It should name the post-closing service provider and state the effective date.
Require an express confirmation that the successor assumes:

4. Test physical and operational continuity
A data center is more than a room of racks. UK Government guidance describes data-center services as the data hall plus electricity, environmental control, security, and resilience systems. Test the systems that actually protect your workloads.
Facility and utility checks
- Trace each power feed to the rack, including generator, UPS, transfer-switch, and maintenance-bypass capacity.
- Confirm cooling capacity, environmental alarms, fire detection and suppression, water controls, and planned-maintenance procedures.
- Verify physical access, CCTV retention, visitor approval, escort rules, badge revocation, and emergency access.
- Map carrier entrances, network diversity, cross-connect ownership, meet-me-room procedures, and remote-hands coverage.
- Ask how spare parts, batteries, generators, cooling plant, and critical security equipment are stocked and funded.
Continuity evidence
Request the current business-continuity and disaster-recovery plans, recovery time objectives (RTOs), recovery point objectives (RPOs), recent exercise summaries, planned-maintenance records, outage history, open corrective actions, and service-credit history. FDIC technology-service-provider guidance, published 2 April 2019, says effective contracts are an important risk-management tool for business continuity and incident response; your review should therefore test both the written promise and evidence that it is exercised.
5. Reassess security, privacy, and compliance
Identify every party that could gain access after closing: the buyer, new operator, affiliates, subprocessors, support contractors, remote-hands personnel, and security vendors. Compare them with the parties named in your data-processing and security schedules.
Do these 3 things before closing this tab:
1Fix the driver behind crashes, sound loss and screen glitches2Clear out junk files and repair common Windows errors3Scan for outdated or missing drivers - takes under a minute- Confirm that the data-processing terms permit the new controller, processor, operator, and subprocessors, and check any notice or objection process.
- Revalidate least-privilege and privileged-access controls, logging, encryption, key management, vulnerability management, physical security, background checks, and media handling.
- Obtain current independent assurance reports and certifications where your contract allows them; review exceptions, management responses, and remediation dates rather than accepting a certificate alone.
- Confirm the definition of a security incident, notification clock, forensic cooperation, regulator and customer notification responsibilities, evidence preservation, and chain of custody.
- Document the shared-responsibility boundary: which controls belong to the facility, the managed-service team, your network team, and each subcontractor.
UK Information Commissioner’s Office supplier guidance recommends risk assessment before access, enforceable security clauses, periodic audits, documented incident procedures, availability protections, and a practical exit and information-return process. Reperform that assessment when ownership or operational personnel change.

- Please Note: To reach 10Gbps speed, keep the cable under 3.3 ft. For USB A Male to USB C adapters, try flipping the USB C connector. USB C Male to USB A adapters support bidirectional 10Gbps transfer within 3.3 ft
6. Check financial and ownership risk
A new owner can have a different credit profile, financing burden, capital plan, or business strategy even when the facility looks unchanged. Request the buyer’s legal entity, ultimate parent, guarantors, insurance evidence, available credit information, and any disclosed financing constraints.
Ask directly whether the transaction changes staffing, maintenance budgets, expansion plans, generator or cooling replacement schedules, network investment, or the service strategy for your facility. For a critical contract, review whether a parent guarantee, escrow, letter of credit, step-in right, or non-disturbance agreement is needed. The UK Government’s DDT Playbook warns that a new parent may have different financial standing or strategy and recommends early financial-risk review and supplier-insolvency continuity planning.

- Workloads, racks, cages, serial numbers, power circuits, IP ranges, VLANs, DNS zones, certificates, and firewall rules.
- Carrier circuits, cross-connects, cloud links, managed services, remote hands, monitoring, backup paths, and subcontractors.
- Application owners, technical contacts, renewal dates, circuit lead times, maintenance dependencies, and failure impact.
Then test what you can actually take out. Confirm export methods and usable formats for data, metadata, configurations, logs, records, credentials, and monitoring history. Verify that audit, records-access, and evidence rights survive a sale, and that subcontractor changes are disclosed. Record the expected cost and lead time for offboarding, migration, dual-running, circuit reordering, reconfiguration, acceptance testing, and secure deletion.

8. Decide whether to stay, renegotiate, or migrate
Use a documented comparison rather than treating ownership change as an automatic move trigger. Score each option against the factors below and record evidence, owner, and deadline for every unresolved item.
| Decision factor | Stay or renegotiate when… | Migration becomes stronger when… |
|---|---|---|
| Legal position | Assignment is permitted or properly consented, and successor obligations are clear. | Consent rights are blocked, a prohibited transferee is involved, or assumption is incomplete. |
| Security and compliance | Controls, subprocessors, audit rights, and regulatory fit remain acceptable. | New parties or practices fail your legal, privacy, sovereignty, or audit requirements. |
| Resilience | Power, cooling, network diversity, recovery evidence, and incident performance meet requirements. | Assurances are missing, corrective actions are unresolved, or outage and recovery risk rises. |
| Financial and commercial | Pricing, credits, renewal mechanics, insurance, and investment plans remain viable. | Costs deteriorate, guarantees weaken, investment is cut, or insolvency risk is material. |
| Portability and geography | Latency, sovereignty, capacity, and expansion needs still fit. | A credible alternative lowers total risk despite migration effort. |
| Execution risk | Dependencies are documented and the successor can support a controlled transition. | Migration can be staged with tested rollback and acceptable downtime exposure. |
Do not move solely because ownership changed. Escalate toward migration when successor assurances are inadequate, legal or compliance requirements no longer fit, economics deteriorate, or a credible alternative has lower total risk. Australian Government Architecture guidance recommends involving technical, commercial, legal, cyber-security, finance, and business experts early enough to influence requirements and negotiations.
If migration is required: a controlled transition
- Freeze the baseline. Export inventories, configurations, logs, certificates, credentials, diagrams, and contractual records; verify that each export can be restored or read.
- Define the target. Set capacity, power, network, security, RTO, RPO, latency, sovereignty, acceptance, and rollback requirements.
- Contract transition help. Specify provider cooperation, remote-hands hours, cross-connect changes, data export, knowledge transfer, testing windows, rates, and responsibility for delays.
- Build parallel operation. Keep the current environment available while circuits, replication, backups, monitoring, DNS, certificates, and access controls are tested at the destination.
- Run acceptance tests. Test application behavior, failover, restore, alerting, security controls, performance, and physical access against written criteria.
- Cut over and retain rollback. Use an approved change window, named decision makers, communication steps, and a rollback point that remains viable until acceptance.
- Close out securely. Obtain written evidence of data return or deletion, revoke badges and credentials, terminate cross-connects and circuits, reconcile credits and deposits, and retain required records.
Red flags that require escalation
- The provider will not identify the contracting entity, buyer, operator, or effective date.
- A new operator has access to systems or personal data before contractual and privacy approvals.
- The successor refuses to assume SLAs, credits, audit rights, security duties, or pre-closing liabilities.
- Maintenance, outage, corrective-action, insurance, or financial information is withheld.
- Cross-connect ownership, export formats, credentials, logs, or deletion evidence cannot be established.
- Notice or consent deadlines are close to expiring and no qualified legal review has occurred.
There is no universal notice period, SLA, migration deadline, sale price, or automatic termination right. Those terms must be read from the executed agreement and the facts of the transaction. UK Government’s data-centre factsheet, updated 30 June 2026, proposes a rated IT-load threshold of at least 1 megawatt for regulated data centers and at least 10 megawatts for enterprise data centers; that is a regulatory proposal and does not replace contract-specific diligence for smaller or larger facilities.
